A falling share price is a reason to investigate, not proof that a stock is a bargain. Before buying, find out what changed in the business, check its financial statements and disclosures, assess its valuation and trading conditions, and decide whether the risk fits your goals and finances. These checks can help you make a more informed decision; they cannot identify a market bottom or guarantee a recovery.
First, find out why the share price fell
A stock can fall because the whole market is weak, because its industry faces trouble, or because investors have reassessed that company’s prospects. Those situations are not interchangeable. A broad market decline may leave a sound business with a lower share price; a lasting deterioration in the business can make a lower price deserved.
Start by describing the change in plain language. Did the company lose an important customer, face higher costs, report weaker results, take on more debt, or disclose another problem? Or did the share fall alongside a wider market move without an obvious company-specific change? Do not assume the reason from a price chart or a headline alone. Check the company’s latest disclosures and compare them with what it previously reported.
Understand how the company makes money
Before considering a purchase, be able to explain the company’s main products or services, who pays for them, and what could support future growth. Consider whether its business depends on a small number of customers, a particular commodity, changing regulation, or economic conditions that have shifted. Compare its position and prospects with competitors, as SEBI’s due diligence guidance advises.

Ask whether the event behind the fall changes the company’s earning power or merely creates a temporary interruption. A one-off disruption and a permanent loss of competitiveness require different judgements, but the distinction should come from evidence in filings and announcements rather than from optimism about a rebound.
If you cannot explain what drives the business or what has changed, a price decline by itself is not enough information to act on. A company’s familiar name, past share-price high, or low quote does not establish that its business is healthy.
Check the financial statements and company disclosures
SEBI’s due diligence guidance calls for examining cash-flow, income-statement and balance-sheet information for at least the past two years. Looking across multiple years can help distinguish a single-period change from a more persistent pattern. Read the figures alongside the company’s explanations and current corporate announcements rather than treating any one number as a complete verdict.

|---|---|
| Income statement | How revenue, expenses and reported profit have changed over time. |
| Cash-flow statement | Whether reported activity is accompanied by cash generation or cash use. |
| Balance sheet | The company’s financial position, including its assets and obligations. |
| Corporate announcements | What the company has disclosed about material developments; read the actual announcement rather than relying only on a summary. |
Turn the statements into a short chronology. Note when revenue, costs, profit and cash generation changed, then place relevant announcements beside those periods. This can reveal whether the price move followed a disclosed event, a gradual weakening or no obvious company-specific development. It also helps prevent a single recent quarter from dominating your view of a longer trend.
Use the statements to form questions, not to force a quick yes-or-no answer. For example, if profit has weakened, check whether cash generation and the company’s explanation point to a temporary issue or a broader change. The sources do not establish a universal ratio or threshold that makes a share safe to buy.
Check price and volume history, too
SEBI also identifies price and volume history as due diligence factors. Look at both rather than interpreting the price drop in isolation. The history can provide context for the move, but it cannot tell you on its own whether the company is fairly valued or whether the share will recover. Match what you see against dated company announcements and financial information.
A large move accompanied by unusual trading activity may tell you that market participants are reacting to information, but it does not tell you whether their conclusion is correct. Likewise, a quiet decline is not proof that the risk is small. Treat price and volume as context to investigate, not as a standalone signal.

Decide whether the share is actually attractively valued
A percentage decline from a recent high measures the fall from that reference price; it does not measure fair value. A share can remain expensive after falling if its earnings prospects or business outlook have weakened. Conversely, the price move alone does not establish that a company’s value has fallen by the same amount.
SEBI’s due diligence material names price-to-earnings (P/E) and intrinsic value as factors to consider. Use them in the context of the company’s prospects and competitors, not as automatic buy signals. A P/E ratio is one valuation measure, not a complete answer about a company’s finances or future.
- Compare valuation with what the company’s current prospects reasonably support.
- Consider how the valuation compares with relevant competitors, while accounting for differences in their businesses and prospects.
- Ask whether the assumptions behind your view still hold after the event that caused the price decline.
- Do not treat the old high, a single ratio, or an unsubstantiated estimate of intrinsic value as a guaranteed fair price.
When comparing two companies, keep the comparison like-for-like. A lower P/E may reflect weaker growth, greater financial risk or a different business model rather than a better bargain. A higher P/E may reflect expectations that are difficult to achieve. The useful question is whether the price is reasonable for the prospects and risks you can support with evidence.
The cited SEBI guidance does not prescribe a universal fair-value formula or a P/E threshold for buying. Valuation therefore requires judgement; the available factors help structure that judgement, but do not produce a mechanical buy decision.

Check NSE surveillance status before placing an order
For Indian shares, check whether the security appears on the National Stock Exchange of India’s current Graded Surveillance Measure (GSM) list or is covered by related notices. NSE says GSM is intended to identify securities whose prices may not be commensurate with their financial health and fundamentals. The framework considers factors such as earnings, book value, fixed assets, net worth, P/E and market capitalization.
A security identified under GSM may face measures that affect how it can be traded. Depending on the applicable action, these can include trade-for-trade handling, additional surveillance deposits, weekly trading, or limits on upward price movement. Such measures can affect trading flexibility and the ability to exit on your preferred terms. Read the current exchange list and relevant notices to see what applies to the particular security; do not assume that every security faces every measure.
How to interpret the GSM framework
NSE’s GSM page says identification and review are quarterly. The page, updated June 12, 2026, describes screening criteria that include net worth, net fixed assets, market capitalization and valuation measures relative to the Nifty 500. For example, it lists criteria for non-SME securities involving net worth at or below ₹10 crore alongside net fixed assets at or below ₹25 crore and certain P/E conditions. Other criteria refer to full market capitalization below ₹25 crore with P/E or P/B conditions. Separate SME criteria include net worth at or below ₹5 crore and net fixed assets at or below ₹10 crore, with related valuation criteria.

Those figures describe NSE screening criteria on a page updated June 12, 2026; they are not general buy-or-sell rules, and they should not be treated as a complete description of a security’s current status. NSE reviews the framework and actions can change. Check the latest list and notices close to your decision rather than relying on an old list or applying a threshold yourself as if it were a verdict.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsGSM status is a prompt to understand the applicable surveillance action and do additional diligence. It is not, by itself, proof that a company is fraudulent or a universal instruction never to buy. Equally, the absence of a GSM listing does not establish that a share is financially sound or suitable for you.
Compare the investment with alternatives on the same terms
If you are weighing two shares—or a single share against a diversified investment—use the same questions for each. Comparing a falling individual stock with a diversified option only by recent price performance can obscure meaningful differences in concentration and risk.
| Comparison axis | Questions to ask |
|---|---|
| Business durability and growth | How does each investment make money, and what could support or weaken its prospects? |
| Financial health and cash generation | What do the income statement, cash flows and balance sheet show over at least two years? |
| Valuation relative to prospects | Does the price make sense in light of the investment’s outlook and, for a company, relevant competitors? |
| Disclosures and surveillance | What do current announcements say, and do NSE surveillance measures apply? |
| Liquidity and downside risk | Could you tolerate a loss, and could trading restrictions or liquidity needs affect your ability to act? |
| Fit with your finances | Does the investment match your goals and time horizon without creating excessive concentration? |
This is a way to organize due diligence, not a scorecard. A strong answer in one area does not cancel a serious concern in another, and neither a checklist nor a comparison can guarantee the outcome.
Make sure the purchase fits your goals and finances
Before committing money, define what the investment is for and when you may need that money. SEBI advises investors to consider goals, time horizon, risk appetite, liquidity, diversification, asset allocation, tax and their existing portfolio. Those considerations matter even when your view of the company is positive.
Quick wins for a faster PC:
Scan for outdated or missing drivers - takes under a minuteDriver Scan →Repair Windows errors before they cause bigger problemsFix Now →Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →- Time horizon: If you may need the money soon, a share-price fall can deepen before you have time to wait for a recovery. SEBI advises against taking risky equity exposure for short-term needs.
- Ability to withstand a loss: Consider the financial effect of losing part of the amount invested, not only the return you hope to earn. Your willingness to accept risk and your practical ability to bear it are both relevant.
- Liquidity: Consider how easily you might need to access the money and whether the security’s trading conditions could make an exit harder. GSM measures can impose trading restrictions.
- Diversification and concentration: Review how the purchase would affect your exposure to one company, industry or type of investment. Diversification can help manage some company-specific risks, but SEBI notes that market-wide price volatility cannot be diversified away.
- Asset allocation and tax: Consider how the purchase fits with your overall allocation and tax circumstances. The cited sources do not establish current tax treatment, so do not infer a tax outcome from this general checklist.
Review your existing portfolio before deciding how much, if anything, to buy. A new position can increase concentration even when the company itself appears sound. A share can look more attractive after a fall and still be unsuitable for money needed soon, or for a portfolio already concentrated in the same company or industry. Fit is a separate question from whether the business and valuation look promising.
Use a decision process that does not assume a bottom
- State what prompted your interest. Note the price move and the event or market development you believe explains it. Separate what you know from what you are assuming.
- Read the business information. Review the company’s business, prospects, competitors, recent financial statements and corporate announcements. Use at least two years of cash-flow, income-statement and balance-sheet information as a starting point, in line with SEBI’s guidance.
- Assess the price in context. Consider P/E and intrinsic value alongside business prospects and competitor comparisons. Do not use the fall from a past high as a substitute for valuation work.
- Check the exchange information. Look up the security’s current NSE GSM status and applicable notices. Confirm what measures, if any, apply before assuming normal trading conditions.
- Review the personal consequences. Check your time horizon, ability to bear a loss, liquidity needs, diversification, allocation and concentration before deciding how the investment would fit.
- Decide whether the evidence is adequate. If the reason for the decline remains unclear, key disclosures have not been considered, or the money is needed soon, you can defer the decision rather than treating a lower price as an opportunity that must be taken.
Writing down the reason for the purchase and the facts that would disprove it can reduce the temptation to reinterpret every new development as confirmation. The process is useful even when the conclusion is to wait. A lower quote does not create an obligation to buy, and no checklist can forecast the exact low.

None of these steps predicts the bottom. SEBI’s investor-risk page presents the quotation, “Successful investing is about managing risk, not avoiding it,” attributing it to Benjamin Graham, described there as “the father of value investing.” That is the attribution SEBI reports; it is not independent verification of the quotation’s provenance.

Frequently asked questions
Does a 20% or 30% fall make an Indian share cheap?
No. The percentage fall only compares the current quote with an earlier reference price. Check the company’s prospects, financial statements, competitors and valuation. A lower price can still be expensive if earnings or the business outlook have deteriorated.
How many years of financial statements should I read?
SEBI’s due diligence guidance says to examine cash-flow, income-statement and balance-sheet information for at least the past two years. Use that period to look for patterns, then read the latest disclosures and announcements for developments that may change the interpretation.
What does a GSM listing mean for an investor?
It means the security has been identified under NSE’s surveillance framework, which is intended to flag prices that may not be commensurate with financial health and fundamentals. Depending on the action, trading may involve trade-for-trade settlement, deposits, weekly trading or upward price limits. Check the current notice for the specific security.
Is a company outside GSM automatically safe?
No. GSM status is one exchange surveillance consideration, not a complete assessment of a company. A security not on the list may still have weak finances, an unattractive valuation, poor liquidity or risks that do not fit your circumstances.
Should I buy a dip with money I may need next year?
SEBI advises avoiding risky equity investments for short-term needs. A share can fall further, and trading restrictions or limited liquidity can make an exit difficult. Keep near-term financial needs separate from money you can genuinely leave invested.

Can diversification remove the risk of buying a falling share?
Diversification can reduce some company-specific and concentration risks, but SEBI notes that market-wide price volatility cannot be diversified away. Review both the individual company risk and how the purchase changes your overall asset allocation.
Is P/E enough to decide whether to buy?
No. P/E is one factor named in SEBI’s guidance. Interpret it alongside intrinsic value, business prospects, financial health, competitors and current disclosures. The guidance does not set a universal P/E threshold or formula that produces an automatic buy decision.
Frequently Asked Questions
What should I check first when an Indian share falls?
Start with the reason for the fall. Check whether it reflects a broad market move, an industry problem or a company-specific deterioration, then verify the explanation in current disclosures and announcements.
Can I rely on the old high price as a target?
No. A previous high is only a historical reference. Assess current business prospects, financial statements, competitors and valuation instead.
Where can I check whether NSE surveillance measures apply?
Use NSE’s current Graded Surveillance Measure list and related notices. Surveillance status and applicable actions can change, so check close to the time of your decision.
What if I cannot determine why the share declined?
Defer the purchase until you understand the relevant disclosures and risks. A lower price is not an opportunity that must be taken.
What personal factors matter before buying?
Consider your goal, time horizon, ability to bear a loss, liquidity needs, diversification, asset allocation, tax circumstances and existing portfolio concentration.
The Bottom Line
Buying a dip in an Indian share starts with investigation, not a price target. Understand the business and what changed, review at least two years of financial information and current announcements, assess valuation against prospects and competitors, check NSE’s latest GSM information, and confirm that the risk suits your goals, time horizon and portfolio. If the evidence or your finances do not support the purchase, waiting is a valid decision.
