Before buying, confirm exactly what each ticker represents, then compare prices only after adjusting for the depositary-share ratio and currency. Next check liquidity, trading hours, broker and depositary fees, disclosure standards, shareholder rights, settlement, and the political, currency, tax, and legal risks attached to your own jurisdiction. A second listing is not automatically an interchangeable share or a better place to trade.
An ordinary share, another share class, and an American Depositary Receipt (ADR) can all reference the same issuer while giving you different rights, costs, and practical access. The SEC explains ADR structure and program terms in its Investor Bulletin: American Depositary Receipts and its ADR glossary.
1. Identify the exact security, not just the company
Start with the legal issuer name, exchange, ticker, security name, and share class. Two symbols can refer to ordinary shares and a depositary instrument, or to different classes with different voting or dividend rights. Treat the company name as a starting point, not proof that the claims are identical.

An ordinary share is a direct equity interest issued under the home market’s rules. A company may also list preferred, non-voting, or multiple-vote classes. Read the issuer’s current security description to determine voting power, dividend priority, conversion rights, and restrictions on transfers or foreign ownership.

ADRs and ADSs
An ADR is a certificate evidencing an ownership interest in American Depositary Shares (ADSs). The ADSs represent shares deposited with a U.S. bank, and one ADS can represent one underlying share, a fraction of a share, or several shares. The ratio is therefore essential to both price comparisons and the amount of economic exposure you receive.
Record the depositary bank, whether the program is sponsored or unsponsored where that distinction applies, the number of underlying shares per ADS, and the governing deposit agreement. The agreement sets out issuance, cancellation, transfer, dividend, voting, currency-conversion, termination, and fee provisions. The SEC notes that ADR holders may exchange the depositary instrument for the underlying shares subject to the deposit agreement, applicable rules, and practical requirements.
Documents to collect before ordering
- The issuer’s security description and current exchange listing information.
- The ADR registration documents and deposit agreement, if applicable.
- The broker’s instrument page showing the exact ticker, venue, currency, and order types.
- The current broker and depositary fee schedules.
- The latest issuer filings and exchange announcements.
Do not assume that an ADR can always be converted immediately, cheaply, or through your own broker. Confirm who may request issuance or cancellation, minimum quantities, processing time, required intermediaries, and any restrictions that apply to your residence or account.
2. Put both prices on an equivalent basis
A displayed price comparison is meaningful only after you adjust for the share ratio, convert into one currency, and align the quote times. Use this as a reference calculation, not as a promise that the two lines will trade at exactly the same value.
A simple normalization formula
For an ADR representing R underlying shares, the reference value in the ADR’s currency is:
underlying-share price × R ÷ (home-currency units per ADR currency unit)

If the quote is instead being converted in the opposite direction, use the reciprocal exchange-rate convention. Write down the convention you used so that a currency quote is not accidentally inverted. The same method works when R is less than one, such as an ADS representing half an ordinary share.

Check whether both exchanges were open when you compared the quotes. One market may be closed while the other is incorporating earnings, regulatory news, a currency move, or an overnight event. Compare time zones, holidays, opening auctions, and the age of each quote. A last-traded price from a thinly traded line may be hours old and not representative of an order placed now.
Why adjusted prices can still differ
A 2026 SEC-filed issuer disclosure explains that the NYSE, Hong Kong Stock Exchange, and Singapore Exchange have different trading hours, trading characteristics—including volume and liquidity—listing and trading rules, and investor bases, including different levels of retail and institutional participation. It also says prices may differ even after allowing for currency differences. That filing concerns one issuer and those specific venues; it is an example of the mechanisms to investigate, not a universal claim about every multi-listed company. Check executable prices, not just the last trade
Review the current bid, ask, spread, recent volume, and available order-book depth. Ask whether your broker supports limit orders, odd lots, extended sessions, or only a particular market-making route. A wide spread or shallow book can cost more than a small apparent difference between venues, especially for a large order. The SEC’s International Investing guidance notes that foreign markets can have lower trading volumes and shorter trading sessions than U.S. markets.
3. Calculate the cost of the transaction you will actually make
Compare total cost for your intended purchase and eventual sale, not merely the advertised commission. Request a current, written schedule from the broker and, for a depositary instrument, from the depositary bank.

| Depositary charges | For an ADR or ADS, are there custody/service, dividend-processing, currency-conversion, voting, issuance, cancellation, transfer, or other program fees? |
| Settlement and transfer | Are there charges or delays when moving, converting, or surrendering the instrument? |
The SEC’s 2012 ADR bulletin describes the kinds of custody and service charges that may be passed to holders, including fees connected with dividends, currency exchange, voting, and other services. Its historical examples are not current quotes. Fees depend on the specific program and provider, so use the present deposit agreement and fee schedule rather than an old illustration.
Separate one-time and recurring costs
Mark each charge as per trade, per share, per ADR, per dividend, annual, or event-driven. A venue with a lower commission can still be more expensive if currency conversion, custody, or depositary charges are higher. Include the cost of selling, because the cheaper entry venue is not necessarily the cheaper exit venue.
4. Verify disclosure, accounting, and shareholder rights
Find where the issuer reports
Read the issuer’s latest annual and interim reports, exchange announcements, and regulator filings for the exact security. Confirm the reporting regulator, accounting framework, audit information, filing frequency, and the language in which material documents are available.
Foreign issuers do not necessarily follow the same disclosure timetable or forms as U.S. companies. The SEC’s overview of Information about Foreign Issuers explains that requirements vary by issuer status and transaction. ADR filing arrangements also differ according to the program’s structure and whether the issuer is listing or raising capital. Do not infer reporting equivalence from the presence of a U.S. ticker.
Check voting and dividend mechanics
Determine how notices reach holders, how voting instructions are collected, whether the depositary charges for voting, and what happens when the issuer changes the record date or meeting timetable. For dividends, identify the currency in which the underlying company pays, who converts it, what fees are deducted, and when the depositary credits the proceeds. Confirm whether the line you are buying has the same economic and voting rights as the other line.

Understand legal remedies
Read the governing law, the place of incorporation, and the jurisdiction in which claims would be brought. A holder of a foreign security may face different disclosure remedies, court procedures, enforcement limits, or practical difficulties collecting a judgment than a holder of a domestic issuer. The relevant outcome depends on your residence, broker, account, and the security’s documents.
5. Check whether you can trade, settle, and hold it in practice
Market access and order handling
Verify that your broker actually permits purchases for your account type and residence. Some brokers provide a quote but reject orders because of market-access, suitability, documentation, or foreign-ownership rules. Confirm supported order types, trading session, settlement currency, and whether the broker routes the order locally or through an intermediary.
Settlement and custody
Ask the broker how settlement works, when cash and securities become available, and whether transfers between the foreign line and a depositary line are possible. Settlement cycles, nominee arrangements, custody chains, corporate-action processing, and reclaim procedures can differ by market. A theoretical conversion right is less useful if your broker cannot process it.

Foreign ownership and currency controls
Check whether the home country limits non-resident ownership, requires registration, or restricts the movement or conversion of dividends and sale proceeds. Investigate how a market handles capital controls, trading halts, repatriation, and corporate actions. These conditions can affect your ability to enter, exit, or receive cash even when the company itself remains solvent.

Currency exposure
Buying a foreign line adds a currency dimension unless your economic exposure is otherwise hedged. Your return in home-currency terms can fall even when the share price rises in the issuer’s currency. An ADR may quote in U.S. dollars while the underlying business, dividend, and assets remain exposed to another currency.

Political, economic, and social conditions
Country conditions can affect regulation, capital movement, taxation, corporate governance, and the company’s operating results. In its August 17, 2012 investor bulletin, the SEC’s Office of Investor Education and Advocacy advised: “Research the political, economic, and social conditions in the company’s home country so you will understand better the factors that affect the company’s financial results and stock price.” Treat this as general investor education and update the analysis for the present country and issuer.
Tax is personal and jurisdiction-specific
Withholding, capital-gains treatment, foreign-tax credits, reporting obligations, and account rules depend on your residence, account type, security, and the jurisdictions involved. The available information here does not determine a personal tax result. Check current official tax guidance or obtain qualified advice before trading.
Holding period and liquidity needs
A highly liquid line may matter more for a short holding period or a large order, while a long-term holder may place greater weight on voting access, dividend processing, custody reliability, and recurring fees. Decide which risks you can tolerate before choosing the venue, rather than letting the nominal share price make the decision.
7. Use a structured comparison instead of a ticker-to-ticker guess

Fill the grid with current documents and quotes. If a value cannot be established, write “not stated” and obtain clarification rather than substituting an assumption.
8. A pre-purchase workflow
- Write down the exact line. Record legal issuer, exchange, ticker, security class, currency, and whether it is an ordinary share or depositary instrument.
- Confirm the ratio. For an ADR or ADS, record the depositary bank and the number of underlying shares represented.
- Read the governing documents. Note conversion eligibility, minimums, charges, voting, dividends, transfer rules, and termination provisions.
- Collect synchronized quotes. Capture bid, ask, volume, timestamp, and market status for both lines.
- Normalize the prices. Apply the share ratio and a clearly documented exchange-rate convention.
- Estimate execution cost. Model the spread and likely market impact for your order size, not just the last trade.
- Request all fees. Obtain broker, FX, custody, local-market, settlement, and depositary charges for both purchase and sale.
- Review disclosures. Read current annual and interim reports, exchange notices, regulator filings, and the relevant security documents.
- Confirm operational access. Ask whether your account can trade, settle, transfer, convert, and receive corporate actions for the selected line.
- Record country and personal risks. Assess currency, political and economic conditions, capital controls, legal remedies, and your tax position before submitting the order.
9. Warning signs that should stop the order
- The ticker appears in a search result, but the security class or depositary ratio is unclear.
- The only price available is an old last trade with no reliable bid, ask, or volume.
- Your broker cannot provide a current fee schedule or explain its FX conversion method.
- The deposit agreement does not clearly state how dividends, voting, cancellation, or termination work.
- Issuer filings are unavailable, materially delayed, untranslated for documents you need, or inconsistent about the listed security.
- Foreign-ownership, repatriation, settlement, or custody rules are uncertain for your account.
- The apparent discount disappears after ratio, currency, spread, taxes, and all fees are included.
If any of these conditions remains unresolved, pause and obtain the missing document or broker explanation. A multi-exchange listing creates more ways to access an issuer, not a guarantee of identical rights, pricing, liquidity, or protection.
10. The decision rule
Choose a listing only after you can explain, in writing, what you own, how its normalized price was calculated, what the complete round-trip cost is, how you receive dividends and exercise rights, how the trade settles, and which country and currency risks apply to you. If you cannot answer one of those questions from current issuer, exchange, depositary, regulator, or broker documents, the comparison is not finished.
