Do not rely on a marketed megawatt figure or a building’s “data center” label. Before signing, prove that utility power is contractually deliverable, trace the energized electrical path, match cooling and water systems to the proposed miners, confirm zoning and noise permissions, verify title or lease rights, and price every upgrade, environmental obligation, and transfer risk. A facility is suitable only when its documents, physical condition, approvals, and economics support your specific load and deal term.
Start with a document-controlled go/no-go test
Create a diligence register before site visits. Every material seller statement should map to a document, an inspection, or written confirmation from the responsible authority. The Data Centre Due Diligence: The Acquisition Checklist identifies the core workstreams: utility arrangements, equipment capacity and condition, title, easements, zoning, permits, and operating records. Foley & Lardner’s data-center transaction guidance likewise treats utility feasibility, deliverable power, water, cooling, and site rights as transaction issues rather than marketing claims.
For each issue, record the evidence, the person responsible for verification, the date it was checked, and the consequence if it fails. An unresolved assumption should become a closing condition, a price adjustment, a funded reserve, or a reason to walk away.

| Power question | Evidence to obtain | Why it affects the transaction |
|---|---|---|
| What is contracted? | Executed agreement, approved service level, voltage, and contracted capacity | Separates a binding right from a seller’s estimate |
| What is energized now? | Utility confirmation, one-line diagram, commissioning records, and meter data | Shows what can operate on day one |
| What can the mining load actually use? | Utility limits, facility losses, reserve margin, and downstream distribution ratings | Gross site capacity is not equivalent to miner capacity |
| When will additional capacity arrive? | Interconnection schedule, upgrade scope, milestones, and delay provisions | Determines ramp-up timing and stranded-capital risk |
| What will it cost? | Demand, energy, delivery, ancillary, taxes, minimums, and curtailment charges | Enables an all-in operating model rather than an energy-only assumption |
| Can the right transfer? | Assignment, change-of-control, renewal, termination, and consent clauses | A purchase or lease may not carry the expected service terms automatically |
A nearby substation, a letter of intent, or a “100 MW site” statement does not establish deliverable power. The utility must confirm the service obligation and any conditions precedent. Ask whether the quoted figure includes generation, transmission, transformation, distribution, or only a future study result. Have transaction counsel review assignment and change-of-control language before relying on the contract.
Reconcile documents with the physical power path
Walk the power path from the utility point of delivery to the mining containers, racks, or rooms. Obtain and mark up the latest single-line diagram. Identify ownership and ratings for the service entrance, transformers, medium- and low-voltage switchgear, breakers, busways, transfer switches, UPS systems, generators, and final distribution panels.
Compare each component’s continuous and short-duration ratings with the intended load, voltage, fault-duty requirements, protection settings, and redundancy design. Distinguish nameplate capacity from tested operating capacity and from capacity available after a component is taken out for maintenance. A site may have ample transformer capacity but an undersized switchboard, an unavailable feeder, or a single point of failure between the utility and the miners.

Request recent power-quality records, outage and curtailment history, infrared or other inspection reports, preventive-maintenance logs, generator run and load-test results, fuel-storage records, and UPS battery type, installation date, and test history. Confirm fuel supply contracts, refill access, environmental controls, and the maximum permitted generator runtime.
Inspect for deferred maintenance: obsolete breakers, leaking transformers, corroded buswork, failed alarms, unsupported cabling, expired batteries, and parts that are no longer available. Have a qualified electrical engineer define an acceptance test and pass/fail thresholds for the site; the available guidance does not establish one universal test standard for every mining facility.

Match the facility to the actual mining deployment
Build an equipment schedule before sizing anything
List the proposed miner model or models, quantity, nameplate and measured draw, input voltage, power factor, startup behavior, networking, rack or container arrangement, operating temperature range, and planned expansion. Include auxiliary loads for controls, networking, lighting, security, pumps, fans, offices, and battery charging. Calculate the load at normal operation and during maintenance or restart scenarios.
Give that schedule to the facility engineer and ask for a written reconciliation against the electrical design, cooling and heat-rejection system, floor or pad loading, clearances, fire protection, cable routing, and service access. A building designed for office IT, enterprise servers, or storage may require substantial conversion for high-density miners. The Pillsbury Guide to Data Centers treats crypto-mine-to-data-center conversion as a specialist project requiring engineering, fire-protection, power, acoustic, and cooling expertise.

Random freezes, missing sound and display glitches usually trace back to one bad driver. Find and replace yours safely.Free scan · under a minuteCheck physical and structural constraints
- Verify slab or pad loading, equipment anchorage, roof penetrations, crane access, and delivery routes.
- Confirm that switchgear, transformers, generators, cooling equipment, and fuel systems have safe maintenance clearances.
- Trace fiber routes and carrier rights; a powered building without resilient connectivity may not support the operating plan.
- Check fire detection, suppression, compartmentation, emergency egress, and the effect of proposed containers or rack density on approvals.
- Review electromagnetic, vibration, heat, and acoustic impacts on neighboring spaces and equipment.
Examine cooling, heat rejection, and water obligations
Mining hardware converts nearly all consumed electricity into heat. Do not infer suitability from a facility’s data-center branding or a cooling-tonnage claim. Inspect chillers, dry coolers, evaporative equipment, heat exchangers, pumps, piping, controls, filters, and fan systems. Obtain design conditions, current capacity, redundancy mode, operating temperatures, maintenance history, leak records, and control-system access.
Determine whether the design is air-cooled, liquid-cooled, evaporative, or hybrid, and whether the proposed miners are compatible without adapters or derating. Compare heat-rejection capacity at the site’s actual summer design conditions, not only at an ideal laboratory point. Confirm how the system behaves during a chiller, pump, fan, or cooling-tower outage and whether the mining load must curtail.
Where water is used, verify the source, legal right to withdraw or purchase it, quality requirements, seasonal availability, discharge route, treatment, metering, and price. Ask for water and wastewater permits, supply contracts, usage history, and correspondence about restrictions. Foley & Lardner identifies water availability and cooling strategy as critical site considerations; the applicable answer remains location- and design-specific.

Confirm zoning, mining use, noise, and operating permits
Get written, site-specific land-use confirmation
Ask the planning and building authorities whether the proposed activity is permitted at the parcel and whether it is classified as a data center, cryptocurrency server farm, industrial use, utility use, or another category. Confirm required site-plan, special-use, conditional-use, building, electrical, mechanical, fire, generator, air, water, and occupancy approvals.

Obtain written answers rather than relying on a broker’s interpretation. The Town of Burns Harbor, Indiana planning document illustrates how one locality addresses cryptocurrency server farms, high-density electrical service, noise, special-use review, and utility capacity. It is not a rule for other jurisdictions.
Measure noise and neighborhood constraints
Identify limits for continuous and nighttime noise, tonal equipment, construction, truck traffic, lighting, and emergency-generator testing. Require an acoustic study based on the proposed miner fans, cooling equipment, transformers, and generator operation. Check property-line measurement locations, operating-hour restrictions, complaint procedures, and required mitigation such as barriers, enclosures, or equipment relocation.
Also review air-emission and fuel-storage requirements for generators, refrigerants and cooling chemicals, stormwater controls, wastewater discharge, hazardous-material storage, and electronic-waste handling. The exact permit list depends on the jurisdiction, equipment, and operating profile.
Protect title, easements, and lease rights
Acquisition diligence
For a real-estate purchase, obtain a current title commitment, survey, recorded easements, rights-of-way, restrictive covenants, access rights, utility corridors, and environmental reports. Confirm that the site has enforceable rights for electricity, water, fiber, fuel delivery, drainage, and maintenance access. Check whether a neighboring owner, utility, or landlord can restrict transformer yards, generators, cooling equipment, or expansion.

Lease diligence
For a lease, review permitted use, electrical allocation, utility pass-throughs, demand-charge treatment, operating rules, alterations, maintenance and replacement duties, expansion and contraction rights, assignment, subletting, renewal, default, casualty, condemnation, termination, and restoration. State exactly which party bears utility upgrades, plant replacement, compliance work, water charges, taxes, and decommissioning.
Confirm that the lease term, options, and lender protections last long enough to recover conversion capital. A short lease, weak renewal language, or landlord consent right can make an otherwise capable site uneconomic.
Separate asset, entity, and regulated-utility risks
Ask whether the transaction buys land and equipment, leases the premises, or acquires an operating company that owns contracts, permits, employees, and liabilities. An entity acquisition can carry historical tax, employment, environmental, litigation, warranty, and compliance exposure that may not appear in a simple asset inspection. A 2025 annual report filed with the U.S. Securities and Exchange Commission describes cryptocurrency-datacenter and standalone-generation acquisitions as a possible growth avenue while cautioning that diligence cannot guarantee discovery of every liability. Treat that disclosure as company-specific, not as a universal rule.
If the deal includes a public utility, qualifying generation asset, or other regulated facility, ask counsel to analyze federal and state filing requirements. The Federal Energy Regulatory Commission explains relevant Sections 201 and 203 transaction requirements. Whether a filing or prior authorization applies depends on the assets, parties, jurisdiction, and statutory scope; an ordinary data-center purchase does not automatically require FERC approval.
Price condition, conversion capital, and schedule risk
Inspect and cost near-term work
Request capital plans, invoices, service contracts, warranty records, equipment age, maintenance history, failed-equipment reports, and recent inspection findings for electrical, mechanical, building, fire, security, and control systems. Have independent specialists inspect the plant and produce a priced list of immediate repairs, deferred maintenance, code work, replacement cycles, and conversion modifications.

Include costs for utility studies and upgrades, transformers, switchgear, feeders, cooling equipment, water and wastewater work, acoustic mitigation, fire protection, permits, engineering, commissioning, insurance, and temporary power. Separate mandatory work from optional efficiency improvements. Assign an owner and completion date to every item.
Put uncertainty into the contract
Use conditions precedent for utility assignment, permits, title exceptions, environmental findings, engineering acceptance, and confirmed capacity. Consider escrow or holdback for unknown remediation, representations backed by appropriate survival periods, termination rights for failed approvals, and price adjustments tied to verified upgrade scope. The available diligence guidance supports these as practical transaction controls, but the enforceability and wording of any remedy must be reviewed under the governing law.
Compare candidate facilities on evidence, not headline capacity
Use the same data room index and inspection protocol for every site. A simple qualitative rating can be useful, but do not hide a fatal legal or utility issue inside an average score.
| Comparison axis | Questions to answer for every site | Decision signal |
|---|---|---|
| Deliverable power and cost | What is contracted and energized; what upgrades remain; what are demand, energy, delivery, curtailment, and minimum charges; when can capacity be delivered? | Prefer documented, transferable service with a schedule you can finance |
| Electrical and backup condition | Are transformers, switchgear, UPS, generators, fuel, and distribution tested, maintained, and redundant for the intended load? | Discount single points of failure and deferred maintenance |
| Cooling and water | Can the system reject the proposed heat at site design conditions; are water rights, permits, supply, and discharge secure? | Reject capacity claims unsupported by design data or legal supply |
| Use and approvals | Is mining or high-density service permitted; are noise, generator, fire, and operating-hour limits acceptable; can approvals transfer? | Require written authority confirmation before commitment |
| Property and lease rights | Are access, utility, fiber, water, expansion, assignment, renewal, and restoration rights adequate? | Do not fund conversion without term and rights that protect recovery |
| Environmental and transaction exposure | What reports, liabilities, regulated assets, or entity-level obligations transfer? | Use specialist review, indemnities, reserves, or a different deal structure |
| Capex and execution | What must be replaced, upgraded, permitted, or commissioned, and who controls the schedule? | Choose the site with the lowest verified risk-adjusted cost, not the largest advertised MW |
Use a closing checklist before signing
- Obtain executed utility and interconnection documents, current bills, studies, rates, upgrade correspondence, and written transfer requirements.
- Reconcile the one-line diagram with field labels, equipment ratings, protection settings, meters, and ownership boundaries.
- Complete generator load tests, UPS and battery review, power-quality analysis, cooling inspection, water-rights review, and fire-protection assessment.
- Deliver the actual miner and expansion schedule to electrical, mechanical, structural, acoustic, and fire engineers for a written fit assessment.
- Obtain written zoning, building, occupancy, noise, generator, environmental, water, and high-density-use confirmation from the relevant authorities.
- Clear title, survey, easements, access, utility corridors, lease assignment, subletting, renewal, expansion, and restoration issues.
- Review environmental reports and entity-level liabilities; determine whether any regulated utility or generation filing is required.
- Convert inspection findings into a priced capex plan, schedule, reserve, closing condition, warranty, or termination right.
- Re-run the operating model using verified deliverable power, all-in charges, cooling and water costs, curtailment assumptions, maintenance outages, and lease obligations.
Red flags that justify pausing the transaction
- The seller can provide only a substation location, a nonbinding utility discussion, or an unexecuted capacity statement.
- Contracted capacity, energized capacity, and miner-usable capacity are presented as the same number without a loss and redundancy analysis.
- Maintenance logs, generator tests, UPS battery records, bills, or outage history are missing or inconsistent with the equipment condition.
- Cooling capacity is stated without design conditions, equipment schedules, water rights, or maintenance evidence.
- Mining use, noise, generator operation, or high-density electrical service has not been confirmed by the local authority.
- A lease prohibits assignment, expansion, alterations, or subletting, or expires before conversion capital can reasonably be recovered.
- Title, easement, environmental, or access exceptions prevent installation and maintenance of power, cooling, fiber, fuel, or water infrastructure.
- The transaction relies on an entity’s permits or contracts but does not investigate its historical liabilities.
- Upgrade cost and delivery dates are described as estimates with no utility, contractor, or engineering support.
Make the decision on verified rights and obligations
A mining-ready facility is not defined by a label or a headline megawatt figure. Proceed only when the utility right, physical delivery path, cooling and water systems, permitted use, property rights, and transaction liabilities are documented for your equipment and operating term. If any critical item remains uncertain, preserve leverage through diligence conditions and pricing protections rather than treating the uncertainty as capacity.
