Before buying, verify the issuer’s actual lockup agreement and release date in its prospectus and SEC filings. Then estimate how many shares could become eligible, check whether securities-law restrictions still apply, and evaluate the company’s fundamentals, valuation, dilution and liquidity. A lockup expiration can increase potential supply, but it does not prove that holders will sell or that the price will fall.
Start with the contract, not a 180-day assumption
An IPO lockup is a contractual restriction that prevents specified holders from selling or transferring covered securities for a defined period. Many U.S. IPOs use a period of about 180 days after the registration statement becomes effective, but that is a general pattern rather than a legal requirement. The underwriter may also be able to release the restriction early.
The date that matters for a particular stock is the date and trigger written in that issuer’s documents. A release can be staged, conditional, tied to a price or corporate event, or changed by an amendment or waiver. Treat a calendar entry from a trading website as a lead to verify, not as evidence.
Also confirm which transaction the language governs. A lockup may cover sales, offers, pledges, hedges, transfers to family members, or other dispositions, not merely an ordinary exchange sale. The wording can therefore affect whether a holder can use a private transfer, derivative transaction or other permitted exception even when an open-market sale is restricted.

Find the issuer’s current filings
- Open the latest registration statement and prospectus on SEC EDGAR.
- Check for amendments and later prospectus supplements. A later filing can change the disclosure you saw in the original prospectus.
- Within the prospectus, search for Underwriting, Plan of Distribution, Shares Eligible for Future Sale, lock-up and restricted period.
- Open the lock-up agreement itself, usually included as an exhibit, rather than relying only on the prospectus summary.
- Read subsequent reports for waiver, amendment, secondary-sale or other disclosure that could alter the number or timing of shares.
FINRA Rule 5110 also identifies the prospectus section describing distribution arrangements as a place where lock-up restrictions are disclosed. Use that section to locate the relevant language, then confirm it against the actual agreement and the issuer’s later filings.
When reviewing EDGAR, save the filing date and accession number for each document you rely on. Compare the current filing with the original offering document rather than assuming a later report repeats every term. A prospectus supplement, an 8-K, a resale registration statement or an exhibit filed with a periodic report can contain the practical update you need.
Record the terms that control release
| Term to verify | What to record | Why it matters |
|---|---|---|
| Starting point | The event from which the period runs, such as effectiveness of the registration statement | A different starting event changes the calendar date. |
| Duration and trigger | The stated period and whether release occurs on a calendar date or after another condition | A quoted “expiration date” can be wrong if the trigger is misunderstood. |
| Covered securities | Shares, options, warrants or other securities included in the restriction | The supply calculation depends on what is actually covered. |
| Covered holders | Founders, directors, officers, employees, venture investors and other named groups | Different groups can have different rights and selling constraints. |
| Staged releases | Any tranches or separate dates | Supply may arrive in several events rather than one large release. |
| Exceptions and early release | Permitted transfers, price-based provisions, corporate-event exceptions and underwriter discretion | Shares may become eligible earlier, or fewer shares may be released at the headline date. |
| Amendments and waivers | The filing, date and scope of any change | A waiver can alter timing or the holders affected. |
Make a one-line date calculation showing the start event, the contractual period and any conditions that must be satisfied. If a document says a period ends “upon the earlier of” or “upon the later of” several events, list every branch. If the agreement uses business days, trading days or a corporate-event definition rather than ordinary calendar days, note that explicitly.

Eligibility is not the same as a sale. Your first supply estimate should answer how many shares could legally become eligible under the contract, not how many holders will definitely sell.
Identify the affected holders and share classes
Separate insider, employee, founder and investor holdings where the filings permit. Record the class of each security and whether options, warrants or conversion rights are included. A release of common shares has a different immediate effect from securities that still require exercise, conversion or another legal step.
Check whether the disclosed count is on a basic or fully diluted basis. The prospectus may present outstanding shares at a specified date, while options, warrants, restricted stock units, preferred shares or earn-outs are described elsewhere. Do not add every instrument automatically: include only securities that the agreement covers and that could actually become transferable under the stated terms.
Compare potential supply with the trading float
Use the issuer’s reported shares outstanding and its ordinary trading volume as reference points. Compare the potentially eligible shares with:
- Shares outstanding, to understand the size of the potential release relative to the company.
- The public float, where disclosed, to understand how much new supply could enter the actively traded pool.
- Typical daily trading volume, preferably using a representative period rather than a single unusually active session.
- Existing short-term liquidity and volatility, because a large eligible block can matter more when normal turnover is thin.
A useful worksheet has one row for each holder group and columns for shares covered, first possible release date, security class, known resale conditions and estimated percentage of normal daily volume. The total is a capacity estimate. Keep a separate column for shares that are already freely tradeable, because they should not be counted as newly released supply.
This is a scenario analysis, not a forecast. A large eligible amount can be absorbed by buyers, sold gradually, retained by holders or never sold. Conversely, a smaller amount can affect a thinly traded stock.

Distinguish contractual eligibility from actual selling
The lockup agreement tells you when a contractual restriction may end. It does not disclose each holder’s intention. Look for separately disclosed secondary offerings, sales plans, registrations or insider transactions, but do not infer an impending sale merely because the lockup is ending.
Holder incentives can differ. A founder may retain shares to preserve voting control, an employee may need liquidity, and a venture investor may have a fund-level reason to distribute or sell. Unless a filing identifies a planned transaction, these possibilities remain uncertain. Treat “shares eligible” as an upper-bound supply scenario, not a statement about behavior.

Check whether securities-law restrictions still apply
Contractual release does not automatically make every share freely tradable. Restricted-security and affiliate-resale rules can continue to limit a sale after the lockup expires.
Use Rule 144 as a relevant framework
Rule 144 is relevant to restricted and control securities, but the applicable requirements depend on the holder and the facts. Review whether the seller is an affiliate, how the securities were acquired, the holding period and the available information about the issuer. Volume, manner-of-sale, notice and other conditions can matter for an affiliate resale.
Ask the same questions for each holder group instead of applying one conclusion to everyone. A nonaffiliate who acquired registered shares may face a different path from an officer selling control securities, and securities received in a private transaction can have different restrictions from shares purchased in the IPO. The public filing may not resolve every legal question, so unresolved points should remain flagged rather than treated as permission to sell.
Look for a separate registration path
Some holders may need a registration statement, an effective resale registration statement or another exemption before selling. Read the prospectus and later filings for resale provisions, registration rights and any stated process. Do not treat the lockup date as a substitute for confirming the securities-law path.
If a resale registration statement is filed, check which selling securityholders and share amounts it names, whether it is effective, and whether it covers the same class and securities you counted. A registration can expand legal resale capacity, but it still does not establish that every named holder will sell.
Separate legal eligibility from operational readiness
Even when a sale is legally permitted, a holder may face broker, transfer-agent, blackout-period or company-policy constraints. Public filings may not reveal every operational detail, so avoid presenting a contractual date as proof that shares will appear in the market that morning.
Evaluate the company independently of the lockup
The lockup is one risk input, not an investment thesis. Read the prospectus and subsequent reports for the business, financial condition, risk factors, capital structure and dilution.

Review operating and financial condition
- Understand how the company generates revenue and what could interrupt that model.
- Read management’s discussion of liquidity, cash use, debt and funding needs.
- Check whether losses, customer concentration, competition or regulatory exposure are prominent risk factors.
- Compare the company’s stated strategy with the financial resources available to execute it.
Pay attention to how recently the financial statements were measured and what has happened since that reporting date. A lockup calendar can draw attention away from a new earnings release, financing, customer loss, regulatory development or other event that may matter more to value and liquidity.

Map the share structure and dilution
Identify multiple share classes, voting differences, preferred securities, options, warrants, earn-outs and other instruments that could affect ownership. A lockup release can occur alongside dilution from conversions, equity compensation or a follow-on offering. Keep those mechanisms separate in your analysis so that a change in ownership percentage is not incorrectly attributed to the lockup alone.
Check voting control as well as economic ownership. A large founder block may remain subject to a lockup while a separate class gives that holder disproportionate votes. Conversely, a release may increase the trading float without changing total shares outstanding. These distinctions affect governance and market liquidity differently.
Assess valuation without pretending the filing gives a verdict
Use the company’s reported financial measures and a valuation method appropriate to its business, then compare the result with your own assumptions about growth, margins, cash needs and risk. The general SEC guidance on lockups does not establish a current fair value or a likely price move for an unnamed issuer. A stock can be expensive, reasonably valued or cheap regardless of the lockup calendar.
Write down which assumptions would have to be true for your purchase to make sense. Then test whether a possible increase in supply changes your required return, position size or holding period. That is a portfolio decision, not a conclusion that the lockup event has a predictable direction.

If you are comparing two or more newly public companies, apply one consistent framework rather than choosing the stock with the nearest or most dramatic expiration date.
| Comparison axis | Questions to answer for each issuer |
|---|---|
| Release terms | What is the exact date or trigger? Are there tranches, conditions, early-release rights, amendments or waivers? |
| Potential supply | How many shares could become eligible, which holders own them and how does that amount compare with shares outstanding and normal volume? |
| Resale constraints | Do restricted-security, affiliate or registration requirements continue after the contractual period? |
| Business and financial risk | What do the financial statements and risk factors say about operations, liquidity, debt, competition and execution? |
| Capital structure | Are multiple classes, options, warrants, conversions or other dilution sources material? |
| Liquidity and volatility | How easily does the stock normally trade, and how variable has its price been? |
| Valuation | What assumptions support the current price, and how sensitive is your conclusion to changes in growth, margins or funding needs? |
Use identical measurement dates where possible. Comparing one issuer’s most recent share count with another issuer’s older count can make the potential release look larger or smaller for purely timing-related reasons. Record what is known, what is estimated and what is unavailable for each company.
A filing-first workflow before placing an order
- Write down the issuer and security. Confirm the ticker, exchange and share class so that you do not analyze the wrong security.
- Open the latest prospectus and registration statement in EDGAR. Note the filing dates and check for amendments or supplements.
- Locate the lock-up language. Use the searches “lock-up,” “restricted period,” “Shares Eligible for Future Sale,” “Underwriting” and “Plan of Distribution.”
- Read the agreement exhibit. Capture the starting event, duration, covered securities, holders, tranches, conditions, exceptions, early-release authority and waiver language.
- Build a supply estimate. List the affected holder groups and approximate shares, then compare the possible release with shares outstanding, public float where disclosed and normal volume.
- Check resale legality. Determine whether Rule 144 conditions, affiliate status or a resale registration statement could still restrict transactions.
- Analyze the company. Review financials, risk factors, share classes, dilution, liquidity and your valuation assumptions independently.
- Record unresolved items. If the filings do not establish the date, share count or resale path, treat that uncertainty as a reason to reduce confidence rather than fill the gap with an assumption.
Refresh the checklist shortly before acting. A waiver, amended agreement, new registration statement, insider filing or corporate announcement can change the facts after your initial review. Keep a copy of the terms and your calculations so you can identify which assumption changed.
Will the stock drop when the lockup expires?
It may, but the expiration alone cannot answer that question. The SEC’s Investor.gov glossary states: “This is important information because a company’s stock price may drop in anticipation that locked up shares will be sold into the market when the lockup ends.” The statement describes a possible anticipation effect, not a guaranteed decline.

Investors may react before the date because they expect additional supply. On the other hand, holders may retain their shares, sell gradually, face continuing legal restrictions or find that ordinary demand absorbs the released stock. The sources do not provide a universal percentage move or an issuer-specific prediction. Price response depends on the actual supply, liquidity, holder behavior, company news and valuation at that time.
Do not confuse a price move around the date with proof of causation. Earnings, market conditions, analyst actions or a separate financing can coincide with the expiration. If you monitor the event, compare the company’s disclosures and trading conditions with the broader market rather than attributing every move to lockup supply.

Assuming every IPO uses exactly 180 days
Correction: Treat 180 days as a general SEC-described pattern. Verify the issuer’s starting event, exact wording and any staged or conditional release.
Using a calendar website as the primary source
Correction: Use the calendar only to identify a filing to inspect. Confirm the date in the current prospectus, lock-up agreement and later disclosures.
Equating eligible shares with shares for sale
Correction: Separate potential eligibility, legal resale capacity and actual holder intent. Report each as a different fact.
Ignoring Rule 144 and affiliate status
Correction: Check whether securities-law requirements continue after the contractual restriction ends and whether the holder is an affiliate or otherwise subject to additional conditions.
Comparing the release with shares outstanding but not trading volume
Correction: Add ordinary turnover and liquidity to the analysis. A release that looks small as a percentage of the company can still be large relative to daily trading.
Making the lockup the entire investment thesis
Correction: Read the business, financial statements, risk factors, capital structure and dilution disclosures before forming a view on value.

Counting every outstanding instrument as immediate supply
Correction: Separate common shares from options, warrants, preferred securities and conversion rights. Include an instrument only when the contract and applicable law allow it to become transferable.
When the evidence is not sufficient to buy ahead of the date
Pause when the exact trigger is unclear, the number of affected shares cannot be estimated, a waiver or amendment is unresolved, or resale restrictions have not been checked. Also pause if your valuation depends on assumptions the filings do not support or if normal volume is too low for your intended position.
A disciplined decision can be to wait for clearer disclosure or for the market to absorb the event. That is not a prediction that the stock will fall; it is recognition that a contractual date by itself does not resolve supply, legal eligibility, holder behavior or business value.

Is an IPO lockup always 180 days?
No. About 180 days is a general pattern described by the SEC, not a mandatory rule. Verify the issuer’s starting event, duration, conditions, tranches, amendments and any early-release authority in the current agreement.
Does lockup expiration mean insiders will sell?
No. Expiration may make shares contractually eligible, but holder intentions are not established by eligibility. Look for separately disclosed offerings, sales plans or insider transactions.
Where can I find the exact lockup date?
Start with the latest registration statement and prospectus on SEC EDGAR. Search the Underwriting, Plan of Distribution and Shares Eligible for Future Sale sections, then read the lock-up agreement exhibit and subsequent amendments or waivers.
Can shares still be restricted after the contractual lockup ends?
Yes. Rule 144, affiliate conditions, holding periods, resale registration requirements and other securities-law or operational constraints can continue to limit a sale.
How should I estimate possible selling pressure?
List the covered holder groups and securities, estimate the shares that could become eligible, and compare that amount with shares outstanding, public float where disclosed and representative trading volume. Treat the result as potential supply, not a forecast of sales.
Will the stock price fall when the lockup expires?
It may fall in anticipation of added supply, but no universal decline is established. Holders may retain or sell gradually, legal restrictions may remain, and demand, liquidity, company news and valuation can absorb or outweigh the event.
What should I review besides the lockup?
Review the company’s financial condition, liquidity, debt, risk factors, competition, capital structure, dilution, share classes and valuation assumptions. The lockup is one risk input, not an investment thesis.
The Bottom Line
Before buying ahead of an IPO lockup expiration, verify the contract and current SEC disclosures, calculate potential supply against float and normal volume, confirm any continuing resale restrictions, and evaluate the company and valuation independently. A release creates a possibility of additional supply—not proof of selling or a guaranteed price decline.
