Before buying a railroad stock, examine seven connected questions: what the railroad hauls, how durable that demand is, whether traffic and pricing are improving, how reliably and safely the network operates, how much cash must be reinvested, whether debt and other obligations leave financial room, and whether the share price compensates you for the risks. The sequence below turns those questions into a repeatable review using company filings and consistent comparisons. It is general investor education, not an individualized buy or sell recommendation.
1. Understand the railroad’s economic engine before reading its valuation
A railroad is a network business. Its results depend on the freight moving over a particular physical footprint, the industries served by that footprint, the prices negotiated with customers, and the cost of maintaining and operating thousands of miles of infrastructure. Start by explaining the business in operational terms rather than by looking at the stock chart.
Map the freight categories
Use the annual report to list each reported freight category and its share of revenue or volume. Typical categories can include intermodal, merchandise, grain, chemicals, forest products, automotive, metals, construction materials, coal and energy products, but the mix differs by company. For each category, identify the end market that generates the shipment: consumer demand, housing and construction, industrial production, agricultural harvests, energy generation, imports and exports, or another driver.
Recommended Free Tools
Then ask whether the demand is structural, cyclical or exposed to substitution. A container route connected to a large port may have different economics from a coal corridor or a grain-export network. A category can grow in a strong economy and contract sharply in a downturn. The useful question is not whether one category sounds attractive; it is how the mix behaves when customers cut production, inventories rise or competing transport options become cheaper.

Draw the geographic and customer map
Record the states, provinces, ports, border crossings and major corridors that matter. Geography determines which industries can use the network and how easily another railroad, truck carrier, barge route or pipeline can compete. Note exposure to a single port, basin, border, weather zone or interchange.
Look for customer concentration disclosures. A few large customers, commodities or ports can make revenue less predictable even when the total network is diversified by route miles. CNR’s 2025 Form 10-K identifies economic conditions in served industries, customer concentration, coal-price volatility and transport availability as risks. Treat those disclosures as prompts to quantify exposure in the company’s own tables, not as a forecast that a loss will occur.
Separate volume, price and mix
For every material revenue change, determine how much came from loads moved, revenue per car or unit, fuel surcharges, contractual pricing and the composition of freight. A headline increase can result from higher prices or a favorable mix while physical volume weakens. That increase may not persist if volumes recover only temporarily or if pricing resets.

2. Build a primary-source filing set
Use the latest annual report, latest quarterly report, material current reports and the latest proxy statement. Compare the newest filing with several prior years so that a single unusual quarter does not become your baseline.
Read each filing for a different purpose
- Business section: identify freight categories, network geography, important assets, competition and customer concentration.
- Management’s discussion and analysis: trace management’s explanation for changes in volume, price, mix, labor, fuel, productivity, service and cash flow.
- Audited statements and notes: inspect debt maturities, leases, pensions, capital spending, contingencies, taxes, share count and segment definitions.
- Risk factors: isolate risks specific to this railroad rather than copying a generic industry list.
- Current reports: check for acquisitions, accidents, financing, leadership changes, major contracts, restructuring or other events after the annual report.
- Proxy statement: review executive incentives, board oversight, related-party arrangements and shareholder matters.
Read reconciliations whenever management presents an adjusted measure. An adjusted operating result may exclude restructuring, impairment, storm, accident or other charges; decide whether the excluded item is genuinely unusual or a recurring cost of running the network.
CNR’s 2025 Form 10-K gives two useful warnings. It says, “Past financial performance may not be a reliable indicator of future performance and historical trends should not be used to anticipate results or trends in future periods.” Historical comparisons are essential, but they are evidence to interpret rather than a promise that the next cycle will repeat.
3. Test traffic, revenue quality and customer resilience
Build a small operating history from the annual and quarterly filings. At minimum, capture reported volume, revenue, revenue per car or unit, freight mix, fuel effects and any disclosed service measure.

Questions for the traffic schedule
- Did total volume rise or fall, and which categories caused the change?
- Did revenue per car or unit increase because of contractual pricing, fuel recovery, shipment distance or a temporary mix shift?
- Are the industries served growing, flat or contracting?
- Are customers shifting freight to trucks, barges, pipelines or another railroad?
- Does management describe a backlog, capacity constraint or lost business that could change future volume?
- Are a few customers, ports or commodities responsible for an outsized share of the result?
Use several years and at least one weak freight period where available. A railroad with steady volume but falling revenue per unit faces a different problem from one with rising revenue but declining loads. The first may have pricing or mix pressure; the second may be relying on a temporary rate or surcharge effect.
Illustrative company figures, not industry benchmarks
| Company and period | Reported result | How to use it |
|---|---|---|
| Berkshire Hathaway railroad, 2025 | Volume down 4.6%; higher average revenue per car or unit partly offset the decline. | Shows why volume and revenue-per-unit must be analyzed together. |
| Berkshire Hathaway railroad, 2025 | Railroad operating expenses of $15.3 billion, down $591 million, or 3.7%, from 2024. | A company-specific cost outcome, not a forecast for other railroads. |
| Norfolk Southern, 2025 | Railway operating revenue of $12.2 billion, up $57 million from 2024. | Compare the revenue change with its volume, pricing and mix explanation. |
These figures come from fiscal 2025 company reports and are examples, not synchronized industry statistics. They should not be used to rank railroads without matching definitions, periods and segment scope.
4. Evaluate operations, service and safety—not just earnings
Railroad customers buy dependable movement, not merely low rates. Examine train velocity where disclosed, terminal dwell, on-time or service performance, car availability, congestion, labor productivity and customer complaints. A strong income statement accompanied by deteriorating service can signal that the network is being run below a sustainable level.
Use the operating ratio correctly
The operating ratio is railroad operating expenses divided by railroad operating revenues. A lower percentage means less reported operating revenue was consumed by operating expense, but it does not by itself measure network condition, capital intensity, safety, service quality, leverage or valuation.

One railroad may include or exclude particular items, use a segment measure, or report unusual charges differently. Business mix also matters: a dense intermodal network and a bulk-commodity network can have different cost profiles.
| Company and period | Operating ratio | Change reported | Interpretation limit |
|---|---|---|---|
| Berkshire Hathaway railroad, 2025 | 65.5% | Down 2.5 percentage points from 2024 | Company-reported result; not an industry target. |
| Norfolk Southern, 2025 | 64.2% | 66.4% in 2024 | Do not infer superiority from this cross-company comparison without definitions and context. |
Investigate what caused a ratio change. Sustainable labor or fuel productivity is different from a temporary volume rebound, a favorable mix, an accounting reclassification or deferred maintenance. Pair the ratio with service and safety results so that cost cutting is not mistaken for operating improvement.
Track safety and disruption indicators
Read derailment, crossing, employee-injury, hazardous-material and environmental disclosures. Note severe weather, floods, wildfires, landslides and other events that interrupt the network. A single accident can create liability, cleanup expense, regulatory scrutiny and lost customer confidence; repeated events may indicate a control problem. Risk-factor language describes possible exposures, not proof that every event will happen.

5. Analyze costs and the capital required to keep the network useful
Separate costs that scale with traffic from costs that remain when volumes fall. Labor agreements, fuel, purchased services, equipment leases, insurance, maintenance materials and property taxes can behave differently in a downturn.

When management cites efficiency, connect the claim to a reported measure: employees or labor hours per unit, locomotive utilization, train length, fuel consumption, terminal dwell or cost per car. Confirm whether the figure is reported or adjusted and whether it improved service at the same time. If management excludes implementation, restructuring or accident costs, decide whether those costs are likely to recur.
Distinguish maintenance from growth capital
Railroads continually spend on track, bridges, tunnels, signals, locomotives, freight cars, terminals, technology and safety. Read the capital-expenditure note and management commentary to identify what is required to preserve current capacity and what is intended to expand it or produce new revenue.
There is no single comparable maintenance-capital figure established across the cited companies. Calculate it from each issuer’s own definitions and keep the definitions unchanged across years. A company that labels a large project as growth spending may still incur related maintenance or replacement obligations elsewhere in the accounts.
6. Follow cash generation through the reinvestment cycle
Net income is not the cash available to shareholders. Build a cash bridge for each year:
- Start with operating cash flow.
- Identify working-capital changes and determine whether a favorable movement is temporary.
- Subtract maintenance capital spending needed to keep the existing network safe and productive.
- Separate expansion or project spending from maintenance where the issuer provides a credible definition.
- Review cash remaining for debt repayment, dividends, repurchases, acquisitions and cash reserves.
Test the bridge under weaker freight volumes, higher labor or fuel costs and higher interest rates. A dividend or buyback funded only by temporary working-capital release is less durable than one covered by recurring cash after necessary investment.
Check whether management’s free-cash-flow definition changes. Some companies subtract all capital spending; others emphasize a customized measure. Reconcile the measure to the statement of cash flows instead of treating a non-GAAP label as a universal standard.

7. Stress debt, pensions, leases and liquidity
Read the debt footnote rather than relying on a single debt-to-earnings ratio. Record principal maturities by year, fixed and floating-rate exposure, secured and unsecured borrowing, interest expense, covenants, revolver availability and cash balances.
Obligations to include
- Debt maturities and refinancing requirements.
- Interest-rate exposure and the effect of higher rates on new or floating-rate borrowing.
- Operating and finance leases for locomotives, cars, property and equipment.
- Pension and post-retirement obligations, including funding assumptions.
- Purchase commitments, environmental liabilities, litigation reserves and guarantees.
- Liquidity sources available during a traffic downturn.
Ask whether the balance sheet can fund essential capital while traffic is weak. CNR identifies debt agreements, debt, access to capital markets and changing interest rates as factors that can affect operating results and cash flows. A high fixed obligation burden can reduce strategic flexibility precisely when maintenance or safety spending cannot be postponed.
8. Examine management’s capital allocation and dilution
Management decides whether incremental cash goes to the network, debt reduction, dividends, repurchases or acquisitions. Judge those choices against returns and balance-sheet capacity rather than against a headline payout.
Dividends and repurchases
Calculate dividend coverage from cash after necessary investment, not only from reported earnings. Read the board’s language carefully: CNR says future dividends depend on board discretion and financial and covenant considerations. A repurchase authorization is permission, not a commitment. CNR also says repurchases may be suspended or terminated.
Acquisitions and large projects
For an acquisition, record the purchase price, financing, promised synergies, integration costs, regulatory conditions and results against the original case. For a major corridor, terminal or technology project, compare spending and completion dates with the initial plan. Repeated delays or escalating budgets deserve a lower confidence level in projected returns.
Share count and incentives
Track basic and diluted shares over several years. Repurchases can be offset by employee awards, acquisition consideration or new equity issuance. CNR warns that future equity issuance and awards may dilute existing holders. In the proxy statement, check whether executive targets reward durable service, safety and returns on invested capital or simply short-term adjusted earnings.
9. Read the risk factors for this issuer’s actual exposures
Turn the risk section into a list of events, financial effects and warning indicators. Include only risks that can change your estimate of cash flow, required capital or valuation.

| Risk area | What to investigate | Evidence to monitor |
|---|---|---|
| Demand and customer concentration | Dependence on specific industries, customers, ports or commodities. | Volume by category, lost-contract disclosures and customer production trends. |
| Labor | Collective-bargaining dates, wage inflation, staffing and possible work stoppages. | Contract settlements, service disruptions and labor expense per unit. |

| Environmental and climate requirements | Cleanup, emissions rules, resilience projects and permitting. | Accruals, capital plans, regulatory deadlines and contingent liabilities. |
| Regulation and pricing | Rate actions, access rules, merger conditions and government intervention. | Regulatory proceedings and contract or tariff changes. |
| Cybersecurity and technology | Operational technology, data systems and recovery capability. | Material incidents, controls and disclosed remediation costs. |
| Projects and acquisitions | Execution, integration and cost-overrun risk. | Milestones, revised budgets and realized synergies. |
CSX’s 2025 report, for example, says government actions and regulatory changes can influence revenue, costs, profitability and the company’s ability to negotiate prices. That is an issuer-specific disclosure to investigate, not a prediction of a particular regulatory result.
10. Compare management’s plans with subsequent results
Make a two-column record of each year’s guidance and the result actually delivered. Include volume, revenue, operating ratio, capital spending, free cash flow, safety and major project milestones. Note whether misses came from disclosed external events or from assumptions management repeatedly overestimated.
Watch for recurring “one-time” adjustments, restructuring charges, project delays and target changes. A credible team can miss a forecast; a pattern of redefining success after the fact should reduce confidence in forward estimates.

CNR’s 2025 Form 10-K states, “Accordingly, investors should not place undue reliance on forward-looking statements as a prediction of actual results.” Use guidance to test assumptions and ranges, not as a guaranteed outcome.
11. Value the shares only after understanding the business and balance sheet
Valuation is the final step because the same operating result can be attractive at one price and unattractive at another. Use more than one measure and keep the definitions consistent across companies.
Useful valuation lenses
- Price-to-earnings: compare with normalized earnings, excluding genuinely unusual items but retaining recurring safety, labor and maintenance costs.
- Enterprise value to operating earnings or cash flow: include debt and other financing claims so that leverage does not make an equity comparison misleading.
- Free-cash-flow yield: divide recurring cash after necessary investment by market value, while documenting the company’s maintenance-capital definition.
- Dividend yield: treat it as an output of the share price and payout policy, not proof that the dividend is secure.
Adjust the interpretation for leverage, pension obligations, lease commitments, freight mix, cycle position, capital intensity and one-time items. Compare the current multiple with the railroad’s own history and with a carefully matched peer set. A dense network with different geography and freight mix may deserve different assumptions from an apparently similar operator.
No synchronized current share prices or valuation multiples are established here. Therefore, this checklist does not claim that any railroad stock is cheap or expensive.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitches12. Use a consistent comparison worksheet
When comparing two or more railroads, use the same fiscal period, currency treatment, segment scope and definitions. Record the following in one worksheet:
| Comparison axis | Entries to capture | Decision question |
|---|---|---|
| Freight and customer mix | Categories, end markets, concentration and geography. | Which demand drivers are most cyclical or concentrated? |
| Volume versus price and mix | Loads, revenue per unit, fuel recovery and mix effects. | Is growth physical, pricing-led or temporary? |
| Service and safety | Velocity, dwell, reliability, incidents and disruptions. | Are cost gains compatible with dependable service? |
| Operating ratio | Formula, segment scope, exclusions and trend. | Is the change operationally durable and comparable? |
| Labor, fuel and productivity | Expense trends, agreements, fuel exposure and productivity measures. | What happens if costs rise or volume falls? |
| Capital needs | Maintenance and growth spending, projects and network condition. | How much cash must be reinvested before owners are paid? |
| Debt and obligations | Maturities, rates, pensions, leases and liquidity. | Can the company fund essential work through a downturn? |
| Cash distribution | Dividend coverage, repurchase activity, acquisitions and share count. | Is capital returned without weakening resilience or diluting owners? |
| Valuation | Normalized earnings, enterprise value, free cash flow and yield. | Does the price compensate for the identified risks? |
| Issuer-specific risks | Regulation, environmental, labor, cyber, weather and litigation exposure. | Which event would most damage the investment case? |
13. A practical order for completing the review
- Download the latest annual and quarterly filings, current reports and proxy statement.
- Write a one-paragraph description of the network, freight mix, end markets and geographic dependencies.
- Build a multi-year table for volume, revenue, revenue per unit, operating expenses and operating ratio, preserving each company’s definitions.
- Reconcile management’s adjusted figures to reported results and mark recurring exclusions.
- Construct the operating-cash-flow-to-capital-spending bridge and label maintenance versus growth using the issuer’s terminology.
- List debt maturities, interest exposure, pensions, leases, commitments and available liquidity.
- Review service, safety, labor, environmental, regulatory, cyber and weather disclosures for changes after the annual report.
- Compare guidance with realized results and document assumptions that repeatedly failed.
- Calculate valuation measures using normalized earnings and cash flow, then test downside cases for weaker volume, higher costs and higher financing rates.
- Write the thesis, the disconfirming evidence and the price or operating assumptions that would make you change your mind.
14. Know when the evidence is insufficient
Pause rather than force a conclusion when the company does not define maintenance spending, changes segment reporting, provides no useful volume explanation, relies heavily on adjusted metrics, has material obligations that cannot be quantified, or has a major accident, acquisition or regulatory matter still developing. “Not stated” is a valid worksheet entry; replacing missing information with an optimistic assumption is not due diligence.
Also pause when the investment case depends on a single forecast, a single operating-ratio comparison, a temporary pricing benefit or a dividend that is not covered after essential capital spending. The final decision depends on the share price, your assumptions, time horizon and risk tolerance—none of which can be determined from issuer filings alone.
