Ask more than “Which region hosts the primary database?” A defensible SaaS assessment must map every data flow, identify the legal entities and countries that can access or control the service, test the vendor’s government-request and subcontractor practices, and turn the answers into enforceable contract terms.
Use the process below to produce a written data-flow map, jurisdiction map, requirements register, and negotiation checklist. Then have your privacy lead, security team, and counsel assess the actual workload and current vendor terms.
Start with the distinction: residency is not sovereignty
Data residency describes where data is physically located while at rest. The Government of Canada defines it as “the physical or geographic location of an organization’s data while at rest.” That is different from data sovereignty: the authority a country’s laws have over access to or disclosure of information.
Recommended Free Tools
| Question | What it addresses | Why a region label is insufficient |
|---|---|---|
| Where is the data stored? | Physical locations of databases, files, backups and replicas. | Logs, support systems, disaster-recovery copies or telemetry may be elsewhere. |
| Where is data processed or transmitted? | Countries in which software, personnel or network services handle data. | A provider may process or route data outside the selected hosting region. |
| Which laws can reach it? | Jurisdiction of the provider, affiliates, infrastructure operators and personnel. | An overseas parent or operating entity may face disclosure obligations even when servers are local. |
| Who can compel access? | Government authorities with legal power over a provider or operation. | Local storage does not automatically block a lawful request under another applicable law. |
The UK Government Digital Service puts the jurisdiction issue plainly: “International vendors must comply with their home country’s laws and, in many cases, the laws of the region in which they are operating.” Treat residency as one control in a broader legal, technical and contractual assessment—not as proof that information is insulated from foreign access.

Build a complete data-flow map before asking for a quote
Give the vendor a precise inventory of what your service will contain. “Customer data” is too broad to produce a useful answer. For each category, request the countries used for storage at rest, processing, transmission, support access and backup or disaster recovery.
Include every relevant category
- Customer content, uploaded files, messages and records.
- Personal data in user profiles, forms, contacts and transaction records.
- Account, billing and authentication records.
- Metadata such as timestamps, IP addresses, device details and usage events.
- Application, security and audit logs.
- Telemetry, diagnostics, crash data and product analytics.
- Backups, replicas, snapshots and disaster-recovery copies.
- Support tickets, chat transcripts, call recordings and attachments.
- Temporary caches, queues, exports and administrator downloads.
Ask for locations by activity
Request a country-by-country table that distinguishes storage, processing, transit and human access. Ask whether the answer covers the entire service or only the primary customer-content database. Require the vendor to identify retention periods and deletion timing for each copy, including backups that cannot be erased immediately.
Have the vendor draw the architecture or validate your own diagram. A useful map names the service component, data category, country, legal entity, subprocessors, access method, encryption state and retention period. Record uncertainty explicitly; “not stated” is a risk requiring follow-up, not evidence of local storage.
Identify entities, affiliates and laws that can apply
Ask which legal entity signs your agreement, operates the platform, owns the relevant infrastructure, employs support personnel and controls each affiliate involved in processing. Obtain registered names and countries, not just a trade name.
Questions for the vendor
- Which entity is the contracting party and data processor or service provider for this workload?
- Which affiliates can administer systems, view support content, manage encryption keys or respond to incidents?
- In which countries are those entities incorporated, headquartered and operating?
- Which countries’ laws may apply to each entity, including laws that can compel provider disclosure?
- Can the vendor move operations, staff or infrastructure to another country without your approval?
Do not infer legal exposure from the location of a single data center. A provider can operate local infrastructure while its parent, support team or identity-management system remains subject to another country’s law.

Test the government-access and disclosure process
Ask the vendor to describe its procedure when an authority requests customer information. The answer should cover verification, challenge, scope, disclosure and notice.
Obtain specific commitments
- How does the vendor verify that a request comes from a competent authority and uses valid legal process?
- Will it challenge requests that are unlawful, overbroad or procedurally defective?
- Does it disclose only the minimum data legally required?
- When and how will it notify you, to the extent legally permitted?
- Does it publish transparency reports or aggregate statistics?
- Will it document the request, response and any technical restrictions?
New Zealand government guidance also recommends asking whether a provider reviews requests, limits disclosure to valid process, informs customers and deletes data after termination. Ask for the policy in writing and negotiate a contractual notice obligation, while recognising that some laws may prohibit notice.
Map subprocessors, affiliates and human access
Request the current subprocessor and affiliate list, each party’s function, operating countries, data categories and access level. Include cloud infrastructure, customer-support platforms, monitoring services, payment processors, email systems and managed security providers.
Check supply-chain controls
- How much advance notice do you receive before a new subprocessor or country is added?
- Can you object, and what happens if the objection cannot be resolved?
- Do contracts impose equivalent confidentiality, security, deletion and location obligations?
- Can subcontractors use data for their own analytics, model training or product improvement?
- Are support staff allowed to access plaintext, and is approval, logging and time-limited access required?
The UK Financial Conduct Authority’s outsourcing guidance highlights supply-chain and subcontractor responsibilities, along with jurisdictional control, physical access and exit planning. Treat those concerns as relevant even when your organisation is not regulated by the FCA.
Examine transfer safeguards for your actual jurisdictions
Have the vendor identify every cross-border transfer, destination, recipient, contractual protection and legal transfer mechanism relevant to your role and countries. Ask which mechanism applies to each flow and what happens if a legal ruling or regulatory change invalidates it.

Request evidence, not a badge
- The data-flow and destination schedule for your selected service and edition.
- Applicable data-processing, transfer and subprocessor terms.
- Risk assessments or supplementary measures used for transfers.
- Procedures for handling government requests and conflicts of law.
- Change-notice and remediation processes when a transfer mechanism changes.
International-transfer rules differ by jurisdiction and by the customer’s role. UK guidance advises organisations to follow applicable transfer rules and seek data-protection-officer or legal advice. Do not present a UK, EU, Canadian or US mechanism as universally valid, and do not treat a region selection as evidence of compliance.
Evaluate technical controls that limit access
Location and legal analysis should be paired with controls that reduce the chance or value of unauthorised access. Ask for architecture-level answers rather than generic claims such as “enterprise security.”
Core controls to verify
- Encryption in transit and at rest, including which systems and backups are covered.
- Who controls encryption keys, where keys are stored and whether keys are segregated by customer or region.
- Availability of customer-managed or externally held keys, and what functionality is lost if access is revoked.
- Privileged-access management, just-in-time elevation, multifactor authentication and dual approval.
- Immutable logs of administrator and support access, with retention and customer access to those logs.
- Support-access approvals, session recording and restrictions on downloading customer content.
- Whether provider personnel can access plaintext and under what documented conditions.
- Secure deletion of active data, replicas, media and backups, including certificates or other evidence.
NHS England’s DARS materials identify encryption at rest, encryption in transit, geography and jurisdiction risk assessment, and data destruction as controls in that specific context. They are useful prompts, not a universal compliance checklist or a guarantee that a service meets your obligations.
Turn answers into binding contract terms
Marketing pages and procurement responses are not enough. Ask counsel to place material commitments in the order, data-processing agreement, security addendum or another incorporated document, with precedence rules that prevent contradictory online terms from weakening them.
Specify the scope
- Define covered data, including metadata, logs, support records, backups and derived data.
- List permitted countries for storage, processing, transit, support and disaster recovery.
- Require notice and approval or an effective objection right before location or subprocessor changes.
- State permitted processing purposes and prohibit secondary use not authorised by you.
Specify access and oversight
- Set the government-request verification, challenge, minimisation and customer-notice process.
- Require subprocessor flow-downs and provide a current list on request.
- Provide audit rights, independent-assurance reports and regulator access where required.
- Define security controls, incident-notification deadlines and cooperation duties.
Specify retention and exit
- Set retention periods for production data, logs, tickets and backups.
- Require return in a usable format, transition assistance and continued read-only access when necessary.
- Require deletion from systems and subcontractors after termination, subject to a documented legal-retention exception.
- Obtain deletion certification or equivalent evidence and define fees, timing and responsibilities.
The Irish Data Protection Commission states: “A data controller must remain in control of the personal data it collects when it subcontracts the processing to a cloud provider.” Your contract should make that control practical rather than leaving it implied.

Match the service to the rules governing your workload
Classify the data first, then identify customer, sector, public-sector, statutory and contractual requirements. The correct answer depends on geography, sensitivity, regulator, procurement status and the specific service configuration.
Examples that must not be generalised
- Canada’s federal Service and Digital guideline says facilities in Canada should be evaluated as a principal option for certain sensitive or classified government information. That is a federal-government guideline, not a rule for every Canadian commercial buyer.
- DFARS 239.7602-2 addresses covered US Department of Defense government data and requires it to remain in the United States absent authorisation. It does not establish a universal US commercial requirement.
- FCA FG16/5 applies to firms within the FCA’s remit. The FCA page states that new material third-party notification rules apply from 18 March 2027; confirm the current rule and your firm’s status before relying on it.
- NHS England DARS requirements apply in that application context and should not be treated as a general healthcare rule worldwide.
Maintain a requirements register that names the rule, data set, responsible owner, required control, evidence and review date. Ask counsel to resolve conflicts between statutory retention, deletion requests, litigation holds and contractual deletion promises.
Compare vendors or deployment options consistently
Use one scoring matrix for every candidate. A region-only comparison can make a legally exposed service look safer than a multi-region service with stronger controls and enforceable commitments.
| Dimension | Evidence to compare | Decision question |
|---|---|---|
| Data flows | Countries for storage, processing, transit, backup and access. | Does every flow fit your requirements? |
| Jurisdiction | Entities, affiliates, personnel and potentially applicable laws. | Who could legally compel access? |
| Disclosure handling | Request review, challenge, minimisation and notice commitments. | Will you know and can the vendor resist? |
| Supply chain | Subprocessors, countries, access levels and objection rights. | Do controls flow through the chain? |
| Transfer safeguards | Mechanism, supplementary measures and change process. | Is each transfer lawful for this workload? |
| Technical protection | Encryption, keys, privileged access and logs. | Can access be limited and detected? |
| Contract | Location, audit, incident, deletion, return and exit clauses. | Are promises enforceable and operational? |
| Continuity and exit | Resilience, concentration risk, portability and transition support. | Can you operate through an outage or leave? |
| Performance and cost | Latency, capacity, feature differences and recurring charges. | What trade-offs does the compliant option create? |
Multiple regions can improve resilience, capacity, disaster recovery and performance, but may increase transfer, jurisdiction and operational complexity. Record the reason for each trade-off instead of assuming that “more local” or “more regions” is always better.
Use a repeatable vendor-questionnaire workflow
- Classify the workload. List data subjects, sensitivity, regulatory status, retention needs, criticality and prohibited destinations.
- Send the data-flow template. Require country, component, entity, access type, retention and subprocessor fields for every category.
- Collect evidence. Obtain architecture diagrams, subprocessor terms, transfer documents, security reports and draft contract language.
- Validate contradictions. Compare sales answers with the DPA, service description, privacy notice, support policy and disaster-recovery terms.
- Score residual risk. Rate legal exposure, access, transfer, security, resilience, cost and exit separately; document assumptions.
- Negotiate gaps. Escalate missing locations, unilateral-change rights, weak notice, unclear deletion or unusable export terms.
- Approve with owners. Record who accepts each residual risk, the evidence relied on and the reassessment trigger.
- Monitor after signature. Review subprocessor and location changes, incidents, legal developments, audit reports and renewal terms.
Common answers that should trigger follow-up
- “Your data stays in the EU/UK.” Ask whether that includes metadata, support, backups, telemetry, transit and every affiliate.
- “We use world-class security.” Request the specific controls, key ownership, access logs and evidence applicable to your edition.
- “We have no access to customer data.” Test emergency support, troubleshooting, account recovery, backups and legal requests.
- “Subprocessors are listed online.” Obtain the version applicable on your contract date and the notice and objection process for changes.
- “We comply with all laws.” Ask which laws, for which entity, data flow and customer role, and what happens when obligations conflict.
- “Deletion is automatic.” Ask about replicas, immutable backups, tickets, legal holds, subcontractors and written evidence.
What a finished assessment should contain
Before approval, your file should include a signed-off data-flow map; a jurisdiction and entity map; a requirements register; the vendor’s subprocessor and location schedules; transfer and security evidence; a completed comparison matrix; negotiated contract clauses; and named owners for monitoring and exit. If a material answer remains unknown, record it as an open risk with a decision deadline rather than treating the vendor’s regional marketing label as resolution.

Frequently Asked Questions
Can customer-managed encryption keys eliminate jurisdiction risk?
No. They can reduce the provider’s ability to read plaintext, but they do not determine where metadata, logs, backups or support records travel, which entity operates the service, or which laws can compel disclosure of other information.
How should we handle a vendor that refuses to disclose exact countries?
Treat the missing detail as a risk decision. Ask for a binding list of permitted countries or a documented country set, define change notice and objection rights, and involve counsel and the security owner before approving the exception.
When should a SaaS residency and jurisdiction review be repeated?
Repeat it when the vendor changes regions, subprocessors, legal entities, architecture or contract terms, and at renewal or after a material legal, regulatory or security event. Set those triggers in your supplier-monitoring process.
