The proposed joint venture between SCG Chemicals (SCGC) and PTT Global Chemical (PTTGC, also called GC) does not yet provide a reliable number for how The Siam Cement Public Company Limited (SCG) earnings or cash flow will change. In the latest transaction-specific update, dated 30 September 2026, the companies were still conducting confirmatory due diligence and negotiating ownership, asset transfers, valuation, financing and other terms.
If it proceeds, the combination could change which petrochemical results SCG consolidates, which results appear as equity-accounted profit, and when cash reaches SCG. The direction and size of any effect depend on final control rights, retained ownership, consideration, debt arrangements, operating performance and regulatory approvals.
What has actually been announced
SCGC and PTTGC announced progress on studying a strategic Thai petrochemicals joint venture, not a completed sale or an operating company with finalized terms. Their 30 September 2026 update says confirmatory due diligence and negotiations were continuing. The parties were aiming to finalize key parameters by October 2026, including the shareholding structure, transaction steps and quantified synergies. That target is a date for parameter-setting, not a closing date.
The announcement does not state a final ownership percentage, transaction value, cash consideration, asset-transfer mechanics, debt allocation, quantified synergy amount or completion timetable. PTTGC was expected to become a major shareholder and SCGC a significant shareholder, but those descriptions do not establish whether either party would have control, joint control or significant influence under accounting rules.
#1 Best Overall
The companies describe the strategic rationale as greater scale and supply-chain integration, more efficient feedstock management and stronger downstream capabilities focused on higher-value differentiated products. Those are management’s stated objectives, not independently verified savings or guaranteed earnings increases. The joint announcement says: “The Potential Joint Venture represents an important strategic step toward establishing a leading petrochemical player in the region and strengthening Thailand’s competitive advantage.”
Which businesses would be included
The proposed scope is narrower than all of SCGC or all of SCG’s chemicals activities. SCG’s SCG Chemicals overview describes a value chain spanning olefins, polyethylene (PE), polypropylene (PP) and PVC, with production bases in Thailand, Vietnam and Indonesia. The proposed transaction is expressly focused on specified Thai olefins and polyolefins businesses.
SCGC assets under study
- Thai olefins crackers.
- Thai polyethylene and polypropylene production facilities.
- SCGC’s stakes in Siam Polyethylene Co., Ltd., Siam Synthetic Latex Co., Ltd., Thai MMA Co., Ltd. and Bangkok Synthetics Co., Ltd.
PTTGC assets under study
- PTTGC’s Thai olefins and polyolefins businesses.
- PTTGC’s stake in HMC Polymers Co., Ltd.
The companies said the potential venture was expected to hold the relevant shares currently held by the two contributors. The announcement does not say that every SCGC subsidiary, overseas operation or downstream product line would move into the venture. Until a definitive perimeter is published, investors should not treat the proposal as a combination of the entire SCGC portfolio.
Why the deal could change SCG’s reported earnings
The key issue is not simply whether the combined businesses earn more. It is how SCG would account for its interest after the transaction. SCG’s published financial statements include a “share of profit or loss” from joint ventures and associates accounted for using the equity method. Depending on the final rights and ownership, some results that were previously presented through operating consolidation could instead be represented by SCG’s share of the venture’s profit or loss.
Possible consolidation change
If SCG’s post-transaction rights no longer give it control over businesses currently consolidated by SCGC, the affected revenue, expenses, assets and liabilities may no longer appear line by line in SCG’s consolidated statements. Instead, SCG could recognize a single equity-accounted share of the venture’s result if the final relationship meets the requirements for that method. This is a possible reporting outcome, not the announced treatment; the final accounting depends on contractual rights and the completed structure.
Rank #2
Possible equity-accounted earnings
SCG may retain a significant interest in the new venture and record its share of the venture’s profit or loss. That line can rise or fall with polymer spreads, feedstock costs, production volumes, outages, financing costs and the venture’s own tax and depreciation profile. A smaller consolidated revenue figure would not automatically mean lower economic exposure, just as an equity-accounted profit line would not by itself prove that operating performance improved.
One-time transaction effects
The eventual accounting could also include transaction-related gains, losses or remeasurement effects when assets or interests are contributed. No such amount has been announced. Any one-time accounting result should be separated from recurring earnings generated by the venture’s operations.

Why no earnings estimate is supportable yet
A calculation would require, at minimum, the final ownership and control analysis, the assets and liabilities transferred, valuation methodology, purchase or contribution consideration, financing terms and post-closing operating forecasts. None of those figures was provided in the 30 September update. It would therefore be misleading to publish an estimated change in SCG sales, EBITDA, operating profit, equity-accounted profit or attributable net profit as though it were a company fact.
SCGC’s historical scale provides context, not a forecast
SCG’s 2023 performance summary reports the following historical SCGC segment measures. They describe the 2023 year and should not be read as a current run rate or as an estimate for the proposed venture.
| SCGC measure | 2023 amount | How to interpret it |
|---|---|---|
| Sales | THB 191.482 billion | Historical segment sales reported by The Siam Cement Public Company Limited for 2023. |
| EBITDA | THB 13.696 billion | Historical 2023 EBITDA; not a projection for the joint venture. |
| EBITDA from operations | THB 8.332 billion | Historical 2023 operating EBITDA measure. |
| Attributable annual profit | THB 0.589 billion | Historical 2023 attributable profit. |
SCG’s summary explains that SCGC’s 2023 annual profit declined as product spreads and share of profit from associates fell. That history illustrates the segment’s exposure to petrochemical cycles, but it does not establish how a new ownership structure would perform or how much of those figures would remain in SCG’s consolidated results.

How SCG cash flow could change
Cash flow must be analyzed separately from accounting earnings. A completed transaction could affect cash at several different points, but the announcement gives no amount for any of them.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsCash at signing and closing
- Consideration: A buyer could pay cash for an interest, but the companies have not said whether this will be a cash sale, a contribution of assets, an exchange of shares or another structure.
- Capital contributions: SCGC or PTTGC might contribute cash to fund the venture, working capital or future projects. No contribution amount is disclosed.
- Transaction costs: Advisory, legal, financing and other completion costs could create cash outflows. No estimate is available.
Debt and refinancing
Debt could be transferred to the venture, refinanced, repaid by a parent or left with an existing company. Each choice would produce a different cash-flow and leverage profile for SCG. The 30 September announcement does not identify debt to be transferred, refinanced or retained, so a reduction in SCG borrowings or interest expense cannot be assumed.
Cash after closing
SCG’s eventual cash receipts would depend on distributions declared by the venture, not merely on the venture’s accounting profit. A joint venture can report a profit while retaining cash for maintenance, working capital, debt service or expansion. Conversely, a distribution can occur in a period when the parent’s equity-accounted profit does not equal the cash received because of timing and accounting differences.
SCG’s published financial statements present equity-method results as a distinct reporting line. Readers should examine the statement of cash flows, notes on investments and any disclosure of dividends or distributions before treating the venture’s reported profit as parent-level cash generation. The nine-month 2024 consolidated statements are available from SCG at this financial-statements document.

What investors should compare when final terms arrive
A definitive announcement should be read against SCG’s pre-transaction position using the following framework.
| Comparison point | Question to answer | Why it matters for SCG |
|---|---|---|
| Ownership and control | What percentage will SCGC hold, and will SCG have control, joint control or significant influence? | Determines consolidation, equity accounting and the presentation of revenue and profit. |
| Assets and companies | Which crackers, PE and PP facilities and investee stakes are transferred, and which remain outside? | Defines the earnings base and prevents the venture from being mistaken for all SCGC operations. |
| Consideration and contributions | Is cash paid, are assets exchanged, or are shares and businesses contributed? Is additional capital required? | Shows immediate cash inflows or outflows and future funding obligations. |
| Debt treatment | Which borrowings move to the venture, are refinanced or stay with SCG or PTTGC? | Changes leverage, interest expense, refinancing risk and cash available to the parent. |
| Recurring earnings | What assumptions are made for volumes, spreads, feedstock costs, expenses and synergies? | Separates sustainable operating improvement from cyclical or one-time effects. |
| Distributions | What dividend or distribution policy is expected, and how does it compare with equity-accounted profit? | Connects the venture’s accounting result to actual cash received by SCG. |
| Conditions and timing | Which approvals remain, and what is the expected closing date? | Determines when any accounting change, cash movement or operating impact can begin. |
How to interpret the proposal without overclaiming
Do not call it a finalized 50:50 partnership
No 50:50 split has been disclosed. “Major shareholder” and “significant shareholder” are descriptive terms in the proposal, not percentages.
Do not treat strategic benefits as realized synergies
Scale, integrated supply and higher-value products may improve competitiveness if execution succeeds. Until quantified targets, implementation costs and results are reported, they remain objectives rather than earnings guidance.

Do not equate equity profit with cash
SCG would need distributions and cash-flow disclosures to demonstrate that a reported share of venture profit reached the parent. Retained earnings inside the venture do not pay down SCG debt or fund its other businesses automatically.
Keep cyclical performance separate from transaction effects
Petrochemical margins can move because of market prices and feedstock conditions independently of the venture. A future improvement in SCGC’s results should be analyzed separately from any accounting change caused by the transaction.
Current answer for SCG shareholders
As of the 30 September 2026 update, the PTTGC proposal is a work-in-progress combination of specified Thai olefins and polyolefins operations and selected company stakes. It is not a completed transaction covering all SCGC businesses, and there is no published figure for SCG’s future earnings or cash-flow impact.
The material facts to watch are the final ownership and control rights, exact asset perimeter, cash consideration, capital contributions, debt arrangements, distribution policy, quantified recurring synergies and approval timetable. Those disclosures will determine whether SCG mainly experiences a change in presentation, a change in economic exposure, an immediate cash movement, or some combination of all three.
