The Competition and Markets Authority (CMA) can investigate a UK telecoms merger before or after it completes. It may order the companies to keep operating separately while it investigates, clear the transaction, accept or impose remedies, refer it to a detailed Phase 2 inquiry, block an anticipated merger or, in an appropriate case, unwind a completed deal. Ofcom can provide communications-sector expertise and help oversee commitments, but the CMA remains the merger investigator and decision-maker.

What power does the CMA have over a telecoms merger?

UK merger control is based on the Enterprise Act 2002. The CMA first asks whether the transaction creates a relevant merger situation and then whether it has resulted, or may be expected to result, in a substantial lessening of competition (SLC) in a UK market. The same SLC framework applies to telecoms as to other sectors; telecoms does not have a separate legal test.

The analysis is fact-specific. The CMA examines the products and services affected, the geographic area in which companies compete, customer and supplier alternatives, likely changes in prices or service, and the evidence for claimed efficiencies such as network investment. Its guidelines caution that analytical tools are not a rigid or mechanical checklist.

Notification is voluntary, but review is not

Parties generally do not have to notify the CMA or obtain clearance before completing a UK merger. That voluntary system does not give the parties immunity from investigation. If the CMA later believes the deal may harm competition, it can open a case after completion and require measures that preserve the businesses as separate competitors while it works.

For a transaction that has not completed, the CMA can investigate the anticipated merger and, if necessary, prevent completion or require remedies. For a completed transaction, the authority can restrict integration and ultimately order divestiture or unwinding if lesser measures cannot address the SLC.

How the CMA investigation unfolds

1. Jurisdiction and formal investigation

The CMA decides whether the statutory conditions for a relevant merger situation are met and whether it has jurisdiction to examine the transaction. A voluntary filing is a strategic choice by the parties, not a legal safe harbour. Companies that choose not to notify remain exposed to a later call-in, including after they have closed.

Once a formal investigation starts, the parties must provide information and should expect the CMA to scrutinise integration plans, internal documents, customer evidence, network economics and the competitive alternatives that would exist without the deal.

2. Interim measures to stop premature integration

Interim measures are temporary, legally binding restrictions designed to preserve the CMA’s ability to fix a competition problem later. The CMA says it usually imposes them when businesses complete before an investigation, and it will act quickly if completion occurs during an ongoing investigation.

Typical requirements can include:

  • Keeping the merging businesses’ sales operations and brand identities separate.
  • Maintaining the pre-merger range of goods and services.
  • Retaining important personnel and capabilities.
  • Preventing the exchange of confidential or commercially sensitive information.
  • Continuing to compete as independent businesses until the investigation permits further integration.

A party can ask for a derogation where a restricted action is necessary, for example to protect customers or maintain network reliability. The CMA assesses each request individually; a derogation is not an automatic permission to integrate.

3. Phase 1: the initial screen

At Phase 1, the CMA applies a realistic-prospect threshold. It asks whether there is a realistic prospect that the merger may result in an SLC. This is an initial screening test, not a final finding that the merger will harm competition.

The CMA’s public process guide gives a 40-working-day deadline for its Phase 1 decision, counted from the formal launch of the investigation. The authority can:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Clear the merger because the threshold for referral is not met.
  • Refer the case to Phase 2 when the statutory test for a deeper inquiry is met.
  • Accept undertakings in lieu (UILs) offered by the parties, if those commitments address the concerns without a Phase 2 inquiry.

After a Phase 1 decision, the parties have a short period to propose UILs. The CMA then consults on the proposals and decides whether to accept them. UILs must be capable of addressing the identified competition issue; a general promise to behave well is not enough.

The CMA has limited discretion not to refer even where the realistic-prospect threshold is met. Its guidance identifies examples such as markets of insufficient importance, certain anticipated mergers that are not sufficiently advanced or likely, and relevant customer benefits that outweigh the SLC and its adverse effects. These are narrow, case-specific exceptions rather than a routine escape route.

4. Phase 2: an independent, deeper inquiry

If concerns are not resolved through UILs, an independent inquiry group conducts Phase 2 with support from CMA staff. The group applies a balance-of-probabilities test: is an SLC more likely than not?

It can clear the merger if it finds no SLC. If it finds an SLC, it must consider what action is needed to remedy, mitigate or prevent the SLC and its adverse effects. The authority may accept suitable remedies proposed by the parties or determine remedies itself.

Can the CMA make a mobile company sell part of its business?

Yes. A sale of part of the merged business is a structural remedy, often called a divestiture. It is intended to recreate or preserve a viable competitor where the merger itself has removed an important competitive constraint. Depending on the problem, the remedy might involve assets, spectrum-related interests, customers, sites, staff, contracts or another self-standing business unit.

Structural remedies are not automatic. The CMA chooses the least burdensome measure that it considers effective, but it can impose a divestiture if conduct promises would not reliably solve the problem. For an anticipated merger, the authority can block completion. For a completed merger, unwinding or divestiture is available as a last resort when appropriate remedies are not offered.

Structural and behavioural remedies compared

Remedy type What it changes Telecoms example Main practical issue
Structural The ownership or assets that make up the merged business. Sale of a viable part of the business to restore a competitor. Finding a buyer and transferring enough assets, capability and customers to compete effectively.
Behavioural (conduct) How the merged company must price, supply, share access or operate. Caps on selected tariffs, prescribed wholesale prices or service terms. Long-term monitoring, enforcement and the risk that market conditions change.

The remedy must match the identified harm. A wholesale-access problem may require terms for mobile virtual network operators (MVNOs), while a retail-price concern may require customer protections. A network-investment commitment addresses a different risk and may need separate oversight.

What role does Ofcom play?

Ofcom is the independent regulator and competition authority for the UK’s communications sectors. In a merger case, it can contribute technical and market expertise, including evidence about networks, spectrum, wholesale access and consumer impacts. The CMA’s Vodafone/Three materials record that it sought input from Ofcom.

Ofcom’s involvement does not replace CMA merger control. The CMA applies the Enterprise Act tests, decides whether to clear or refer the merger, and determines or accepts remedies. Ofcom may share monitoring of a sector-specific commitment where its expertise is useful.

What the Vodafone/Three case shows

The proposed Vodafone/Three combination would have brought together two of the UK’s four mobile network operators at the time of the CMA’s Phase 1 decision. The CMA identified a realistic prospect of an SLC and referred the transaction to Phase 2.

The inquiry examined whether the deal could lead to higher prices or reduced service for retail customers and weaker terms for MVNOs. It also considered claimed benefits from network investment and the uncertainty over whether those benefits would actually be delivered.

  • Preset wholesale prices and terms for MVNOs for three years.

The CMA was responsible for monitoring and enforcing the specified retail and wholesale protections. This illustrates why a telecoms clearance can involve a package rather than a single promise: network investment, retail customers and wholesale customers can face different risks.

In its December 2024 announcement, the CMA described the proposed combination as representing 27 million subscriptions. That was the CMA’s historical figure for the proposed deal at that time, not a current count of subscriptions or a general measure of the UK market.

“It’s crucial this merger doesn’t harm competition, which is why we’ve spent time considering how it could impact the telecoms market.” — Stuart McIntosh, chair of the independent inquiry group.

How Phase 1 and Phase 2 differ

Question Phase 1 Phase 2
Decision-maker CMA Phase 1 decision team. Independent inquiry group supported by CMA staff.
Evidence threshold Realistic prospect of an SLC. Balance of probabilities: an SLC is more likely than not.
Purpose Initial screen and, where needed, referral. Detailed investigation and final competition decision.
Public timetable 40 working days from formal investigation launch. 24 weeks, extendable by up to eight weeks in special circumstances.
Possible route out Clearance or accepted UILs. Clearance, remedies determined or accepted, blocking of an anticipated merger, or unwinding of a completed merger.

What companies should do when the CMA opens a case

  1. Map the transaction status. Establish whether the deal is anticipated, signed but incomplete, or completed. Completion changes the urgency and the likely need for interim measures.
  2. Preserve separation. Follow any interim order, keep sensitive information controlled and maintain separate customer-facing operations unless the CMA grants a derogation.
  3. Build an evidence record. Gather contemporaneous documents on competitors, customer switching, pricing, capacity, network investment and claimed efficiencies. Evidence should address what would happen without the merger, not just the parties’ intentions.
  4. Test remedies against the harm. A proposed commitment should identify the specific SLC it fixes, how compliance will be monitored and what happens if the commitment fails.
  5. Track the applicable guidance. The CMA revised its merger remedies guidance in December 2025, effective 19 December 2025 for cases whose formal Phase 1 investigation began on or after that date. The revision embeds a “4Ps” framework: pace, predictability, process and proportionality. A live matter should be assessed against the guidance version tied to its formal Phase 1 start date.

What consumers and MVNOs can expect during a review

Consumers may see no immediate change in brands or tariffs because interim measures are intended to preserve pre-merger competition. That does not guarantee prices or service will remain unchanged for every customer; it means the CMA is trying to prevent integration from making a later remedy impossible.

MVNOs and other wholesale customers can be directly relevant witnesses. The CMA may examine whether a merged network could worsen access terms, raise wholesale prices, reduce service quality or limit innovation. Evidence about actual contract options and credible alternative suppliers can be more useful than broad assertions that competition will remain.

Current cases and changing timetables

The CMA case finder listed a separate BT/TalkTalk merger inquiry as open with an opening date of 5 October 2026 when accessed on 13 October 2026. Case status and dates can change, so readers following that matter should consult the CMA’s current case page rather than relying on the historical listing.

That example also shows why a timetable should be treated as a planning framework, not a guaranteed completion date. Information requests, extensions, remedy discussions and changes in the transaction can affect the practical schedule.

Bottom line for a UK telecoms merger

The CMA’s powers extend well beyond saying yes or no before a deal closes. It can call in a voluntary-notification merger after completion, freeze integration, require the parties to keep competing, clear the transaction, accept or impose targeted remedies, refer the case to an independent Phase 2 group, block an anticipated merger or unwind a completed one. Ofcom adds communications expertise and may help monitor commitments, but the CMA controls the merger decision. The Vodafone/Three outcome demonstrates that clearance can depend on enforceable network, retail and wholesale protections rather than an unconditional approval.
