The CHIPS Act pays for U.S. semiconductor capacity through a package of Commerce Department grants and loans, plus a separate Treasury and IRS investment tax credit. Eligible work can include semiconductor fabrication, assembly, testing, advanced packaging, semiconductor materials, manufacturing equipment, and related research and development.

The frequently cited $50 billion is program funding, not a guaranteed check for every applicant. Commerce also has authority for up to $75 billion in direct loans and loan guarantees. Companies generally build a financing plan that combines private capital with one or more federal tools, then meets project, reporting, tax, and national-security restrictions.

What the CHIPS Act pays for

Section 4652 of Title 15 of the U.S. Code directs the Department of Commerce to provide financial assistance for U.S. facilities and equipment used in semiconductor manufacturing and related activities. The language reaches more than a traditional front-end fab.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Semiconductor fabrication: Facilities that manufacture semiconductor wafers and devices, including new plants and qualifying expansion or modernization projects.
  • Assembly, testing, and advanced packaging: Back-end operations that turn wafers or dies into tested, packaged products.
  • Semiconductor materials: Production of materials used in semiconductor manufacturing.
  • Semiconductor-manufacturing equipment: U.S. facilities making tools and equipment used to manufacture semiconductors.
  • Related research and development: Research connected to the semiconductor ecosystem, administered through the CHIPS research program rather than the manufacturing award office.

The statute is broad enough to cover a new fab, an added production line, or a modernization project, but eligibility is not automatic. The facility, equipment, costs, ownership structure, and proposed use must satisfy the applicable Commerce program terms and solicitation.

How the federal incentives fit together

Three federal mechanisms are commonly discussed together, although they are administered under different authorities and have different financial effects.

Mechanism Administrator What it provides Financial form When the benefit arrives Key continuing obligation
CHIPS manufacturing direct funding Commerce CHIPS Program Office Support for eligible U.S. facilities and equipment for fabrication, assembly, testing, packaging, materials, equipment, and related manufacturing activity Grant or other direct federal award; no principal repayment in the way a loan requires According to award milestones and disbursement terms, not necessarily all at signing Project performance, reporting, and the conditions written into the award
CHIPS loans and loan guarantees Commerce Debt financing for eligible semiconductor projects Loan or federal guarantee that supports borrowing As debt is drawn and repaid under negotiated terms Repayment, financial covenants, project milestones, and award conditions
Section 48D Advanced Manufacturing Investment Credit Treasury and Internal Revenue Service A credit for qualified investment in an advanced manufacturing facility whose primary purpose is making semiconductors or semiconductor-manufacturing equipment Tax credit against federal income tax, subject to tax rules and any applicable monetization structure When qualifying property is placed in service and the credit is claimed under the tax rules Tax substantiation and rules that can recapture the credit after a prohibited transaction
CHIPS research and development awards CHIPS Research and Development Office Research, development, and innovation programs that support the semiconductor ecosystem Separate research award, not the same instrument as a manufacturing grant Under the relevant research award schedule Research deliverables, reporting, and the terms of the particular award

A company can use more than one mechanism, but it must model each one separately. A grant is an award, a loan is repayable debt, and a tax credit reduces tax liability; none should be treated as interchangeable cash.

How large is the program?

The Commerce Department’s Office of Inspector General described the overall CHIPS package in its 2025 status reporting as $50 billion for semiconductor research, development, innovation, and manufacturing. The same reporting described authority for up to $75 billion in direct loans and loan guarantees. The $50 billion is program funding and the $75 billion is lending authority. Neither figure means that every applicant receives those amounts or that the entire authority has been committed.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Figure What it means Date and qualification
$50 billion Overall Commerce CHIPS program funding for research, development, innovation, and manufacturing Commerce OIG 2025 status reporting; a program-scale figure, not an individual applicant allocation
Up to $75 billion Authority for direct loans and loan guarantees Commerce OIG 2025; an authorization ceiling rather than guaranteed borrowing for each project
20 awards; up to $33.7 billion direct funding; up to $5.5 billion loans Manufacturing awards made by the CHIPS Program Office As of January 31, 2025, according to Commerce OIG; the amounts are stated as up to amounts
Almost $8.3 billion R&D office awards As of January 31, 2025, according to Commerce OIG; separate from the manufacturing-office awards

These are historical implementation figures. They should not be presented as October 2026 totals without a newer official status report. Later awards, cancellations, amendments, or additional appropriations could change the current picture.

Which projects and companies are a fit?

New fabs and existing-site expansions

A greenfield fab is the most obvious example, but the statutory coverage is not limited to a brand-new building. An existing U.S. facility may be a candidate when an expansion or modernization adds eligible semiconductor capacity and satisfies the program requirements. The application must distinguish eligible new investment from ordinary maintenance or unrelated corporate spending.

Assembly, testing, and advanced packaging

Back-end capacity can qualify even when the project does not perform front-end transistor fabrication. Assembly, testing, and advanced packaging are expressly within the manufacturing scope, so a project should describe the process, equipment, products, and U.S. capacity being added rather than assuming that only wafer fabs matter.

Materials and manufacturing equipment

Facilities producing semiconductor materials or semiconductor-manufacturing equipment can fall within the statute. An equipment maker therefore needs to show how its U.S. facility serves semiconductor manufacturing and which assets and operations are part of the eligible project.

Research and development

Related R&D is included in the statutory description, but the R&D side is handled by the CHIPS Research and Development Office. A research proposal should not be described as if it were a CHIPS Program Office fab award. The office, solicitation, deliverables, and payment terms can differ.

Section 48D: how the semiconductor investment tax credit works

Section 48D applies to qualified investment in an advanced manufacturing facility whose primary purpose is manufacturing semiconductors or semiconductor-manufacturing equipment. The credit is based on qualified investment and qualifying property, not automatically on every dollar in a project budget.

Property placed in service Credit rate in the IRS guidance described Qualification note
December 31, 2022 through December 31, 2025 25% Applies to qualified investment in an eligible advanced manufacturing facility under the applicable rules
After December 31, 2025 35% Rate listed in current IRS guidance under the 2025 WFTC Act for qualifying property placed in service after that date

The placed-in-service date matters. A project that starts construction in one year but places property in service in another must apply the rules to the relevant property and tax year, with supporting records that establish when the property was ready and available for its intended use. The tax return, cost records, asset schedules, and facility-purpose analysis should all agree.

Illustrative credit calculation

The following examples are arithmetic illustrations, not forecasts of a particular company’s credit. They assume the entire stated amount is qualified investment and that all other requirements are met.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Qualified investment assumption Applicable rate Illustrative credit
$1 billion of qualifying property placed in service on or before December 31, 2025 25% $250 million
$1 billion of qualifying property placed in service after December 31, 2025 35% $350 million

Actual creditable investment can be lower than total project cost because land, nonqualifying buildings, financing costs, existing assets, or other expenditures may fall outside the qualified-property rules. A tax adviser must classify assets under the current Treasury and IRS regulations rather than applying the percentage to a headline project price.

What counts as semiconductor wafer production?

Final IRS regulations define wafer production broadly. The definition reaches upstream and finishing operations, not just the point at which transistors are formed. It includes:

  • Growing single-crystal ingots and boules
  • Slicing wafers
  • Etching wafers
  • Polishing wafers
  • Bonding
  • Cleaning
  • Epitaxial deposition
  • Metrology

This matters for a facility whose business is wafer preparation, epitaxy, inspection, or another specialized step. The company should map each process to the regulatory definition and document the facility’s primary purpose instead of assuming that an upstream operation is excluded.

Grant, loan, or tax credit: choosing the right mix

The right instrument depends on the project’s cash needs, tax position, leverage capacity, and willingness to accept continuing conditions. The following comparison uses the decision axes that matter in an actual financing plan.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Decision axis Commerce direct funding Commerce loan or guarantee Section 48D credit
Eligible activity Eligible U.S. semiconductor facilities and equipment, including fabrication, assembly, testing, packaging, materials, equipment, and qualifying manufacturing expansion or modernization Eligible semiconductor projects that meet the lending program’s requirements Qualified investment in an advanced manufacturing facility primarily making semiconductors or semiconductor-manufacturing equipment
What the support is Federal award Debt or a federal credit enhancement for debt Tax benefit
Application and documentation burden Technical, financial, project, cost, and compliance information required by the current Commerce solicitation and award process All of the direct-funding information plus debt underwriting, repayment capacity, collateral or covenant analysis, and loan documentation as applicable Asset-level tax records, placed-in-service support, qualified-investment calculations, and facility-purpose documentation
Timing of benefit Disbursement follows the award’s milestones and conditions Borrowing follows loan closing and draw conditions; repayment begins under the debt documents Claimed through the tax system for qualifying property and tax periods
Private-investment expectations Applicants should expect Commerce to evaluate the project’s total financing and private investment; exact matching terms are solicitation- and award-specific Private capital and repayment capacity are central to underwriting; exact financial requirements vary by loan No Commerce match is created by the credit itself, but the taxpayer must fund the investment and have a usable tax position or an allowed monetization approach
Continuing restrictions Award conditions, milestones, reporting, and applicable statutory and program restrictions Loan covenants, repayment, milestones, reporting, and applicable restrictions Tax substantiation and the foreign-country-of-concern transaction rules, including the potential 10-year recapture rule

Many large projects use a blended plan: direct funding reduces the amount of private capital required, debt fills a financing gap, and the tax credit lowers the after-tax cost of qualifying property. The agreements and tax rules must be reviewed together so that one source of support does not make another unavailable or create an unplanned compliance obligation.

How to prepare a Commerce application

Commerce changes solicitations and award terms over time, so use the current CHIPS Program Office instructions for the actual submission. A disciplined preparation sequence helps avoid an application that has a compelling announcement but weak supporting evidence.

  1. Define the U.S. project boundary. Identify the legal applicant, site, buildings, production lines, equipment, and expected in-service dates. Separate the proposed project from the company’s other facilities and corporate programs.
  2. Map each activity to an eligibility category. Label fabrication, assembly, testing, packaging, materials, equipment production, or R&D. For a mixed project, show which costs belong to each activity and which office or instrument would address them.
  3. Build an asset-level cost model. List construction, machinery, installation, testing, and other costs, then identify which items may be eligible for direct funding and which may be qualified investment for section 48D. Do not apply a credit rate to the entire headline budget without this classification.
  4. Set a financing plan. Show committed private capital, proposed Commerce support, potential debt, tax-credit timing, contingency funds, and the cash required before federal disbursements. A grant award is not the same as cash in the bank on the award date.
  5. Prepare the technical and operating case. Explain the process flow, capacity added, products, equipment, yield or production assumptions, schedule, and why the U.S. facility is needed. Keep the assumptions traceable to engineering and operating records.
  6. Test tax eligibility independently. Confirm that the facility’s primary purpose and the property placed in service fit section 48D. Coordinate tax-basis, depreciation, placed-in-service, and ownership analyses with the project model.
  7. Screen transactions for continuing restrictions. Review planned investments, joint ventures, supply arrangements, acquisitions, and overseas expansions for the foreign-country-of-concern rules before signing commitments that could create recapture exposure.
  8. Submit and negotiate under the current program terms. Follow the active Commerce solicitation, respond to diligence questions, and treat negotiated milestones, reporting, and disbursement provisions as binding project requirements.
  9. Set up compliance before construction starts. Assign owners for cost records, procurement files, milestone evidence, tax documentation, and transaction monitoring. Retrofitting those controls after an audit or amendment is more difficult than building them into the project schedule.

Cash-flow planning: award, borrowing, and tax benefit are different events

Semiconductor projects commonly spend heavily before production begins. A company should therefore model at least three timelines:

  • Construction and procurement: When deposits, equipment payments, installation costs, and commissioning expenses are due.
  • Federal support: When a direct award can be drawn under milestones or when a loan can be funded under closing and draw conditions.
  • Tax benefit: When property is placed in service, the credit is claimed, and the taxpayer can use the resulting tax benefit.

A project can be economically attractive on a total-support basis yet face a short-term liquidity gap if construction payments precede federal disbursement or tax use. The financing model should include bridge funding, interest during construction, delayed production revenue, and the possibility that qualifying investment is less than the initial estimate.

Foreign-country-of-concern restrictions and 10-year recapture

Final Treasury and IRS regulations include a special 10-year recapture rule tied to a significant transaction that materially expands semiconductor manufacturing capacity in a foreign country of concern. In practical terms, a company that claims the credit must continue monitoring relevant expansion transactions for the full recapture period.

The rule is transaction-specific. A foreign investment is not automatically prohibited merely because it is overseas, and a domestic project is not automatically safe merely because its initial construction occurred in the United States. The analysis depends on the transaction, the capacity added, the parties, and the regulatory definitions in effect at the time.

Before approving a foreign expansion, acquisition, joint venture, or comparable transaction, the company should obtain current Treasury and IRS advice on whether the event is significant, whether it materially expands semiconductor manufacturing capacity, and what amount of credit could be recaptured. Maintain a dated record of the analysis and the facts relied upon.

Correction: Use the program-scale figure for context and build the project model around the amount actually requested, negotiated, and awarded.

Confusing loan authority with a grant

Why it fails: Loan and guarantee authority supports repayable financing; it is not free capital.

Correction: Include principal, interest, covenants, draw conditions, and repayment in the base case and downside case.

Applying the 48D percentage to every project dollar

Why it fails: The credit applies to qualified investment in qualified property at an eligible advanced manufacturing facility.

Using the old 25% rate for post-2025 property

Why it fails: IRS guidance lists a different rate for qualifying property placed in service after December 31, 2025 under the 2025 WFTC Act.

Correction: Determine the placed-in-service date for each relevant asset and use the current law and IRS guidance for that date.

Assuming wafer production means only front-end transistor fabrication

Why it fails: The final regulations include ingot and boule growth, slicing, etching, polishing, bonding, cleaning, epitaxial deposition, and metrology.

Correction: Map the facility’s actual process steps to the regulatory definition and preserve technical evidence.

Ignoring the gap between an award and a disbursement

Why it fails: Direct funding normally follows milestones and conditions.

Correction: Schedule construction payments against the expected draw calendar and maintain contingency liquidity.

Reviewing foreign expansion only when the transaction closes

Why it fails: The 10-year recapture rule can make a later significant transaction financially relevant to an earlier credit claim.

What to verify before relying on a number or rule

Program terms and tax guidance can change. Before submitting an application, closing financing, or claiming a credit, verify the following against the current Commerce, Treasury, and IRS publications:

  • The active CHIPS Program Office solicitation and whether it accepts the project category
  • Current award, cost-sharing, milestone, reporting, and disbursement terms
  • Current loan and guarantee underwriting requirements
  • The section 48D rate and placed-in-service rules for each asset
  • The definition of qualified investment and advanced manufacturing facility
  • Foreign-country-of-concern restrictions and the 10-year recapture provisions
  • Whether a newer Commerce OIG status report has replaced the January 31, 2025 implementation snapshot

Use the January 31, 2025 award figures only as a dated baseline. A current application or board paper should cite the latest official publication and identify the date and qualification attached to every dollar amount.

Planning checklist

  • Describe the U.S. facility, process, products, and added capacity in one consistent project boundary.
  • Separate fabrication, assembly, testing, packaging, materials, equipment, and R&D activities.
  • Classify costs for direct funding, debt financing, and section 48D independently.
  • Document private capital, cash timing, debt service, and tax capacity.
  • Track each asset’s placed-in-service date.
  • Maintain technical, financial, procurement, and tax records from the beginning of construction.
  • Review foreign transactions throughout the 10-year recapture period.
  • Replace historical program figures with the latest official status data before making a current funding claim.
