Under federal rules, a Super PAC may raise unlimited money from many kinds of donors and spend without an amount limit on qualifying independent expenditures. It may not use that money to contribute directly to federal candidates or committees, and its spending must remain independent of candidates, campaigns and party committees. “Unlimited” describes fundraising and independent spending—not permission to fund every activity or accept money from every source.
What a Super PAC is under federal rules
The Federal Election Commission (FEC) describes a Super PAC as a political committee that makes only independent expenditures. The label is therefore about how the committee may spend, not simply how much money it can raise. A Super PAC can collect unlimited contributions for independent political activity, but it must keep its spending within that independent-expenditure model.
An independent expenditure is a communication that expressly advocates the election or defeat of a clearly identified candidate and is not made in consultation or cooperation with, or at the request or suggestion of, a candidate, authorized committee, agent or political party committee. The FEC’s page Understanding independent expenditures provides this definition. The communication must meet both parts: it must contain the required express advocacy and it must be independent.

A communication that does not satisfy the definition may be subject to different rules. The unlimited-spending permission applies to qualifying independent expenditures, not to any expense a committee chooses to describe as political.

What a Super PAC can do
Raise unlimited contributions from permitted sources
According to the FEC’s Contributions to Super PACs and Hybrid PACs guidance, Super PACs may solicit and accept unlimited contributions from individuals, corporations, labor organizations and other political committees. The amount is not capped under the rule that applies to this type of committee, but the donor still has to be an eligible source.
Spend without an amount limit on qualifying independent expenditures
A Super PAC may spend without an amount limit on independent expenditures that meet the federal definition. The spending can support election or defeat of a clearly identified candidate, provided the communication is not coordinated with the candidate, campaign or party committee. The FEC notes that independent expenditures may carry reporting requirements even though they are not subject to an amount limit.
Solicit for independent political activity
The fundraising permission is for independent activity. That allows a Super PAC to raise funds to pay for its own qualifying communications and other independent political activity consistent with its committee status. It does not create an exception that lets the committee transfer the funds to a candidate or use campaign coordination to turn independent spending into campaign support.
What a Super PAC cannot do
Contribute its funds directly to federal candidates or committees
A Super PAC is not a channel for unlimited donations to a candidate. The FEC’s Super PAC registration guidance describes the committee as one that will not use its funds to make direct, in-kind or coordinated-communication contributions to federal candidates or committees. Its special fundraising freedom is paired with this restriction.

That restriction also explains why a Super PAC cannot simply pay a campaign’s bill or provide something of value to a campaign while treating the expense as its own independent spending. If a communication or other support is coordinated, it can be treated as an in-kind contribution rather than an independent expenditure. The legal characterization depends on the applicable rules and facts, not on the committee’s label for the transaction.
Accept contributions from every possible source
Unlimited contribution amounts do not override source prohibitions. The FEC identifies foreign nationals, federal contractors, national banks and federally chartered corporations among sources barred from contributing to Super PACs. The permission for corporations and labor organizations is therefore not a blanket rule covering every entity, every donor or every political committee.
Coordinate with campaigns while claiming independent-expenditure treatment
A Super PAC cannot make a communication independent merely by paying for it separately. If the federal coordination test applies, the communication can become an in-kind contribution, subject to contribution limits; corporate- or labor-funded coordination can result in a prohibited contribution. The test is not reduced to whether campaign staff and a committee spoke about a particular advertisement.

The FEC’s coordination framework considers three parts: payment, content and conduct. In practical terms, the analysis looks at who paid for the communication, what it says or concerns, and the interaction between the payer and the candidate, campaign or party committee. The relevant regulation and the details of the communication determine how those parts apply.

Payment
The payment element concerns who financed the communication. A Super PAC paying for a message is not enough on its own to establish independence. The source of payment is one part of the test, to be considered alongside the message and the conduct surrounding it.
Content
The content element focuses on what the communication says or concerns. Whether it qualifies as an independent expenditure turns on the federal definition, including express advocacy for election or defeat of a clearly identified candidate. Content can also matter under the coordination rules; the fact that a message is publicly available or paid for by a separate committee does not answer the full question.
Conduct
The conduct element concerns interactions between the payer and a campaign or party committee. Because the rules take account of the nature of the communication as well as the parties’ conduct, neither “they talked” nor “they did not talk” is a complete legal test. A specific arrangement should be assessed against the applicable FEC regulation and facts rather than a simplified rule of thumb.

For compliance decisions, the FEC’s guidance is an entry point, not a substitute for the statute, regulations, advisory opinions and applicable court decisions. The FEC itself directs readers to those controlling authorities. A committee facing a live question about a proposed communication or contact should get qualified legal advice before acting.

Who may donate, and what donor limits still matter?
For an eligible source, a Super PAC may accept contributions without an amount limit. The FEC expressly lists individuals, corporations, labor organizations and other political committees as sources that may contribute to Super PACs. That list must be read together with source prohibitions: money from a barred source does not become permissible because the committee will use it for independent spending.
The practical distinction is between the amount of an otherwise permissible contribution and whether that source is allowed to contribute at all. The FEC guidance identifies foreign nationals, federal contractors, national banks and federally chartered corporations among prohibited sources. It does not support the broader claim that every corporation or union can contribute in every circumstance.

A Hybrid PAC is related to a Super PAC but is not interchangeable with one. The FEC describes a Hybrid PAC as maintaining a non-contribution account that may accept unlimited funds for independent expenditures and certain other independent activity, alongside a separate account subject to contribution limits and source prohibitions that may make contributions to federal candidates.

This account distinction is why a Hybrid PAC’s unlimited fundraising permission should not be attributed to its candidate-contribution account. Registration and reporting: the public-accountability side
Super PACs have registration and disclosure obligations. Under the FEC’s registration guidance, a committee crosses the political-committee threshold when its contributions or expenditures exceed $1,000 in a calendar year, and it must register within 10 days after crossing that threshold. The $1,000 figure is a registration trigger, not a limit on how much the Super PAC may raise or spend.
Political committees report independent expenditures on Schedule E. Depending on the circumstances, additional 24-hour and 48-hour reports may also be required. The applicable filing obligation and deadline depend on the expenditure and circumstances; the threshold alone does not supply every reporting deadline.
Registration and reporting are separate from the independence requirement. A committee may meet a filing obligation and still need to comply with the substantive rules governing permissible donors, candidate contributions and coordination. Conversely, the fact that an expenditure is not subject to an amount limit does not remove its reporting requirements.

How to assess a proposed Super PAC activity
For a basic federal-rule screening, identify the activity and account for each part of the decision rather than relying on the phrase “unlimited money.” This sequence is not a legal opinion, but it helps expose the questions that the FEC framework makes relevant.
- Identify the payer and the activity. Confirm that the spending is by a Super PAC and determine whether it is a communication or another form of political activity. Do not assume every political expense qualifies as an independent expenditure.
- Check the communication’s content. For an independent expenditure, ask whether the communication expressly advocates election or defeat of a clearly identified candidate. If not, the specific independent-expenditure definition described here may not fit.
- Review contacts and conduct. Examine interactions involving the payer, candidate, authorized committee, agents and party committee under the FEC’s coordination framework. Payment, content and conduct all matter.
- Verify donor eligibility. Before accepting a contribution, consider both the amount rule for the committee and source restrictions. Unlimited contribution amounts do not make a prohibited source permissible.
- Determine the filing obligation. Track contributions and expenditures against the calendar-year registration trigger, then determine the applicable committee reports and any additional independent-expenditure deadlines.
- Get advice for close questions. Where a proposed communication, contact or contribution depends on detailed facts, consult current controlling authorities and qualified counsel rather than relying on a general summary.
Where these rules apply
This explanation concerns federal campaign-finance rules described in FEC materials. It does not establish what a Super PAC may do under every state or local election law. A committee operating in a state or local election should check the rules governing that jurisdiction as well as any federal rules that apply to its activity.
