Yes—new Strategy (Nasdaq: MSTR) class A common shares dilute an existing holder’s percentage ownership and voting power if that holder does not buy additional shares. The effect is different for each security: preferred stock usually adds senior dividend and liquidation claims without immediately increasing the common share count; convertible securities can become common shares later; and an at-the-market (ATM) authorization is only a maximum program size, not proof that all shares have been sold. Whether an offering harms or helps value per MSTR share depends on the sale price, fees, obligations created, and what Strategy does with the proceeds—not on the share count alone.
What “dilution” means for an MSTR shareholder
Direct ownership dilution is a denominator problem. If you own 100 MSTR shares and Strategy issues more class A common shares, your 100 shares represent a smaller percentage of the company unless you participate in the issuance. The same arithmetic reduces your proportion of voting power.
That does not automatically mean your investment loses value per share. An issuance can raise cash that purchases assets or supports operations. The relevant economic question is whether the value created, after issuance costs and new obligations, exceeds the value transferred to the new investors. Market price can rise, fall, or remain unrelated to the mechanical change in share count.

Keep three concepts separate:
- Direct percentage dilution: more class A shares reduce an unchanged holder’s ownership percentage.
- Potential dilution: a debt or preferred instrument may convert into class A shares in the future.
- Economic dilution: value per common share can decline if new capital and the claims attached to it do not add enough value for common holders.
Strategy’s own filings caution that its bitcoin-related metrics are “not indicative or predictive of the trading price of the Company’s securities.” Treat those measures as management metrics, not a forecast for MSTR.

How each type of Strategy offering affects common shareholders
Class A common stock sold through an ATM
When Strategy sells new MSTR shares, total common shares increase immediately when those shares settle. An existing holder who does not buy the same proportion owns a smaller slice of the company. ATM programs let the company sell over time, subject to market price and volume conditions, rather than in one fixed offering.
The price paid matters. Selling shares above the value attributable to each existing share can be accretive on some measures; selling below it can transfer value to new buyers. Fees, taxes, and the assets purchased with the proceeds also affect the result. A headline program amount is not a completed sale.
Preferred stock
A preferred offering generally does not add class A common shares on the issue date. It does, however, add a security with contractual dividends and claims that rank ahead of common equity in relevant distributions and liquidation. Common shareholders therefore face a larger set of senior claims before residual value reaches them.

Bitcoin acquired with proceeds from non-convertible preferred stock can increase a bitcoin-per-share-style metric while also increasing the senior claims that metric does not show.
Convertible debt or preferred stock
A convertible instrument combines a debt or preferred claim with a right, or a mandatory mechanism, to receive common shares under specified conditions. Before conversion, interest, dividends, maturity terms, and priority affect the capital structure. On conversion, the class A share count can expand and dilute existing holders.

Strategy’s STRK announcement describes the security as convertible into class A common stock. The exact conversion price, triggers, adjustment provisions, settlement method, and ranking come from the applicable prospectus and certificate of designation; do not infer them from the ticker alone.
Dividends paid in common shares
Strategy states that perpetual preferred dividends may be paid in cash and that STRK dividends may be paid by issuing class A common stock. A dividend settled in new MSTR shares creates a direct common-share increase even though the original financing was preferred stock. A cash dividend does not increase the common count, but it still reduces cash available for other purposes.
ATM authorization versus shares actually issued
Strategy can announce a maximum ATM capacity and then use only part of it. To measure dilution, look for settled shares or principal actually sold, gross and net proceeds, the reporting cut-off date, and the remaining capacity. Do not treat an authorization as if it were an issuance.
In its October 12, 2026 capital-markets update, Strategy listed MSTR, STRF, STRC, STRK and STRD as Nasdaq securities and STRE on the Luxembourg exchange. The release places detailed current ATM figures in an image; the text alone does not establish those table values, so they should not be transcribed or inferred. It says net proceeds from MSTR sales funded bitcoin purchases. It also describes the USD Reserve as intended to support preferred dividends and interest on outstanding indebtedness, while USD Cash may support broader bitcoin-treasury and capital-management purposes. As of October 11, 2026, the company reported a USD Reserve of $4.88 billion and USD Cash of $640.5 million. Read the October 12, 2026 update.
Reported issuance and proceeds: dated snapshots
The following figures are company-reported snapshots with different as-of dates. They should not be combined as though they describe one day or one share count.

These figures come from Strategy’s fourth-quarter 2025 and second-quarter 2026 results. The fourth-quarter 2025 release reports the common-share and STRE figures, while the second-quarter 2026 release reports the Q2 and July 26 totals.
Historical ATM capacity is not current capacity
As of February 1, 2026, Strategy reported approximately $8.1 billion remaining under its common-stock ATM program, approximately $20.3 billion under STRK, $1.6 billion under STRF, $4.0 billion under STRD, and $3.6 billion under STRC. Those are historical capacity figures, not the amount still available on October 16, 2026 or on any later date.
The same February report said Strategy sold approximately $4.4 billion of gross proceeds from 24,769,210 class A shares during the quarter ended December 31, 2025, then approximately $3.4 billion from 20,205,642 additional class A shares between January 1 and February 1, 2026. Capacity falls as sales occur and can change when programs are amended, suspended, or replaced. Check the dated filing and release before using a capacity figure.
What the proceeds can—and cannot—tell you
Strategy says net proceeds from MSTR sales funded bitcoin purchases. That use of funds explains why management may issue shares even when dilution is visible: the company is exchanging newly issued equity for cash and then for an asset. It does not prove that every new bitcoin produces value for common shareholders.
For preferred and debt-funded purchases, include the obligations created by the financing. Strategy’s Q2 2026 disclosure says bitcoin bought with debt or non-convertible preferred proceeds can improve bitcoin-per-share-related KPIs while increasing indebtedness and senior claims. Those metrics do not account for all existing and future liabilities or preferred holders’ rights to dividends and liquidation assets.

The company reported a $3.75 billion USD Reserve as of July 26, 2026, which it characterized as covering approximately 2.1 years of preferred dividends and interest. By October 11, 2026, it reported a $4.88 billion USD Reserve and $640.5 million USD Cash. The dates differ, so the figures are not a trend line or a like-for-like performance comparison.
Management also disclosed two statements useful for interpreting the capital structure. President and Chief Executive Officer Phong Le said, “Our objective is for STRC to trade over time at $99 to $100.” Chief Financial Officer Andrew Kang said, “Our BTC Hurdle ARR of 10.8% represents our current effective cost of credit.” These are management statements about objectives and financing cost, not guarantees of market prices or returns.
A practical worksheet for evaluating any new offering
Use one row per security and one common as-of date. The company’s investor-relations page links to financial documents, offering documents, and return-of-capital information. Open Strategy’s investor-relations documents page.
- Identify the instrument. Record whether it is class A common, STRF, STRC, STRK, STRD, STRE, debt, or another security. Note the exchange and legal issuer.
- Separate authorization from execution. Write down the maximum program size, then separately record shares or principal actually sold and settled by the reporting date.
- Capture gross and net proceeds. Gross proceeds are before commissions and expenses. Net proceeds are the cash remaining for the stated purpose.
- Record the sale period and cut-off. A quarterly total, a through-date total, and a current press release can cover different windows.
- Map the common-share impact. Add settled common shares immediately; add only the potential shares supported by conversion terms for a convertible instrument.
- Map senior claims. Record dividend rates, interest, maturity, liquidation preference, ranking, and whether payments can be made in MSTR shares.
- Check the use of funds. Determine whether proceeds went to bitcoin purchases, reserves, debt repayment, working capital, or another purpose.
- Reconcile with the controlling document. Use the prospectus, registration statement, certificate of designation, and SEC filing for the operative terms rather than relying on a headline release.
For STRK specifically, Strategy’s March 10, 2025 announcement described a $21 billion STRK ATM program and conversion into class A common stock. The announcement is a starting point; later filings and the applicable offering documents control the terms. Read the STRK ATM announcement.
Common mistakes when estimating MSTR dilution
Counting the full authorization as issued shares
A $10 billion or $21 billion program does not equal $10 billion or $21 billion of completed sales. Use the actual settled share count or principal amount in a dated filing.

Using gross proceeds as investable cash
Commissions and offering expenses reduce net proceeds. A comparison that uses gross proceeds for one program and net proceeds for another overstates precision.
Calling preferred stock “no dilution”
Preferred stock may not increase common shares immediately, but it can impose recurring dividends and senior liquidation claims. If it is convertible, potential common dilution must also be modeled.
Ignoring share-paid dividends
When a preferred dividend is paid in MSTR shares, the common denominator expands. Check the designation and filing for the permitted payment method and calculation.
Treating a bitcoin KPI as common equity value
Bitcoin-per-share-style measures can omit debt and preferred seniority. They describe a selected metric, not the amount available to common shareholders after all claims.
Mixing dates
Do not place February capacity, July proceeds, and October reserves into one undated “current” table. Label every number with its owner, measurement date, and whether it is gross, net, authorized, or completed.
Where to verify the next update
For a current answer to “How many new MSTR shares has Strategy issued?”, start with the newest quarterly or current report and its share-count table. Then read the ATM sales disclosure for the period, the prospectus for each security, and any certificate of designation. When a press release embeds a table as an image, use the linked filing or document rather than reconstructing values from surrounding text. Confirm whether the reported amount is gross proceeds, net proceeds, authorized capacity, or settled issuance before calculating an ownership percentage.

Bottom line for MSTR holders
New class A shares directly reduce an unchanged holder’s percentage ownership. Preferred offerings shift value and priority through dividends and senior claims, and convertible instruments can add common shares later. Strategy’s ATM programs make issuance incremental, so only completed sales—not the authorization ceiling—belong in a dilution calculation. Finally, evaluate what shareholders received for the new capital and the obligations attached to it; share-count dilution alone is not a complete verdict on per-share value.
