You cannot assume that finding a willing buyer makes a private-company share transfer legal or possible. In the United States, first check the issuer’s governing documents and your signed agreements for consent requirements, a right of first refusal, co-sale rights, permitted-transferee exceptions, transfer notices and stop-transfer provisions. Then determine which federal resale exemption or registration route fits the security and transaction, satisfy any state-law requirements, and confirm that a buyer will accept the remaining restrictions. Even after all of that, there may be no buyer and no immediate liquidity.

Why private-company shares are difficult to sell

Private-company stock is not the same as publicly traded stock. There is usually no continuous exchange market, no standing bid and ask, and no guarantee that a company, platform or investor will purchase your shares. The Securities and Exchange Commission (SEC) describes a private secondary transaction as a sale by one investor to another investor, rather than a public-market trade. Its small-business guidance dated September 4, 2024, and reviewed or updated April 24, 2026, also emphasizes that private securities may be illiquid and not freely transferable.

Two separate questions control a proposed sale:

  • Does the company permit this transfer? A charter, bylaws, stock restriction notice, shareholder agreement, investor-rights agreement, option or award document, or purchase agreement may require notice, consent, board approval or a right of first refusal.
  • Does securities law permit this resale? A transaction needs registration or an available exemption under federal law, and state securities requirements may still apply.

Passing one test does not pass the other. A contractually permitted transfer can still fail securities-law requirements, while an exemption from registration does not override a contractual restriction.

Identify exactly what you own before looking for a buyer

Do not begin with a marketplace listing or an informal promise to sell. Assemble a fact sheet for the specific security. The following details can change both the company’s contractual response and the federal resale analysis:

  • Issuer’s legal name and the company’s governing state or country.
  • Class and series of stock, number of shares, and whether the shares are common, preferred, converted, exercised or still subject to an option or other condition.
  • How and when you acquired the shares, such as an employee grant, exercise, private placement, founder purchase, gift or prior transfer.
  • Whether the certificate, book-entry record or electronic account carries a restrictive legend or a stop-transfer instruction.
  • Whether you may be an affiliate, officer, director, control person or other person whose relationship with the issuer affects resale conditions.
  • Any vesting, repurchase, lock-up, escrow or company-repurchase terms that remain outstanding.

Keep the original purchase, grant, exercise and transfer records. A buyer and the company’s transfer agent may ask for them, and the acquisition date may matter to a Rule 144 holding period.

Read the company documents and signed agreements

Request the current versions, including amendments, of the charter, bylaws, stock restriction notices, shareholder or investor agreements, equity-plan documents and any agreement you signed when acquiring the shares. Search each document for these terms:

  • transfer, transferee and assignment
  • right of first refusal or ROFR
  • co-sale or tag-along
  • permitted transferee
  • consent, board approval and company approval
  • legend, restrictive legend and stop transfer
  • notice, response period, closing and remedies for a prohibited transfer

One SEC-filed agreement illustrates the mechanics but is not a universal template. In that example, the holder must send written notice identifying the proposed buyer, number of shares, price and material terms. The company or an assignee then has an option to buy under a ROFR. Another filed agreement includes board-consent and ROFR provisions, showing why a clause from one issuer cannot be treated as the rule for every company.

What a right of first refusal usually does

A ROFR generally gives the company, or another person named in the contract, an opportunity to match a bona fide proposed transaction before the outside buyer receives the shares. The actual document controls the matching price, permitted terms, response deadline, treatment of non-cash consideration and what happens if the proposed deal changes. Some agreements allow assignment of the company’s right to another investor; others do not.

Give the notice exactly as required. A notice that omits the buyer, price or material terms may not start the response period. Do not close with the outside buyer until the contractual period has expired or the company has delivered a written waiver or other confirmation required by the agreement.

Co-sale or tag-along rights

A co-sale provision can give specified holders the right to participate in a sale by another shareholder, often in proportion to their holdings. It may reduce the number of shares you can sell to your proposed buyer or require you to offer the same terms to the participating holders. The clause may include exceptions for permitted transfers, founder transfers or transfers below a stated threshold.

Consent, permitted transferees and stop-transfer controls

A consent clause may require approval from the board, the company or a specified class of holders. A permitted-transferee exception may allow a transfer to a trust, family member, affiliate or estate-planning vehicle, but it may impose continuing obligations or require the recipient to sign an agreement. A transfer agent can be instructed not to register a transfer that violates the issuer’s documents. These controls can prevent closing even when a buyer is ready and the securities-law route appears available.

How federal resale rules fit into the decision

The SEC lists several federal routes that can be relevant to a private resale, including Securities Act Section 4(a)(1), Rule 144, Sections 4(a)(3) and 4(a)(4), and Section 4(a)(7). The list is educational, not an eligibility determination. Each route has elements tied to the seller, issuer, security, buyer, transaction and manner of sale.

Possible route What it addresses Why it cannot be assumed
Section 4(a)(1) A statutory exemption for transactions by persons other than an issuer, underwriter or dealer. The facts must support the exemption; a private label or willing buyer is not enough.
Rule 144 A safe-harbor framework commonly considered for resales of restricted or control securities. Holding period is only one condition. Affiliate status, issuer information, volume, manner-of-sale and other requirements can matter.
Section 4(a)(7) A resale pathway involving accredited investors when its statutory conditions are met. Buyer status alone does not satisfy every condition, and company restrictions still apply.
Sections 4(a)(3) and 4(a)(4) Additional statutory exemptions identified in SEC educational guidance for particular resale circumstances. Their availability depends on transaction facts and the parties’ roles; counsel must confirm the fit.

Investor.gov gives general Rule 144 holding-period examples of one year for securities of an issuer that does not file periodic reports and six months for an issuer that does. Those are examples of the rule’s timing conditions, not a complete test and not a market statistic. The clock and other conditions can depend on how the shares were acquired, whether they are fully paid and held, the issuer’s reporting status, and whether the seller is an affiliate. Do not calculate eligibility from the holding period alone.

State securities law can add another layer

Federal analysis does not end the inquiry. The SEC explains that state securities laws may require registration or an exemption in some private resales, subject to federal preemption rules and the issuer’s status. State regulators can also investigate fraud, require notice filings or collect fees. The relevant state may be the issuer’s state, the seller’s state, the buyer’s state, or more than one, depending on the offering and transaction contacts. A securities attorney can identify the filings and antifraud obligations for the specific deal.

Ways a shareholder might seek liquidity

Available routes differ in control, timing and certainty. None is a promise that the company or a buyer will accept the shares.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Route Typical buyer or counterparty Key checks before pursuing it Liquidity certainty
Company tender offer or issuer repurchase The issuer or a company-affiliated purchaser. Whether the company has announced a program, which holders and share classes qualify, price and timing, corporate approvals, and any securities-law process. Potentially clearer if the company has formally committed, but availability, price and acceptance limits are company-specific.
Private secondary sale An investor buying directly from the holder, sometimes with a broker or marketplace intermediary. Transfer notice, ROFR, co-sale, consent, buyer eligibility, federal exemption or registration, state requirements, legends and closing conditions. Uncertain until an eligible buyer and completed closing exist.
Permitted transfer A transferee allowed by the governing documents, such as a trust or family vehicle. Definition of permitted transferee, continuing restrictions, required joinder or consent, and whether the transfer provides cash liquidity at all. Usually a change in ownership rather than a cash sale; document terms determine the result.

A marketplace listing is not liquidity. A broker or intermediary may help locate or screen potential investors, but it cannot waive a ROFR, remove a restrictive legend or create a securities-law exemption. Ask any intermediary how it handles issuer notice, confidentiality, accreditation, fees, transfer-agent coordination and failed transactions.

Can you contact potential accredited investors yourself?

There is no general rule that a shareholder must use a broker. A direct approach may be possible, but the communication and transaction still have to comply with the issuer’s documents and applicable securities law. “Accredited investor” is not a universal permission slip: some exemptions impose additional conditions on the buyer, seller, information supplied, solicitation, transaction size or intermediary involvement.

Before contacting anyone, ask securities counsel whether the planned outreach could be treated as a solicitation, whether a confidentiality agreement is appropriate, what information may be shared, and which exemption is being considered. Do not circulate a term sheet that promises freely tradable stock or represents that the company has approved a transfer when it has not.

A practical sequence from inventory to closing

  1. Build the ownership file. Collect the issuer, class, share count, acquisition records, legends, vesting status and any indication that you are an affiliate.
  2. Obtain current documents. Ask the company, plan administrator or transfer agent for the current charter, bylaws, restriction notices, shareholder agreements and equity-plan terms. Include amendments and side letters.
  3. Map the restrictions. Write down every notice, consent, ROFR, co-sale, permitted-transferee exception, deadline, response method and closing condition. Do not rely on an old summary or a prior financing term sheet.
  4. Ask the company who administers transfers. Confirm the required form of notice, supporting documents, valuation information, transfer-agent instructions and the person authorized to issue a waiver or consent.
  5. Choose a proposed transaction structure. Decide whether you are considering an issuer program, a private investor sale or a permitted transfer. Record the proposed buyer category, number of shares, price and material terms.
  6. Obtain a securities-law analysis. Have qualified counsel evaluate federal registration or exemption options, Rule 144 conditions if relevant, affiliate status, state-law requirements and any broker-dealer issues.
  7. Send contractual notice before committing. Follow the agreement’s delivery method and include the information it requires. Make any outside offer expressly contingent on company rights, legal clearance and closing conditions.
  8. Complete the response period and consents. Preserve written ROFR waivers, expired-option evidence, board approvals, co-sale elections and any required joinders.
  9. Confirm buyer understanding. Tell the buyer about restrictive legends, future transfer limits, information rights, company approval requirements and the possibility that the shares will remain illiquid.
  10. Close through the authorized process. Use the company or transfer agent’s required documents, payment method and registration instructions. Retain the executed agreement, notices, waivers and evidence of delivery.

Common failure points and how to correct them

“I found a buyer, so the sale is done.”

A signed expression of interest is not a completed or authorized transfer. Make the contract conditional, deliver the required notice and obtain the company’s response before accepting nonrefundable payment or representing that ownership has changed.

“The shares are old, so Rule 144 automatically applies.”

Age alone does not establish Rule 144 compliance. Confirm the correct acquisition and holding dates, issuer reporting status, affiliate status and every other applicable condition with counsel.

“The company cannot interfere with a private sale.”

ROFR, consent, co-sale and stop-transfer provisions can be enforceable contractual hurdles. Read the actual wording, including remedies and exceptions, rather than assuming a general right to sell.

“An accredited investor can buy anything.”

Accreditation may be one element of a resale exemption, but it does not eliminate company restrictions, state requirements, disclosure obligations or the buyer’s acceptance of restricted stock.

“A platform will handle compliance.”

An intermediary may coordinate parts of a transaction, but responsibility for accurate ownership information, authority to transfer and required approvals remains tied to the parties and documents. Obtain written confirmation of what the intermediary does and does not handle.

Will the buyer inherit the restrictions?

Often, yes. Investor.gov warns that restricted status can transfer to the buyer. A private purchase therefore may deliver stock that still cannot be resold freely, may carry a restrictive legend, and may require another exemption, company consent or future holding period. The buyer may also have to sign an agreement accepting the issuer’s transfer restrictions.

Put those limits in the purchase agreement and disclose them before pricing the deal. A buyer who expected public-market liquidity may withdraw, demand a lower price or require a closing condition tied to legend removal. The issuer or transfer agent, not the seller alone, generally controls whether its records are updated and whether a legend can be removed under the applicable process.

When professional advice is worth the cost

Consult qualified securities counsel before soliciting buyers when the documents conflict, the seller may be an affiliate, the transaction involves several states, the buyer is outside the United States, the shares came from an employee plan, a ROFR deadline is approaching, or the proposed deal includes non-cash consideration. Counsel can coordinate with the company, transfer agent and any broker, identify the exemption or registration path, and document why the closing conditions were satisfied.

For a straightforward case, prepare the ownership file and document map first. That makes a legal consultation more efficient and exposes missing records before a buyer is involved. No adviser can guarantee a buyer, a price or a company waiver; the practical outcome still depends on demand and issuer cooperation.

Bottom line

To seek liquidity, treat a private-company share sale as a coordinated contract and securities-law process. Verify what you own, read the current restrictions, follow notice and ROFR procedures, establish a federal and state-law path, and disclose that the buyer may receive restricted stock. A direct investor, broker or secondary marketplace can be a route to a transaction, but none can substitute for company approval where the documents require it or guarantee that a buyer exists.
