No. Approval-in-Principle (AIP) from Nigeria’s Securities and Exchange Commission (SEC) is not a full, unconditional or permanent licence. It means the exchange has met the SEC’s admission requirements for the Accelerated Regulatory Incubation Programme (ARIP) and may operate only within the programme’s defined scope and conditions. The SEC says that operation remains conditional on continued compliance with regulatory, operational and supervisory obligations.
For a customer, AIP is evidence of a defined provisional regulatory status—not a guarantee that every token, product or future service offered by the exchange has been approved. You must verify the operator’s current SEC record and understand what the particular approval covers.
What does SEC conditional approval mean for a crypto exchange in Nigeria?
The SEC uses Approval-in-Principle to identify an entity admitted to ARIP. The Commission’s August 2026 announcement states: “An Approval-in-Principle confirms that an entity has satisfied the Commission’s requirements for admission into the Programme.” That admission permits activity inside the programme’s specified scope, subject to conditions imposed by the SEC.

The same announcement sets the critical limit: “Please Note that it is not a final licence and remains conditional on the entity’s continued compliance with all applicable regulatory, operational, and supervisory obligations.” In practical terms, the exchange has passed an entry assessment for a supervised incubation framework. It has not received a blanket authorization for all digital-asset activities, nor has it reached the same stage as final registration.

What AIP establishes
- The entity satisfied the SEC’s stated requirements for admission to ARIP.
- The entity can operate within the scope and conditions defined by the SEC for the programme.
- The entity is subject to continuing regulatory, operational and supervisory requirements.
What AIP does not establish
- It is not a final licence.
- It is not unconditional or permanent permission.
- It does not automatically approve every token, trading feature, custody arrangement, payment method or investment service the exchange might later advertise.
- It does not prove that the operator has completed final registration unless a current SEC record expressly says so.
What is the Accelerated Regulatory Incubation Programme?
ARIP is a controlled regulatory environment created by the SEC to assess digital-asset and investment-service business models and technologies while maintaining safeguards for investors and market integrity. Incubation allows the regulator to supervise a business model in operation, learn how its controls work in practice and impose conditions as risks or gaps become clearer.
That purpose matters because a crypto exchange can combine several different activities: matching buyers and sellers, holding customer assets, facilitating transfers, listing tokens, providing investment information and connecting to payment services. Admission to an incubation programme does not turn all of those activities into one approved package. The relevant question is always what the SEC has permitted for that entity within ARIP.
ARIP is a defined perimeter, not a blanket clearance
The SEC’s description of ARIP focuses on testing business models and technology in a controlled setting. Therefore, an exchange should be treated as authorized only for the activities covered by its approval and any associated conditions. The public announcements reviewed do not provide the bespoke approval letter or the complete conditions for each operator, so a reader should not infer a particular exchange’s exact services from its AIP status alone.
Is SEC approval-in-principle a full licence?
No. The stages have different meanings and should not be used interchangeably.

Because the SEC can update its records and make additional admissions, the date of an announcement is part of the evidence. A 2024 report of provisional approval cannot, on its own, establish the operator’s status in 2026.

What obligations continue after an exchange receives AIP?
Conditional approval is ongoing. The SEC expressly ties continued operation to all applicable regulatory, operational and supervisory obligations. Those obligations can include requirements imposed by the programme, by SEC rules and by other applicable Nigerian law. The public material does not set out a single universal checklist or disclose identical conditions for every participant, so it would be inaccurate to invent one.
Regulatory compliance
The exchange must continue meeting the SEC’s requirements for the activities it is allowed to conduct. If the regulatory framework changes, the operator may need to adapt its processes, disclosures or services. AIP should therefore be read as a status that depends on continuing compliance, not as a one-time examination that permanently settles the question.
Operational controls
Operational obligations concern how the business functions, including the systems and processes used to deliver the approved service. The SEC’s wording makes these obligations a condition of ongoing operation. The individual controls, thresholds and reporting duties for a named exchange are not stated in the public summaries cited here; obtain the operator’s approval terms or the SEC’s specific record before drawing conclusions.
Supervisory engagement
ARIP is expressly supervisory. The SEC can assess the model and technology in a controlled environment and can require the participant to address issues identified during that oversight. AIP therefore does not mean the exchange is outside regulatory scrutiny; supervision is part of the status.
Which Nigerian exchanges have been associated with ARIP?
The SEC’s current directory lists Busha and Quidax as digital-asset exchanges in ARIP. The International Monetary Fund’s July 2025 paper records that both received Approval-in-Principle in August 2024 and describes that status as provisional authorization preceding full registration.

Those dates are useful milestones, not a permanent list. SEC announcements in July and August 2026 reported additional Virtual Asset Service Provider (VASP) admissions. Consequently, do not describe Busha and Quidax as the only firms admitted, and do not treat an older article as a complete account of the current cohort.
What the public listings do not tell you
- The exact services approved for each exchange.
- The detailed conditions in an individual approval letter.
- Whether a particular participant has subsequently completed final registration.
- Whether every token or related service available through the platform falls under the same regulatory treatment.
Those points require the current SEC record and, where available, the operator’s approval documents.
How to verify an exchange’s status before using it
Use the SEC’s own records as the starting point and record the date you checked. A listing is evidence of inclusion in the SEC’s FinTech incubation ecosystem; it is not a substitute for final registration.
- Identify the exact legal operator. Check the company name in the exchange’s terms, account-opening documents and customer-support responses. A brand name may not be the same as the regulated entity.
- Check the SEC directory. Look for the operator in the SEC’s current directory and confirm that the entry identifies it as a digital-asset exchange or other relevant VASP category. Save the page or note the access date because the directory is dynamic.
- Read the status wording. Distinguish “Approval-in-Principle,” “ARIP,” “provisional” and “final registration.” Do not silently convert one term into another.
- Check the date and later announcements. Compare the directory entry with newer SEC statements. An announcement from August 2024 may not describe the operator’s position after later regulatory action.
- Ask what the approval covers. Request the approved service scope and any public conditions. If the operator cannot identify the relevant SEC record, treat marketing language cautiously.
- Confirm through official SEC channels when the decision matters. For substantial funds or a disputed status, seek confirmation from the Commission rather than relying only on an exchange’s website or social-media post.
How to describe a listing accurately
A careful description is: “The SEC directory lists the exchange in ARIP with Approval-in-Principle.” An inaccurate description would be: “The exchange has a full SEC licence for all crypto services.” The first statement preserves the programme and its limits; the second adds permissions the public evidence does not establish.
Why an exchange’s AIP does not classify every token
Operator status and asset classification are separate questions. An exchange may be admitted to ARIP while the legal treatment of an individual token, offering or service must still be assessed under the applicable SEC instruments.

The SEC’s 2020 classification statement is historical context, not a complete current framework. The Commission’s rules index points to later rules covering VASPs and digital-asset exchanges and notes that the 2025 Act repealed the 2007 Act. Use the current SEC rules and instruments for the particular asset and activity instead of presenting the 2020 statement as the final answer for every token.
Questions that require a separate analysis
- Is the token or offering treated as a security, commodity or another category under the current Nigerian framework?
- Is the exchange providing trading, custody, transfer, issuance, investment advice or another service?
- Does the exchange’s approval cover that specific activity?
- Are additional approvals or obligations triggered by the product, customers or transaction structure?
An AIP answers only the operator’s admission question within ARIP. It does not resolve these asset- and activity-specific questions by itself.

Calling AIP a licence
“Licence” suggests a completed and unconditional authorization. The SEC specifically says AIP is not a final licence. Use “Approval-in-Principle,” “ARIP admission” or “provisional authorization” when that is what the record states.
Assuming all exchange features are approved
An exchange can add or change products. Unless the SEC record identifies the feature, do not infer that staking, lending, derivatives, token issuance, custody or another service is covered merely because the platform has AIP.

Regulatory directories change. Check the live entry and later SEC announcements, and retain the date of your check. A historical listing can establish that an admission occurred at one time but cannot prove the present status without an up-to-date record.

Confusing operator approval with customer protection
AIP reflects regulatory admission and supervision; it is not a promise that customers cannot lose money, that every asset is safe or that losses will be reimbursed. Assess the product’s risks and the exchange’s contractual terms separately.
What customers should ask an exchange with AIP
Before depositing funds, ask for clear, written answers to the following:
- What is the exact legal entity named in the SEC record?
- Is the current status AIP under ARIP, final registration, or another category?
- Which services and asset types are within the approved scope?
- What happens if the operator’s conditions change or its status is withdrawn?
- Which entity holds customer assets and handles complaints?
- Where can the current SEC record and the operator’s disclosures be checked?
These questions do not turn AIP into a guarantee. They help you distinguish a verifiable regulatory status from a broad marketing claim and identify information that is not established by the directory alone.

SEC conditional approval means an exchange has been admitted to Nigeria’s Accelerated Regulatory Incubation Programme after satisfying the SEC’s entry requirements. It may operate only within the defined programme scope and conditions, while remaining subject to continuing regulatory, operational and supervisory obligations. It is not a full licence, not permanent permission and not approval of every token or service. Check the SEC’s current directory and official announcements, verify the exact operator and approved scope, and treat the status as provisional until the Commission records a later registration.
