Before buying Colliers International Group Inc. subordinate voting shares (CIGI on Nasdaq and the Toronto Stock Exchange), assess six linked risks: commercial-real-estate cyclicality, acquisition-led growth and integration, debt capacity, Investment Management fundraising and performance, unequal voting rights, and the uncertainty of management guidance. Colliers is diversified across Commercial Real Estate, Engineering and Investment Management, but diversification does not remove its dependence on property markets, client spending, capital availability, skilled employees and successful acquisitions.
The evidence below is a risk framework, not a buy-or-sell recommendation. The official figures cited are dated to Colliers’ fiscal year ended December 31, 2025, or to its February 20, 2026 filings; they do not establish a current share valuation, post-February 2026 results, a probability for any risk or whether every announced transaction has closed.
What Colliers does—and why the business mix matters
Colliers is an Ontario-incorporated public company whose subordinate voting shares trade as CIGI on Nasdaq and the Toronto Stock Exchange. It reports three operating segments:
Recommended Free Tools
- Commercial Real Estate: transaction advisory, Capital Markets, Leasing, valuation, debt finance, property management, loan servicing and outsourcing.
- Engineering: multidisciplinary consulting and project management.
- Investment Management: asset-management activities operated through Harrison Street Asset Management.
This is not a pure-play brokerage. Transaction fees can rise or fall with deal volumes, while engineering contracts, outsourcing, property services and management fees can provide different revenue patterns. However, every platform still depends on economic activity: clients must authorize projects, investors must commit capital, properties must generate fees, and Colliers must retain specialized staff. A diversified mix can moderate one shock without insulating the company from a broad slowdown in real estate, construction, credit or business investment.

1. Commercial real estate is a material cyclical exposure
How rates and credit affect revenue
Commercial real estate transactions require financing, acceptable pricing and enough confidence for buyers and sellers to close. Colliers’ risk disclosures identify rising interest rates, economic, fiscal or political uncertainty, market volatility and disruption in global capital or credit markets as factors that can hurt operations. Tighter credit can reduce transaction volumes and demand for Capital Markets services. Higher borrowing costs can also make projects uneconomic or cause clients to delay decisions.
The effect on an advisory firm is not limited to a lower number of completed sales. A transaction may be postponed, renegotiated or abandoned after months of work, reducing the timing and amount of fee revenue. Leasing assignments can also slow when companies shrink space, defer expansion or negotiate shorter or less valuable lease terms. A company with a large pipeline can therefore still experience weak quarterly revenue if closings move into a later period.
Property values, vacancy and liquidity
Colliers also identifies commercial real estate and other real-asset values, vacancy, liquidity, pricing and capitalization-rate movements as risks. A rise in capitalization rates generally lowers the value implied by a given property income stream, although the relationship varies by asset type, location and financing structure. Lower valuations can reduce transaction consideration and financing demand, increase the gap between buyers’ and sellers’ expectations, and make refinancing more difficult.
Quick wins for a faster PC:
Clear out junk files and repair common Windows errorsFree Scan →Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Vacancy can affect several parts of the model at once. It can reduce leasing activity in a weak market, pressure property-management or outsourcing demand, and weaken the financial condition of owners that are clients or counterparties. Liquidity is equally important: an asset may have a stated valuation but still take longer to sell if few buyers can obtain financing at the owner’s asking price.
What diversification does—and does not—solve
Engineering and Investment Management may not move in lockstep with brokerage commissions, but they remain exposed to the same macro environment in different ways. Engineering clients can defer projects, while management fees can fluctuate with asset values, fundraising and fund performance. The practical question is not whether one segment is “recurring” in isolation; it is how much of each segment’s revenue remains durable when clients cut budgets, capital becomes scarce and property markets become less liquid.
2. Acquisition-led growth can raise both opportunity and execution risk
Separate organic growth from acquired revenue
Colliers reported fiscal 2025 revenue of $5.56 billion, up 15% year over year. In the company’s local-currency analysis, acquisitions contributed 10 percentage points of growth and internally generated revenue grew 5%. Those figures describe different engines. Acquired revenue reflects businesses purchased during the period or included for a greater portion of the period; internal growth reflects activity generated by operations already owned. Treating the 15% headline increase as entirely organic would overstate the evidence of underlying demand.
When reviewing future results, compare reported growth with the contribution from acquisitions, currency translation and internally generated growth. A smaller organic rate does not make an acquisition strategy wrong, but it means investors must judge whether the acquired businesses can produce acceptable returns after purchase costs, financing, integration spending and employee incentives.

The Ayesa transaction is a dated, conditional assumption
In February 2026, Colliers disclosed an agreement to acquire Ayesa Engineering for approximately $700 million, subject to customary closing conditions. The company expected a second-quarter 2026 closing and included the anticipated impact in its outlook. That statement is a forward-looking expectation from the February filing, not confirmation that the transaction closed, that the purchase price was unchanged, or that integration met plan.
For any large transaction, examine the final closing announcement and subsequent financial statements. Key questions include whether the acquired company brings the expected margins and cash conversion, whether employees and clients remain, whether acquired debt or working-capital needs are larger than anticipated, and whether systems and reporting can be integrated without disrupting existing operations.
Purchase accounting can obscure the economic return
Acquisitions create identifiable intangible assets and goodwill. Intangible-asset amortization can reduce GAAP earnings even when management presents an acquisition as strategically attractive. Earnouts or contingent consideration can create additional liabilities or expense adjustments. Financing used to complete a deal adds interest cost, and a transaction that increases revenue but earns a low return on invested capital can destroy value despite appearing accretive to sales.
Investors should therefore track the purchase price, incremental operating profit, integration costs, amortization, interest expense, cash flow and eventual return on invested capital. The right comparison is not “more revenue versus less revenue”; it is the durable cash earnings produced relative to the total resources committed.

3. GAAP earnings and adjusted measures can tell different stories
Colliers’ 2025 comparison
| Measure | 2025 | 2024 | How to interpret it |
|---|---|---|---|
| GAAP diluted EPS | $2.02 | $3.22 | Net earnings per diluted share under accounting rules |
| Adjusted EPS | $6.58 | $5.75 | Company-defined non-GAAP measure requiring reconciliation |
Colliers said higher amortization associated with acquired intangibles and higher interest from acquisition financing weighed on GAAP earnings. The prior-year comparison also benefited from a reversal of contingent acquisition consideration. These items help explain why GAAP diluted EPS fell while Adjusted EPS increased.
Why the reconciliation matters
Adjusted EBITDA and Adjusted EPS can help investors compare operating trends when acquisition accounting creates large non-cash charges or unusual items. They are not GAAP, and they are not interchangeable with net income, diluted EPS or cash flow. The exclusions can recur when Colliers continues acquiring companies, incurs integration costs or records acquisition-related amortization.
Read the company’s reconciliation each period rather than accepting the label “adjusted” as a proxy for cash earnings. Check whether adjustments exclude costs that are genuinely one-time, or whether similar charges recur as part of the operating model. Then compare adjusted profit with operating cash flow, capital expenditure, interest paid, taxes and acquisition spending. A widening gap can signal that reported adjusted growth is not translating into funds available for debt reduction, dividends or reinvestment.

4. Debt, liquidity and acquisition financing
Position at December 31, 2025
| Metric | Reported amount | Qualification |
|---|---|---|
| Net indebtedness | $1.43 billion | Company figure as of December 31, 2025 |
| Net debt / pro forma Adjusted EBITDA | 2.0x | Company-defined covenant measure at December 31, 2025 |
| Debt-agreement maximum leverage | 3.5x | Maximum ratio under the relevant debt agreement |
| Unused revolving credit | $1.16 billion | Available capacity reported at that date, subject to facility terms |
| Revolving facility maturity | February 19, 2031 | Five-year term after the company’s amendment |
Colliers reported compliance with its covenants and said it expected to remain compliant based on its outlook. A 2.0x covenant ratio against a 3.5x maximum indicates headroom under that specific measure at that specific date. It does not guarantee that future earnings will support the same ratio, that lenders will provide all undrawn capacity in every circumstance, or that the company can fund acquisitions, dividends and investment simultaneously without trade-offs.
Liquidity is different from solvency
Liquidity asks whether the company can meet near-term cash needs, including payroll, interest, working capital and maturities. Solvency asks whether the overall debt burden is supportable over time. A revolving facility and cash balance can provide liquidity while leverage still rises if earnings fall or acquisitions add debt. Conversely, a company can have acceptable long-term solvency but face a short-term funding squeeze if credit markets close.
Interest rates matter twice: they can increase Colliers’ financing cost and weaken clients’ ability to transact. If acquired earnings arrive later than expected, or if a downturn reduces Adjusted EBITDA, the numerator in the leverage ratio can rise while the denominator falls. Investors should monitor debt maturities, floating-rate exposure, covenant definitions, cash interest, free cash flow and acquisition consideration—not only the unused revolver figure.
Acquisition funding creates a capital-allocation choice
Colliers used cash and borrowing for 2025 acquisitions and said it expected to use those resources for future acquisitions, including Ayesa. Each dollar directed to a purchase is unavailable for debt repayment, dividends or organic investment. The central risk is not simply “having debt”; it is whether management can earn a return above the financing and integration cost while preserving enough flexibility for an adverse cycle.
5. Investment Management depends on fundraising and performance
Total AUM is not the fee base
| Investment Management measure | 2025 or year-end 2025 result | What it represents |
|---|---|---|
| Revenue | $532.3 million | Segment revenue reported for 2025 |
| Adjusted EBITDA | $214.8 million, down 1% | Company-defined segment profitability measure for 2025 |
| Total AUM | $108.2 billion | Assets under management at year-end |
| Fee-paying AUM | $54.2 billion | Assets identified as generating fees under the applicable arrangements |
Total AUM is a scale indicator, not the same thing as the asset base on which fees are charged. Fee-paying AUM can change because of subscriptions, redemptions, asset sales, valuation movements and fee terms. A headline increase in total AUM may therefore produce little additional revenue if the incremental assets are not fee-paying or carry lower rates.
Fundraising and investment returns
Colliers’ disclosures state that revenue, earnings and cash flow can fluctuate with fee changes linked to market movements in perpetual funds. Poor fund performance could materially affect the business, while capital raising and fee structures depend on satisfactory performance. Weak returns can make institutional clients less willing to commit new capital, delay fundraising and increase pressure on fees.
When assessing this segment, review fundraising by strategy, net flows, fee rates, incentive or performance fees, investment performance and the concentration of major clients. Also distinguish market-driven AUM changes from net new commitments. A rising stock market can lift AUM without a single new dollar being raised; the reverse can happen during a market decline.

6. Unequal voting rights affect minority shareholders
Two classes, different influence
Colliers’ Annual Information Form states that Multiple Voting Shares carry 20 votes per share, while Subordinate Voting Shares carry one vote per share. It also states that Jay S. Hennick controlled all Multiple Voting Shares from 1990 through the filing date.
This structure can limit the ability of subordinate shareholders to influence director elections, major transactions or other matters requiring a shareholder vote. Economic ownership and voting control are not necessarily proportional. The issue is governance influence, not an allegation of misconduct: a controlling holder may have a long-term perspective, but minority investors have less ability to change the board or strategy if their interests diverge.
The stated sunset date
The AIF describes a commitment to eliminate the dual-class structure no later than September 1, 2028. “No later than” is a stated timeline, not evidence that the conversion has already occurred. Investors should read the applicable share terms and subsequent filings for the mechanics, conditions and any amendments to that transition.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.7. Talent, technology, regulation and external shocks
People and compensation
Colliers identifies compensation as its largest expense in its discussion of inflation. If wages rise faster than revenue or contract pricing, the company may be unable to recover the increase on multi-year agreements. Competitive compensation is also necessary to recruit and retain brokers, engineers, project managers, fund professionals and technology specialists. Losing experienced employees can damage client relationships and reduce the capacity to deliver work even when demand exists.
Technology, cyber and insurance
The company’s disclosures flag artificial-intelligence and machine-learning effects, cybersecurity, information-technology adaptation, insurance costs and incidents. Technology can improve productivity, but it can also change service models, intensify competition or require costly upgrades. A cyber incident can interrupt operations, expose confidential client information, trigger remediation and insurance costs, and harm trust. Insurance may not cover every loss or may become more expensive after a major event.
Foreign exchange and geographic exposure
Colliers reports exposure to currencies including the Canadian dollar, euro, Australian dollar and pound sterling. Translation can change reported revenue and profit even when local operations are stable; transaction timing and hedging arrangements can affect the economic result. Geographic diversification reduces dependence on one country but adds currency, legal, tax and political complexity.

Regulatory, climate and political risks
Licensing and other regulatory compliance are essential in brokerage, engineering, property services and investment management. Climate change, pandemics, political events, trade policy and immigration policy can alter construction activity, labor availability, operating costs and client demand. These risks are difficult to model precisely because they can be correlated with the same economic conditions that affect transactions and fundraising.

8. How to evaluate CIGI before making an investment decision
- Confirm the latest reporting date. Start with the newest annual report, quarterly filing, results release and material-event disclosures. Do not assume the February 20, 2026 outlook remains the latest guidance.
- Map the revenue mix. Identify the current contribution from Capital Markets, Leasing, valuation, debt finance, property services, outsourcing, Engineering and Investment Management. Ask which activities are transaction-based, contract-based or tied to AUM and performance.
- Reconcile growth. Compare reported revenue growth with internally generated growth, acquisition contributions and foreign-exchange effects. A rising total can conceal weak demand in the businesses already owned.
- Read GAAP and non-GAAP together. Review net income, diluted EPS, Adjusted EBITDA and Adjusted EPS with the reconciliation. Track amortization, contingent consideration, integration costs, interest and operating cash flow.
- Stress the balance sheet. Recalculate leverage using a lower EBITDA scenario, higher interest rates and additional acquisition spending. Compare debt maturities and cash requirements with revolver availability and covenant definitions.
- Test Investment Management quality. Separate total AUM from fee-paying AUM, market appreciation from net fundraising, and base fees from performance-related revenue. Examine retention and returns across major strategies.
- Review acquisition evidence. For each material purchase, follow the purchase price, funding source, closing status, acquired margins, retention, amortization, goodwill and post-close cash generation.
- Check governance terms. Confirm the current voting rights, controller ownership and progress toward the stated September 1, 2028 dual-class sunset.
- Build a downside case. Consider lower transaction volumes, wider capitalization rates, weaker leasing, delayed engineering projects, slower fundraising, currency movements and higher compensation or insurance costs occurring together.
9. How much confidence should investors place in the 2026 outlook?
In its February 20, 2026 MD&A, Colliers forecast mid-teens growth in 2026 revenue, Adjusted EBITDA and Adjusted EPS. The forecast included an expected contribution from Ayesa and remained subject to closing conditions and other assumptions. Management also warned that the outlook could change.
That guidance is useful as a set of assumptions to test, not as a guarantee. Compare the forecast with actual quarterly transaction volumes, interest rates, credit availability, acquisition timing, currency movements, employee costs and Investment Management fundraising. If Ayesa closes later than expected, closes on different terms or contributes less than planned, the forecast’s implied growth rate may change. The same applies if property markets weaken or financing costs rise.
Colliers’ Annual Information Form cautions: These factors should be considered carefully and readers should not place undue reliance on the forward-looking statements.
That is the company’s own warning, dated February 20, 2026, and it is especially relevant when a forecast includes an uncompleted acquisition.
10. What the disclosed risks do not quantify
Colliers’ official disclosures identify potential sources of harm but do not assign a probability or expected dollar loss to each risk. They also do not, on the information considered here, establish a current CIGI valuation, a price target, post-February 2026 quarterly performance or the eventual closing and integration result for Ayesa.
The absence of a quantified probability is not evidence that a risk is immaterial. It means investors must use current filings, segment trends, debt data, governance documents and their own assumptions to decide how much uncertainty they can tolerate. A disciplined analysis records the assumption, the evidence supporting it and the observable event that would invalidate it.
Bottom-line framework for a prospective buyer
CIGI combines transaction-sensitive real estate services with Engineering and Investment Management, giving investors several earnings drivers but also several ways for a downturn to spread. The principal tests are whether organic demand is healthy beneath acquisition growth, whether acquired businesses earn attractive returns after financing and amortization, whether leverage remains flexible through a weaker cycle, whether fee-paying AUM and fundraising support Investment Management, and how much voting influence a subordinate shareholder actually has before the stated 2028 sunset.
Use the December 31, 2025 debt and operating figures as a baseline rather than a promise, and treat the February 2026 mid-teens outlook as conditional and dated. The investment case is more robust when it still works under lower transaction volumes, slower fundraising, higher costs and delayed acquisition benefits—not only under management’s stated scenario.
