AI infrastructure stocks combine cloud-demand potential with the risks of building and financing data centers, buying specialized hardware and keeping that capacity full. Nebius is an especially clear example: its AI cloud is growing quickly, but the company says it is still early-stage, capital-intensive and not yet profitable. Investors therefore face execution, funding, utilization, supplier, power, regulatory, cybersecurity, dilution and governance risks—not simply the risk that AI enthusiasm fades.
The most useful way to assess the shares is to connect reported growth to the assets and obligations required to produce it. Check whether contracted customers become paying, deployed workloads; whether power and GPUs arrive on schedule; whether utilization and pricing cover depreciation, electricity, colocation, interest and replacement costs; and whether expansion can be financed without excessive dilution.
Why AI infrastructure stocks carry a different risk profile
Nebius Group N.V., headquartered in Amsterdam, operates the Nebius full-stack AI cloud and also owns or operates other businesses and investments, including Avride, TripleTen, ClickHouse and Toloka. Its Class A ordinary shares trade on Nasdaq Global Select Market. The company’s most detailed risk discussion is in its 2025 Form 20-F filed April 30, 2026.
An AI cloud provider must commit capital before usage is certain. It buys GPUs, reserves power, builds or leases facilities, connects networks and hires technical staff. Revenue then depends on customers sending enough workloads at prices that exceed those costs. That creates operating leverage in both directions: strong utilization can absorb fixed costs, while idle or obsolete capacity can produce losses even when reported revenue is rising.

Nebius also includes businesses and equity investments outside the core cloud operation. Results can therefore reflect investment valuations, foreign-exchange movements and other accounting items as well as recurring cloud economics.
Buildout, capital intensity and financing
Nebius states that its business is capital-intensive and currently not profitable. The company says continued operation and growth depend substantially on raising additional equity or debt financing on acceptable terms. A weak financing market, higher interest rates, restrictive covenants or a fall in the share price could make expansion more expensive or unavailable. New shares or equity-linked securities would reduce existing holders’ ownership percentage.
“Our business is capital-intensive and currently not profitable, and our ability to continue to operate and to grow will depend in large part on our ability to raise additional equity or debt financing,” the company says in its 2025 Form 20-F.

The interim balance sheet reported $8,042.1 million in cash and cash equivalents at June 30, 2026. That is a point-in-time amount, not a promise that all planned sites and equipment are funded. Cash must be assessed against purchase commitments, construction obligations, leases, debt service and the pace at which new capacity is energized.
On July 17, 2026, Nebius announced an approximately $775 million senior secured debt facility backed by deployed GPU infrastructure and contracted customer cash flows. The announced maturity is October 31, 2030, with pricing of SOFR plus 2.50%. The terms describe one financing transaction; they do not establish that future borrowing will be available at the same price or that the pledged assets will generate the expected returns. What to monitor in the funding model
- Capital expenditure on servers, networking, buildings and fit-outs.
- Committed leases, construction contracts and minimum colocation payments.
- Debt maturities, interest expense, collateral and covenant headroom.
- Customer prepayments and the obligations attached to those advances.
- New share issuance, employee equity awards and equity-linked borrowing.
- The difference between cash on hand and the capital required to reach stated capacity goals.
Customer demand, utilization and contract economics
Nebius warns that it may not attract or retain customers, expand existing relationships or convert interest into longer-term contracted revenue. AI spending can change quickly as model architectures, training methods and inference workloads evolve. Sales cycles may be unpredictable, customers may negotiate lower prices, and some may build their own capacity instead of renting it.
Installed GPUs earn an acceptable return only when they are available, technically suitable and used at adequate prices. A site can be “sold” in a broad capacity plan yet generate disappointing economics if deployment is late, workloads are intermittent, power costs rise or a customer cancels. Utilization, realized price per GPU-hour or equivalent unit, gross margin and cash collected are more informative than bookings alone.

Large contracts reduce some risks but create concentration questions
Nebius’s Q4 2025 shareholder letter describes multi-year arrangements with Microsoft and Meta and says the first Microsoft tranche and both Meta tranches had been delivered on time as of that letter. This management report supports the existence of substantial deployments, but investors still need to examine delivery milestones, pricing, prepayment, cancellation and renewal terms where disclosed. Concentration in a few customers can make a quarter or a new data-center phase dependent on one counterparty’s budget and technical schedule. The letter is management’s account, not an independent contract review.
Ask whether contracted revenue is take-or-pay, how quickly a customer can reduce usage, who bears power or hardware-cost changes, and whether GPUs can be redeployed if a project ends. Those details determine how much protection a contract provides in a weaker demand cycle.
GPU supply, technology transitions and obsolescence
Nebius identifies Nvidia as its GPU supplier and says reliance on a limited number of suppliers exposes it to constrained availability, supplier prioritization, price and delivery changes, technology transitions, export restrictions and disruptions in suppliers’ own supply chains. A delayed shipment can postpone customer commitments; a more expensive shipment can compress margins.

Hardware generations also create timing risk. A newer accelerator may deliver better performance or energy efficiency, making an older system less attractive to customers before it has been fully depreciated. The filing does not establish one fixed useful life or a specific loss for every GPU generation, so investors should not assume that all equipment retains value uniformly.
Questions for a hardware-sensitive business
- How many GPUs are ordered, delivered, installed and revenue-producing?
- What proportion uses the latest generation versus prior generations?
- Are purchase commitments cancellable, and who bears delays or defects?
- Can software, networking and facility design support a hardware refresh without a long outage?
- What depreciation period and impairment tests are being applied?
Power, construction and operating reliability
AI data centers require large, reliable electricity supplies. Nebius says growth depends on obtaining sites, construction services and power at sufficient capacity and acceptable terms. Delays in permitting, grid interconnection, building work or equipment delivery can leave expensive GPUs idle. Cost overruns, failed service providers, outages, water constraints or leases for more space than customers need can reduce returns.
The company reported approximately 170 MW of active power at 2025 year-end. Its Q4 2025 shareholder letter reported more than 2 GW of contracted power at that time and management expected more than 3 GW contracted power and 800 MW to 1 GW connected power by the end of 2026. These are different measures:

The 2026 capacity figures are management expectations from the shareholder letter, not completed results. Compare the same definition, geography and date when evaluating another operator; contracted megawatts at one company should not be compared directly with active megawatts at another.
Competition and changing AI economics
The 20-F names specialized AI-cloud competitors CoreWeave, Crusoe and Lambda, and general-purpose cloud competitors AWS, Google Cloud Platform, Microsoft Azure and Oracle. Larger rivals may have more financing, hardware purchasing power, sales reach and geographic coverage. Customers can also use several providers or build internal clusters.

Competition can pressure prices even when demand is growing. AI models that require less computation could reduce demand for some services or shift it toward different hardware. Conversely, high demand does not guarantee attractive shareholder returns: the result depends on utilization, achieved prices, electricity and colocation costs, financing, depreciation, deployment speed and replacement spending.
A practical comparison framework

Regulation, geopolitics and cybersecurity
Nebius says AI services and data centers face evolving rules covering artificial intelligence, privacy, cybersecurity, sustainability and export controls. Requirements can differ by jurisdiction. A new restriction on advanced hardware, data transfer or AI services could prevent a deployment, increase compliance costs or limit which customers can be served. Non-compliance can bring investigations, litigation, penalties or forced changes to operations.
The filing also identifies cyberattacks, physical security, human error, outages and dependence on third-party providers. A security incident can interrupt workloads, expose customer data, trigger contractual claims and damage trust at the same time. Investors should watch disclosures about material incidents, service-level credits, insurance, regulatory inquiries, local opposition and power or water restrictions.

The company said the year-over-year change in net income was affected by a gain from revaluing its ClickHouse investment in the prior-year comparison, while operating losses and interest expense increased as infrastructure expanded. That means headline net income is not a clean measure of recurring cloud profitability.

Likewise, operating cash inflow included substantial customer prepayments, reflected in the increase in deferred revenue. Those advances can provide funding, but they represent services the company still owes. Compare cash collected with recognized revenue, delivery obligations and future capital spending rather than treating the inflow as proof of profitable operations.
The annual filing also highlights quarterly variability, estimates of infrastructure values and useful lives, foreign-exchange and tax effects, and internal-control weaknesses. Review the notes and auditor disclosures for changes in assumptions, impairments, restatements or control remediation.
Share-price, dilution and governance risks
Even if the cloud operation performs well, the stock can lose value. Nebius says its share price may be volatile because the industry is emerging and there are relatively few comparable listed companies. Valuation can change faster than operating results when investors revise assumptions about AI demand, interest rates, competition or financing.
The company expects to issue additional equity or equity-linked securities from time to time. Dilution reduces an existing investor’s percentage ownership and can offset per-share benefits from business growth. Concentrated voting power held by the founding shareholder can also limit minority investors’ ability to influence directors, capital allocation, acquisitions or other corporate matters.
How to investigate the risks before buying
- Read the latest annual and interim filings. Start with the 2025 Form 20-F and reconcile risk disclosures with debt, leases, commitments, segment results and control findings.
- Separate capacity stages. Record active, connected and contracted power in different columns, with the date and geography for each figure.
- Trace contracts into cash. Compare reported bookings and customer announcements with recognized revenue, deferred revenue, receivables, prepayments, delivery milestones and concentration.
- Calculate a full cost view. Include electricity, colocation, networking, staff, depreciation, interest, maintenance and GPU replacement—not just the purchase price of servers.
- Stress-test utilization and price. Model lower occupancy, delayed energization, falling prices, a customer cancellation and a more expensive refinancing.
- Check funding runway and dilution. Compare cash, operating burn, investing outflow, debt maturities and planned capacity with likely financing needs.
- Review non-operating items. Identify investment revaluations, foreign exchange, tax effects and one-time gains before judging recurring earnings.
- Assess governance. Read voting-rights disclosures, related-party transactions, equity compensation and the practical influence of minority shareholders.
What management targets do—and do not—tell you
In its Q4 2025 shareholder letter, CEO Arkady Volozh said the group expected to end 2026 with ARR of $7 billion to $9 billion and would focus on scaling capacity, customer commitments, its AI cloud platform and strategic capital raising. The statement is management guidance, not an independently verified forecast. Test it against delivered capacity, customer contracts, recognized revenue, utilization, margins and financing terms as later filings arrive. The letter is available as a company PDF.
Bottom line for investors
Nebius offers exposure to expanding AI-compute demand, but shareholders are financing an execution project as much as buying an established cloud utility. The central risks are that capacity arrives late or becomes obsolete, customers use less than expected or demand lower prices, financing and dilution absorb the gains, and regulation or outages interrupt operations. Rapid revenue growth and large power or ARR targets should be weighed against operating losses, capital needs, contract quality, utilization and per-share economics. A disciplined comparison uses identical definitions and dates for every operator and treats management targets as scenarios to verify, not results already earned.
