Act immediately, but first identify exactly what happened. A late payment, a smaller noncompeting continuation, a suspension, a termination, and a discontinuation at the end of an approved budget period are different actions with different deadlines, cost rules, and review rights. Obtain the written notice, check the award terms, and route the response through your institution’s sponsored-research office or equivalent authorized official.
This guide covers federal financial-assistance awards, not procurement contracts. Agency rules, the notice of award, amendments, supplemental terms, and the current notice control. The information is general and is not individualized legal advice; involve institutional counsel when the stakes or facts warrant it.
Identify the funding action before deciding what to do
Do not treat every funding problem as a termination. The label in the agency’s written communication determines which process to use. If you have only a phone call or an unexplained payment interruption, ask your institutional grants official to obtain a formal status and the governing reason.

NIH describes withholding of support as a noncompeting continuation that is not made within the current competitive segment. Its listed reasons include inadequate federal funds, unsatisfactory progress, failure to meet previous award terms, or the government’s interests. A withholding appeal is not a universal right: NIH specifically identifies an appeal when the withholding is based on failure to comply with a previous award’s terms.
Your first 24 hours
1. Obtain the complete written notice
Save the letter, email, attachments, cited regulations, revised budget, and any system notification. If the document is incomplete, have the institutional grants office request the missing rationale, effective date, affected activities or budget lines, required corrective action, review rights, submission address, and deadline. Record when the organization received the notice; some periods run from receipt, while others run from the date stated in a letter.

2. Put the authorized organization in charge
The university, nonprofit, hospital, or other legal recipient generally controls the official response. Notify the principal investigator, sponsored-research or grants-and-contracts office, authorized organizational representative, finance office, department leadership, and counsel as appropriate. A researcher can supply the technical record, but should not promise an agency that an individual will file or settle the matter without confirming institutional authority and award terms.
3. Build a deadline calendar
Enter every date from the notice and create an earlier internal deadline for review and approval. Distinguish “after receipt” from “after the decision letter.” Confirm the delivery rule, whether weekends or holidays affect computation, the required recipient, and whether electronic filing, postmarking, or another method is required. A 30-day period appears in several agency procedures, but it is not a universal federal rule.

4. Ask focused questions in writing
- Is this a final decision, a proposed action, or an administrative payment hold?
- Which award number, budget period, activities, and funds are affected?
- What corrective action or additional information would resolve the issue?
- May the recipient continue work, issue subawards, pay personnel, or draw already incurred costs?
- How will costs incurred before and after the effective date be treated?
- Where and how must a correction, reconsideration request, or appeal be filed?
Ask the agency contact to confirm answers by email or in a follow-up letter. Keep the institutional record, not just a personal mailbox, as the authoritative file.
Build the factual record and protect the award
Evidence checklist
- Original notice of award, amendments, approved budgets, special terms, and applicable agency guidance.
- All progress, financial, and other required reports, including submission receipts and agency comments.
- Approved protocols, compliance approvals, milestone records, deliverables, and prior corrective-action correspondence.
- Payroll records, purchase orders, invoices, subaward documents, vendor commitments, participant obligations, and other outstanding liabilities.
- A dated chronology showing submissions, approvals, agency contacts, changes in scope, and attempts to resolve concerns.
- Copies of the adverse notice and proof of the organization’s receipt.
Separate facts from argument. Identify what is undisputed, what the agency says happened, what the recipient contests, and which document proves each point. This makes it possible to correct a factual error without burying the agency in an unfocused narrative.

Control new spending
Stop treating the remaining balance as ordinary operating cash. Ask the grants officer and finance office before creating obligations after a suspension or termination effective date. NIH guidance says recipients should avoid new obligations unrelated to termination and cancel outstanding obligations as far as possible. NSF guidance generally disallows costs during suspension or after termination unless they could not reasonably have been avoided or eliminated, or the notice authorizes them, and the costs otherwise satisfy award rules.
Do not unilaterally move charges to another federal award. Use institutional accounting procedures to segregate incurred costs, pending invoices, unavoidable closeout expenses, and proposed new commitments. Obtain written agency or institutional guidance for ambiguous payroll, procurement, travel, subaward, animal-care, participant-support, data-storage, and facility costs.

Work with institutional leadership on payroll continuity, personnel notices, participant or animal protections, clinical or safety obligations, vendor cancellation terms, subaward communications, equipment and data preservation, records retention, and orderly closeout. A pending review does not guarantee that operations or spending can continue, and a different grant or private bridge fund is not automatically available or allowable as a substitute.

Agency procedures and deadlines are not interchangeable
The following examples show why the notice and controlling award must be read before selecting a response path.

NIH and HHS
NIH’s remedies guidance describes suspension, termination, and withholding of support. For many noncompliance cases, NIH generally suspends first so the recipient can correct the problem, but it may terminate immediately when necessary, including circumstances involving a serious deficiency that threatens public health or welfare. NIH policy also recognizes termination when an award no longer effectuates program goals or agency priorities to the extent permitted by law.
NIH’s appeals guidance identifies specified appealable post-award determinations, including certain recipient-noncompliance terminations, some unallowable-cost determinations, and withholding a noncompeting continuation for failure to comply with a prior award. Follow the official and method named in the adverse notice; do not assume that every reduction or scientific disagreement is appealable.

NSF
NSF’s PAPPG Chapter XII dispute guidance describes a normal notice-and-correction sequence for suspension or termination, with an exception when immediate action is considered necessary to protect government interests. NSF says a normal suspension remains in effect for a maximum of 60 days to permit corrective action.
NSF also states that a termination notice remains effective while a review request is pending. Its cost rule is therefore operationally important: during suspension or after termination, costs are generally unallowable unless they could not reasonably have been avoided or eliminated, or the notice authorizes them, and they otherwise meet award requirements. NSF guidance calls for a progress summary and itemized accounting within 30 days after the termination date. Check the current PAPPG and supplemental policy notices, including notices affecting awards on or after December 8, 2025, and January 22, 2026.
Department of Education
The Department’s reconsideration procedure distinguishes a termination that takes effect on the date in the letter, usually the same day, from discontinuation after the current approved budget period. The termination route uses the calendar period shown in the table above; a discontinuation request must meet the number of days specified in the letter. Use the Department’s own instructions rather than borrowing an NIH or NSF form or deadline.

Prepare a correction, reconsideration request, or appeal
- Name the decision precisely. Quote or accurately identify the award number, action, effective date, cited authority, and affected portion of the award.
- State the requested result. Examples include rescission, correction of a factual error, restoration of a continuation, permission to complete specified work, reconsideration of a cost determination, or an orderly closeout instruction. Request only relief the agency has authority to grant.
- Answer each stated reason. Use a separate heading for each allegation or condition. Provide dates, responsible offices, relevant approvals, and a short explanation of how the evidence resolves the issue.
- Attach an indexed record. Number exhibits, identify the page supporting each material assertion, and include reports, receipts, approvals, correspondence, and corrective-action evidence that the notice or agency rules call for.
- Explain practical consequences without overstating them. Describe personnel, participants, safety, data, subaward, and closeout effects, while distinguishing unavoidable obligations from discretionary new spending.
- Obtain institutional approval and file exactly as directed. Confirm signature authority, delivery method, receipt confirmation, and whether the agency requires a duplicate to another office.
- Continue compliance while waiting. Meet unaffected reporting and recordkeeping duties, monitor the response status, and follow any correction plan or accounting instruction.
A request for review does not automatically pause an adverse action. NSF expressly says its termination notice remains in effect while review is pending; other agencies may apply different rules stated in the notice or governing policy.

If a payment is late
Have the grants office verify the payment request, drawdown status, payment-system error, required reports, and any agency hold. Reconcile the award ledger and short-term obligations, but do not call the event a termination until the agency issues or confirms a formal action. Ask whether the agency needs corrected banking, reporting, or recipient information and obtain an expected resolution date in writing.
If a continuation is smaller or withheld
Compare the new notice with the approved budget period and current competitive segment. Ask whether the reduction reflects available federal funds, progress, prior-award compliance, or a programmatic decision. Determine whether the agency’s rules make this basis reviewable; NIH’s identified withholding appeal is tied to failure to comply with a previous award, not every funding reduction. Rebudget only through authorized institutional and agency channels.
If the award is suspended
Read the scope of the suspension: it may affect support, particular activities, or specified costs rather than every operation. Identify the corrective action, evidence required, and response date. Freeze avoidable obligations, preserve records, and ask what work is necessary to protect participants, animals, data, equipment, or other assets.
If the award is terminated
Confirm whether the termination is partial or whole and whether it is agency-initiated, recipient-initiated, or mutual. Freeze new discretionary commitments at the effective time, seek instructions for unavoidable costs, prepare required progress and financial information, and calendar the agency-specific review route. Start closeout planning even if the organization intends to challenge the decision.

- New obligations are controlled and incurred, unavoidable, and discretionary costs are separated.
- Reports, approvals, commitments, correspondence, and a dated chronology are preserved.
- The response follows the agency’s required format, channel, signature, and delivery rule.
- Operations and closeout plans address people, participants, animals, vendors, subawards, data, equipment, and records.
