Market capitalization equals a company’s current public share price multiplied by its total outstanding shares. It is a snapshot of the market value investors assign to the company’s equity at a particular time—not Nvidia’s cash balance, annual sales, assets, debt, or a guaranteed measure of whether the stock is cheap or expensive.
For NVIDIA, the latest located filing reports 24.1 billion common shares outstanding on August 21, 2026. That share count must be paired with a price from a stated time before you calculate a market cap. NVIDIA also reported approximately $4.0 trillion of non-affiliate voting-stock market value on July 25, 2025, but that dated, limited disclosure is not a current total-market-cap quote.
The market-cap formula, in plain English
The U.S. Securities and Exchange Commission’s Investor.gov glossary defines market capitalization as “the value of a corporation determined by multiplying the current public market price of one share of the corporation by the number of total outstanding shares.” The calculation is:

Suppose a hypothetical company has 1 billion outstanding shares and its stock trades at $50. Its market capitalization is $50 billion. That is an illustration, not a calculation of NVIDIA’s value.
Both inputs matter. The share price can change every second during market hours, while the share count changes when a company issues shares, repurchases them, withholds shares for employee taxes, or completes another capital action. A market-cap number without a price timestamp and a share-count date is incomplete.
What NVIDIA’s published figures actually tell you
The latest located share-count snapshot
NVIDIA’s Form 10-Q for the quarter ended July 26, 2026, reports 24.1 billion common shares outstanding as of August 21, 2026. This is the most recent share-count snapshot located here. It is not a synchronized “today” market cap because the filing date and any stock-price timestamp may differ.

During that quarter, NVIDIA reported 32 million shares issued, 12 million withheld for taxes, and 94 million repurchased. Those movements show why a share count is a dated fact rather than a permanent constant.
The approximately $4.0 trillion figure
NVIDIA’s FY2026 Form 10-K reports approximately $4.0 trillion of aggregate market value for voting stock held by non-affiliates as of July 25, 2025, using the Nasdaq closing sales price on that date. The disclosure excludes shares held by directors and executive officers and concerns non-affiliate voting stock, not an intraday quote for every outstanding share.

That $4.0 trillion amount is therefore historical and scoped. It should not be presented as NVIDIA’s current total market capitalization, and it should not be combined with a share count from another date as if the two figures formed one calculation.
Another dated share count
The FY2026 Form 10-K separately states that 24.3 billion shares were outstanding as of February 20, 2026. Because that date differs from both the July 25, 2025 market-value disclosure and the August 21, 2026 10-Q count, each figure must retain its own date and scope.

- Choose the price timestamp. Decide whether you are using the latest trade, a market close, or another clearly defined time. Record the date, time zone, exchange and currency.
- Find an appropriately dated outstanding-share count. Use a company filing or another source that states whether the number is basic common shares outstanding and the date to which it applies. Do not silently substitute a much older count for a current one.
- Put both figures in matching units. Convert millions to billions or dollars to millions before multiplying. A price of $100 multiplied by 24.1 billion shares produces a result in dollars, not in “per-share” units.
- Multiply and label the result. State the price time, share-count date and whether the result represents all outstanding shares or a narrower scope.
- Check for corporate actions. Review recent filings for stock issuance, repurchases, tax withholdings, mergers or splits that could make an older count misleading.
For NVIDIA, a defensible calculation would explicitly say that it uses a specified NVDA price at a specified time multiplied by the 24.1 billion shares reported outstanding on August 21, 2026. Without the contemporaneous price, no single current dollar amount can be stated from the dated filings alone.
Why a stock split changes the units, not the aggregate capitalization
NVIDIA says it completed a ten-for-one stock split in June 2024. In a split, each old share is exchanged for ten new shares and the per-share price is adjusted proportionally. If the company’s total economic value and market conditions are otherwise unchanged, ten times as many shares at one-tenth the price produce the same aggregate market capitalization.
The split can make historical per-share prices look dramatically different. When comparing charts, prices or share counts across the split, confirm that the data has been adjusted consistently. Comparing an unadjusted pre-split price with a post-split share count can create a tenfold arithmetic error even though the company’s aggregate equity value did not change merely because of the split.

What market cap measures
A point-in-time value of traded equity
Market cap represents what public investors, in aggregate, are valuing the company’s outstanding equity at the chosen price. It is an observable market snapshot. It can rise because the share price rises, because the company has more shares outstanding, or both. It can fall for the opposite reasons.
A size measure for broad comparisons
Market capitalization lets readers distinguish a very large public company from a smaller one using a common equity-value measure. Indexes, portfolio mandates and market commentary often use market-cap categories. The measure is useful for describing scale, but scale alone says nothing about the return an investor will earn from the current price.
What market cap does not measure
It is not revenue or profit
Revenue is the money a company reports from selling products and services over a period. Net income and operating income measure accounting profitability. Market cap is neither of those figures and does not reveal how much NVIDIA sold or earned in a particular quarter.
It is not cash, assets or book value
NVIDIA’s cash, investments, property, equipment and other assets appear on its financial statements. Market cap is the market value of equity and does not equal the accounting value of those assets. A company can have a large market cap and a very different book value.
It is not debt-adjusted enterprise value
Enterprise value is a separate comparison measure that starts with equity value and adjusts for debt, cash and sometimes other claims. Market cap by itself does not include that adjustment. Two companies with similar market caps can have materially different debt and cash positions, producing different enterprise values.

It is not the cost of buying the entire company
Multiplying the quoted price by outstanding shares does not guarantee that an acquirer could purchase every share at that price. A takeover may require a premium, and an acquirer would also consider debt, cash, employee awards, transaction expenses and regulatory constraints. Market cap is a quoted-equity measure, not a complete acquisition invoice.
It is not proof of cheapness, expensiveness or safety
A large number can describe a company that investors expect to grow rapidly, a company whose price has risen faster than its fundamentals, or both. Market cap alone cannot establish an appropriate valuation, predict future returns or show that a stock is safe.
How to compare NVIDIA with another company
Use a comparison process that keeps the measurement basis consistent:
- Match the price date and time. A closing price from one day should not be compared with an intraday price from another.
- Match the share-count basis. Check whether both figures use total shares outstanding and whether the counts are from comparable dates.
- Adjust for splits and other corporate actions. Confirm that per-share prices and share counts use the same split convention.
- Choose the correct value concept. Use market cap when comparing equity value; use enterprise value when debt and cash should be part of the comparison.
- Pair size with operating measures. Examine revenue, earnings, cash generation, margins and balance-sheet data separately rather than treating market cap as a valuation ratio.
When dates cannot be matched, disclose the difference instead of presenting the figures as a same-day ranking. A comparison can still be useful, but readers should know that market prices and share counts may have moved between the observations.
Why a big market cap can move sharply
Because market cap is the product of price and shares, changes in either input affect the total. A price increase with a stable share count raises equity value. A repurchase can reduce the share count, partly offsetting a price increase; new issuance can increase the share count, partly offsetting a price decline.

NVIDIA’s FY2026 filing identifies competition, changing market needs and supply-demand mismatches among business risks. Those risks can influence expectations about future sales, margins and investment, which can influence the share price and therefore market capitalization. The market-cap formula records the result of trading; it does not explain or validate the underlying expectations.
Common mistakes and how to avoid them
Calling a dated filing figure “current”
A regulatory filing may contain the most authoritative number available for its reporting date, but it is not automatically a live quote. Put the date and scope directly beside every NVIDIA figure.
Mixing a historical value with a newer share count
The approximately $4.0 trillion non-affiliate value from July 25, 2025 and the 24.1 billion shares outstanding on August 21, 2026 are not synchronized inputs. Do not multiply or combine them to manufacture a current market cap.
Using float, affiliates or voting stock without saying so
Total outstanding shares, publicly tradable shares and non-affiliate voting stock can represent different populations. Identify the population used and avoid labeling a restricted-scope figure as total equity value.
Assuming the split created value
The June 2024 ten-for-one split changed the number printed on each share certificate and the per-share quotation. It did not, by itself, create additional aggregate value.
Treating market cap as an investment recommendation
Market capitalization describes size at a point in time. Deciding whether to buy, hold or sell requires analysis beyond this one measure, and the figures above do not support an investment recommendation.
A practical checklist for reading any NVIDIA market-cap headline
- What exact price and timestamp produced the figure?
- How many shares were used, and on what date were they outstanding?
- Does the figure cover all outstanding shares or only non-affiliate voting stock?
- Has NVIDIA completed a split, issuance or repurchase that affects comparability?
- Is the article discussing equity market cap or enterprise value?
- Does the conclusion distinguish company size from valuation quality and future performance?
No synchronized current market-cap statistic was verified for October 13, 2026 at 04:43:48 UTC. To publish a current amount, obtain a contemporaneous NVDA price and pair it with an appropriately dated share count, identifying both sources and times.
