M&A due diligence is the buyer’s structured test of whether a target company is worth the proposed price and can be acquired safely. Before closing, advisers examine the target’s legal ownership, financial performance, taxes, contracts, employees, technology, intellectual property, privacy and security, regulatory obligations, insurance, operations, and competitive position. The findings can change valuation, purchase-price adjustments, representations and warranties, indemnities, covenants, closing conditions, or the decision to close at all.
What M&A due diligence is meant to establish
Due diligence is not simply a request for every document a company has produced. It is an evidence-based check of the deal thesis: the assumptions about revenue, cash flow, customers, assets, technology, growth, liabilities, synergies, and risks that support the proposed transaction.
A buyer compares management explanations with primary records such as signed contracts, general ledgers, tax filings, employment files, source-code repositories, permits, insurance policies, and external registers. The aim is to identify facts that could impair value, delay closing, create post-closing liability, or make the planned integration more difficult than expected.
Material findings are converted into a transaction response. A recurring liability might lead to a lower price or escrow. A missing consent might become a condition to closing. An uncertain tax position might require a specific indemnity. A cybersecurity incident may require remediation, a representation with enhanced disclosure, or a decision not to proceed.

The main due-diligence workstreams
Corporate structure and legal rights
Legal diligence confirms that the seller owns what it proposes to sell and has authority to sign. Counsel typically verifies formation documents, capitalization tables, shareholder and option records, subsidiaries, organizational charts, board and shareholder approvals, liens, security interests, and powers of attorney.
The review also covers material litigation, threatened claims, judgments, settlements, licenses, permits, and regulatory registrations. The buyer checks whether assets are properly titled, whether contracts can be assigned, and whether any consent, notice, or change-of-control provision could be triggered by the transaction.
Financial statements and quality of earnings
Financial diligence tests whether reported performance is repeatable and whether the purchase-price model uses the right numbers. The buyer reviews audited statements where available, monthly management accounts, trial balances, bank statements, budgets, forecasts, revenue schedules, customer-level sales, accounts receivable aging, inventory, capital expenditure, and cash-flow history.

Pick the symptom - the matching free tool is one click away.
- Revenue recognition: whether revenue is recorded in the correct period and whether rebates, returns, credits, bundled services, or contract modifications are being deferred or accrued correctly.
- Quality of earnings: which earnings are recurring, which are one-time, and which depend on aggressive assumptions or unusual adjustments.
- Working capital: the normal level needed to operate and the target used for the closing adjustment.
- Debt and cash: loans, guarantees, factoring, restricted cash, earn-outs, leases, and covenant compliance.
- Hidden liabilities: unpaid bonuses, customer refunds, litigation reserves, purchase commitments, environmental obligations, and off-balance-sheet arrangements.
- Concentration: dependence on a small number of customers, suppliers, products, channels, or geographies.
Forecasts are compared with historical conversion rates, signed orders, churn, pricing, capacity, headcount plans, and industry conditions. A forecast is not accepted merely because management prepared it; its assumptions must be traceable to evidence.
Tax exposure and attributes
Tax diligence covers every jurisdiction in which the target operates, owns property, employs people, sells goods or services, or has a filing obligation. The buyer requests federal, state, local, or national income-tax returns; payroll and withholding filings; sales, use, goods-and-services, or value-added tax returns; property-tax records; transfer-pricing documentation; tax audits; notices; and correspondence with taxing authorities.

Reviewers look for arrears, unrecorded accruals, nexus created by remote employees or sales, worker-classification issues, payroll withholding failures, indirect-tax collection gaps, uncertain tax positions, and limitations on the use of net operating losses or other tax attributes. The transaction structure determines whether historic liabilities stay with the target, are assumed by the buyer, or are addressed through a tax indemnity or purchase-price adjustment.
Commercial contracts and customers
Material customer, supplier, distributor, franchise, lease, research-and-development, technology, cloud, data-processing, marketing, confidentiality, exclusivity, non-compete, and indemnity agreements are reviewed for economics and restrictions. A contract matrix records term, renewal, termination, pricing, service levels, minimum commitments, geographic scope, assignment rights, audit rights, liability caps, insurance requirements, and change-of-control language.

Supplier diligence tests single-source exposure, price escalators, capacity, sanctions or export restrictions, and the practical ability to substitute vendors. A contract that appears profitable can become a liability if consent is required or if an uncapped indemnity follows the buyer.
Employees, executives, and benefits
The people review starts with a current employee census showing role, location, status, start date, compensation, bonus or commission arrangements, equity, visa status, and reporting line. The buyer evaluates key-person dependence, retention risks, succession, collective-bargaining or works-council obligations, and the cost of harmonizing benefits.
Documents include employment and contractor agreements, incentive plans, option grants, employee handbooks, benefit plans, payroll records, immigration files, workplace investigations, labor claims, restrictive covenants, and separation arrangements. Classification, overtime, paid-leave, wage, discrimination, harassment, and privacy compliance can create liabilities that are not visible in the income statement.

Technology, intellectual property, privacy, and cybersecurity
For a technology-enabled target, this workstream can determine whether the core product may legally be used, modified, transferred, and commercialized. The buyer traces ownership of patents, trademarks, copyrights, domain names, trade secrets, source code, models, documentation, and data from creation through the current company.
- Confirm invention-assignment and confidentiality agreements with employees, founders, contractors, and development vendors.
- Inventory third-party licenses, open-source components, usage obligations, attribution requirements, and copyleft risks.
- Review software-development, hosting, cloud, application-programming-interface, and data-processing agreements for transfer and termination rights.
- Examine security policies, access controls, vulnerability management, penetration tests, incident logs, backup and recovery, business-continuity plans, and cyber-insurance coverage.
- Map personal-data collection, processing, retention, international transfers, privacy notices, consent records, data-subject requests, and regulator correspondence.
Past breaches, ransomware, unauthorized data use, or weak identity controls may require immediate remediation and specific contractual protection. A clean security questionnaire is not a substitute for technical evidence such as logs, audit reports, configuration records, and incident-response documentation.
Regulatory, compliance, and ESG obligations
The buyer identifies the licenses and permits needed to operate and checks government inquiries, inspections, warning letters, enforcement actions, product-safety records, environmental compliance, sanctions and export controls, anti-bribery controls, and industry-specific rules. Policies are compared with training records, monitoring results, hotline reports, investigations, and documented remediation.
Environmental, social, and governance review is proportionate to the business and jurisdiction. It may include emissions and waste, hazardous materials, supply-chain labor practices, board oversight, political contributions, human-rights controls, and public sustainability claims. Unsupported claims can create regulatory, contract, or reputational exposure after closing.
Insurance and risk transfer
Insurance diligence reviews general and professional liability, product liability, workers’ compensation, directors’ and officers’ liability, employment-practices coverage, cyber policies, property coverage, deductibles, exclusions, limits, claims history, and open notifications. The buyer checks whether policies are occurrence-based or claims-made, whether tail coverage is needed, and whether a transaction ends existing coverage or requires insurer consent.

Operations and integration readiness
Operational diligence tests whether facilities, suppliers, systems, people, and processes can deliver the business plan. Reviewers examine production or service capacity, quality controls, maintenance, inventory, logistics, customer support, critical vendors, business continuity, and dependencies on shared systems or the seller’s personnel.
Integration planning starts before closing. The buyer identifies systems that must be separated, data that must be migrated, customer communications, access changes, payroll and benefits cutovers, regulatory notifications, and synergy assumptions. Every unresolved item should have an owner, deadline, dependency, and fallback plan for Day 1 and the post-close period.
Competition and merger control
Competition diligence defines the relevant products and geographic markets, maps overlaps, estimates concentration, and assesses whether the deal could eliminate substantial competition, enable coordination, or create foreclosure concerns. The analysis uses customer and competitor evidence rather than relying only on internal labels for markets.
In the United States, Section 7 of the Clayton Act addresses acquisitions whose effect “may be substantially to lessen competition, or to tend to create a monopoly.” The joint U.S. Department of Justice and Federal Trade Commission Merger Guidelines issued in 2023 describe frameworks that consider concentration, elimination of substantial competition, and coordination risk. Other countries may require separate notification and review.

- Set the scope. Define the deal thesis, transaction structure, jurisdictions, materiality thresholds, review owners, timetable, and red flags that require escalation.
- Issue a categorized request list. Ask for documents by workstream, period, entity, and responsible contact. Include explanations for missing, draft, or unavailable records.
- Open a controlled data room. Apply role-based access, indexing, version control, download restrictions, audit logs, and a written process for questions and answers.
- Validate the evidence. Reconcile management explanations to contracts, ledgers, filings, registers, technical systems, and external records. Follow anomalies to their source instead of accepting summaries.
- Rank findings. Score each issue by potential value impact, probability, remediation cost, timing, and the buyer’s ability to protect itself contractually.
- Allocate the risk in documents. Convert material findings into price adjustments, escrow, indemnities, representations, covenants, consent conditions, termination rights, or specific remediation obligations.
- Confirm closing readiness. Check regulatory approvals, Hart-Scott-Rodino status where applicable, third-party consents, financing, bring-down conditions, and every condition precedent before signing the closing certificate.
Documents commonly requested before closing
| Workstream | Typical records | What the buyer is testing |
|---|---|---|
| Corporate and legal | Charters, bylaws, capitalization, board minutes, subsidiary lists, liens, litigation, permits | Ownership, authority, clean title, claims, and required approvals |
| Financial | Audited and management accounts, ledgers, bank statements, budgets, forecasts, debt schedules, aging reports | Recurring earnings, cash, working capital, debt, and hidden liabilities |

| Commercial | Customer, supplier, lease, distribution, cloud, R&D, marketing, and data-processing contracts | Revenue durability, obligations, assignment rights, and change-of-control risk |
| People | Employee census, agreements, payroll, benefits, equity, claims, immigration files | Workforce cost, key-person risk, classification, retention, and labor exposure |
| Technology and IP | Registrations, invention assignments, repositories, open-source reports, licenses, security audits, incident files | Ownership, freedom to operate, resilience, privacy compliance, and cyber risk |
| Regulatory and insurance | Policies, permits, inquiries, inspection reports, insurance schedules, claims histories | Compliance status, remediation needs, and available risk transfer |
| Operations | Facility records, supplier maps, capacity data, process documents, continuity plans, system inventories | Ability to operate on Day 1 and achieve the integration plan |
How long due diligence takes
There is no reliable cross-industry average. Timing depends on transaction complexity, the number of jurisdictions and entities, data quality, the responsiveness of management, the number of contracts and systems, financing requirements, and regulatory review. A focused acquisition of a small, well-documented business can move quickly; a multinational transaction with regulated operations, fragmented records, or a second-request investigation can take substantially longer.

Set milestones rather than promising a fixed number of days: data-room launch, first-round responses, management sessions, specialist reports, red-flag meeting, definitive-agreement protections, consent collection, and final closing checklist. Late disclosure or repeated restatements should trigger a scope and timetable reset.
What happens when diligence finds a problem?
| Finding | Possible transaction response |
|---|---|
| Recurring earnings are below the model | Reprice, revise the earn-out, change the working-capital target, or stop the deal |
| Historic tax liability or uncertain filing position | Tax indemnity, escrow, purchase-price adjustment, covenant to resolve, or closing condition |
| Customer or supplier consent is required | Obtain consent before closing, add a termination right, or exclude the contract or business |
| IP ownership gap or open-source breach | Require assignment or remediation, narrow the acquired scope, add indemnity, or walk away |
| Security incident or privacy violation | Contain and remediate, notify authorities where required, obtain insurance cooperation, and add tailored protection |
| Regulatory or antitrust obstacle | Add a regulatory condition, divestiture or conduct remedy, extend the outside date, or terminate |
Disclosure alone does not automatically make a risk acceptable. The buyer must decide whether the issue is measurable, fixable, insurable, contractually allocable, or fundamental to the investment case.
Antitrust controls during pre-close diligence
When the parties are competitors or potential competitors, exchanging sensitive information can create antitrust exposure even before the transaction closes. The Federal Trade Commission advises that “special care must be taken to minimize antitrust risks throughout premerger negotiation and due diligence process, as well as during the integration planning process.”
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsUse a written information-sharing protocol. Share only what is necessary for a legitimate diligence question, aggregate or anonymize competitively sensitive data where possible, restrict access to a clean team of personnel who do not make day-to-day pricing or sales decisions, and consider an independent third-party consultant for analysis. Limit downloads and onward dissemination, keep an access log, mark permitted uses, and give clear instructions for returning or destroying information if the deal ends.
Do not coordinate prices, output, customers, territories, bids, hiring, or other competitive conduct before closing. Integration planning should distinguish legitimate operational preparation from control over the target’s ordinary competitive decisions.
HSR and other closing waiting periods
For reportable U.S. transactions, the Hart-Scott-Rodino process gives the antitrust agencies an opportunity to examine likely effects before closing. The Federal Trade Commission describes an initial waiting period of 30 days, or 15 days for a cash tender offer or bankruptcy. A second request extends the review and prevents closing until the statutory requirements are met. Thresholds, filing rules, and applicable exemptions change, so counsel must verify the requirements for the deal date, transaction structure, and parties.
Other jurisdictions can impose their own merger-control filings, foreign-investment reviews, sector approvals, or national-security screening. A signed agreement should identify which approvals are conditions to closing, who controls the filings, what cooperation is required, and how long the parties may wait before an outside date or termination right applies.
Common diligence failures and practical fixes
- Collecting documents without a thesis: tie every request to a valuation assumption, legal requirement, integration dependency, or risk decision.
- Relying on summaries: test summaries against source contracts, ledgers, filings, system records, and registers.
- Ignoring missing information: record gaps explicitly, ask why the record is absent, and treat unexplained gaps as a risk signal.
- Leaving specialists disconnected: reconcile legal, financial, tax, technical, HR, and regulatory findings in one issue register.
- Finding issues too late: run red-flag reviews early enough to change price, structure, or the agreement.
- Overlooking Day 1: assign owners for access, payroll, benefits, customer communications, data migration, permits, and incident response before signing.
- Sharing competitor data casually: use clean teams, aggregation, need-to-know permissions, and destruction procedures from the first exchange.
Closing-readiness checklist
- Material legal, financial, tax, contract, people, technology, regulatory, insurance, and operational issues have an owner and documented disposition.
- Purchase-price adjustments, escrow, indemnities, representations, covenants, and disclosure schedules reflect the findings.
- Required governmental, merger-control, financing, lender, customer, supplier, landlord, and intellectual-property consents are obtained or confirmed unnecessary.
- HSR and other applicable filings have cleared their waiting periods or received the required approvals.
- Cybersecurity, privacy, compliance, and environmental remediation commitments are funded and scheduled.
- Day 1 access, communications, payroll, benefits, systems, data handling, records retention, and business-continuity plans are assigned and tested.
- Clean-team access and destruction obligations are completed for competitively sensitive information if the transaction does not close.
The practical standard for a defensible decision
A defensible diligence process connects evidence to a decision. It shows what the buyer verified, what remains uncertain, how each material risk affects value or operations, and which protection belongs in the transaction documents. The result is not a promise that the target has no problems; it is a clear choice to price, allocate, remediate, monitor, or reject the risks that remain before ownership changes.
