Unsolicited commercial email (UCE) is commercial email sent without the recipient’s prior request or consent. It is often called spam, but that does not automatically mean it is fraudulent or unlawful. In the United States, CAN-SPAM uses a separate legal test based on a message’s primary purpose, not simply whether it was requested or sent in bulk.
What does unsolicited commercial email mean?
The Federal Trade Commission (FTC) used UCE descriptively in a 2001 statement to mean a commercial electronic message sent—often in bulk—to a consumer without that person’s prior request or consent. “Often in bulk” does not mean bulk sending is required for a message to be unsolicited. The statement also cautioned that not all UCE is fraudulent.
This is a descriptive definition, not a universal legal definition used everywhere. The FTC statement is historical language; legal rules depend on jurisdiction and may use different tests.

How does UCE relate to spam and CAN-SPAM?
Everyday usage
In ordinary usage, UCE and spam often refer to commercial messages that arrive without the recipient’s request or consent. A message can fit that description without being a scam: unsolicited describes the recipient’s relationship to the message, while fraud describes deceptive or criminal conduct.

The US legal test
For purposes of the US CAN-SPAM Act, the relevant category is a “commercial electronic mail message.” The FTC explains that whether a message falls into this category depends on its primary purpose: advertising or promoting a commercial product or service, including content on a commercial website. This statutory framing is related to, but not identical with, the everyday meaning of unsolicited commercial email.
The FTC says CAN-SPAM is not limited to bulk campaigns; it can apply to individual commercial messages and business-to-business email. So volume alone does not determine whether the Act applies. Nor does an unsolicited message automatically violate the Act: the legal question depends on the message and the law’s requirements.

What does CAN-SPAM require in the United States?
The FTC’s summary says the Act prohibits false or misleading header information and deceptive subject lines, and requires commercial messages to be identified as advertisements and to include a way to opt out. These are high-level points, not a complete compliance checklist. For current guidance, consult the FTC’s CAN-SPAM compliance guide; the Act is US law, and legal advice should account for the facts and jurisdiction involved.

What the definition does—and does not—tell you
- It tells you: whether a commercial email was sent without the recipient’s prior request or consent, in the descriptive sense used by the FTC’s 2001 statement.
- It does not establish: that the message is fraudulent, that every unsolicited message is illegal, or that the same definition applies in every country.
- It does not depend solely on volume: bulk sending is common, but the FTC’s wording makes it a frequent circumstance rather than a defining requirement; CAN-SPAM can also reach non-bulk commercial messages.
