Shadow AI is any artificial-intelligence tool used for organizational work without the knowledge, approval, or governance of the responsible IT, security, privacy, or compliance teams. It can be a public chatbot, a browser extension, a coding assistant, an automated transcription service, an API connected to an internal workflow, or an AI feature hidden inside another SaaS product.
The danger is not simply that employees use AI. The danger is that the organization cannot account for which systems are in use, what information they receive, where that information is stored, how outputs are used, or who is accountable when something goes wrong. Safe management combines an approved path for useful AI with discovery, data controls, human review, and continuous oversight.
What counts as shadow AI?
An AI system becomes “shadow” when people use it for company work outside the organization’s approval and oversight process. The user may be acting in good faith: a marketer wants to summarize research, a developer wants help debugging code, or a support agent wants to draft a reply. If the tool has not been assessed and recorded by the organization, however, its data handling and output risks remain unknown.
Common examples
- A staff member pastes customer details into a consumer chatbot to draft an email.
- A developer installs an unapproved code-completion extension that sends source snippets to a vendor.
- A team connects an AI transcription service to meetings containing product plans or personal information.
- An employee creates an account for an AI image, translation, or summarization service with a personal email address and company documents.
- A department enables an AI feature in an existing SaaS application before procurement, privacy, or security has reviewed it.
- An automation platform, plug-in, or agent receives API credentials and can act on company systems without a documented owner.
Shadow AI is therefore a governance condition, not a product category. The same model may be approved for low-risk brainstorming in one context and prohibited for regulated records or high-impact decisions in another.

Why shadow AI creates organizational risk
Data leakage and privacy exposure
Prompts can contain confidential business information, personal data, customer records, credentials, contracts, health information, or regulated material. An unapproved service may retain prompts for a period the organization has not accepted, use them for service improvement, expose them to additional subprocessors, or make deletion and access requests difficult. Even when a vendor does not train on customer data, sending information outside approved boundaries can violate internal policy or a contract.
Loss of intellectual property
Source code, product roadmaps, pricing logic, designs, research notes, and proprietary methods can leave the organization through a prompt, plug-in, or API call. The organization may not know which jurisdiction stores the data, which employees at the provider can access it, or whether the terms permit retention that conflicts with trade-secret controls.
Incorrect or unsafe outputs
Generative systems can produce factual errors, fabricated citations, biased recommendations, insecure code, or convincing but unsuitable text. If nobody checks the result, an error can reach a customer, a production system, a legal filing, or a management decision. The risk increases when users treat fluent wording as evidence of correctness.

Unapproved processing can bypass privacy notices, data-processing agreements, records-retention schedules, sector controls, or discovery obligations. A team may be unable to produce an audit trail showing which model generated a recommendation, what information was supplied, who reviewed it, or which version was used.
Expanded attack surface
Browser extensions, plug-ins, agents, and integrations introduce new identities, permissions, tokens, network paths, and prompt-injection opportunities. An agent with excessive privileges can be manipulated by hostile instructions in a document or web page. A forgotten API key can remain active after the employee who created it leaves.

Cost and accountability problems
Unmanaged subscriptions duplicate spending and make renewals invisible. More seriously, no clear owner may exist for a model, an agent, a data flow, or an incident. There is no authoritative, methodologically comparable prevalence figure that can be applied to every organization; local discovery is more useful than relying on vendor percentages presented as universal facts.
How to discover shadow AI without guessing
Discovery should combine technical evidence with direct conversations. No single log sees every route by which AI enters an organization, especially when staff use personal accounts or AI features embedded in other services.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitches- Review network and browser signals. Examine proxy, DNS, secure-web-gateway, browser-management, and cloud-access-security-broker records for known AI domains, upload patterns, extension installations, and unusual data transfers.
- Check identity and endpoint data. Look for new OAuth grants, unmanaged applications, local model runtimes, desktop clients, browser extensions, command-line packages, and API keys. Compare findings with single sign-on and device-management inventories.
- Inspect SaaS and automation platforms. Review enabled AI features, marketplace plug-ins, workflow connectors, bots, and agents. Record the permissions and data sources each integration can reach.
- Use procurement and expense records. Search corporate-card charges, reimbursement claims, purchase orders, and renewal notices for subscriptions that never passed the normal review process.
- Scan code and configuration repositories. Search for calls to model APIs, embedded keys, agent frameworks, prompt templates, and packages that send data to external inference services. Rotate any exposed credentials immediately.
- Ask business units to declare use. A short, non-punitive survey often reveals tools that technical telemetry misses. Ask what task the tool performs, what data it receives, who owns it, and whether its output affects another person.
- Create a living inventory. Record the application or model, vendor, owner, purpose, users, data classes, geographic locations, permissions, retention terms, approval status, and review date. Include AI capabilities embedded in approved SaaS products.
Discovery is not a one-time scan. Models, extensions, vendors, and product features change frequently, so repeat the process and provide a simple channel for employees to report a new use before it becomes entrenched.
What data may staff paste into an AI tool?
Publish a plain-language data-handling rule that maps information classes to permitted AI use. The exact labels should match the organization’s classification scheme, but the following decision table is a practical starting point.
| Data class | Typical examples | Default treatment |
|---|---|---|
| Public | Published documentation, public announcements, already-released marketing copy | May be used with an approved tool; verify output and copyright obligations. |
| Internal | Routine internal procedures, non-sensitive drafts, ordinary project notes | Use an enterprise-approved account with defined retention and access controls; do not combine with personal data unless separately authorized. |
| Confidential | Unreleased product plans, source code, contracts, pricing, security details | Use only a tool and configuration explicitly approved for this class; apply minimization, access control, logging, and human review. |
| Restricted or regulated | Government identifiers, health or financial records, credentials, special-category personal data, legally privileged material | Do not enter by default. Require a documented use case, privacy and legal review, contractual safeguards, and technical controls before any exception. |
Regardless of class, remove unnecessary identifiers, secrets, and full records. Use synthetic or redacted examples for experimentation. Never paste passwords, private keys, session tokens, or recovery codes into a generative service. Treat generated text or code as untrusted until a qualified person checks accuracy, security, licensing, and suitability.

Use NIST’s AI RMF to organize governance
The National Institute of Standards and Technology published the voluntary AI Risk Management Framework (AI RMF) 1.0 on January 26, 2023. Its four functions—GOVERN, MAP, MEASURE, and MANAGE—provide a lifecycle structure for shadow-AI work. NIST’s Playbook suggests actions for those functions, but NIST does not present it as a mandatory, one-size-fits-all checklist.
GOVERN: assign accountability and set boundaries
- Name an accountable executive and cross-functional owners from security, privacy, legal, procurement, HR, records management, and affected business units.
- Define risk appetite, prohibited data, approval thresholds, retention requirements, human-review rules, incident procedures, and vendor obligations.
- Specify who can approve a model, an agent, an embedded feature, and a high-impact use case. Make ownership survive staff turnover.
- Train managers to treat safe disclosure as a control objective, not as an automatic disciplinary event. Employees are more likely to report tools when the organization offers a workable alternative.
MAP: understand systems, uses, and impacts
Connect each AI application to its users, owner, purpose, inputs, outputs, permissions, jurisdictions, subprocessors, and downstream decisions. Classify use cases by sensitivity and impact. A summarizer for public material should not follow the same path as an assistant that influences employment, lending, healthcare, safety, legal, or customer eligibility decisions.
MEASURE: test whether controls work
Evaluate security, privacy, reliability, bias, explainability, access control, logging, retention, vendor terms, and output quality in the actual context of use. Test prompt-injection resistance for agents, verify that access restrictions are enforced, sample outputs for factual and harmful errors, and document known limitations. Measure whether staff can complete required reviews and whether alerts reach an accountable owner.
MANAGE: treat, monitor, and revise risk
Prioritize treatment by likelihood and impact. Approve, constrain, remediate, replace, or retire systems as appropriate. Monitor usage and model changes, preserve decisions and evidence, rehearse incident response, and revisit controls when a vendor changes its terms, model, storage location, or capabilities.
A practical control stack
Discover and classify
Combine proxy, DNS, browser, endpoint, identity, SaaS, expense, procurement, and repository signals. Label each discovered tool or use case as prohibited, restricted, approved-low-risk, or approved-high-impact. Record which data classes may be entered and whether outputs may influence decisions.

Provide a safe path
Publish an approved-tool catalog with enterprise accounts, data-handling terms, retention settings, prompt examples, output-review guidance, and a short intake form for new requests. Include useful alternatives for common jobs such as drafting, coding assistance, transcription, translation, and document search. A policy that only says “do not use AI” encourages workarounds.
Enforce proportionately
Use single sign-on, least privilege, data-loss-prevention rules, browser and endpoint controls, network or cloud-access policy, managed API keys, rate limits, logging, and retention settings. Block an application when the risk cannot be controlled; otherwise warn, coach, or require approval. Review exceptions regularly and revoke unused tokens and integrations.
Review people and decisions
Train staff on confidential-data handling, prompt injection, hallucinations, copyright, privacy, and reporting. Require documented human review for legal, employment, health, financial, safety, customer-impacting, and other consequential outputs. The reviewer must have authority and enough subject knowledge to reject or correct the result.
Respond and improve
Maintain an AI incident channel with an on-call owner. Preserve relevant prompts, outputs, access logs, configuration, and vendor communications; revoke tokens; contain exposed data; assess notification duties; and involve privacy, legal, security, and affected business owners. After containment, perform a root-cause review and feed the lessons into policy, training, and tool selection.
Microsoft’s deployment guidance identifies Microsoft Purview for data governance and compliance, Defender for Cloud Apps for application discovery and control, Entra for identity and access, and Intune for endpoint management as examples of controls that can support this layered approach. They are components, not a complete governance program.

A staged rollout for organizations starting from zero
First phase: establish visibility and a temporary rule
Name an executive sponsor, publish a short interim rule for sensitive data and credentials, open a reporting channel, and create an initial inventory from logs, expenses, repositories, and interviews. Freeze only the highest-risk integrations while the facts are gathered.
Second phase: launch approved alternatives
Choose a small set of enterprise-managed tools for the most common low-risk tasks. Configure identity, retention, logging, DLP, and user groups before broad deployment. Publish examples showing what users may enter, what must be redacted, and when review is required.
Third phase: assess higher-impact uses
Route systems that influence people, money, safety, legal positions, or customer outcomes through privacy, security, legal, procurement, and records review. Test outputs with representative data, document limitations, and define a human decision owner.

How to compare governance products or programs
Whether the organization is evaluating a software platform, an internal program, or outside implementation support, compare capabilities rather than brand claims.
| Evaluation area | Questions to ask |
|---|---|
| Discovery coverage | Can it find SaaS, browser, endpoint, API, agent, and embedded AI use, including personal-account activity where legally permitted? |
| Data protection | Does it classify sensitive data, inspect prompts and uploads, enforce DLP, and apply different rules by user, tool, and data class? |
| Identity and policy | Can administrators use SSO, least privilege, approvals, managed keys, rate limits, and conditional access? |
| Evidence and response | Are logs searchable and exportable? Can the organization set retention, preserve incident evidence, and revoke access quickly? |
| Inventory and workflow | Does it track models, vendors, agents, use cases, owners, reviews, exceptions, and approval history? |
| Human oversight | Can high-impact workflows require review, record the reviewer, and prevent automatic decisions when evidence is missing? |
| Deployment fit | Where is data processed? What integrations, staffing, user friction, and migration work are required? |
| Commercial resilience | What is the total cost, who owns the program, and can records be exported if the vendor or product changes? |
NIST AI RMF implementation support can include training, readiness assessments, policy design, control mapping, and consulting. A provider should be judged on the same evidence, ownership, and exportability criteria as software.
What to do when a shadow-AI incident is reported
- Preserve facts. Record the tool, account, date, user, data involved, prompts or files if available, output, permissions, and destination.
- Contain access. Revoke API keys and OAuth grants, disable the integration or account, remove extensions, and restrict affected repositories or data stores.
- Assess exposure. Determine whether information was retained, used for training, shared with subprocessors, or accessed by another party. Ask the vendor for deletion and access evidence through the approved contact.
- Apply obligations. Involve privacy, legal, security, records, HR, and the business owner to determine contractual, regulatory, customer, or employee notifications.
- Recover and learn. Restore safe workflows, correct decisions or code affected by unreliable output, update controls, and document the root cause without blaming the person who first reported it.
Metrics that show whether governance is working
- Percentage of discovered AI tools with an owner, approved purpose, classification, and review date.
- Time from discovery to risk decision, and time from incident report to token revocation.
- Coverage of managed identity, endpoint, browser, API, and DLP controls.
- Number and age of exceptions, unreviewed high-impact uses, and inactive credentials.
- Rate of required human reviews completed with evidence.
- Training completion and the number of early, voluntary disclosures.
- Spend on duplicate or retired subscriptions and the proportion of usage through approved enterprise accounts.
These measures turn AI governance into an owned, repeatable lifecycle discipline rather than a collection of isolated technical blocks. The objective is controlled, reviewable use—not pretending that employees will never encounter or need AI.
