Price fixing is an agreement among competitors to raise, lower, maintain, or stabilize prices or price-related terms. The agreement can be written, spoken, or inferred from conduct. It can cover a posted price, a discount, freight, credit terms, warranties, financing rates, or another condition that changes what a customer pays.

Similar prices or simultaneous price increases are not, by themselves, proof of a cartel. Investigators must distinguish ordinary parallel reactions to shared costs, supply, or demand from evidence that competitors communicated and agreed. They build that case by combining communications, testimony, business records, bid patterns, and data analysis, while testing plausible independent explanations.

What is price fixing?

The Federal Trade Commission (FTC) defines price fixing as “an agreement (written, verbal, or inferred from conduct) among competitors to raise, lower, maintain, or stabilize prices or price levels.” The important element is the agreement between competing businesses, not merely the fact that their prices look alike.

A cartel can coordinate a precise number, but it does not have to. Competitors may agree on a minimum, maximum, range, formula, timing of changes, or a policy such as eliminating discounts. They can also coordinate terms that affect the effective price:

Price fixing is generally discussed as a horizontal antitrust issue because it involves competitors at the same level of the supply chain. A conspiracy does not need to include every competitor in a market to be unlawful; an agreement among some rivals may still affect competition.

How do cartels work?

Cartels replace independent competition with coordination. The participants decide how to divide the benefits of reduced competition and then use communications, monitoring, or retaliation to keep members from undercutting one another. The arrangement may be explicit, or investigators may infer it from a combination of conduct and surrounding facts.

Price coordination

In a conventional price-fixing arrangement, competitors agree on prices or on the variables used to set them. They might announce increases on the same date, adopt an identical surcharge, stop offering discounts, or use a common pricing formula. Records showing synchronized changes can be important, but timing alone does not establish an agreement; shared input costs or a common industry announcement can produce the same pattern.

Bid rigging

Bid rigging occurs when competitors arrange who will win a procurement or coordinate the form of their bids instead of competing independently. DOJ investigative guidance describes several recurring methods:

  • Cover or complementary bids: competitors submit intentionally high or otherwise unattractive bids so a designated firm wins.
  • Bid suppression: a firm agrees not to bid, withdraws a bid, or refrains from competing for a particular job.
  • Bid rotation: participants take turns winning projects according to a schedule or formula.
  • Geographic or customer division: firms assign projects, agencies, or locations to one another.
  • Subcontracting: losing bidders receive subcontract work from the predetermined winner as compensation for participating.

A high bid is not automatically a cover bid, and a subcontract is not automatically evidence of collusion. Investigators look for repeated patterns, communications, economic incentives, and records that explain why bids were submitted.

Customer allocation

Customer allocation divides buyers or classes of buyers among competitors. Participants may agree that one company will serve a particular account, industry, or public agency while the others stay away. Evidence can include customer lists, internal instructions not to pursue certain accounts, and communications about who “owns” a customer.

Territorial allocation

Territorial allocation divides geographic areas. Competitors may agree that each will sell or solicit only in specified states, cities, or districts, or that a firm will not enter another participant’s territory. Geographic patterns can be a lead for investigators, but legitimate distribution agreements, transportation economics, or local licensing rules may also explain why firms operate in different areas.

Do identical prices prove collusion?

No. The FTC explains that a uniform, simultaneous price change could result from price fixing, but it could also reflect independent responses to the same market conditions. Commodity costs, fuel prices, supply shortages, demand shifts, exchange rates, taxes, and a widely available public price can cause competitors to move together without communicating.

Independent price matching can also create parallel prices. A business may observe a rival’s public increase and follow it because it expects other firms to do the same. That behavior can look coordinated even when each decision is made separately.

Identical prices become more probative when they are unexplained by market conditions and appear alongside evidence of contact or coordination. Investigators may ask:

  • Did competitors communicate before the changes or bids?
  • Did they exchange nonpublic price, cost, or customer information?
  • Were changes unusually precise, simultaneous, or inconsistent with each firm’s costs?
  • Did the firms use matching language, formulas, or discount rules?
  • Did employees discuss dividing customers, territories, or winning bids?
  • Are there repeated bid rotations, cover bids, or unexplained withdrawals?
  • Is there a legitimate independent business reason for the pattern?

The central question is not “Are the prices the same?” It is “What evidence shows that competitors reached an agreement rather than reacting independently?”

How do investigators prove price fixing?

A suspicious pattern is an investigative lead, not a final finding. Authorities generally combine several evidence types to establish whether an agreement existed, what it covered, and which businesses participated. The precise legal test and burden of proof depend on the jurisdiction and proceeding.

Communications and meetings

Emails, text messages, chat logs, phone records, meeting calendars, trade-association materials, and handwritten notes can show that competitors discussed prices, bids, customers, or territories. DOJ’s archived Antitrust Resource Manual describes competitor meetings and communications as an effective form of circumstantial proof in price-fixing cases. A meeting by itself is not illegal; its subject, timing, participants, and follow-up conduct matter.

Participant testimony

Investigators may interview current or former employees, executives, sales staff, procurement officials, and customers. DOJ guidance says conspiracy cases generally require testimony from a participant and that cooperating participants are frequently important sources. That is investigative guidance, not a universal rule that every case in every jurisdiction must have a cooperating witness.

Company and price records

Price lists, discount schedules, price-change notices, cost data, bids, contracts, invoices, sales reports, and internal memoranda can establish what changed and when. Comparing internal records with external communications may reveal whether an announcement was independently developed or followed a competitor discussion. Records can also show a firm’s knowledge of an arrangement and the steps it took to implement or conceal it.

Bid-pattern analysis

Procurement data can reveal recurring structures that deserve closer review. DOJ guidance identifies rotation, unusually high or complementary bids, geographic patterns, repeated non-winning bidders, identical line items, and subcontracting to losing bidders as indicators for careful analysis. None is conclusive. Identical line-item prices, for example, may occur because a supplier quoted the same price to several bidders.

Conduct What competitors coordinate Illustrative indicators investigators may inspect
Price fixing Prices or price-related terms Synchronised changes, discount policies, formulas, price records, competitor communications
Bid rigging The winner or the form of bids Cover bids, bid rotation, abstention, repeated patterns, communications, subcontracting
Customer allocation Which customers or customer groups each firm serves Assigned accounts, instructions not to compete, customer lists, unusual withdrawals
Territorial allocation Where each competitor sells or solicits Geographic boundaries, rejected business outside a territory, matching internal maps

Data analytics

The DOJ Procurement Collusion Strike Force uses procurement-data analytics to identify possible collusion for further investigation. Its public figures, reported as of April 30, 2026, were 47,000-plus agents and procurement officials trained, more than 200 investigations opened, more than 85 guilty pleas and trial convictions, and more than $70 million in fines and restitution. These are rounded program totals, not estimates of cartel prevalence and not proof that any particular company colluded.

Testing independent explanations

Good investigations test both hypotheses: coordination and independent conduct. Analysts may compare firms’ costs, capacity, inventories, market exposure, public announcements, and demand conditions. A pattern that disappears after accounting for a common cost shock is weaker evidence than a pattern that persists despite materially different costs and incentives. Even strong statistical anomalies still need factual evidence tying participants to an agreement.

From an allegation to an antitrust case

Procedures vary, but an investigation commonly develops through the following stages:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Intake and triage: an authority receives a complaint, whistleblower report, referral, procurement alert, or other lead and identifies the affected market and conduct.
  2. Preservation and collection: investigators seek relevant communications, bids, contracts, pricing files, calendars, and data. Businesses should preserve potentially relevant information rather than deleting or altering it.
  3. Market and bid analysis: analysts map competitors, customers, costs, winning bids, losing bids, timing, and geographic patterns. The aim is to separate unusual conduct from normal market behavior.
  4. Interviews and cooperation: investigators speak with witnesses and may evaluate cooperation or leniency applications. Statements are checked against documents and transaction data.
  5. Compulsory process or searches where authorized: depending on the jurisdiction and legal authority, investigators may use subpoenas, information requests, warrants, or inspections.
  6. Charging or administrative action: the authority decides whether the evidence supports a criminal charge, civil case, administrative decision, or continued investigation. An investigation, indictment, or allegation is not a final finding of liability.
  7. Adjudication and review: courts or agencies evaluate the evidence under the applicable procedural and legal standards. Decisions may be appealed or reviewed.

How leniency and cooperation programs differ

Leniency can provide a powerful investigative path because a cartel participant may supply direct evidence of the agreement. But eligibility is not automatic, and programs are jurisdiction-specific.

United States

The DOJ Antitrust Division’s Corporate Leniency Policy is directed at price fixing, bid rigging, and market allocation under Sherman Act Section 1. The DOJ page identifies the operative policy resources, including the March 2024 policy and later model letters; it was updated October 2, 2026. Applicants must satisfy the policy’s requirements, so a company should consult the current official text and qualified counsel rather than rely on a general summary.

European Union

The European Commission describes a separate cartel procedure and leniency program under which qualifying participants may receive immunity from fines or reductions. EU cases can move through case opening, investigation, a Statement of Objections, a Commission decision, fines, and judicial review. The Commission’s rules, deadlines, and eligibility conditions are not interchangeable with the U.S. program.

U.S. enforcement context and penalties

In the United States, the FTC treats price fixing, bid rigging, and market division as serious antitrust concerns, while the DOJ Antitrust Division investigates and prosecutes criminal cartel conduct under federal law. Section 1 of the Sherman Act is the principal federal provision referenced in the DOJ leniency framework.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Penalty limits and statutory amounts can change through legislation or inflation adjustments. For that reason, a current FTC or DOJ page and the date of the applicable conduct should be checked before quoting a dollar figure. A penalty description on an agency page is not a timeless schedule, and the outcome can depend on the offense, the defendant, cooperation, restitution, and the procedural posture.

DOJ’s investigative manual is archived material, with an addition noted in November 2017. It remains useful background on investigative methods, but current legal authority and policy should control decisions about an active matter.

Three patterns that show why context matters

Shared input shock

Suppose several manufacturers raise prices within days after a widely reported raw-material increase. Their costs, public market information, and customer contracts may explain the timing. Investigators would still examine communications, but matching increases alone do not establish a cartel.

Rotating public-contract winners

In a series of similar tenders, four firms win in a repeating sequence. The losing firms submit unusually high bids, and each later receives a subcontract from the winner. That combination is more significant than any one high bid because the rotation, cover bids, and compensation reinforce one another and can be tested against communications and records.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Customer “ownership” messages

A sales manager tells staff not to pursue a named customer because another competitor “has” the account. If similar instructions appear across firms and coincide with communications among competitors, the evidence may support a customer-allocation theory. A legitimate exclusive contract or account-management rule could provide a different explanation, so investigators would verify the contractual and commercial context.

What businesses and buyers should do when conduct looks suspicious

For businesses

  • Train sales, procurement, and executive staff that competitor discussions about prices, bids, customers, territories, or discounts can create serious risk.
  • Set clear rules for trade-association meetings and leave discussions that move toward competitively sensitive information.
  • Keep independent pricing and bidding records that show costs, assumptions, approvals, and legitimate reasons for changes.
  • Preserve emails, messages, bids, and notes when a complaint, inquiry, or investigation is possible.
  • Do not delete, rewrite, backdate, or coordinate accounts after learning of an inquiry.
  • Obtain jurisdiction-specific legal advice promptly if an employee reports possible cartel conduct or an authority contacts the company.

For purchasers and procurement officials

  • Record bid dates, bidder identities, prices, delivery terms, withdrawals, and subcontractors.
  • Compare bids over time and across locations, while accounting for legitimate cost and capacity differences.
  • Escalate unusual rotation, identical errors, unexplained abstentions, or repeated losing-bid subcontracting for review.
  • Protect whistleblowers and preserve the original procurement files and metadata.

These controls help identify risks; they do not replace an agency investigation or legal advice.
