A Hong Kong IPO is a public offering of securities made in connection with a company seeking admission to trading on the Stock Exchange of Hong Kong (HKEX). For an issuer, it means preparing a listing application and offer documents, undergoing regulatory review, and—if approved—marketing and pricing the offer before trading begins. For investors, it means assessing the final offer documents and applying through an available channel if they choose to subscribe. The route, requirements and timetable depend on the company and the applicable Listing Rules.
What Is a Hong Kong IPO and How Does the Listing Process Work?
An initial public offering, or IPO, is the process through which an issuer offers securities to public investors as it seeks a stock-exchange listing. In a conventional Hong Kong IPO, the company works with professional advisers to prepare its application and disclosure documents, submits them to HKEX for vetting, and responds to regulatory comments. If the Listing Committee allows the application to proceed, the issuer publishes final offer materials, markets the shares, sets the offer price and arranges allocation. Trading can start after the offer and listing steps are completed.
HKEX groups the process into three broad phases: application preparation, regulatory vetting and approval, and marketing and listing. That sequence is a useful map, not a fixed calendar. A company’s readiness, the complexity of its business and disclosures, the review process, its responses to comments and market conditions all affect how the steps unfold.
Who does what in an IPO?
The issuer is responsible for seeking admission and providing accurate, complete information about its business, finances, risks and offer. It does so with a team of professionals whose work supports preparation, verification, regulatory engagement and distribution.

Other advisers may be involved depending on the company—for example, specialists in tax, industry, property, internal controls, printing or public relations. The precise team is not identical for every applicant.
How a Hong Kong IPO proceeds, step by step
1. Choose a listing route and prepare the team
The company and advisers first assess which route may fit its circumstances, including whether it is applying to the Main Board or GEM. They also evaluate readiness against the relevant rules and assemble the necessary professionals. The sponsor lead time matters: HKEX says the appointment must be made at least two months before filing, with written notice to HKEX within five business days of appointment.
2. Complete due diligence and draft the listing document
The sponsor and other advisers conduct due diligence and help prepare the prospectus or listing document. The draft submitted with the application is called the Application Proof (AP). It is expected to contain the information an investor reasonably needs to make an informed decision. HKEX’s Main Board guidance states: “The prospectus must contain all the information that an investor reasonably requires to make an informed investment decision.”
Preparing this disclosure is not just a formatting exercise. The document must explain the issuer and the offer sufficiently for investors to evaluate them, while the company and its advisers work through the relevant diligence and review questions. The content and workload will vary with the issuer and the issues raised during vetting.

3. Submit the formal application
For a Main Board equity listing, the formal application is made on Form A1, together with the Application Proof and other required materials. A GEM applicant uses Form 5A. HKEX’s forms and checklist materials organize supporting submissions around the filing and later milestones. HKEX publishes an Application Proof once an application is substantially complete.
Publication does not mean the company has completed its IPO or that the draft is the final prospectus. The AP is a public draft associated with the application, and it remains subject to the regulatory process.
4. Respond to vetting and attend the Listing Committee hearing
HKEX’s Listing Department reviews matters such as eligibility, suitability, sustainability, compliance with the rules and the adequacy of disclosure. It sends comments for the applicant to address. HKEX says the first comment round will generally be provided within 15 business days after receipt of the application. This is a general expectation for the first round, not a promised decision date or an estimate of the entire IPO.

The application’s progress depends in part on how quickly and effectively the applicant responds. Once the process reaches a hearing, the Listing Committee reviews the application and decides whether it may proceed to an IPO. HKEX describes the possible decision as approval in principle or rejection. Approval in principle is a stage in the process; the issuer still has to complete the subsequent offer and listing steps.

5. Publish near-final materials, market the offer and list
After approval in principle, the issuer publishes a Post Hearing Information Pack (PHIP), a near-final listing document. The final listing document and related offer announcements follow for investors. The marketing period can include investor education and a roadshow. Underwriters help market the offer and may assist with pricing and allocation. After the offer is priced and shares are allocated, the securities can begin trading on the Stock Exchange of Hong Kong.
How long does it take to list in Hong Kong?
There is no universal end-to-end timetable. HKEX says review duration is case-specific, and its Main Board process guidance says there is no preset overall listing timetable. Applicants should not treat any one published interval as a promise of when their shares will list.
Three time references help explain the process, but they describe different things:

- At least two months: The sponsor appointment lead time before the application is submitted.
- Generally 15 business days: HKEX’s stated expectation for providing the first round of Listing Department comments after receiving an application. Later review and the overall process can take longer.
- Approximately one month: HKEX’s FAQ describes the marketing period after Listing Committee approval as ordinarily about this long. Actual timing depends on the issuer, the offer and capital-market conditions.
Separately, HKEX says a listing application is valid for six months from submission to the listing date. This is a validity period, not a statement that an IPO normally takes six months. A reader assessing a particular application should distinguish its filing date and validity from estimates or milestones along the way.

Readiness, the amount of due diligence required, the complexity of the business, novel issues, the nature of regulatory comments and the quality and speed of replies all influence timing. Market conditions can also affect when an approved offer is marketed. The 15-business-day first-comment expectation and the approximate one-month marketing description should therefore be read as stage-specific guidance, not added together to predict a listing date.
What is the difference between the Main Board and GEM?
HKEX describes the Main Board as a market for more established companies that meet its financial and track-record requirements. GEM serves small and mid-sized issuers and has lower eligibility criteria. HKEX describes GEM’s continuing obligations as similar to those of the Main Board. These are broad descriptions: they do not establish that every smaller, newer or less established company qualifies for GEM. The company’s facts and the current Listing Rules determine eligibility.
| Comparison | Main Board | GEM |
|---|---|---|
| Broad issuer profile | More established companies meeting applicable financial and track-record requirements | Small and mid-sized issuers; lower eligibility criteria |
| Formal application form | Form A1 | Form 5A |
| Continuing obligations | Apply under the relevant rules | Described by HKEX as similar to Main Board obligations |
| Eligibility decision | Depends on the applicant’s circumstances and the current Listing Rules; broad market descriptions are not a substitute for checking the rules. | |
HKEX’s Main Board forms page was reported as updated in August 2026, and listing rules, thresholds, forms and processes can change. An issuer considering a filing should check the live rules and applicant materials rather than rely on a general comparison or an older checklist.

Not every Hong Kong listing is a conventional IPO that raises funds through a Hong Kong public offer. HKEX describes a secondary listing as an option a company already primarily listed elsewhere may pursue in Hong Kong, subject to applicable conditions. It also describes listing by introduction for an overseas company already listed elsewhere that does not wish to raise funds through the Hong Kong listing.

These routes should not be conflated with a conventional first public offering. Whether a transaction involves a new Hong Kong fundraising, and which listing conditions apply, depends on the route and the issuer’s circumstances.
What is an Application Proof or PHIP, and which document should investors read?
The Application Proof is the draft listing document submitted with an application. The PHIP is a near-final document made available after approval in principle. Neither is the final listing document. HKEX explicitly warns investors not to base investment decisions on an Application Proof or PHIP. Investors considering an offer should read the final listing document and the related offer announcements, which contain the finalized offer information.
Prospectuses and offer announcements can be found through HKEXnews or the issuer’s website. A draft’s online availability is useful for following the application, but it should not be mistaken for a completed offer or treated as a substitute for the final documents.
How can an investor apply for Hong Kong public offer shares?
For a Hong Kong public offer, HKEX describes two electronic application channels. An investor may ask a broker or custodian to submit an EIPO application through HKSCC’s FINI system, or apply using the White Form eIPO channel. These are mechanisms for submitting an application; they do not indicate whether subscribing is suitable or likely to be profitable.
- Find the final offer documents and announcements. Check HKEXnews or the issuer’s website, and use the final listing document rather than a draft Application Proof or PHIP.
- Choose an available application channel. Contact your broker or custodian about an EIPO application through HKSCC’s FINI system, or use the White Form eIPO channel if applicable to your situation.
- Follow the offer’s own instructions and deadlines. The offer announcement sets out the relevant application information. The process explainer alone cannot establish the deadlines or terms for a particular IPO.
Submitting an application is separate from deciding whether to invest. The final documents and offer announcements are the appropriate materials for evaluating the specific issuer and terms.
What should issuers and investors take away?
For issuers, a Hong Kong IPO is a coordinated preparation, disclosure, review, marketing and listing process—not simply the filing of a form. The sponsor’s appointment must precede the application by at least two months, and the company should expect case-specific regulatory vetting rather than a guaranteed schedule. Main Board and GEM use different application forms and have different broad eligibility profiles, while the applicable rules determine whether a specific issuer qualifies.
For investors, the most important document distinction is between public drafts and the final offer materials. Application Proofs and PHIPs are not the final prospectus; use the final listing document and offer announcements when considering a public offer. The existence of an electronic application channel is an administrative fact, not an investment recommendation.
