Under section 11AA of the SEBI Act, an arrangement is a collective investment scheme (CIS) only when four conditions exist together: investors’ money or contributions are pooled; they invest to receive profits, income, produce or property; the relevant property or investment is managed for them; and they do not control the scheme’s day-to-day management. The label used by the promoter is not decisive. Classification depends on the arrangement’s actual features, any statutory exclusion and the facts of the case.

What the CIS definition means in practice

Section 11AA of the Securities and Exchange Board of India (SEBI) Act sets a cumulative test. “Cumulative” matters: pooling alone does not make a product a CIS, and a promise of returns alone does not do so either. All four statutory elements must be present for the definition to apply, subject to the exclusions recognised in the law.

SEBI’s investor FAQ describes a CIS as “any scheme or arrangement, which satisfies all the following conditions” in section 11AA(2). That wording directs investors to examine how an arrangement operates rather than relying on names such as project, membership, plan, club or opportunity.

The four-part statutory test

1. Contributions are pooled

Investors must make contributions or payments that are collected together for the scheme. Pooling can involve money or other contributions that are deployed as one arrangement. The practical question is whether the promoter combines participants’ resources instead of each participant independently owning and operating an asset.

  • Compact & Travel-Friendly: The ultra-compact design allows the adapter to stay plugged into your device without blocking adjacent ports or adding bulk, reducing wear and tear on your original USB ports.
  • 12-Month Warranty: Backed by a 12-month manufacturer warranty for peace of mind. Designed to meet strict quality control standards for reliable everyday performance.

2. Investors seek a specified return or property

Investors must contribute with a view to receiving profits, income, produce or movable or immovable property. The return objective can therefore be financial income or a promised output or asset. A marketing label such as “membership benefit” does not remove this element if the economic purpose is to obtain one of the specified outcomes.

3. The property or investment is managed for investors

The relevant property, contribution or investment must be managed on the investors’ behalf. Look at who selects projects, makes operating decisions, deploys pooled funds, maintains the assets and distributes the results. If a central operator performs those functions for participants, this element may be present.

4. Investors lack day-to-day management control

Investors must not have day-to-day control over the scheme’s management and operation. Voting on occasional matters or receiving reports is not the same as running the arrangement every day. The legal assessment focuses on the practical control investors possess, not merely rights described in a brochure.

How to assess a real arrangement

Use the four questions below as a screening exercise. It is not a legal opinion; a final classification can depend on the documents, conduct, applicable law, administrative decisions and court orders.

SEBI element Question to ask Useful evidence
Pooling Are participants’ payments or contributions combined for a common scheme? Payment instructions, common bank or escrow arrangements, accounting records and the contribution agreement.
Return objective Are participants seeking profits, income, produce or movable or immovable property? Offer document, advertisements, projections, distribution formula and promised deliverables.
Management for investors Who acquires, operates, maintains or sells the relevant property or investment? Management agreement, mandates, board or trustee powers and operating records.
No day-to-day control Can investors actually direct daily decisions, or are they passive participants? Voting provisions, delegation clauses, meeting rights and evidence of who makes operational decisions.

If all four answers point to the statutory features, check whether an express exclusion applies and identify the governing regulator or legislation. If one element is absent, the arrangement may fall outside section 11AA, but another regulatory regime can still apply. Product names and sales language cannot settle the question by themselves.

Arrangements SEBI’s FAQ says are not CIS

SEBI’s FAQ lists statutory categories that do not constitute a CIS. These are exclusions, not broad analogies. An arrangement is not excluded merely because a promoter calls it a cooperative, deposit, insurance product, chit or mutual-fund-like plan.

  • Arrangements made or offered by cooperative societies.
  • Certain deposits accepted by non-banking financial companies (NBFCs) or under the company-deposit rules.
  • Contracts of insurance.
  • Specified employee provident-fund, pension or insurance schemes.
  • Deposits accepted by Nidhis or mutual-benefit societies.
  • Chit businesses.
  • Contributions in the nature of subscriptions to a mutual fund.

The exact statutory conditions for an exclusion matter. A commercial investment arrangement that resembles one of these categories does not automatically qualify. In a disputed case, SEBI administrative action or a court order may determine how the facts are treated.

Who operates a CIS?

Collective Investment Management Company

SEBI defines a Collective Investment Management Company (CIMC) as a company registered under the CIS Regulations whose object is to organise, operate and manage a CIS. The CIMC is the regulated entity responsible for running the scheme within the framework that applies to registered operators.

Trustees and other required participants

SEBI’s FAQ says a registered CIMC may launch a public scheme after trustee approval, a credit rating, appraisal by an appraising agency, prescribed disclosures and filing the offer document with SEBI. These requirements are described in the FAQ issued pursuant to the May 2022 amendments. Because SEBI’s regulations listing records further amendments on December 5, 2025, anyone relying on the process for a current launch should check the consolidated CIS Regulations and the operator’s present registration status.

What the FAQ says about launching a scheme

  1. Prepare the scheme and disclosures. The CIMC prepares the offer document and obtains the required appraisal and other prescribed information.
  2. Obtain trustee approval. The FAQ identifies trustee approval as a prerequisite for a public scheme.
  3. Obtain a credit rating and appraisal. The FAQ refers to a credit rating and appraisal by an appraising agency. These assessments are not a promise that investors will receive their money back.
  4. File the offer document with SEBI. Filing places the document before the regulator under the process described in the FAQ.
  5. Observe the FAQ’s 21-day filing period. The FAQ says that, after filing, if SEBI suggests no modifications during 21 days, the CIMC is entitled to issue the offer document. Treat this as the FAQ’s description of the process and confirm the operative period and conditions in the post-December-2025 consolidated regulations before acting on it.

Scheme duration, structure and returns

Closed-ended schemes

SEBI’s FAQ says CIS schemes are closed-ended and have a duration of at least three calendar years. That description is tied to the FAQ’s May 2022 amendment context. Current offer terms, permitted extensions, valuation and exit provisions should be checked in the latest consolidated regulations and the specific offer document.

Guaranteed and indicative returns

The FAQ says a CIS cannot offer guaranteed or assured returns. It allows an indicative return to be stated in the offer document when the return has been assessed by the appraising agency and is expressed in monetary terms. An indicative figure is not a guarantee: it is an estimate subject to the assumptions and risks disclosed for the scheme.

Filing with SEBI is not approval or a safety certificate

The most important investor warning is that an offer-document filing does not mean SEBI has approved the scheme. SEBI’s FAQ states: “It is to be distinctly understood that submission of offer document to SEBI should not in any way be deemed or construed that the same has been cleared or approved by SEBI.”

SEBI also says it does not take responsibility for the scheme’s financial soundness or for the correctness of statements or opinions in the offer document. A filing therefore confirms a regulatory submission, not the quality of the investment, the accuracy of every projection or the repayment of capital.

Questions to ask before investing

  • Is the operator a CIMC registered under the CIS Regulations, and does the registration remain current?
  • Does the arrangement satisfy each of the four section 11AA conditions when its contracts and actual operation are examined?
  • Does a specific statutory exclusion apply, and what law or regulator governs the product if it is excluded?
  • What exactly is pooled, who controls the property, and how are profits, income, produce or property calculated and distributed?
  • What is the scheme’s stated duration and how does its closed-ended structure affect access to your money?
  • Does the document describe an indicative return or improperly present a return as guaranteed or assured?
  • What fees, conflicts, valuation methods, operating risks and loss scenarios are disclosed?
  • Does the document clearly state that SEBI filing is not approval?

Complaints and investor recourse

For a scheme operated by a registered CIMC, SEBI’s FAQ directs an investor to complain to the company first. If the response is unsatisfactory, the investor can take the complaint to SEBI’s SCORES platform. For an unregistered CIS, the FAQ says a complaint may be sent to a SEBI office. Complaint-channel instructions and contact details can change, so use SEBI’s current official guidance when submitting a complaint.

Keep the offer document, application and payment records, account statements, correspondence, advertisements and any promised-return material. Those records help establish what was offered and how the arrangement operated.

How CIS differs from familiar products

A mutual-fund subscription is listed among the exclusions in SEBI’s FAQ, so a mutual fund should be assessed under the mutual-fund framework rather than automatically treated as a CIS. Insurance contracts, qualifying deposits, specified employee schemes and chit businesses are likewise identified as excluded categories. The exclusion depends on meeting the relevant legal requirements; superficial similarity is not enough.

This distinction is why an investor should identify the governing law and regulator instead of assuming that every pooled investment is a CIS. A product outside section 11AA can still be regulated, restricted or unlawful under another framework.

Which rules are current?

SEBI’s regulations listing shows the CIS Regulations, 1999 as last amended on December 5, 2025. The detailed FAQ discussed here is framed around amendments made in May 2022. The FAQ remains useful for understanding the four-part test, listed exclusions and investor warnings, but launch procedures, durations, filing periods and other compliance details should be checked against the consolidated regulations in force on the date of a decision.

The framework also leaves room for fact-specific outcomes. Before relying on a classification for a particular scheme, verify the operator’s current SEBI registration, review the latest regulation text and consider whether an administrative decision or court order affects the arrangement. This article explains the general framework and is not a determination that any named or unnamed product is a CIS.

Key takeaways

  • A CIS requires all four section 11AA features: pooled contributions, a specified return or property objective, management on investors’ behalf and no investor day-to-day control.
  • SEBI lists specific exclusions, but a product’s label or resemblance to an excluded category does not establish eligibility.
  • The FAQ describes a registered CIMC launch involving trustee approval, rating, appraisal, disclosures and offer-document filing, with a 21-day period stated in that FAQ when SEBI suggests no modifications.
  • The FAQ describes closed-ended schemes of at least three calendar years and prohibits guaranteed or assured returns; verify how the December 5, 2025 amendments apply today.
  • Filing an offer document with SEBI is not SEBI approval and is not a guarantee of financial soundness or repayment.
