Funding an AI or autonomous-vehicle (AV) startup can produce a total loss, and you may never be able to resell the investment. The technology may not work outside a demonstration, the company may depend on outside models or hardware, regulators may restrict deployment, and years of spending may precede meaningful revenue. Before investing, verify the security and offering, test the company’s technical and safety evidence, examine cash runway and dilution, and challenge every marketing claim.

Why an early-stage investment can be lost completely

Private startup shares, notes, and similar securities are not the same as publicly traded stock. The Securities and Exchange Commission (SEC) warns that a pre-IPO company may never succeed, may never complete an initial public offering, and may never have a market in which investors can sell. Even if the business survives, transfer restrictions, an exemption from registration, contractual rights, or a lack of buyers can leave your money locked up for an indefinite period. Read the SEC’s investor guidance on these risks at Investor.gov’s pre-IPO alert.

Start with the legal instrument, not the product story. Identify whether you are buying common stock, preferred stock, a SAFE, a convertible note, a limited-partnership interest, or another instrument. Each can have different voting rights, liquidation preferences, conversion terms, fees, and dilution exposure. Obtain the offering memorandum, capitalization table, financial statements, risk factors, subscription agreement, and any side-letter terms. Confirm who is issuing the security, who is receiving your money, and what happens if the next financing never occurs.

Liquidity and resale restrictions

  • Ask whether the security is registered or offered under a specific exemption, and which resale restrictions apply.
  • Check for transfer approval requirements, lockups, rights of first refusal, and any stated secondary-market process.
  • Demand a written schedule of commissions, markups, platform charges, custody fees, and other upfront or recurring costs.
  • Treat claims that an IPO is imminent as a claim to verify, not as an exit plan.

The SEC explains that Regulation D offerings have different requirements under Rule 506(b) and Rule 506(c). Accredited-investor eligibility and, where required, verification must be assessed against the actual offering and current rule text; merely checking a self-certification box is not sufficient. See the SEC’s March 21, 2025 explanation at Assessing accredited investors under Regulation D. This is general investor information, not a determination that a particular offering complies with securities law.

AI-specific risks: a label is not a business model

Separate the product from the AI claim

Ask exactly where AI appears in the product. Is it a model sold to customers, an internal workflow, a thin interface over a third-party application-programming interface, or simply a marketing description? Request measurable results, the test data and date, the baseline it beats, known failure cases, and the conditions under which the result was obtained. A prototype that performs well on a curated demonstration is not evidence of reliable production performance.

Then map what is actually owned. Determine which model weights, code, data, patents, and operating systems are developed in-house and which are licensed or supplied by a cloud, model, chip, or data vendor. A supplier can change its price, terms, model behavior, access limits, or safety policy. Ask whether the company can migrate if a provider withdraws access, and what the migration would cost in engineering time and customer disruption.

Evidence, governance, and “AI washing”

In remarks dated March 18, 2024, Gary Gensler, SEC Chair at the time, said: “Public companies should make sure they have a reasonable basis for the claims they make and yes, the particular risks they face about their AI use, and investors should be told that basis.” He also said: “AI washing, whether it’s by financial intermediaries such as investment advisers and broker dealers, or by companies raising money from the public, that AI washing may violate the securities laws.” Read the remarks at the SEC transcript. The comments address the need for a reasonable basis and truthful risk disclosure; they do not establish that every private company has identical disclosure obligations.

Look for reproducible evaluations, independent security or performance testing, documented model limitations, version controls, and a named person responsible for model-risk governance. Check whether investor presentations describe a capability that the product documentation, customer contracts, or regulatory filings do not support. Ask how the company measures hallucinations, false positives, bias, drift, downtime, and human review.

Data, intellectual property, privacy, and security

  • Trace the rights to training, fine-tuning, and customer data. Identify restrictions on copyrighted, personal, confidential, or government data.
  • Review ownership and indemnity terms for generated output and any third-party code or model.
  • Ask how prompts, telemetry, and customer records are retained, isolated, encrypted, and deleted.
  • Examine incident response, access controls, supply-chain security, and the cost of correcting a compromised model or data set.
  • Determine whether a privacy investigation, copyright dispute, or security breach could stop sales or require expensive retraining.

Fraud that uses AI as a sales hook

A January 25, 2024 alert from the SEC’s Office of Investor Education and Advocacy, NASAA, and FINRA warns about unregistered platforms, guaranteed or unusually high returns, false claims about public-company AI products, and AI-generated audio or video impersonations. The alert represents staff investor-education views, not a Commission rule. Use the guidance at Investor.gov’s artificial-intelligence fraud alert to verify the people, platform, and underlying sources. A polished deepfake, a famous name, or a dashboard showing simulated profits is not evidence of a legitimate investment.

Why autonomous-vehicle startups add physical-world risk

Know what “autonomous” means in the actual operating design domain

Distinguish driver-assistance features, supervised testing, restricted pilots, and driverless commercial service. Ask where the system may operate, in what weather and traffic, at what speeds, with which vehicle types, and what human or remote assistance is assumed. A system that works on mapped highways in fair weather has not necessarily solved construction zones, emergency vehicles, unusual road users, degraded sensors, or unmapped roads.

NHTSA’s automated-vehicle safety page states that no vehicle currently available for sale in the United States is fully automated or “self-driving.” It says states permit limited public-road testing, research, and pilot programs, while the agency monitors safety through its Standing General Order. The page also reports 39,254 people killed in U.S. motor-vehicle crashes in 2024; that is an all-crash figure, not a statistic about autonomous vehicles. See NHTSA’s AV overview.

Safety evidence and liability

Request the company’s safety case: hazard analysis, scenario coverage, disengagement and intervention definitions, incident logs, near-miss handling, software-update controls, and independent review. Find out who is responsible when the system reaches a boundary: the vehicle owner, fleet operator, remote assistant, manufacturer, software supplier, or another party. Insurance, warranty, recall, product-liability, and litigation costs can alter the economics even when the software improves.

Do not treat a small public-road mileage claim as proof of safety without knowing the route selection, weather, traffic mix, human-supervision rules, and incident-reporting method. Ask whether the company publishes failures as well as successful miles, and whether results are independently reproducible.

Regulation is location-specific and still changing

There is no single blanket U.S. AV operating permit. Federal vehicle-safety requirements, state statutes, local permissions, testing conditions, reporting duties, and insurance rules can all apply. A permission to test in one jurisdiction does not establish a right to sell or operate a driverless service elsewhere.

On December 20, 2024, NHTSA announced a proposed voluntary ADS-equipped Vehicle Safety, Transparency, and Evaluation Program (AV STEP). It was a proposal, not a final operating rule. Check the agency’s current rulemaking status before relying on it. NHTSA Chief Counsel Adam Raviv said: “Safe, transparent, and responsible development is critical for this technology to be trusted by the public and reach its full potential.” The announcement is at NHTSA’s AV STEP release.

Issuer filings illustrate why regulatory risk is material but not uniform. One SEC-filed commercial-vehicle issuer describes evolving rules and state restrictions, potential liability and negative publicity after accidents, government scrutiny, and uncertainty about finding third-party hardware and software for higher autonomy. It also discusses risks when technology depends on government-funded or licensed intellectual property. Those are that issuer’s disclosed risks, not proof that every AV company will experience them; read the filing at the SEC-filed annual report.

Capital intensity and time to deployment

AV companies may need vehicles, sensors, simulation, mapping, safety drivers, remote operations, maintenance, depots, insurance, and regulatory compliance before revenue scales. Hardware shortages or a supplier redesign can delay a program. Customer adoption may require retrofits, integration, training, and a service network. Estimate the cash required to reach each technical and commercial milestone rather than assuming that a successful demonstration leads directly to profitable fleets.

Runway, dilution, and the financing path

Build a financing timeline from the latest balance sheet and cash-flow statement. Calculate months of runway under the company’s stated burn and under a stress case with slower deployments, higher compute or vehicle costs, and delayed customer payments. Identify debt maturities, minimum-cash covenants, committed financing, and the next milestone that management says requires new capital.

Every new round can dilute earlier investors. Compare the pre-money and post-money valuation, option-pool increases, liquidation preferences, participation rights, conversion discounts, valuation caps, warrants, and senior debt. A headline valuation does not tell you what common shareholders receive after preferences and future rounds. Treat forecasts as management estimates, not established outcomes.

A concrete illustration comes from Aurora Innovation’s 2024 annual report. Aurora reported net losses of $748 million for 2024 and $796 million for 2023, and said losses could continue until scaled driverless commercial operations begin—something that may take longer than expected or may never occur. The filing also identifies large funding requirements, long vehicle-development lead times, the challenge of achieving better-than-human driving performance, evolving regulation, and the need to earn public trust. These fiscal-year figures and risks are specific to Aurora, not averages for AI or AV startups. See Aurora’s 2024 annual report.

A practical due-diligence process

  1. Define the investment. Record the security type, price, valuation method, ownership percentage, rights, fees, transfer limits, governing law, and offering exemption.
  2. Verify the issuer and intermediary. Match legal names, officers, addresses, registration status, disciplinary history, and payment instructions through relevant regulator records. Be skeptical of cold calls, social-media pressure, urgency, obscured promoters, and requests to pay an unrelated account.
  3. Reconstruct the product. Ask for a live workflow, customer contract, deployment architecture, model or sensor dependencies, service-level commitments, and documented limits. For AVs, write down the operating design domain and supervision assumptions.
  4. Test the evidence. Request the data set, baseline, evaluation method, incident definitions, independent reports, and failure examples behind each material performance or safety claim. Separate paid pilots and letters of intent from recurring revenue.
  5. Map legal and operational exposure. Review IP licenses, data rights, privacy obligations, cybersecurity controls, insurance, recall and liability arrangements, permits, and pending investigations or litigation.
  6. Model the financing. Use current cash, monthly burn, debt, committed capital, hiring plans, and milestone spending to calculate a base and downside runway. Model dilution and liquidation outcomes through at least the next financing.
  7. Set a decision threshold. Decide in advance what missing evidence, unresolved conflict, concentration limit, or maximum loss makes the investment unacceptable. Do not let a vivid demonstration override an unanswered legal or financial question.

AI and AV risks compared

Question AI startup AV startup
Core proof Reproducible model performance, useful customer outcomes, robustness, and evidence that the company owns or can continually access critical technology. Safety case, operating-domain performance, incident and intervention records, vehicle reliability, and evidence that the system works in real traffic.
Main dependencies Cloud capacity, foundation models, chips, data licenses, APIs, and specialized staff. Vehicles, sensors, compute, maps, communications, maintenance, remote operations, suppliers, and safety drivers or other supervision.
Regulatory exposure Truthful claims, privacy, intellectual-property, cybersecurity, and sector-specific rules. Vehicle-safety requirements, state and local permissions, reporting, insurance, product liability, and accident investigations.
Commercial bottleneck Converting demonstrations into repeatable deployments with acceptable accuracy, latency, support cost, and gross margin. Funding long development cycles and turning constrained pilots into reliable, permitted, economically viable fleets or services.
Failure consequence Incorrect decisions, data loss, privacy or copyright claims, customer churn, and costly remediation. All of those software risks plus physical injury, property damage, recalls, service interruption, and loss of public trust.
Investor question What measurable advantage remains if a supplier changes price, access, or model capability? What evidence supports safe operation at scale, and who pays when deployment, maintenance, or an incident costs more than planned?

Red flags that warrant a pause

  • Guaranteed returns, “no-risk” language, or unsupported comparisons with successful companies.
  • Pressure to invest immediately, unexplained urgency, or solicitation from an unverified social-media account.
  • An imminent-IPO claim without offering documents, clear ownership, and a credible capitalization table.
  • AI performance numbers without a baseline, test conditions, error rates, version, or failure examples.
  • AV mileage or safety claims that omit the operating domain, human intervention, incident treatment, or regulator permission.
  • Unclear ownership of model weights, code, training data, maps, patents, or government-licensed intellectual property.
  • Runway that assumes a financing, customer contract, permit, or technical milestone not yet secured.
  • Fees, markups, liquidation preferences, conversion terms, or related-party arrangements that are missing from the summary pitch.

Geography and evidence limits

The regulatory examples above are U.S.-focused. Securities exemptions, resale rules, AV permissions, insurance, privacy, and liability differ in other countries and sometimes between U.S. states. Obtain current primary sources for the jurisdiction and offering you are considering, and obtain professional legal or tax advice for transaction-specific questions.

An annual-report risk factor describes what an issuer says could affect its business; it is not proof that the event happened or an independent forecast. Likewise, a regulator investor alert is education and warning, not a finding that every AI or AV investment is fraudulent. Make the decision only after reconciling the claims with documents, evidence, and terms you can independently verify.
