You can sometimes buy a private company’s shares before an initial public offering, but “pre-IPO” describes timing, not a single investment product or a promise that an IPO will occur. In the United States, the sale must be registered with the SEC or fit a valid exemption, and the route determines who may invest, what the issuer must disclose, how the offer can be advertised, and whether you can resell.

The company may never go public, the shares may lose all their value, and a resale market may never appear. Treat any offer as a private, potentially illiquid security: identify the exact issuer and share class, verify the legal offering route and the seller, read every restriction and fee, and invest only money you can leave at risk indefinitely.

What “pre-IPO shares” actually means

The term means an ownership interest offered before a company’s initial public offering (IPO), or “going public.” It does not identify a particular security, guarantee an IPO, or establish that a market exists. The SEC’s June 7, 2024 investor alert says a company may fail, never go public, or never produce an appreciating share price; you may lose your entire investment and be unable to resell. The alert is investor education from SEC staff, not a Commission rule or a finding about any particular issuer. Read the full alert at Investor.gov’s Pre-IPO Investment Scams alert.

A pre-IPO transaction can involve newly issued shares sold by the company, existing shareholders selling their own holdings, a fund or special-purpose vehicle that holds the shares, or another intermediary arrangement. “Access to shares” does not necessarily mean that your name will appear on the issuer’s stock ledger. Before paying, establish exactly what legal interest you receive and who owns the underlying shares.

The central risk: no dependable exit

Private-company valuation is difficult to compare with a public market price because financial information may be limited and trading may be sporadic or nonexistent. A later funding round can change the valuation, dilute earlier holders, or give a new class better rights. Even if the issuer completes an IPO, your shares may remain locked up or subject to contractual and securities-law restrictions. If the IPO is delayed or abandoned, there may be no alternative buyer.

There is no reliable general “typical return,” IPO success rate, or probability of going public established by the SEC materials. Do not substitute an advertised target, a comparison with a famous company, or a promised timetable for evidence about this issuer.

First question: what legal route supports the sale?

A U.S. securities offer generally must be registered with the SEC or rely on an available exemption. The exemption is not a label the promoter can choose casually: it controls eligibility, advertising, disclosure, intermediaries and resale conditions. A public-facing pitch does not prove that the offer is lawful. Compare the main routes below, then read the issuer’s documents to see which one actually applies.

Route Who may invest and how it may be marketed Disclosure and amount limits Resale considerations
Regulation D, Rule 506(b) No general solicitation. Sales may go to an unlimited number of accredited investors and up to 35 non-accredited purchasers in any 90-calendar-day period. Non-accredited purchasers must meet the rule’s sophistication framework. Unlimited amount. Additional information obligations can apply when non-accredited purchasers participate. Securities are generally restricted. Contract terms, legends and securities-law requirements can make a sale difficult; a legal opinion may be requested.
Regulation D, Rule 506(c) General solicitation or advertising is permitted, but every purchaser must be accredited and the issuer must take reasonable steps to verify that status. Unlimited amount. Verification is more than accepting an unchecked box on a form. Shares are generally restricted and may remain hard to transfer even after a holding period.
Regulation A, Tier 1 Qualifying companies can make a public offer after SEC qualification; state securities regulators generally review or qualify the offering as well. Up to $20 million in any 12-month period, according to the SEC’s 2021 bulletin. Financial statements need not be audited under that bulletin’s description. An absence of a stated resale restriction does not create a ready market. You still need a buyer.
Regulation A, Tier 2 Public offer after SEC qualification, subject to the offering’s terms. Up to $75 million in any 12-month period, according to the SEC’s 2021 bulletin. The bulletin describes audited financial statements and ongoing reporting. If the securities will not be listed upon qualification, a non-accredited investor generally may not invest more than 10% of the greater of annual income or net worth, with the bulletin’s treatment of primary-residence amounts. Transferability can be better documented than in a private placement, but liquidity is still not guaranteed and a buyer may be unavailable.
Regulation Crowdfunding The company must use an online platform operated by an SEC-registered broker-dealer or a FINRA-member funding portal. The company may not offer the investment directly to you outside that framework. Prescribed offering information is required, but ongoing disclosure is limited compared with a public company. Investment limits vary with an individual’s income and net worth under the crowdfunding rules. Resale is generally restricted for the first year, subject to specified exceptions. After that year, finding a buyer can still be difficult.

Do you have to be an accredited investor?

Not always. Regulation A and Regulation Crowdfunding can allow non-accredited investors, and Rule 506(b) can include up to 35 qualifying non-accredited purchasers. Rule 506(c), by contrast, requires every purchaser to be accredited and requires the issuer to take reasonable verification steps. The offer documents should state the route and the eligibility test; if a salesperson cannot explain both, stop until you can verify them independently.

The SEC’s individual examples of accredited-investor tests include:

  • Income exceeding $200,000 individually, or $300,000 jointly with a spouse or spousal equivalent, in each of the previous two years, with a reasonable expectation of reaching the same level in the current year.
  • Net worth over $1 million individually or jointly with a spouse or spousal equivalent, excluding the primary residence and subject to specified rules for residence-secured debt.

These are examples, not the complete definition. Other categories and verification methods exist. Read the SEC glossary at Investor.gov’s Accredited Investors page and use the exact test in the offering paperwork. Never claim accredited status merely because an investment seems sophisticated or because a promoter says everyone qualifies.

  1. Identify the security and the parties. Obtain the issuer’s full legal name, jurisdiction, security type, class or series, number of shares or units, price, minimum investment, and the name of the actual seller. Ask whether you receive direct shares, a membership interest, a note, a fund interest, or an interest held through an intermediary. Confirm whether the seller owns the securities or has authority to sell them.
  2. Demand the complete offering package. Request the private-placement memorandum, subscription agreement, risk factors, capitalization table or equivalent ownership information, financial statements, governing documents, and every fee schedule. For a Regulation A offer, obtain the offering circular. For crowdfunding, read the platform’s issuer page and prescribed disclosures. Missing pages, unexplained amendments or pressure to sign immediately are reasons to pause.
  3. Match the documents to a registration or exemption. Ask which Securities Act provision supports the sale and whether the issuer is relying on Rule 506(b), Rule 506(c), Regulation A, Regulation Crowdfunding or another route. Check whether a Regulation A offering has received SEC qualification before accepting payment; qualification means the filing met the qualification process, not that the SEC approved the investment’s merits or confirmed every statement. For crowdfunding, verify that the platform is an SEC-registered broker-dealer or FINRA-member funding portal using official SEC and FINRA lookup resources.
  4. Verify people and businesses independently. Check the registration or licensing of a broker, dealer, funding portal or other professional through official regulator records, using contact information you obtain independently rather than a link supplied by a salesperson. Confirm the issuer’s identity through reliable corporate and regulatory records. An unregistered intermediary, a cold caller who will not identify the issuer, or a request to move retirement assets immediately is a serious warning sign.
  5. Reconstruct the economics. Determine the company’s implied valuation, share count, option pool, outstanding convertible instruments, liquidation preferences, voting rights and potential dilution. Ask how the price was set and what information supports it. Separate money going to the company from proceeds going to selling shareholders. Review commissions, markups, platform charges, transfer fees and any promoter compensation. A low per-share price can still represent an expensive valuation if the total share count is large.
  6. Compare your rights with other classes. Preferred investors may have liquidation preferences, conversion rights, vetoes or other protections that common shareholders lack. Find out whether you receive voting rights, information rights, dividends, participation in future financings or protection against certain dilution. Read the charter, operating agreement or investor-rights documents referenced by the subscription agreement rather than relying on a term sheet summary.
  7. Map the transfer restrictions. Look for restrictive legends, issuer-consent requirements, rights of first refusal, lockups, contractual transfer bans, company repurchase rights and provisions that bind a later buyer. Ask whether the security remains restricted in the buyer’s hands and what documents or legal opinion would be needed for a resale. Identify any permitted secondary marketplace and its actual eligibility rules; do not assume one exists because a website displays an indicative price.
  8. Set a loss and time limit before investing. Assume the entire amount could be lost and that the money could be unavailable for an indefinite period. Do not use funds needed for rent, taxes, emergencies, debt payments, tuition or other near-term obligations. A promised IPO date is not an exit plan, and a promoter’s statement that the investment is “safe” does not change the risk.

What to read in the offering documents

Issuer and business evidence

Confirm the legal entity that will issue or transfer the security, its operating history, principal business, management, use of proceeds and material risks. Look for consistency between the pitch deck, offering document and financial statements. “Trending industry” language is marketing, not proof of revenue, margins, customer retention or a viable path to profitability. Ask which assumptions are historical facts and which are forecasts.

Capitalization and dilution

A share price has meaning only with the fully diluted capitalization. Review outstanding common and preferred shares, options, warrants, restricted stock, convertible notes and promised grants. Determine how a new financing, employee option pool or conversion could reduce your percentage ownership. If the documents do not provide enough information to calculate your approximate ownership, you do not yet know what you are buying.

Use of proceeds and selling holders

Identify how the issuer says it will use new money: working capital, research, hiring, debt repayment or another purpose. In a Regulation A transaction, determine whether existing shareholders are selling shares. Proceeds from those resale shares go to the selling holders, not to the company’s plans. That distinction can affect whether your investment funds growth or simply changes who owns already-issued shares.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Fees, conflicts and markups

Require a dollar-and-percentage breakdown of every charge, including commissions, platform fees, wire costs, custody charges and any markup over the seller’s acquisition price. Ask whether the intermediary, issuer executive or selling shareholder has a financial conflict. Undisclosed markups and claims that a promoter earns only when you earn are among the warning signs identified by the SEC.

Resale and liquidity: plan for holding, not flipping

Private securities can be “restricted” under federal securities rules and can also be subject to contract terms. A resale may require an available exemption, issuer consent, a legal opinion, a broker willing to handle the transaction and a buyer who can satisfy the same eligibility rules. Even when a document says shares are transferable, practical liquidity depends on an actual buyer, usable information and a process for recording the transfer.

Rule 506 private placements

Rule 506 securities generally carry transfer restrictions and legends. Review the subscription agreement and the issuer’s governing documents for rights of first refusal, company approval and lockups. A future IPO can create a separate lockup or other restrictions, and an IPO may never occur. Do not buy solely because someone says a secondary buyer is “lined up” unless you can verify that buyer, the price, the conditions and the seller’s authority.

Regulation A

The absence of a stated resale restriction is not the same as liquidity. You may still need to locate a buyer, complete a transfer through the issuer or its agent and obtain current information. Check whether the company intends to list the securities, whether any trading venue is actually available and whether the offering documents describe selling-shareholder transactions.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Regulation Crowdfunding

Investors are generally prohibited from reselling crowdfunding securities for the first year. Exceptions described by the SEC include transfers to the issuer, an accredited investor, certain family members, specified events and a registered offering. After the first year, the security may remain hard to sell because there may be no market, limited company information or few eligible buyers.

Fraud and pressure signals

The SEC’s June 2024 alert identifies patterns that deserve independent verification:

  • An unregistered person presenting an investment opportunity or refusing to identify the regulated intermediary.
  • Aggressive cold calls, unsolicited direct messages or social-media-only solicitations.
  • Claims that an IPO is imminent, guaranteed, or scheduled for this year without verifiable filings from the issuer.
  • Comparisons to a famous successful company without comparable operating evidence.
  • Statements that the promoter earns only if you make money, used as a substitute for disclosed compensation terms.
  • An unregistered offer advertised without eligibility limits, even though the claimed exemption restricts who may buy or how the offer may be promoted.
  • Undisclosed markups, “scarce” or unusually cheap shares, or pressure to wire funds immediately.
  • A seller who cannot prove it owns the shares or has authority to transfer them.

These signals do not by themselves establish fraud, but they justify stopping the transaction until identity, registration, ownership and documentation are independently confirmed. Do not rely on a website, social post, testimonial or promotional presentation alone. The SEC’s investor alert explains these warnings at Investor.gov.

How to decide whether the opportunity fits your situation

Use a written decision record rather than an emotional yes-or-no response to a sales call. You should be able to answer all of the following in plain language:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • What exact legal security am I buying, and who will own it after closing?
  • Which registration or exemption applies, and does the marketing method comply with it?
  • Am I eligible under the route’s investor requirements, including accreditation or investment limits?
  • What valuation and fully diluted ownership percentage do the documents imply?
  • Which investors or share classes have rights better than mine?
  • What portion of my payment reaches the company, and what portion goes to selling holders or intermediaries?
  • What are every fee, markup, conflict and future financing risk?
  • What precise event would let me sell, who could buy, and what approvals or opinions would be required?
  • Can I tolerate a total loss and an indefinite holding period without affecting essential finances?

If any answer depends on an undocumented promise, treat the answer as unknown. You can decline an offer without proving it is illegal; the burden is on the seller to provide clear, consistent documentation and a lawful route.

What SEC qualification and regulatory filings do—and do not—tell you

SEC qualification of a Regulation A offering is a procedural condition for the offer, not an endorsement of the company, a guarantee of accuracy or a statement that the price is fair. Likewise, a filing associated with a private offering does not turn the investment into an SEC-approved product. Regulatory status helps you understand the legal framework; it does not remove business, valuation, dilution, fraud or liquidity risk.

The same distinction applies to an intermediary’s registration. A registered broker-dealer or funding portal must follow applicable rules, but registration does not guarantee that a particular issuer will succeed or that a particular investment is suitable for you. Read the issuer’s disclosures and the contract terms yourself, and obtain independent professional advice when the amount or complexity warrants it.

Bottom line for prospective buyers

Buying before an IPO can provide exposure to a private company, but it is a high-risk, potentially illiquid securities transaction rather than a shortcut to public-market gains. Proceed only after you can verify the issuer, security, seller, offering exemption or registration, economics, fees and transfer rules in writing. Assume the IPO may never happen, the shares may never appreciate, and your money may be tied up indefinitely. If the offer relies on urgency, secrecy, an unverifiable seller or a guaranteed timetable, walking away is the safer decision.
