When Norges Bank places a company under observation, the Government Pension Fund Global does not automatically sell its shares. Observation is a public, time-limited monitoring status used when the bank considers the company exposed to an unacceptable ethical risk. The company normally remains in the fund’s investment universe while Norges Bank and the Council on Ethics track whether the risk changes. At the end of the period, the status can end, be revoked, continue under a new assessment, or lead to exclusion.
What “under observation” means
Observation is part of the ethical framework governing companies held in the Government Pension Fund Global’s equity and fixed-income portfolios. It tells investors and the company that Norges Bank has accepted a formal finding of unacceptable ethical risk, but has chosen monitoring rather than immediate removal from the fund.
The decision is public. It identifies the risk, sets an observation period and creates an expectation that the company’s conduct, controls or business relationships will be followed against that risk. Observation is therefore more than an informal warning, but less than exclusion.
It is not a criminal conviction or a court finding that the company is legally guilty. The framework is an investment-governance process: the question is whether holding the company creates an unacceptable ethical risk and which response is most appropriate for the fund.

Does observation mean Norges Bank sells the shares?
No. Observation normally leaves the company inside the fund’s investment universe. Norges Bank can continue to hold the relevant equity or fixed-income position while monitoring developments and considering whether engagement or another measure is more effective.
The distinction matters because exclusion removes a company from the investment universe, while observation keeps the investment relationship in place. Norges Bank’s published wording says it must consider whether ownership rights or another measure would be better suited before choosing observation. In the Executive Board’s 6 February 2025 statement, the bank wrote: “Before deciding to place a company under observation, Norges Bank shall consider whether the use of other measures, including the exercise of ownership rights, may be better suited.”
How the observation process works
- Continuous monitoring: The Council on Ethics monitors companies in the fund’s portfolios and looks for conduct that may fall within the ethical guidelines.
- Investigation: When a potential case is identified, the council investigates the facts and the company’s connection to the alleged risk.
- Company response: The company is given an opportunity to provide information and comment. Its response can clarify events, describe remedial action or challenge the factual basis of the case.
- Recommendation: After assessing the evidence, the Council on Ethics can recommend observation, exclusion or revocation of an earlier decision.
- Norges Bank decision: Norges Bank makes the formal decision under the framework. It must weigh observation against ownership engagement or another available measure.
- Publication: The decision and the company’s status are published, and the company is placed on the public list maintained by Norges Bank.
- Follow-up: Norges Bank and the Council on Ethics reassess whether the original basis still exists. The follow-up can result in the observation ending, being revoked, continuing, or being replaced by exclusion if the risk remains unacceptable.
The process is not a one-time announcement followed by automatic removal. Monitoring is built into the status from the start.

- Serious or systematic human-rights violations.
- Serious violations of individual rights in war or conflict.
- Severe environmental damage.
- Unacceptable greenhouse-gas emissions.
- Gross corruption.
- Other particularly serious violations of fundamental ethical norms.
The threshold is an ethical-risk assessment under the fund’s guidelines. A public observation decision should therefore be read as a statement about risk under that framework, not as a universal legal judgment about every aspect of the company’s business.
What the company should expect after the decision
A public record
Norges Bank publishes the decision and maintains a public observation list. The company’s name, the reason for the status and the observation period become part of the information available to investors, lenders, customers and other stakeholders.
A defined period
The observation period is set in the individual decision and varies by case. There is no single standard duration that applies to every company. Recent decisions illustrate the range: Fincantieri SpA received a two-year observation period in 2025, while Toronto-Dominion Bank received a four-year period in 2025.

Continued scrutiny
The Council on Ethics follows developments relevant to the stated risk. Depending on the case, that may include changes to policies, governance, supply-chain controls, business relationships, investigations, reporting or actual conduct. The company should expect requests for information and should be prepared to demonstrate that corrective measures are implemented rather than merely announced.

A possible change in status
Observation is not guaranteed to end automatically when the stated period expires. Norges Bank can reassess the basis during the period and decide on a different response. If the risk is no longer unacceptable, the observation can end or an earlier decision can be revoked. If the risk remains, exclusion is possible.
How long does a company stay on the observation list?
The answer is the period written into that company’s decision. The 2025 examples show why readers should not assume a default term: Fincantieri SpA was observed for two years, whereas Toronto-Dominion Bank was observed for four years.
The period is not the only timing consideration. The bank and the Council on Ethics regularly reassess whether the factual and ethical basis still exists. A company can therefore leave the list after a change in circumstances, or its case can move toward exclusion before the stated period has become the practical endpoint.
Can a company get off the list?
Yes. Observation can end when the relevant risk is no longer considered unacceptable, and a previous decision can be revoked when circumstances change. ORLEN SA is an example: its observation ended after the Council on Ethics concluded that changes at the company meant the relevant risk was no longer unacceptable.

Ending observation does not mean that every historical allegation is erased. It means the basis for the fund’s current ethical-risk status no longer meets the threshold for continued observation. The public decision remains part of the record, while the company’s current status changes.

What investors should make of an observation
For investors, observation is a material governance signal, but it is not the same as a sell order. The fund has identified a risk serious enough to publish and monitor, while retaining the option of ownership engagement or another measure.
The practical implications depend on the company and the stated risk. Investors should read the individual decision, identify the conduct being monitored and track subsequent announcements rather than treating every observation as evidence of an imminent disposal. A later move to exclusion would have a different investment meaning because it would remove the company from the fund’s investable universe.

What changed in 2026?
The current position is unusual. Under temporary ethical guidelines in force after November 2025, Norges Bank does not make new observation or exclusion decisions. It may, however, revoke earlier decisions. The Council on Ethics continues to monitor the fund’s investments and inform Norges Bank about companies identified for possible ownership action.
The public register was last updated on 11 August 2026. That date matters when checking a company’s status: a later change may not appear until the register is updated, and an older observation decision should be read in light of the temporary framework now in force.
A government-appointed committee was scheduled to report on the ethical framework by 15 October 2026. The available register information does not establish what policy changes, if any, follow from that report, so readers should verify the current framework when a new decision or revocation is announced.
How to read an individual observation decision
- Identify the exact company and security: Confirm whether the decision concerns an equity holding, a fixed-income issuer or both.
- Read the stated risk: Note whether the decision concerns human rights, war or conflict, environmental damage, emissions, corruption or another fundamental ethical norm.
- Check the period: Record the start, end and any review language in the decision rather than applying a standard term.
- Look for the company’s response: The process gives the company an opportunity to provide information and comment, which can explain commitments and remedial steps.
- Follow later status updates: The next material outcome may be an end to observation, revocation, continuation or exclusion.
The central takeaway
Norges Bank observation is a public, temporary monitoring measure for an unacceptable ethical-risk concern. It does not automatically sell the fund’s position, does not equal exclusion and does not itself establish criminal guilt. The company remains subject to active scrutiny for the period in its decision, while Norges Bank considers engagement and other measures.
