When an open-source project changes its governance, it changes the rules for who may propose, decide, approve, and oversee project work. The change can redistribute authority among maintainers, create or redefine a committee, alter voting or consensus procedures, or move administration and trademark stewardship to an independent foundation. It does not, by itself, prove that contributor participation, project continuity, or code quality will improve or decline.
The practical result depends on the written transition: its electorate, approval threshold, scope, implementation date, and treatment of existing roles. Read the governing documents and decision record rather than assuming that a new committee or foundation automatically controls every project decision.
What governance controls in an open-source project
Decision rights, not just organizational charts
Governance answers practical questions that affect everyday work: who sets technical direction, who can approve a release, who grants or removes project roles, who resolves disputes, and who may change the governance rules themselves. A document may assign those powers to maintainer consensus, a project team, an elected committee, a foundation board, or a combination of bodies.

The OSPS Baseline, for example, says decisions are guided by consensus among maintainers and sets a defined voting process for changing that model. That is a project-specific allocation of authority, not a universal rule for open-source software. The current OSPS Baseline governance document also calls for the model to be revisited every six months so it can adapt to the community’s size and complexity.

Governance is different from the code and license
A governance revision normally changes the decision process, roles, or stewardship arrangements. It does not automatically change the software license, the technical architecture, the project’s trademark ownership, or the rights granted by existing copyright licenses. Those subjects may be connected in a transition, but the proposal should identify each one separately. A change that only revises maintainer voting is not the same as a transfer of legal assets to a foundation.
Who gets to make decisions after the change?
Do not infer the answer from labels such as “committee,” “foundation,” or “community-led.” Inspect the actual rules. A useful comparison separates six dimensions:

| Transition procedure | What notice, review, vote, implementation, and continuity provisions are required? | These details determine when the new model becomes effective and how existing work is protected. |
These dimensions reflect how published project policies divide authority; they are an assessment framework, not a claim that every project has identical roles.

- Find the current governing documents. Look for the governance file, bylaws, charter, contribution guide, release policy, and any document defining maintainers or project teams.
- Identify who may propose a change. Some projects allow any contributor to open a proposal; others reserve formal proposals for maintainers, elected representatives, or a committee.
- Read the discussion and notice rules. Check where the proposal must be posted, how long review remains open, and whether affected teams or maintainers must be notified.
- Determine the approval method. “Consensus” can require explicit agreement from all maintainers, while a vote requires a defined electorate, quorum, threshold, and method for recording abstentions or vacancies.
- Check implementation authority. The document should say who updates the governance files, assigns roles, signs agreements, or transfers administrative accounts after approval.
- Verify the effective date and continuity plan. Look for treatment of open pull requests, pending releases, security response, existing commitments, and disputes during the transition.
Two documented 66% examples
The OSPS Baseline governance rules require at least 66% favorable votes of all active maintainers for a proposal that redefines the governance model. The electorate is “active maintainers,” and the figure is a policy threshold in that project, not a general open-source standard. The document also specifies a six-month review interval for reconsidering the model.
The Security Insights Specification governance document describes proposal discussion and the same minimum 66% favorable-vote threshold for governance-model revisions. This is a second project example, not evidence that every project uses 66%.
Consensus and voting can coexist
A project may use consensus for routine technical decisions while requiring a supermajority vote for constitutional changes. That arrangement is not contradictory: the routine process and the amendment process answer different questions. Always determine which process applies to the decision in front of you.

Does a foundation take over?
Sometimes, but foundation affiliation and project decision authority are separate questions. The OpenSSF FAQ says maintainers manage its hosted projects, including defining governance, and that OpenSSF membership or sponsorship level does not affect project-related decisions. A project can therefore be hosted by, funded by, or associated with an organization while its technical maintainers retain the authority specified in the project rules.

The Open Source Way guidebook describes another possible path: as a project grows, it may transfer management and trademark stewardship to an independent foundation. Such a transfer can provide a durable legal home or administrative support, but it is an option some projects consider, not an inevitable result of growth or governance reform. Foundation oversight may be legal, technical, or both
The Apache Software Foundation says its Project Management Committees provide legal oversight of project operations and releases. Its explanation also treats mentoring contributors and the social development of committers and PMC members as part of project stewardship. A PMC role therefore cannot be understood solely as a technical voting seat; it carries an accountability function described by the foundation’s policy. See Apache corporate governance for PMCs.
OpenStack uses a different division. Its governance site identifies a Technical Committee as the governing body for technical oversight and directs changes concerning an individual official project to that project’s team. The result is a layered model in which community-wide technical oversight and project-level authority are distinct. Details are documented at OpenStack Governance.
What changes for contributors and maintainers?
New or altered routes to influence
A revised model may change who can open a formal proposal, who has a binding vote, how a contributor becomes a maintainer or committer, and which forum resolves disagreement. Contributors can still participate in discussions under a model that gives final authority to a smaller maintainer group; conversely, a project can broaden formal voting rights without guaranteeing that every proposal will be adopted.

Read the role definitions and promotion criteria, not just the announcement. Look for requirements such as sustained technical contributions, review activity, community conduct, election, appointment, or approval by existing maintainers. Also check whether inactive maintainers remain in the electorate, because a threshold based on “all active maintainers” can produce a different result from one based on every historical maintainer.
Release and security responsibilities
Governance can reassign who signs releases, manages the release calendar, responds to vulnerabilities, or communicates breaking changes. A technical committee may set policy while a project team executes releases, or a PMC may carry legal responsibility while individual maintainers perform the operational work. The proposal should name each responsible role and provide an escalation path when a role is unavailable.
Existing contributors do not automatically lose credit
Unless the transition document says otherwise, a governance change does not erase authorship, copyright notices, prior contributions, or the project’s contribution history. It may, however, change who can merge future work or approve releases. Contributors should check the effective date and any migration of repositories, access controls, mailing lists, or issue trackers.

A governance proposal may cover more than technical votes. It can include administration of repositories and domains, signing authority, fiscal sponsorship, trademarks, contracts, compliance duties, and the relationship between a project and a parent organization. These functions should be listed explicitly because transferring one does not necessarily transfer the others.

- Technical governance: architecture, APIs, compatibility policy, and release criteria.
- Operational governance: infrastructure, access permissions, incident response, and meeting or communication channels.
- Legal stewardship: trademarks, contracts, incorporation, fiscal administration, and formal accountability.
- Community governance: contributor recognition, codes of conduct, elections, conflict resolution, and pathways to authority.
When a foundation is involved, ask whether it is merely hosting infrastructure, providing fiscal or legal services, or receiving actual control of organizational assets. The answer should appear in the charter, agreement, or transfer record rather than being inferred from branding.
How to evaluate a proposed governance change
Use the following checklist before treating the announcement as a completed transition:
- Is the proposal linked to the current governing document and a dated decision record?
- Who was allowed to propose it, and where could contributors review or comment?
- Which electorate approved it, and does the record show the threshold, quorum, and tally?
- Does the change affect technical decisions, legal stewardship, project operations, community roles, or all of them?
- Which body has final authority after the change, and which decisions remain with project teams or maintainers?
- How are maintainers, committers, committee members, and elected representatives appointed, removed, or replaced?
- What happens to pending releases, security reports, open changes, and infrastructure during the handover?
- Are trademarks, domains, repositories, signing keys, and contracts staying with the project or moving to another entity?
- When will the model be reviewed, and what procedure changes it again?
If the announcement answers only who sits on a new committee but not these questions, it describes personnel rather than the full governance transition.

What a governance change does not prove
Published governance documents establish authority and procedure; they do not supply a general causal measurement of contributor participation, continuity, or software quality before and after a change. A new structure may be intended to improve one of those outcomes, but the intention is not evidence that the outcome occurred.
To assess results for a particular project, compare the approved rules with later decision records, release cadence, maintainer turnover, response to security issues, and contributor activity. Attribute any conclusion to that project’s observed evidence and time period. Do not treat the OSPS 66% threshold or six-month review interval as performance statistics: they are policy values in a specific project document.
A plain-language way to read the outcome
After a valid transition, the answer to “who decides?” should be more precise than before. You should be able to name the authority for a technical change, a release, a maintainer appointment, a legal or trademark matter, and a governance amendment. You should also be able to identify how a contributor moves from discussion to formal authority.
The OSPS Baseline expresses the adaptive principle behind its review schedule: “The project’s governance model shall be revisited every six months to address the needs of the community, as the project recognizes that communities need to steer themselves according to their size, members, and other factors that shape their complexity.” That principle illustrates why governance is a process that can be revisited, not a guarantee that one structure will fit a project permanently.
