In an India-governed employee stock-option plan, unvested options generally expire when your employment ends, while vested options usually remain exercisable only for the period stated in your scheme and grant documents. There is no universal 30-, 60-, or 90-day deadline. Before you resign—or immediately after your last working day—confirm the plan’s definition of the resignation date, the final exercise date for every vested tranche, the exercise price, payment process, restrictions on the resulting shares, and the tax treatment that applies to you.

What happens to my ESOPs if I resign?

An ESOP (employee stock option) is a contractual right to buy shares at a predetermined price after specified conditions are met. It is not itself a share. Resignation normally creates two separate outcomes:

Option status when employment ends Typical result under the India rule cited here What you must verify
Unvested Expires on the resignation or termination date under Rule 12(8)(f) of the Companies (Share Capital and Debentures) Rules, 2014. The plan’s vesting record and the employment-end date used by the administrator.
Vested Remains exercisable only during the post-resignation period specified by the scheme and grant documents. Last exercise date, exercise procedure, price, payment method and any restrictions.
Already exercised You hold issued shares, subject to the plan’s lock-in, transfer restrictions and the issuer’s liquidity. Share certificate or demat record, lock-in terms and tax obligations on a later sale.

The rule and the plan therefore do different jobs. Rule 12(8)(f) expressly addresses unvested options. Rule 12(1)(l) requires the scheme to state the period in which vested options may be exercised after proposed termination or resignation. The documents for your grant—not a common industry rule of thumb—supply the practical deadline.

Do I lose my unvested ESOPs when I leave?

For schemes governed by the Companies (Share Capital and Debentures) Rules, 2014, yes: options that have not vested by the resignation or termination date expire. Rule 12(8)(f) states: “In the event of resignation or termination of employment, all options not vested in the employee as on that day shall expire.” This is an expiry of the option right, not a cancellation of shares, because no shares have been issued for an unvested option.

Vesting is normally assessed as of the date defined in the plan. That might be your formal resignation date, last working day, release date or another date specified in the employment and grant documents. Ask the plan administrator for a written vested-versus-unvested statement calculated as of that date. Do not assume that notice-period service, garden leave or a later payroll date creates additional vesting unless the documents say so.

Exceptions and jurisdiction limits

The quoted rule is an India-focused baseline for the schemes to which it applies, especially unlisted-company arrangements under the Companies Act framework. Listed companies also operate under the Securities and Exchange Board of India (SEBI) Share Based Employee Benefits and Sweat Equity Regulations, 2021. A foreign parent’s plan, a grant issued outside India or a plan governed by another country’s law can produce a different result. Identify the issuer, governing law and employing entity before relying on the India rule.

How long do I have to exercise vested ESOPs after resignation?

There is no single deadline established for every employee. The scheme must specify an exercise period after proposed termination or resignation, and the grant letter may apply that term to each award or vesting tranche. Some plans calculate the window from the resignation date; others use the termination date, last working day or another defined event. The exact wording controls.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Where to find the deadline

  1. Read the signed grant letter for the award and every subsequent amendment.
  2. Read the complete ESOP scheme, including the section covering resignation, termination, retirement, death, disability and other departures.
  3. Check the administrator’s portal or exercise notice for the calendar date and cut-off time. Treat portal information as an implementation aid, not a substitute for the governing documents.
  4. Ask the company in writing how the final date is calculated, whether it is inclusive, and what constitutes a completed exercise.
  5. Confirm whether each vesting tranche has a separate deadline. A single grant can contain tranches with different vesting and expiry dates.

Missing the stated deadline can leave a vested option unexercised and therefore worthless as an option. Keep proof of any submission, payment and acknowledgement; an instruction started before the deadline may not count if the plan requires cleared funds, signed forms or issued shares by that date.

What is the difference between an option and a share?

An option is a right to purchase shares; it does not give you ownership of those shares. Under the cited rules, an employee has no voting, dividend or other shareholder benefits in respect of an option until shares are issued on exercise. A resignation does not turn a vested option into a share automatically.

Exercise usually requires you to submit the required notice and pay the exercise (strike) price. Only after the company accepts the exercise and issues or transfers the shares do shareholder rights arise. The resulting shares may still be subject to a lock-in or another transfer restriction specified by the scheme. A private-company share can also be difficult to sell even when no formal lock-in applies; the supplied sources do not establish any guaranteed market or price.

Transferability

The Companies Rules generally prohibit transferring an option to another person. You normally cannot sell, gift or assign an unexercised option to a colleague or family member unless an applicable plan and law expressly provide otherwise. Check the plan for limited permitted transfers, but do not presume they exist.

What does exercising vested ESOPs cost?

Exercise has two distinct financial components: the purchase price and possible tax. The purchase price is generally the number of options exercised multiplied by the exercise price, subject to the plan’s rounding and payment rules. You may also face withholding or other amounts collected by the employer.

Tax at exercise

SEBI’s investor guide explains that employees are taxed when exercising options. The Income Tax Department describes the general taxable value of the ESOP perquisite as the fair market value (FMV) of the shares on the exercise date minus the amount recovered from the employee for those shares. In shorthand:

Taxable perquisite value = FMV on exercise date − amount paid by the employee.

This is a general valuation description, not a personal tax calculation. The applicable tax year, your residence and employment status, the issuer’s structure, the valuation method and any withholding rules can change the result. Ask the company which FMV it is using, how it was determined, and what amount will be withheld or reported. Obtain advice from an India-qualified tax professional when the grant, issuer or your residence is cross-border.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Tax when you sell

SEBI also notes a second tax point when shares are sold. A later sale may create a capital-gains consequence based on the relevant acquisition value, sale proceeds and holding period. The sources do not establish a universal tax rate or holding-period result, so do not treat the exercise calculation as the final tax cost.

How to decide whether exercising is sensible

A vested option is not automatically valuable. Compare the value you might receive with the cash and risks you must accept before the deadline.

  • Time: How many days remain, and can the company complete verification, payment and share issuance in that period?
  • Cash: Can you pay the full exercise price and any tax or withholding without relying on a sale that may not happen?
  • Value: What FMV is being used for tax, and how does it compare with the exercise price? An internal FMV is not a promise that a buyer will pay that amount.
  • Liquidity: Are the shares listed, and if not, is there a permitted sale, buyback or secondary process?
  • Restrictions: Does the plan impose a lock-in, right of first refusal, board approval or other transfer condition?
  • Risk: Could the shares decline in value or remain illiquid while your cash is committed?
  • Jurisdiction: Do foreign-exchange, securities, employment or tax rules apply because the issuer or plan is outside India?

The Companies Rules permit a scheme to specify a lock-in for shares issued after exercise. Treat the exercise as an investment decision with a fixed cash outlay and uncertain liquidity, not as guaranteed compensation.

Step-by-step checklist for a departing employee

  1. Collect the controlling documents. Save the signed grant letter, complete ESOP scheme, amendments, vesting schedules, employment agreement, resignation acknowledgement and any portal instructions.
  2. Fix the relevant date. Ask HR or the administrator to identify the date the plan uses for vesting and expiry, and request a written vested/unvested count for every grant.
  3. Map each tranche. Record grant date, vesting date, vested quantity, exercise price and post-resignation deadline in a separate line for each tranche.
  4. Confirm the exercise mechanics. Ask whether exercise is through a portal, signed form or another process; whether partial exercise is allowed; which bank account accepts payment; and when funds must clear.
  5. Calculate cash needs. Multiply the quantity you plan to exercise by the strike price and add stated taxes, withholding, fees or other charges.
  6. Obtain the FMV basis. Request the valuation used for the perquisite and the date on which it applies. Have a tax adviser review your personal position.
  7. Check post-exercise restrictions. Confirm lock-in, transfer approvals, company buyback terms, listing status and any internal sale window.
  8. Submit early and retain evidence. Complete identity, demat and bank checks before the last date. Keep the submitted form, payment proof, confirmation number and share-issuance record.
  9. Handle cross-border issues separately. For a foreign issuer or expatriate situation, obtain advice on governing law, foreign exchange, securities compliance, payroll reporting and tax in every relevant country.

Why company documents can produce different outcomes

Plan administration can vary by issuer and jurisdiction. A SEBI-hosted 2016 company filing, for example, described a scheme under which a resigning employee could exercise options vested before resignation while unvested options lapsed. The same filing described a decision to reinstate deferred options in one jurisdiction but not others. That filing illustrates administrative variation; it does not create a general reinstatement right or a universal exercise period for other employees.

Read the actual plan rather than relying on a colleague’s experience. Differences can arise from the issuer’s listed or unlisted status, amendments adopted after your grant, a foreign parent’s rules, or the legal definition of resignation and termination.

Common mistakes to avoid

  • Assuming “vested” means you already own shares.
  • Using a 30-, 60- or 90-day deadline that is not written in your plan.
  • Waiting until the final day to resolve portal, bank, demat or identity checks.
  • Budgeting only the strike price and forgetting perquisite tax or withholding.
  • Assuming a private-company share can be sold immediately at the stated FMV.
  • Ignoring lock-in or transfer restrictions that start after exercise.
  • Applying an India rule to a foreign-issued grant without checking governing law.
  • Relying on verbal assurances instead of obtaining the vested count, deadline and process in writing.

Questions employees commonly ask

Can I keep my vested ESOPs after leaving the company?

Usually you can retain the contractual right to exercise vested options during the period specified in the scheme and grant documents. Retention does not mean indefinite ownership or automatic shares; the option expires if you do not complete the required exercise within that period.

Do unvested options ever continue vesting during notice?

They expire on the applicable resignation or termination date under Rule 12(8)(f), unless a different legally valid treatment applies to your plan and jurisdiction. Confirm the date and any special departure category in the documents.

Is there a standard post-resignation exercise window?

No. Rule 12(1)(l) requires the scheme to specify the period for vested options. Your documents may set a different period for different departure events or grants.

Do I pay tax just for holding vested options?

The cited guidance describes taxation at exercise and again when shares are sold. Holding an unexercised option is not the same event as exercising it, but your employer’s reporting and your personal facts should be checked with a tax adviser.

What if the company will not answer before the deadline?

Send a dated written request to the plan administrator and HR, identify each grant, and ask for the deadline, payment instructions and required documents. Preserve delivery evidence and seek legal or tax advice promptly; do not assume silence extends the deadline.
