When a company is acquired, your shares do not all receive the same treatment. The transaction agreement determines whether you receive cash, shares in the acquiring company, other securities, a combination, or—when a tender offer is used—whether you can choose to accept the offer during a stated period. A merger can convert or cancel target shares once the required approvals and closing conditions are satisfied. Read the official deal documents and your broker’s notices for the exact consideration, deadlines, conditions, and tax reporting details.
First, identify how the acquisition is being carried out
“Acquisition” describes the business result, not one single legal process. The route used for your transaction determines whether you make an individual election or are bound by an approved agreement.
Tender offer: an individual decision during a fixed period
In a tender offer, the bidder solicits shareholders to sell their securities on stated terms for a limited period. The U.S. Securities and Exchange Commission’s Investor.gov explains that “each security holder can decide for him or herself whether to tender their securities.” The offer may require a minimum number of shares to be tendered, and the documents specify the opening and expiration dates, consideration, and other conditions. Read the SEC’s Tender Offer explanation for the regulatory overview.

If you do not tender, your shares are not automatically sold merely because the offer was announced. However, the offer may be followed by a second-step merger or another transaction that treats remaining shares differently. The offer materials explain that sequence and any rights attached to it.

Merger: the agreement can determine the result for all remaining holders
In a merger, the target and acquirer agree on consideration and closing mechanics. Shareholder approval may be required under the applicable state law; Investor.gov notes that the need for approval is governed by state law and that, typically, holders of a majority of the target’s outstanding shares approve, although the details vary. Acquirer approval may also be required in some circumstances.
After the merger closes, the agreement generally provides that target shares are converted into the stated cash, acquirer shares, or other consideration, or are cancelled in exchange for payment. The target may cease to be a separate listed company. Your individual action is therefore different from a tender offer: the approved agreement and its conditions, rather than an instruction from every holder, control the conversion.
What you can receive for each target share
| Consideration | What happens to your investment | Main value or risk question |
|---|---|---|
| Cash | You receive the agreed per-share amount under the transaction’s payment mechanics. The target shares stop representing an ongoing interest in the target after completion. | The amount is fixed by the agreement, but payment depends on closing and any stated conditions. |
| Acquirer stock | Your target shares are exchanged for a stated number of acquirer shares. You remain invested in a public company, but it is now the acquirer rather than the independent target. | The eventual value moves with the acquirer’s share price and the exchange ratio. |
| Cash and stock | You receive both cash and replacement shares, allocated under the agreement or an election procedure. | Cash can create an immediate taxable event; stock leaves you exposed to the acquirer’s future price. |
| Choice of consideration | The documents may let you elect cash, stock, or a combination, often subject to proration or aggregate limits. | Follow the election form, deadline, and allocation rules; a requested mix may not be available in full. |
| Other securities | Notes, preferred shares, rights, or another security can be delivered when specified in the agreement. | Read the security’s terms, liquidity, maturity, and conversion provisions rather than treating it as cash. |
These categories are not guarantees of a particular deal. The transaction documents control the number of replacement shares, any rounding or cash-in-lieu treatment, and when and how payment is delivered.

Cash consideration
A cash deal states an amount per target share and the conditions under which it will be paid. Once the transaction closes, the target shares no longer represent an independent stake in that company. Do not assume that the headline offer price is payable immediately: regulatory approvals, a minimum acceptance condition, shareholder approval, financing, or other closing conditions can delay or prevent payment. The agreement and broker notice provide the operative dates.
Stock consideration
A stock deal uses an exchange ratio—for example, a specified fraction of an acquirer share for each target share. Your post-closing value therefore changes with the acquirer’s market price. The documents also state whether fractional shares are issued or sold for cash and how those amounts are calculated.

Mixed consideration or an election
A transaction can combine cash and shares or offer a choice between them. An election is not necessarily an unlimited menu: the agreement may cap the total cash or stock issued and prorate elections if shareholders request more of one form than is available. The form, deadline, default treatment for non-election, and any proration formula should appear in the proxy, information statement, joint proxy statement/prospectus, or tender-offer materials.
What happens if you do not accept a tender offer?
- During the offer period: Your shares remain in your account unless you tender them. Check the offer’s stated withdrawal rights; SEC guidance describes circumstances in which tendered securities can be withdrawn during certain periods.
- If the minimum condition is not met: The bidder may not be required to purchase tendered shares, depending on the conditions. The offer document states what happens to tenders if a condition fails.
- If the offer succeeds: A second-step merger or other follow-on transaction may convert shares that were not tendered. Read the section describing the post-tender transaction, consideration, and any rights for remaining holders.
- If the offer expires without completion: You generally continue to hold the target shares, subject to later announcements or a revised offer. Your broker’s corporate-action notice should state whether your instruction is cancelled or requires a new election.
The practical point is that ignoring a tender offer is not the same as rejecting the acquisition forever. It preserves your position during the offer, but a later transaction can determine the treatment of untendered shares.

What documents tell you your exact outcome?
For a U.S. SEC-reporting company, look for the filing that describes your transaction, then read the sections on consideration, voting, elections, conditions, and closing. Common documents include:
- Proxy statement: Usually accompanies a shareholder vote and explains the merger agreement, board recommendation, consideration, and voting instructions.
- Information statement: Provides transaction information when a vote is not required or is handled under another procedure.
- Joint proxy statement/prospectus: Used in some stock transactions to provide both voting disclosure and securities-offering information.
- Tender-offer materials: Describe the offer price or exchange ratio, expiration, conditions, withdrawal rights, and instructions for tendering.
Investor.gov’s Mergers guidance explains these disclosure concepts. Also read every broker message: broker cutoffs can occur before the issuer’s stated deadline, and the broker may require a specific election instruction.
A practical checklist for an individual shareholder
- Confirm the security and account type. Identify the ticker, share class, quantity, and whether the shares are held directly, in a brokerage account, or through a retirement or other managed account.
- Locate the primary filing. Use the issuer’s investor-relations page or the SEC filing referenced in your broker notice. Do not rely only on a headline or social-media summary.
- Write down the consideration. Record the cash amount, exchange ratio, securities offered, treatment of fractional shares, and any election or proration rules.
- Mark every deadline. Separate the issuer’s expiration or election date from your broker’s earlier processing cutoff. Missing an election can trigger the agreement’s default treatment.
- List the conditions. Note minimum tenders, shareholder votes, regulatory approvals, financing or other conditions, and the expected closing date. A stated closing date can change if conditions are not met.
- Check your rights. Search the filing for “appraisal,” “dissenters’ rights,” “withdrawal,” and “procedures.” Eligibility and deadlines are jurisdiction-specific.
- Keep records. Save the filing, broker notice, election confirmation, settlement statement, and the original purchase information needed for tax reporting.
- Review the post-closing account. Confirm that the cash, replacement shares, and any cash paid for fractional shares match the transaction terms. Contact the broker’s corporate-actions team promptly about a discrepancy.
Can you challenge the price or demand a different payment?
Some transactions provide appraisal or dissenter’s rights. These rights can allow an eligible holder to seek a court-determined value instead of accepting the merger consideration, but they are procedural and not universal. Investor.gov warns that the documents contain the eligibility rules and that failing to follow the required steps precisely can forfeit the rights.

Check the governing jurisdiction, the record-date and ownership requirements, notice deadlines, voting or non-voting conditions, and any requirement to make a formal demand or submit certificates. Do not assume that selling after an announcement, voting against a merger, or simply refusing a tender offer preserves appraisal rights. The transaction document—not a general rule—controls.
How taxes can differ by country and deal structure
Tax treatment depends on your jurisdiction, cost basis, account type, holding history, and the exact consideration. Cash, stock, and mixed deals can produce different results, so a merger announcement is not enough information to calculate a gain or loss.
UK example: share-only versus cash or mixed consideration
HM Revenue & Customs’ 2026 HS285 guidance says a qualifying share-only takeover can be treated as a share reorganisation for UK Capital Gains Tax. In the example described there, the cost basis of the original target shares carries to the replacement shares rather than creating an immediate disposal solely because the shares changed.
HMRC also states that takeover consideration can contain “a mixture of cash, shares and securities.” Where a shareholder receives cash and shares, the cash may create a Capital Gains Tax calculation, while specified allocation and “small” cash rules can affect the result. For the treatment described in the 2026 guidance, HMRC accepts a cash receipt as “small” if it is less than £3,000 in total or no more than 5% of the value of the shares in the original company immediately before the takeover. Those thresholds are UK-specific guidance, not universal transaction rules.
HMRC’s background manual also illustrates that offers can be conditional on a minimum level of acceptances by a stated date; see Companies and shareholders: company takeovers: background. Investors elsewhere should use their own tax authority’s rules or a qualified adviser. Do not apply the UK thresholds to U.S. or other-country returns.

Records to retain for any jurisdiction
- The original purchase date, price, fees, and any prior corporate actions affecting your basis.
- The merger or tender document showing the consideration and effective date.
- The broker’s settlement statement showing cash, replacement shares, and cash-in-lieu amounts.
- Tax forms issued after closing and calculations supporting any reported gain, loss, or basis adjustment.
A tax professional can determine how those records apply to your residence and account type; the deal document cannot substitute for local tax advice.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone. How to compare cash, stock, and a mixed offer
| Decision factor | Cash | Acquirer shares | Mixed or elected consideration |
|---|---|---|---|
| Value certainty | Stated per-share amount, subject to closing. | Market value changes with the acquirer’s price. | Partly fixed and partly market-dependent. |
| Continuing ownership | Ends the target investment at completion. | Continues ownership in the acquirer. | Leaves some exposure if shares are included. |
| Timing and conditions | Paid after the transaction closes and conditions are met. | Shares delivered under the exchange and settlement rules. | Election and proration deadlines can affect the final mix. |
| Tax questions | Often requires gain or loss analysis in the relevant jurisdiction. | May qualify for rollover or reorganisation treatment in some jurisdictions. | Cash and stock may be taxed differently within one transaction. |
| Procedure | Usually no market-price election, but tender or vote mechanics still apply. | Read exchange-ratio, fractional-share, and registration details. | Follow the exact election form, default, and allocation formula. |
There is no universally superior form. Your objective, need for liquidity, tolerance for acquirer-share volatility, investment horizon, tax position, and the legal terms all matter. Compare the alternatives using the numbers and conditions in the filing rather than assuming that a higher headline value will remain higher through closing.
Common pitfalls and how to avoid them
Confusing an announcement with a completed acquisition
An announced agreement can still fail a vote or another closing condition. Treat the consideration as proposed until the documents confirm completion and your broker reports settlement.
Missing the broker’s earlier cutoff
The offer may remain open at the issuer level after your broker stops accepting instructions. Use the earliest applicable deadline and obtain written confirmation of your election.

Ignoring fractional-share treatment
Stock consideration can produce a fractional entitlement. The agreement may pay cash for that fraction; retain the settlement record because that payment can have separate tax consequences.
Applying another country’s tax rule
The HMRC thresholds and share-reorganisation example are UK-specific. A U.S. holder or taxpayer elsewhere needs the rules for that jurisdiction and the relevant account.
Relying on a summary instead of the filing
Summaries may omit conditions, proration, default elections, or appraisal procedures. Use the official proxy, information statement, prospectus, or tender materials as the controlling explanation.
