When a company buys bitcoin, shareholders no longer own exposure only to the operating business. They own a combination of that business, the company’s bitcoin holdings, its financing structure, and the premium or discount investors assign to those assets. The stock can rise faster than bitcoin, lag it, or fall while bitcoin rises. New shares, convertibles, debt, preferred securities, accounting rules and the possibility of forced selling all determine the result.

The direct effect: a second business inside the first

A bitcoin-treasury company has two economically important components:

  • the operating company, including revenue, costs, products, cash flow and management execution; and
  • a bitcoin position whose value changes continuously with the market price of bitcoin.

Shareholders therefore receive bitcoin exposure through a corporate wrapper rather than owning spot bitcoin directly. That wrapper can add value through access to capital markets, operating cash flow, tax attributes or skilled treasury management. It can also subtract value through debt, preferred dividends, custody risk, dilution, operating losses and governance mistakes.

Strategy’s 2025 Form 10-K describes its objective this way: “Our bitcoin treasury operations are integral to our ability to execute on our business strategy of acquiring bitcoin in a manner we believe to be accretive to shareholders in the long term and to capitalize on opportunities to generate value from our bitcoin holdings.” Whether purchases are actually accretive is a per-share question, not simply a question of how many bitcoin the company owns.

How the treasury strategy works

The usual mechanism is a capital-raising cycle. The company issues common shares, convertible securities, debt or preferred stock, receives cash and uses some or all of it to buy bitcoin. The assets and claims created by that transaction then affect every existing common shareholder.

  1. Raise capital. The company sells a security at a particular share price, conversion price, interest rate, dividend rate and maturity.
  2. Buy bitcoin. The proceeds purchase bitcoin at the prevailing market price, after fees and transaction costs.
  3. Carry the obligations. Debt requires interest and repayment; preferred stock may require dividends or have priority in a liquidation; convertibles may become common shares later.
  4. Revalue the package. Investors mark the bitcoin, operating business, financing obligations and expected future issuance into the stock price.

Strategy’s 2026 Form 10-Q says its liquidity decisions consider the trading prices and liquidity of its Class A common stock and preferred stock, bitcoin’s market price and liquidity, the availability and cost of debt financing, cash reserves, dilution, taxes, timing and execution. Those considerations explain why a treasury purchase is not an isolated asset-acquisition decision.

Does buying bitcoin dilute existing shareholders?

It can. Issuing new common shares reduces each existing holder’s percentage ownership. A convertible issuance may create dilution if holders convert, while preferred securities and debt can claim value ahead of common stock even without increasing the common share count immediately.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Share count alone does not answer whether the transaction helps or hurts. The relevant test is the change in economic value per fully diluted share.

The per-share test

Suppose a company has 100 million fully diluted shares and $5 billion of net bitcoin value, or $50 per diluted share. It issues 10 million shares for $600 million and buys $600 million of bitcoin. The company now has 110 million shares and $5.6 billion of net bitcoin value: about $50.91 per diluted share before fees, operating assets and financing effects. Existing holders own a smaller percentage of the company, but the bitcoin value attributable to each diluted share has increased.

If the same 10 million shares raise only $400 million and the company buys $400 million of bitcoin, net bitcoin value becomes $5.4 billion, or about $49.09 per diluted share. In that case the issuance transfers value away from the pre-existing per-share position. Interest, preferred dividends, fees, taxes and a fall in the stock’s valuation premium can make the outcome worse.

Investors should distinguish four measurements:

  • Ownership percentage: the fraction of voting and economic rights represented by an existing holding.
  • Bitcoin per diluted share: the company’s bitcoin divided by all current and potential common shares.
  • Net asset value per share: bitcoin and other assets minus debt and priority claims, divided by diluted shares.
  • Market price: what investors currently pay for the whole company, including expectations about management and future financing.

Why the stock does not track bitcoin exactly

A company’s shares can outperform or underperform bitcoin because the stock is a leveraged, managed claim on more than one asset. The main drivers are:

Operating-company results

Revenue growth, margins, cash burn, product prospects and management credibility remain relevant. A profitable business can help fund interest and expenses during a bitcoin downturn. An unprofitable business may need to sell bitcoin or issue securities at unattractive prices.

The premium or discount to bitcoin value

Investors may pay more than the market value of the company’s net bitcoin because they value management, financing access, operating cash flow or the ability to compound bitcoin per share. They may also apply a discount for governance, custody, leverage, taxes, expenses or uncertainty. This premium or discount can change independently of bitcoin.

Leverage

Debt and preferred securities magnify common-stock exposure. If bitcoin rises, the residual value after fixed claims can increase rapidly. If bitcoin falls, those same claims do not automatically shrink, so common equity absorbs a larger percentage of the loss.

Capital-market access

A company that can issue stock above net asset value may buy bitcoin in a way that increases bitcoin per diluted share. If the premium disappears, issuing stock may become value-destructive or impossible. A closed financing window can turn a growth strategy into a liquidity problem.

Market liquidity and trading mechanics

Shares trade during market hours and can be affected by short selling, index flows, options activity and investor sentiment. Bitcoin trades continuously on global venues. Their prices therefore react on different schedules and with different liquidity conditions.

An Associated Press report dated June 9, 2025 illustrated the potential divergence: it said MicroStrategy, now known as Strategy, had risen more than 3,000% over five years, compared with about 1,000% for bitcoin over the same reported period. Those historical figures are not a forecast or a stable conversion rate between the stock and bitcoin.

Debt, preferred stock and the risk of forced selling

Borrowing to buy bitcoin creates a senior claim that must be serviced regardless of bitcoin’s price. Common shareholders face several distinct risks:

  • Interest expense: cash that could have supported operations or purchases must be paid to lenders.
  • Preferred dividends: preferred holders may receive distributions before common shareholders, and unpaid amounts may accumulate.
  • Maturity and refinancing risk: principal may become due when bitcoin is depressed or capital markets are closed.
  • Collateral risk: loan agreements may require additional collateral or restrict asset transfers.
  • Structural subordination: creditors at a subsidiary or secured lenders may rank ahead of the parent’s common stock.
  • Restructuring risk: a weak balance sheet can lead to new securities issued on unfavorable terms, asset sales or insolvency proceedings.

A prolonged bitcoin decline can also compress the stock’s premium to net asset value. That removes the ability to issue accretive equity just when the company may need cash, increasing pressure to sell bitcoin. The Associated Press quoted Standard Chartered’s Geoff Kendrick asking, “how much pain can companies withstand before being forced to sell their BTC?” The answer depends on cash reserves, debt covenants, collateral, maturities and access to new financing—not on bitcoin ownership alone.

Accounting changes can make reported earnings swing

Accounting results are not the same as cash flow. Strategy’s 2025 Form 10-Q states that, after adopting Accounting Standards Update 2023-08 on January 1, 2025, subsequent increases and decreases in bitcoin’s fair value are recognized in the consolidated statements of operations, and bitcoin is shown at fair value on period-end consolidated balance sheets.

Under this treatment, a bitcoin rally can produce a large accounting gain even when no coins are sold, while a price decline can produce a large accounting loss without an immediate cash outflow. Readers should reconcile earnings with:

  • cash available for payroll, taxes, interest and preferred dividends;
  • debt maturities and covenant requirements;
  • the number of diluted shares and potential conversions;
  • the market value of bitcoin and other assets; and
  • the stock’s premium or discount to net asset value.

Book value and net income can therefore be highly volatile. A favorable accounting quarter does not, by itself, prove that the treasury program generated cash or increased long-term value per share.

Comparing treasury-company shares with direct bitcoin exposure

Investors deciding between a company’s shares, direct bitcoin ownership and a regulated bitcoin-exposure product should compare the entire risk package.

Factor Treasury-company shares Direct bitcoin or a bitcoin fund
Bitcoin exposure per unit Changes with diluted shares, debt, cash and the company’s premium or discount. Generally tied more directly to the amount of bitcoin represented by the holding, subject to product structure and fees.
Operating business Includes revenue, costs, strategy and execution risk. Usually none, apart from the fund or custody vehicle’s operations.
Leverage and senior claims May include debt, preferred dividends and convertibles that magnify common-stock outcomes. Depends on the product; direct holdings do not have a corporate debt stack.
Dilution New shares or conversions can reduce ownership and bitcoin per share. Product-level creation, redemption or issuance mechanics differ and must be checked.
Custody and security The company controls custody arrangements; shareholders rely on its controls and disclosures. The holder or product sponsor controls custody under its own procedures.
Liquidity and forced-sale risk Debt service, collateral and operating cash needs can force sales. Price and redemption risks remain, but there is no corporate debt service unless the structure uses leverage.
Fees and taxes Operating costs, financing costs and shareholder-level taxes may apply. Trading, custody, fund and tax costs depend on the chosen method and jurisdiction.
Governance rights Shareholders may vote and receive company disclosures, but management controls treasury decisions. Rights depend on whether the investor owns bitcoin directly or units in a fund.

What shareholders should examine before buying

Read the latest annual report, quarterly filing, debt agreements and proxy materials. The following questions connect the treasury headline to the risks that affect common equity:

  1. Concentration: What percentage of total assets and enterprise value is bitcoin?
  2. Measurement: Does management report bitcoin per diluted share and net asset value per share, and how are potential conversions counted?
  3. Funding: How much bitcoin was financed with common equity, convertibles, debt or preferred stock?
  4. Terms: What are the interest rates, dividend rates, maturities, conversion prices, collateral requirements and covenants?
  5. Liquidity: How much cash is reserved for payroll, taxes, interest, dividends and scheduled principal payments?
  6. Custody: Who controls private keys, how are assets segregated, and what protections exist against theft, loss or operational error?
  7. Dilution limits: Does the board have a stated limit or decision rule for new issuance?
  8. Sale policy: Under what conditions may bitcoin be sold, pledged or transferred?
  9. Downside plan: What happens if bitcoin falls sharply, the stock premium disappears or refinancing is unavailable?
  10. Governance rationale: Why does the board believe the strategy serves long-term shareholders rather than simply increasing the company’s headline asset total?

Microsoft’s 2024 proxy materials show why this is a governance question, not merely a trading decision. The proxy described bitcoin as more volatile than corporate bonds and included a shareholder proposal asking the board to assess whether “diversifying the Company’s balance sheet by including Bitcoin is in the best long-term interests of shareholders.”

Common shareholder outcomes

Bitcoin rises and issuance remains accretive

Bitcoin appreciation increases asset value, and the company can raise capital at a premium that buys more bitcoin value per diluted share. Common stock may outperform bitcoin because investors also value the operating business and the compounding strategy.

Bitcoin rises but the premium contracts

The holdings are worth more, but investors pay less for each dollar of net asset value. The stock can lag bitcoin or decline even during a bitcoin rally.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Bitcoin falls while fixed claims remain

Debt interest, preferred dividends and maturities continue. Common equity bears the residual loss, and the company may have to issue stock cheaply, refinance at a higher cost or sell bitcoin.

The operating business weakens

Even a stable bitcoin price may not protect shareholders if revenue falls, cash burn rises or management loses access to financing. The stock reflects both businesses and all claims against them.

Bottom line for shareholders

Adding bitcoin can create a powerful compounding vehicle, but it does not turn common stock into a simple bitcoin substitute. Your result depends on bitcoin per diluted share, the operating business, leverage, priority claims, custody, liquidity, accounting volatility and the market premium or discount. Before buying, model the balance sheet under both a bitcoin rally and a prolonged decline, then ask whether the company can meet every obligation without relying on a favorable stock price or forced asset sale.

Frequently Asked Questions

Does buying bitcoin automatically increase shareholder value?

No. Value increases only if the bitcoin acquired, after financing costs and priority claims, improves the economic value attributable to each diluted common share.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Can a company be forced to sell its bitcoin?

Yes. Debt maturities, collateral requirements, operating cash needs, preferred obligations or an inability to refinance can create pressure to sell, especially during a bitcoin downturn.

Why can the stock fall when bitcoin rises?

The stock may lose its premium to net asset value, face dilution, suffer operating losses, incur higher financing costs or be affected by market factors unrelated to bitcoin.

What does ASU 2023-08 change for bitcoin-holding companies?

For companies applying it, subsequent bitcoin fair-value changes flow through earnings and bitcoin is carried at fair value on the balance sheet, increasing reported profit and loss volatility without necessarily changing cash flow.
