When a company is acquired, employee stock awards and benefits do not follow one automatic rule. The merger agreement, equity plan, individual award notice, retirement-plan documents and employer communications determine whether an award is assumed, replaced, paid in cash, accelerated or cancelled. Retirement plans may continue under a new sponsor, merge with another plan or terminate. Health coverage, severance and other benefits require separate document-by-document review.
Use the transaction notices and your own plan documents—not the fact of the acquisition alone—to determine what happens to you.
The short answer: every award and benefit must be analyzed separately
An acquisition can treat different groups of employees, award types and benefit plans differently. Vested stock options may be cashed out while unvested options are replaced with successor-company awards. Time-based restricted stock units (RSUs) may continue on a new vesting schedule, while performance awards may be measured under special transaction rules. A 401(k) plan may remain in place even as its administrator and investment menu change.

The controlling documents are usually the acquisition agreement, the company’s equity incentive plan, your grant or award agreement, retirement-plan documents, employment or severance agreements, and participant notices. If those documents conflict with informal explanations, ask the plan administrator or benefits team which document governs your situation.

What can happen to employee stock awards
Stock options
An option gives you the right to buy shares at a stated exercise price. At closing, the buyer may assume or replace the option, pay cash for its value, accelerate vesting, or cancel it under the plan’s terms. Whether an option produces any payment depends on the acquisition consideration and the exercise price. An option with an exercise price at or above the deal value may have little or no cash value, and an option that is not vested may be subject to additional conditions.
When an option is settled for cash, the calculation commonly starts with the difference between the acquisition price per share and the option’s exercise price, then applies withholding and other transaction terms. That is not a promise that every option will be paid out; the actual formula, eligibility and timing come from the deal documents.
Time-based RSUs and restricted stock
RSUs generally represent a promise to deliver shares or cash after vesting conditions are met. The buyer may assume the RSUs and substitute its own shares, adjust the number of units to preserve economic value, or settle vested units in cash. Unvested units may continue to vest after closing, vest immediately if the plan or agreement provides, or be cancelled if the buyer does not assume them.

Performance-based awards
Performance awards require a separate review because the transaction can occur before the performance period ends. Documents may measure performance through the closing date, pay at target or another specified level, convert the award into time-based units, or cancel it. Some plans give the compensation committee discretion; others prescribe a formula. Find the definition of the performance period, the transaction-date measurement rule and any post-closing service condition.
Employee stock-purchase plans and other share programs
An employee stock-purchase plan (ESPP) can have its own rules for an offering period that is open when the acquisition closes. The plan may end the offering, permit an earlier purchase, refund contributions or continue under a successor sponsor. Share purchase rights, dividend equivalents and other programs likewise depend on their own plan documents. Do not assume that treatment of an option or RSU applies to an ESPP.
Assumption, replacement, cash-out and cancellation
| Transaction treatment | What it usually means | Questions to verify |
|---|---|---|
| Assumed award | The buyer takes on the existing award, often with an adjustment to the underlying security or number of units. | Are vesting dates, service rules and termination provisions unchanged? What security will be delivered? |
| Replaced award | The original award is exchanged for a new award issued by the buyer, usually designed to preserve value under a conversion formula. | What is the conversion ratio, new reference price and settlement date? |
| Cash settlement | The award is paid in cash under the transaction formula, commonly subject to withholding. | Is the payment based on vested units only? How is the exercise price deducted for options? |
| Acceleration | Some or all unvested awards vest earlier than scheduled. | Is acceleration automatic, optional, or triggered only if the buyer does not assume the award? |
| Cancellation | The award ends without a replacement or payment when the documents permit that result. | Does the plan require payment of intrinsic value, or can an out-of-the-money award be cancelled? |
Why “double-trigger” vesting matters
A change in control does not always vest unvested awards immediately. Under a double-trigger provision, the acquisition is the first trigger, but vesting accelerates only if a second event occurs—usually a qualifying termination within a stated period after closing.
Quick wins for a faster PC:
Repair Windows errors before they cause bigger problemsFix Now →Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →A qualifying termination may mean termination without cause or resignation for good reason, but definitions vary. “Good reason” can depend on a material reduction in duties, pay, location or authority and may require that you give notice and allow a cure period. The agreement may also require the termination to occur within a specific number of months after closing.

Check four details: whether the buyer assumes or replaces the award, the exact change-in-control definition, the qualifying-termination definition and period, and the exercise deadline after employment ends. An assumed award can continue vesting normally even when no acceleration applies.
A transaction-specific example: the Cerner acquisition by Oracle
A SEC-filed FAQ for Oracle’s acquisition of Cerner illustrates why generalizations are risky. It described vested options being converted into a cash right based on the acquisition price less the exercise price and applicable withholding, while vested and unvested awards received different treatment. Those terms applied to that transaction and its documents; they are not a template for another employer’s acquisition.
Use such FAQs to understand the language used in a particular deal, then compare every provision with your own grant agreement and the final participant notice.

How to read your equity documents
Find the governing definitions
- Change in control: The definition may require a merger, sale of substantially all assets, change in voting control or another event.
- Assumption or replacement: Identify what happens if the buyer continues the plan and what happens if it does not.
- Vesting: Separate vested and unvested portions and look for single-trigger and double-trigger language.
- Performance treatment: Check how goals are measured and whether the committee has discretion.
- Termination rules: Look for cause, good reason, notice, cure periods and the post-termination exercise window.
- Settlement form: Determine whether you receive cash, buyer shares, replacement units or another security.
Confirm dates and mechanics
Participant notices should state the expected closing date, the date awards are converted or paid, any election deadline and how withholding will be handled. Options may have a short exercise window after termination, and an administrative deadline can be earlier than the legal deadline for a transaction election. Keep copies of grant statements, notices and confirmations of any election you make.

What happens to retirement plans
IRS participant guidance identifies three broad paths when employers merge or one company acquires another:
| Path | What changes | What to watch |
|---|---|---|
| New sponsor takes over an existing plan | The plan continues, but the acquiring company becomes sponsor. | Plan administrator, recordkeeper, investment choices and participant notices may change. |
| Plans merge | Accounts and obligations are combined under one plan. | Compare fees, investment options, vesting provisions and the effective date of the merger. |
| One or both plans terminate | The plan stops accepting or holding contributions under its termination procedures. | Distribution, rollover and vesting notices, plus the timing of account transfers. |
If the plan continues under a new sponsor
The IRS says a sponsor change generally has little effect on existing participants, although administrative terms can change. Look for the required notice identifying the new sponsor. A new recordkeeper may issue a new website login, alter statement formats or change the process for loans, withdrawals and beneficiary designations.
If retirement plans merge
IRS guidance says a merger generally cannot reduce protected accrued benefits, early-retirement benefits, retirement-type subsidies or optional forms of benefit. This protection concerns the retirement plan’s legally protected benefits; it does not mean every workplace benefit receives identical protection.
If a plan terminates
When a retirement plan terminates, employees become fully vested in accrued defined-benefit benefits and defined-contribution account balances, regardless of the plan’s ordinary vesting schedule. Distribution and rollover instructions still matter, and the plan administrator should explain when assets will be valued and transferred.

Blackout periods and investment changes
When recordkeepers or investment options change—or when participants are added because of an acquisition—the IRS identifies blackout-period notices as relevant for 401(k) plans. A blackout can temporarily restrict account access, investment changes, loans or withdrawals. Read the notice for the exact start and end dates and complete time-sensitive transactions before the restriction begins if appropriate for your circumstances.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Health coverage, severance and other benefits
Retirement-plan rules cannot be extended automatically to health insurance, dental and vision coverage, disability plans, life insurance, paid leave, bonuses or severance. The buyer may continue an existing plan, move employees to a new plan year, require a new enrollment election or provide transitional coverage. Eligibility, deductibles, networks and accumulated balances can change.
Severance is especially document-specific. An employment or severance agreement may define a change-in-control payment, but eligibility can depend on a qualifying termination, notice requirements and the time period after closing. Employer announcements are useful, but the signed agreement and applicable plan control.

An employee checklist before and after closing
- Collect documents: Save each equity award agreement, plan document, grant statement, employment or severance agreement, retirement-plan summary and acquisition notice.
- Inventory awards: List options, RSUs, performance awards and ESPP rights separately, marking vested and unvested portions, exercise prices and vesting dates.
- Read the transaction notice: Identify the closing date, conversion or payment date, elections, withholding and any blackout period.
- Model each outcome: For an option, compare the deal consideration with the exercise price; for an RSU, identify the number and type of replacement units or cash payment; for a performance award, locate the measurement rule.
- Check termination language: Confirm cause, good reason, notice, cure periods, qualifying-termination windows and post-termination exercise deadlines.
- Confirm retirement-plan logistics: Note the new sponsor, recordkeeper, investment menu, beneficiary records, loan rules and blackout dates.
- Ask targeted questions in writing: Request confirmation from the equity administrator or benefits team when a term is unclear, and retain the response with your records.
- Review after closing: Verify that converted shares, replacement awards, cash payments and retirement balances appear correctly on the first post-closing statement.
Common situations and the document that answers them
| Employee question | Document or notice to check first | Why it matters |
|---|---|---|
| Will my unvested RSUs vest when the company is bought? | RSU agreement and equity-plan change-in-control section | Vesting may continue, accelerate, or require a later qualifying termination. |
| What happens to my options? | Option agreement and transaction consideration notice | Exercise price, vesting and settlement formula determine whether value exists. |
| Can I exercise after I leave? | Option agreement and termination notice | The exercise window and treatment of cause or resignation vary by plan. |
| What happens to my 401(k)? | Summary plan description, sponsor notice and blackout notice | The plan may continue, merge or terminate, with changes to administration and access. |
| Will my health coverage or severance continue? | New benefits guide, employment agreement and severance plan | Retirement-plan protections do not establish the outcome for these benefits. |
Bottom line for employees
An acquisition changes the contractual setting around your awards and benefits, not necessarily their value or vesting on the closing date. Separate every award by type and vesting status, identify whether it is assumed, replaced, settled or cancelled, and check for double-trigger and termination deadlines. For retirement plans, determine whether the plan continues under a new sponsor, merges or terminates, then track administrator changes and blackout dates. Use your own agreements and participant notices to establish the answer for your job.
