A company shutdown does not automatically erase wages already earned, retirement rights, or employment records. In the United States, the result depends on the state where you worked, the employer’s size, the benefit-plan documents, and whether the business is still operating in bankruptcy or is being liquidated. Federal law does not require every final paycheck immediately, COBRA may be unavailable if the group health plan ends, qualifying closures can require 60 days’ notice, and employers must retain certain payroll records even though a former employee may have difficulty retrieving them.
What changes when an employer closes?
There is no single federal “company closed” rule that settles every worker’s claim. Analyze each issue separately: final wages, health coverage, retirement accounts, closure notice, and records. State law can provide faster pay deadlines, continuation coverage for smaller employers, personnel-file access, vacation-pay rules, and additional mass-layoff notice rights.
| Issue | Federal baseline | What can change the result |
|---|---|---|
| Final wages | No general federal requirement for an immediate final paycheck | State final-pay law, the regular payday, contracts, and the type of unpaid compensation |
| Health insurance | COBRA continuation only when statutory conditions and a qualifying plan exist | Whether the group plan still operates, an affiliated-company or union plan, state continuation law, and the premium cost |
| Retirement | Closure does not itself cancel vested benefits | Plan type, vesting, funding, plan termination procedures, and administrator availability |
| Closure notice | Federal WARN can require 60 calendar days’ written notice | Employer size, number of affected workers, worksite, exceptions, state mini-WARN laws, and bankruptcy posture |
| Employment records | Covered employers generally retain payroll records for three years and wage-calculation records for two years | Whether the business or successor still has the files and what state access rights apply |
Will you get your last paycheck?
Under the federal Fair Labor Standards Act baseline, an employer does not have to issue final wages immediately when employment ends. The federal question is generally whether the next regular payday for the last pay period has arrived. If that payday has passed and you remain unpaid, contact the U.S. Department of Labor’s Wage and Hour Division or the labor department in the state where you performed the work.

Identify exactly what is missing
Before filing a complaint, separate ordinary wages from other amounts. List the last dates worked, hours, overtime, commissions, bonuses, expense reimbursements, accrued vacation or other paid leave, and any promised severance. Federal wage law addresses some categories more directly than others. Vacation pay, severance, commissions, and similar compensation may depend on state law, an employment contract, a written policy, or a benefit plan. Do not assume that every unpaid amount is automatically a federal wage claim.

Use the correct deadline
Write down the state where you worked, the end date of the final pay period, and the employer’s normal payday for that period. Compare that date with the state’s final-pay deadline. Some states require payment sooner than the federal baseline, while others use the next regular payday. If the applicable deadline has passed, preserve your evidence and contact the Wage and Hour Division or the state labor department. The Department of Labor has processes for recovering qualifying back wages.
Keep evidence before access disappears
- Download pay statements and year-to-date wage summaries.
- Save schedules, time-clock entries, emails approving overtime, and commission reports.
- Keep offer letters, written pay policies, separation notices, and severance agreements.
- Record the employer’s last known address, payroll contact, and tax-identification details.
A closure can make ordinary payroll contacts unreachable, so personal copies are more reliable than a promise that the company’s systems will remain online.
What happens to health insurance?
COBRA is a federal continuation mechanism, not a guarantee that coverage survives a complete shutdown. A worker generally needs coverage under a group health plan subject to COBRA, a qualifying event such as job loss other than for gross misconduct, and covered-beneficiary status immediately before the event.
When COBRA can work
If the employer’s group plan continues, an eligible employee and covered family members may receive a COBRA election notice and choose continuation coverage. The employer generally has notice duties when employment ends, hours are reduced, or the employer enters bankruptcy. Read the notice carefully for the election process, payment instructions, and dates.

Why a complete shutdown can end COBRA
The practical limitation is that COBRA usually cannot continue a plan that no longer exists. The Department of Labor explains that COBRA is typically unavailable when the company no longer offers any group health plan. Coverage may still be possible through an affiliated company in the same corporate group or through a union plan maintained under a collective bargaining agreement. Those possibilities must be checked rather than assumed.
Compare the real cost
A person electing COBRA usually pays the entire premium that the employee and employer previously shared, plus a two-percent administrative charge. An employer may subsidize COBRA as part of severance, but federal law does not require that subsidy. Compare the full COBRA amount with coverage available through a spouse, a new employer, an individual-market enrollment opportunity, or a state continuation program.
State continuation may fill a gap
Many states have continuation laws, including some that apply to smaller employers not covered by federal COBRA. Eligibility, election windows, plan size, and duration vary by state and insurer. Because the work state is not specified here, verify the rule with the state insurance department or the carrier shown on the insurance card. Do not treat the absence of a federal COBRA notice as proof that every form of continuation is unavailable.
Does a 401(k) or pension disappear?
Employer closure does not itself extinguish vested retirement benefits. Start with the summary plan description, recent account statements, the plan administrator’s name, and every termination or distribution notice. Retirement assets are generally held in the plan’s trust rather than in the employer’s operating account.

Defined-contribution plans such as 401(k) plans
Your account balance, including vested employer contributions and your own contributions, should be tracked through the plan administrator. Employer bankruptcy generally should not place properly held retirement assets at risk. A key warning sign is a missing payroll deduction: amounts withheld from your paycheck for the plan should be forwarded to the plan promptly. Preserve pay stubs showing deductions and account statements showing deposits.
Partial plan termination and vesting
A plant or division closure that removes a substantial percentage of plan participants can be a partial plan termination. When that rule applies, affected employees must become immediately 100 percent vested to the extent the plan is funded. The closure of a business unit is not automatically a partial termination; the plan’s facts and the number of affected participants matter.
Defined-benefit pensions
A traditional pension promises a formula-based benefit rather than an individual investment account. If an underfunded defined-benefit plan terminates, the Pension Benefit Guaranty Corporation may guarantee eligible vested benefits within legal limits. The amount and timing depend on the plan type, funding status, and applicable limits. Check whether PBGC has taken responsibility for the plan and keep all pension statements.

Was the employer required to warn workers before closing?
Federal WARN generally applies to employers with 100 or more employees, subject to specified exclusions. For a covered plant closing or mass layoff, it generally requires at least 60 calendar days of written advance notice when 50 or more employees at a single site are affected.
Thresholds are fact-specific
Employer headcount, the number of affected workers, the single-site rule, and the definition of a plant closing or mass layoff all matter. A smaller employer may fall outside federal WARN but still be covered by a state mini-WARN law. Notice can also be affected by how employees are counted and whether the event is permanent or meets the statutory definitions.
Exceptions can shorten notice
Federal WARN recognizes limited exceptions, including certain faltering-company situations, unforeseeable business circumstances, and natural disasters. An exception is not a blanket waiver: the employer must meet the relevant conditions and provide as much notice as practicable with the required explanation.

Bankruptcy does not answer the WARN question by itself
Bankruptcy is not an automatic exemption. WARN may still apply when the employer knew of the closure before filing or continues operating as a debtor in possession. The Department of Labor generally distinguishes a bankruptcy trustee whose sole role is winding up the business; that trustee is generally outside WARN coverage. Bankruptcy can also affect where a WARN claim is filed and how quickly it can be collected.

Can you get employment and payroll records?
The FLSA requires covered employers to keep accurate wage-and-hour records. Department of Labor guidance states that payroll records generally must be retained for at least three years, while records used to calculate wages—such as time cards—generally must be kept for two years. Files may be stored at the workplace or at a central records office.
Those are employer-retention duties, not a guarantee that a former worker can obtain copies after the business disappears. A closed company may have no functioning payroll department, and a bankruptcy trustee or successor may control only some files. State law can provide separate personnel-file access rights, but those rules vary by work state.
Build your own employment file
- Pay stubs, tax forms, and year-end wage summaries.
- Schedules, time records, and written overtime approvals.
- Offer letters, handbooks, compensation plans, and commission statements.
- Health-plan booklets, COBRA notices, and premium invoices.
- Retirement statements, beneficiary forms, and plan termination notices.
- Separation letters, WARN notices, severance agreements, and employer correspondence.
For a missing wage record connected to a pay dispute, contact the Wage and Hour Division or the relevant state labor department. For a missing retirement-plan administrator, contact EBSA.

- Secure documents. Download payroll, time, benefit, retirement, tax, and separation records before company systems are disabled.
- Calculate the final pay period. Note the last day worked, the regular payday, hours, overtime, commissions, reimbursements, vacation pay, and severance separately.
- Check state deadlines. Identify the state where you performed the work and compare its final-pay and continuation-coverage rules with the federal baseline.
- Watch for a health-plan notice. Determine whether the group plan still exists, whether an affiliated or union plan applies, and what the full COBRA premium would be.
- Contact the retirement administrator. Request the summary plan description, account history, vesting information, and any distribution or termination instructions. Escalate to EBSA if the administrator cannot be reached.
- Assess notice rights. If a large worksite closed, document the employer’s headcount, affected employees, site, dates, and any bankruptcy filing. Then check federal WARN and the applicable state law.
- File with the right agency. Use the Wage and Hour Division or state labor department for unpaid wages; use EBSA for retirement-plan assistance; use the state insurance regulator or insurer for continuation-coverage questions.
How the main scenarios differ
| Scenario | Likely focus |
|---|---|
| Company closes without bankruptcy | Final-pay deadline, state law, plan administrators, and access to retained records |
| Company operates as a debtor in possession | Potential WARN duties, bankruptcy claims procedures, and continued operation of benefit plans |
| Trustee liquidates the business | Locating payroll and plan records, filing claims, and determining whether WARN applies to the trustee’s role |
| Group health plan continues | COBRA eligibility, election notice, full premium plus two percent, and possible subsidies |
| Group health plan terminates | COBRA usually unavailable; investigate affiliated-company, union, insurer, and state continuation options |
| Defined-contribution retirement plan | Account balance, vesting, missing contributions, and administrator access |
| Defined-benefit pension | Plan termination, funding status, PBGC involvement, and guaranteed-benefit limits |
Bottom line
When a company closes, act as though access to its systems and staff may end immediately. Preserve your own records, calculate when the final paycheck was due, verify whether a health plan still exists before relying on COBRA, contact the retirement-plan administrator, and check WARN coverage if a large worksite closed. Federal rules provide important protections, but the state where you worked and the employer’s bankruptcy or liquidation status often determine what you can collect and how quickly.
