There is no single outcome. If a quantum-computing startup closes, customers might lose service immediately, receive a migration or data-retrieval window, have contracts handled in bankruptcy court, or continue under a buyer that takes over only selected operations. The result turns on the shutdown type, your contract, applicable law, the company’s ability to keep systems running, and any court-approved sale or restructuring.
Do not assume that a bankruptcy filing keeps a hosted quantum service online, that every contract ends automatically, or that an acquirer inherits every promise. Treat continuity, data access, refunds, and migration as separate questions and get each answer in writing.
Start by identifying what actually happened
“The company shut down” can describe several legally and operationally different events. Ask whether the provider is conducting an ordinary wind-down, has filed for bankruptcy, or is being acquired or sold in an asset transaction. Those paths produce different customer decisions.

A press release or shutdown email is not enough to establish your rights. Preserve it, but compare it with the signed agreement, order forms, invoices, and later notices.

If the startup is winding down outside bankruptcy
An ordinary wind-down has no universal customer remedy established by the available authorities. The provider might honor existing work until a stated end date, stop accepting jobs, offer a limited export period, or negotiate individual refunds. A company with little cash may be unable to pay even when a contract appears to promise a refund.
Read the service and order documents first
Find the clauses covering termination for convenience, termination for cause, renewal, notice periods, service levels, credits, prepaid balances, data retention, deletion, export formats, and assignment or change of control. An order form can override a general online term, and a negotiated enterprise agreement can grant rights that a standard click-through contract does not.
Expect a practical deadline, not just a legal one
Quantum workloads can depend on account credentials, queues, calibration records, software versions, and a cloud or operating partner. If the provider is shutting down its control plane or losing access to rented infrastructure, a contractual notice period may exceed the time the service can technically remain available. Download permitted records and results as soon as you receive notice rather than waiting for the final day.

What bankruptcy changes—and what it does not
A bankruptcy petition generally triggers an automatic stay. The Northern District of Georgia Bankruptcy Court describes the stay as pausing most proceedings against the debtor or property of the estate, giving the debtor time to address its situation. That general purpose is not a promise that a quantum platform, support desk, hardware system, or cloud account will continue operating.
The automatic stay is not a continuity guarantee
The stay can restrict collection actions and other proceedings, but it does not create electricity, cloud capacity, engineers, software licenses, or money for vendors. A provider may keep a reduced service online, suspend new jobs, or shut down if operations cannot be funded or safely maintained. Continue only on written confirmation of what remains available, for how long, and under whose authority.
Executory contracts may be assumed or rejected
The Northern District of Iowa Bankruptcy Court explains that an executory contract is one in which both sides still have meaningful obligations. Its court guidance says the debtor must timely assume such an agreement to continue its rights under it; without timely action, the agreement may be deemed rejected. For a customer, “assumption” does not mean every commercial term improves or that technical performance is guaranteed. “Rejection” is a bankruptcy treatment of the contract and can have consequences different from an ordinary termination. Whether you can claim damages, retrieve property, or obtain a refund depends on the agreement, the case orders, and applicable law.

If the provider has filed, identify the court, case number, debtor name, and official notice channel. Read customer-specific notices and orders rather than relying on social-media summaries. Watch for deadlines affecting service access, claims, data retrieval, or objections. A lawyer who can review your contract and the docket is particularly important when prepaid sums, regulated data, or mission-critical workloads are involved.
What an acquisition or asset sale means for customers
An acquisition can preserve a product, but it can also narrow the product, change pricing, or leave some customers outside the purchased business. In an asset sale, the buyer usually takes the assets and liabilities listed in the transaction documents, not every obligation of the seller.

A customer FAQ is evidence of intent, not a universal rule
In a customer FAQ about a proposed acquisition by Quantum eMotion, Plurilock Security said existing customer contracts, service levels, invoices, and contacts would remain as they were at the time of the announcement, and that the parties expected closing in the fourth quarter of 2026 subject to approvals. That statement describes that transaction only. A proposed closing can be delayed, revised, blocked, or abandoned, so customers must verify the current status and read the successor’s final notice.
Asset purchases can leave contracts behind
A January 12, 2026 Form 8-K filed by Quantum Computing Inc. in connection with Luminar’s Chapter 11 process described a proposed asset purchase subject to court approval and competing bids. The filing identified particular assets and specified assumed liabilities. That example illustrates why a buyer can select operations and obligations rather than automatically taking every customer contract. It is not a prediction of what happens to customers of a quantum-computing startup in general.

- Is my legal agreement being assumed, assigned, replaced, or terminated?
- Which legal entity will issue invoices and provide support?
- Will service levels, security commitments, data-processing terms, prices, or renewal dates change?
- Will the same quantum hardware, software stack, queue policy, and cloud region remain available?
- What happens to prepaid balances, unused credits, open support tickets, and pending jobs?
Your contract is the starting point for money, service, and data
Use the following clause-by-clause review before negotiating with the provider or successor.

Save a complete copy of the agreement as it existed when you purchased the service. Online terms can change, and a later version may not prove what governed your order.

Quantum-computing-as-a-service can include remote access to processors, consulting, co-development, or specialized system sales. A company filing describing those categories also warned about reliance on public-cloud and other third-party infrastructure. That creates a dependency chain: your contract may be with the startup, while compute capacity, identity management, networking, storage, or physical operations are supplied by another organization.
Separate the layers of your dependency
- Control plane: account login, job submission, quotas, billing, and API endpoints.
- Quantum system: processor availability, calibration, firmware, queueing, and maintenance.
- Classical services: compilers, simulators, storage, monitoring, and orchestration.
- Underlying infrastructure: public cloud, colocation, networking, power, and security services.
A shutdown can disable one layer while leaving another intact. Do not assume that a public-cloud account gives you independent access to a processor, or that a buyer can reproduce the same calibration and software environment elsewhere.
Make exports useful, not merely complete
Keep permitted copies of source code, circuits, job definitions, result files, metadata, configuration, dependency versions, and experiment notes. Record the compiler and SDK versions, target system, shot counts, error-mitigation settings, and authentication method where your agreement permits. A result file without the code and settings needed to interpret it may be of limited value.
Portability is not automatic. Another provider may use different gate sets, connectivity, timing, measurement conventions, queue rules, or software interfaces. Test a representative workload on a second environment while the original account still works, and document any change in output or performance.
A step-by-step customer response plan
- Preserve evidence. Save the contract, order forms, invoices, service-level reports, support tickets, usage records, and every shutdown, bankruptcy, or transaction notice.
- Classify the event. Confirm whether this is an ordinary wind-down, a filed bankruptcy, a proposed sale, or a completed transaction. Identify the legal entity and effective date.
- Secure access. Export permitted code, results, configurations, logs, and records. Do not violate access controls or copy data you are not authorized to retain.
- Request written dates. Ask for the last day to submit jobs, the last day to retrieve data, support end date, deletion date, and any migration window.
- Confirm commercial treatment. Ask whether prepaid fees, unused credits, open invoices, service credits, and pending refunds will be honored and by which entity.
- Verify the successor. If a buyer is involved, obtain written confirmation of the assigned agreement, service levels, prices, contacts, data terms, and technical environment.
- Plan a replacement. Map dependencies, test representative workloads elsewhere, and keep a rollback plan while the original service remains reachable.
- Escalate when stakes are high. For a live bankruptcy, significant prepaid amount, confidential research, regulated information, or critical production workload, obtain advice based on your contract and governing jurisdiction.
Common situations and the safest response

What customers should remember
Shutdown, bankruptcy, and acquisition are different events, and none alone answers whether your service, money, or data will survive. The automatic stay generally pauses many actions against a debtor; it does not guarantee hosted access. Bankruptcy contracts may be assumed or rejected, while an asset buyer may accept only specified obligations. Your agreement and the official notices are the authoritative starting points for termination, refunds, credits, export, deletion, and migration.
