A contractor’s closure does not automatically erase archaeological records or end project duties. The outcome depends on the jurisdiction, land status, permit, contract, repository agreement and any transfer instrument. For collections covered by U.S. federal curation rules, agency and repository responsibilities continue under 36 CFR Part 79. Archaeological resources excavated or removed from U.S. public lands under the Archaeological Resources Protection Act (ARPA) remain U.S. property. In England, local specifications can make archive deposition a condition of project completion.

The immediate priority is to secure the physical and digital archive, identify who legally controls it, and obtain an approved repository’s written acceptance before anything is moved, discarded or separated. A closing company may be unable to finish the work, but its contractual and permit obligations usually have to be resolved through the signed project documents and the responsible land manager or agency.

There is no single closure rule

Archaeological archives are not ordinary business files. Their ownership, custody and permissible disposal depend on the project’s legal setting. A private developer’s planning condition, a state or local permit, a federal land-management action and an excavation on tribal or Indigenous land can create different duties.

Closure therefore triggers a determination process rather than an automatic destination. The commissioning party, land manager, permitting agency, repository and any successor contractor may each have a role, but authority must come from the applicable law and project instruments. Do not assume that the closing contractor owns the archive, that the client automatically owns it, or that a successor can simply collect it without written authorization.

Identify the governing regime first

Project setting What the sources establish Important qualification
U.S. federal collections covered by 36 CFR Part 79 Federal agencies must ensure preservation and curation of qualifying collections in suitable repositories. Curation agreements address responsibilities, term, termination procedures, costs and handling requirements. See National Park Service guidance on 36 CFR Part 79. Part 79 applies only to collections within its statutory scope; it does not convert every private or local project into a federal collection.
Resources excavated or removed from U.S. public lands under ARPA The resources remain U.S. property. The resources and copies of associated archaeological records and data are to be preserved by a suitable university, museum or other scientific or educational institution. See 16 U.S.C. § 470cc. This rule should not be generalized to every land type, ownership arrangement or country.
England planning or development project Devon County Council’s specification makes completion dependent on compiling an ordered, integrated archive and transferring it for long-term curation. Its normal expectation is deposition within six months after fieldwork. The Devon specification is a local model, not a universal deadline for all English or United Kingdom projects. See Devon Archaeological Excavation.
London projects involving multiple archaeological organizations Historic England’s 2026 London guidance says the physical site archive should remain integrated and recommends agreeing title-transfer or deposit arrangements as far as possible before fieldwork. The guidance is for London and should not be treated as a worldwide rule. See Managing Archaeology in London, Part 2.

What counts as the archaeological record?

A final excavation report is only one component. Under the federal definition, “associated records” are original records or copies documenting efforts to locate, evaluate, record, study, preserve or recover a prehistoric or historic resource. The National Park Service examples include:

  • Field notebooks, context sheets, site forms and daily logs
  • Measured drawings, plans, section drawings, maps and survey data
  • Photographs, films, video, oral histories and image metadata
  • Artifact inventories, catalog records, accession records and labeling information
  • Laboratory reports, conservation records, specialist analyses and databases
  • Manuscripts, interim and final reports, correspondence and administrative files
  • Computer media, born-digital files, scans and other digital copies of primary records

The definition and examples appear in the National Park Service’s 36 CFR Part 79 explanation. Digital data and metadata should therefore be treated as part of the archive, not as an optional convenience that can remain on an employee’s laptop or a contractor’s server.

Devon describes two connected elements: an artefactual archive and a digital archive. Its digital element includes born-digital data and digital copies of primary site records and images. A project data-management plan should specify formats, naming, quality control, storage and the intended digital repository.

What to do immediately when the contractor announces closure

The following sequence is a practical synthesis of the cited requirements. It is not a universal statutory checklist, so the project’s permit, contract and repository agreement control where they differ.

  1. Secure everything. Prevent disposal, alteration or unauthorized removal of finds, paper files, hard drives, cloud accounts, photographs, databases and samples. Keep collections and their records together unless the responsible authority approves a documented separation.
  2. Create an inventory. Record boxes, bags, objects, samples, notebooks, drawings, media, databases, reports and outstanding work. Include file paths, formats, storage locations, accession numbers and known gaps. Photograph storage conditions when useful.
  3. Collect the governing documents. Locate the permit, land-access authority, scope of work, amendments, research design, data-management plan, repository agreement, ownership terms, insurance or storage provisions and termination clauses. Federal curation agreements expressly contemplate responsibilities and termination procedures.
  4. Notify the commissioning party and land manager. Give written notice of the closure, current custody, project status, known risks and proposed controls. Ask who has authority to approve a transfer, appoint a replacement contractor or amend the schedule.
  5. Contact the intended repository before shipping. Confirm that it is suitable or otherwise accepted under the governing rules, has capacity, and will accept the specific artefacts, records and digital material. Obtain its requirements for packaging, cataloging, file formats, conservation, security and restricted access.
  6. Resolve unfinished work. List unprocessed finds, missing specialist reports, incomplete databases, unresolved numbering, outstanding conservation and any fieldwork that was not completed. The client or agency should decide whether the original scope is completed by a successor, narrowed by amendment or terminated with a documented disposition.
  7. Execute and document the handover. Use an itemized inventory and written authority. Record the date, sender, recipient, repository accession or catalog references, method of transport, restrictions and receipt. Keep copies of the transfer instrument and acceptance confirmation with the project administration.
  8. Preserve an audit trail. Retain closure notices, inventories, correspondence, approvals, repository receipts, transfer records and copies of the final data-management documentation. Federal administrative records include repository identity, agreement copies, catalog lists and records of transfers.

Who may authorize movement or disposal?

Authority normally follows ownership and the governing instrument, not possession. A contractor holding boxes in its warehouse may be only a custodian. The land-owning agency, permit issuer, client, tribal authority, repository or another designated body may control transfer decisions.

For ARPA resources excavated or removed from public lands, the statutory rule that the resources remain U.S. property means a contractor cannot sell, retain or discard them as ordinary business assets. For federal collections, the responsible agency and the approved repository operate within Part 79 and the applicable agreement.

On other projects, read the signed contract and permit carefully. Look for clauses on title, custody, intellectual property, confidentiality, samples, reporting, storage, payment milestones, termination and return of client property. If those clauses conflict or are silent, obtain a written determination from the permitting authority, land manager or qualified legal adviser before transferring or disposing of material.

Repository acceptance is a substantive requirement

A destination is not acceptable merely because it is nearby or willing to store boxes temporarily. A suitable or trusted repository should be able to provide long-term care, environmental and physical security, catalog control, access arrangements, conservation capability and documentation of what it received.

  • Physical capability: appropriate storage for artefacts, paper, samples and hazardous or fragile materials.
  • Digital capability: managed preservation, fixity or integrity checks, backups, documentation and migration planning for the project’s formats.
  • Catalog control: accession or reference numbers that connect objects, records, images, reports and databases.
  • Access and restrictions: procedures for researchers, landowners, Indigenous communities and legally restricted information.
  • Written acceptance: a letter or agreement identifying the material, conditions, fees, title or custody terms and effective date.

Devon’s specification calls for early contact with the collecting museum so deposition conditions can be agreed. That principle is useful elsewhere: do not wait until a company’s last week to discover that the intended repository rejects unprocessed material or cannot accept the digital archive.

Unfinished projects and termination obligations

Fieldwork is complete but the archive is not deposited

This is often a closeout failure rather than a completed project. The client or agency should preserve the archive, fund or authorize remaining processing, and obtain a repository acceptance. In Devon, archive compilation and transfer are tied to project completion, with a normal six-month deposition expectation after fieldwork. That six-month period is local guidance, not a universal legal deadline.

Fieldwork stopped partway through

Secure exposed areas, samples, finds and records first. Then compare the actual work with the approved scope and research design. A replacement organization may need a controlled handover, a condition survey and a revised method statement. The Advisory Council on Historic Preservation’s recommended approach illustrates the planning detail that may be required: a plan should identify previous research and the research problems or questions to be addressed. See ACHP’s recommended approach.

The contractor performed only one phase

When survey, excavation, analysis and reporting were split among organizations, the archive must remain intelligible across those boundaries. Preserve consistent identifiers, version history and cross-references. Historic England’s 2026 London guidance emphasizes maintaining the integrity of the physical site archive when different organizations undertake different stages.

The repository refuses the material

Do not abandon the archive at an unapproved warehouse. Ask the commissioning authority to identify an alternative repository, approve additional processing or amend the project agreement. Record the refusal, reasons, condition of the material and interim security arrangements.

Physical and digital custody must stay aligned

Material Closeout controls
Artefacts, samples and conservation items Use a box and item inventory, stable labels, condition notes, packing instructions, chain-of-custody records and repository accession references.
Paper records and drawings Protect originals, preserve order, identify surrogates, and retain links to the objects and reports they document.
Born-digital files Transfer original files plus metadata, software or format information where needed, checksums or other integrity evidence, and the project’s data-management documentation.
Digital copies of primary records and images Keep filenames, identifiers, rights information, image context and relationships to the physical originals.
Sensitive information Mark site-location data, human-remains information, cultural items and other restricted material. Apply the relevant consent, confidentiality, access and repatriation rules before disclosure or transfer.

Cloud links and passwords are not a preservation plan. The receiving institution needs documented ownership or custody, a usable export, metadata and authority to maintain the files after the contractor’s accounts are closed.

Special cases requiring additional authority

Projects on Indigenous or tribal lands, or projects involving human remains, funerary objects, sacred or culturally sensitive items, require consultation with the relevant authorities before movement or disclosure. Federal rules recognize consent requirements in relevant Indian-land disposition circumstances and limits on public access to sensitive site information. A repository’s general willingness to accept material does not override those obligations.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Similarly, do not publish site coordinates, photographs or catalog data merely because the contractor is closing. Apply permit restrictions, privacy rules, cultural-protection requirements and any repository access conditions to both physical and digital handovers.

What commissioning parties should verify

  • The legal basis for custody and the person or agency authorized to approve transfer.
  • An up-to-date inventory reconciled to field and laboratory records.
  • A written repository acceptance covering artefacts, paper records, digital files and any restrictions.
  • Completion status against the scope, research design, reporting requirements and payment milestones.
  • Storage, transport, conservation, digitization and repository costs, including who pays after termination.
  • Evidence that records from every contractor and project phase remain linked.
  • Documented treatment of human remains, cultural items, Indigenous interests and sensitive location data.
  • A final transfer receipt and an accessible copy of the handover record.

What the closing contractor’s administrator should not do

  • Do not sell, discard, split up or personally retain archaeological material because the company is insolvent or closing.
  • Do not move the archive to a successor, employee, landlord or storage company without written authority and a complete inventory.
  • Do not delete servers, email accounts, image repositories or databases before exporting and validating the project data.
  • Do not treat a draft report as the entire archive.
  • Do not promise a universal six-month, one-year or other deadline without checking the project’s actual specification.

When specialist advice is necessary

Obtain advice from the permitting agency, land manager, repository and qualified counsel when ownership is disputed, a project is insolvent, records are missing, the contract conflicts with the permit, human remains or cultural items are involved, or no repository will accept the collection. The available sources establish general duties and models, but they do not determine the liabilities of a particular contractor without the project’s jurisdiction, land status, signed instruments and current stage of work.

Bottom line

Contractor closure changes who must coordinate the work; it does not make an archaeological archive ownerless. Secure the complete physical and digital record, read the permit and contract, identify the lawful custodian, obtain repository acceptance, document every transfer and resolve unfinished reporting or conservation. The applicable jurisdiction and project documents—not the contractor’s closing date—determine where the archive goes and which obligations remain.
