A founder’s death does not automatically close a family business, transfer it to the oldest child, or give an heir the right to manage it. The result depends on the business entity, state law, ownership records, governing agreements, estate documents, and whether anyone has authority and resources to keep operating. The deceased owner’s interest normally becomes part of the estate, which must be administered while the company’s contracts, employees, customers, taxes, and debts continue to be handled.
There is no single legal outcome
“No succession plan” usually means the owner did not coordinate who would own the business, who would manage it, how a buyout would be funded, and how the transfer would be taxed. It does not necessarily mean the founder had no will, trust, operating agreement, shareholder agreement, or partnership agreement. Those documents may still determine what happens.
The United States has no nationwide rule that makes an heir the manager of a deceased owner’s company. Entity law, the state where the business is organized, ownership ledgers, and the company’s governing documents control. A business can continue under temporary or permanent management, be sold, be divided among beneficiaries, or eventually wind up.
Start with the business entity
The entity determines what the founder owned and what death can change. The table describes the main U.S. structures at a high level; the governing state and documents can produce a different result.

| Entity | What the founder generally owned | What death may require |
|---|---|---|
| Sole proprietorship | The individual owned the business assets directly; the business is not a separate legal person. | The estate representative may need to operate or sell the assets, collect receivables, pay debts, and close the business. A successor cannot simply assume authority without the necessary estate or contractual authority. |
| Partnership | The founder owned a partnership interest governed by the partnership agreement and state partnership law. | The agreement may provide for continuation, a buyout, admission of a successor, or liquidation. The estate may hold an economic interest without receiving management rights. |
| Limited liability company | The founder owned a membership interest, with rights set by the operating agreement and state LLC law. | The interest may pass to the estate, a trust, or a beneficiary, but management rights and the company’s continuity depend on the operating agreement and applicable statute. |
| Corporation | The founder owned shares, not the corporate assets directly. | Shares generally become estate property or pass through a trust or beneficiary arrangement. The board and officers continue to manage the corporation under corporate law, bylaws, and shareholder agreements. |
What happens immediately after the death
The first priority is preserving value while authority is clarified. The family should not assume that being a spouse, child, or senior employee is enough to sign contracts, move company money, hire or fire staff, or sell assets.
- Secure operations. Keep payroll, insurance, utilities, security, customer service, and critical vendors functioning. Preserve passwords, accounting records, contracts, licenses, tax files, and ownership ledgers without altering records.
- Identify who can act. Locate the will, trust, power-of-attorney documents, operating or shareholder agreement, partnership agreement, bylaws, buy-sell agreement, and board or member resolutions. A power of attorney normally ends at death, so the person who helped the founder during life may no longer have authority.
- Contact the estate representative. The executor or administrator appointed under state probate law, or a trustee if the interest is held in a trust, usually becomes the person responsible for handling the owner’s property. Appointment and authority are state-specific and may take time.
- Notify the right professionals. A business or estate attorney and tax professional should review the entity, insurance, debt, payroll, pending transactions, and deadlines before the family promises a transfer or sale.
- Separate company and estate money. Do not distribute company cash as an inheritance or pay personal expenses from business accounts. Record authorized payments and preserve enough working capital for employees, taxes, vendors, and operations.
The business may keep trading during this period, but the person managing daily work needs a valid source of authority. The estate representative may preserve or administer the deceased owner’s interest without automatically becoming the company’s manager.
Who inherits the ownership interest?
Ownership can pass under a will, revocable trust, beneficiary designation, transfer-on-death arrangement where permitted, or intestacy law if there is no effective estate plan. A beneficiary may receive an economic interest while another person controls the company. The founder’s family relationship alone does not answer who inherits or who can vote, manage, or sign for the entity.
A buy-sell or transfer restriction can change the result. It may require the company or surviving owners to purchase the deceased owner’s interest, limit transfers to outsiders, set a valuation method, or give certain people a right of first refusal. If the agreement is funded by life insurance, the proceeds may provide cash for a buyout; without funding, the company or family may be forced to negotiate under pressure.

State law can produce opposite results
State examples illustrate why a national answer is unsafe. New Hampshire’s single-member LLC statute provides that, unless the operating agreement says otherwise, a deceased sole member’s interest passes to the estate and the LLC is not dissolved. Louisiana’s statute provides that an individual member’s membership ceases at death and the representative is treated as an assignee, subject to separate statutory rules and exceptions. These examples do not establish a rule for other states; the formation state and the current operating agreement must be checked.
Can the business continue?
Continuity is most likely when the entity survives the owner, another person has management authority, key employees understand their roles, and the company has cash to meet obligations. A corporation normally has a board and officers whose authority is separate from the shareholder’s death. An LLC may continue, but the operating agreement may require a vote, admission of a successor, or a buyout. A sole proprietorship has no separate entity to carry on automatically, so the estate generally must operate the assets temporarily or transfer them to a buyer or new entity.
Co-owners can make continuity easier or harder. A surviving partner or member may be able to run the business under the agreement, while the estate receives a buyout or economic interest. Conversely, a deadlock can arise if the deceased owner held a controlling vote or if the agreement does not explain how a successor is admitted. Customers, lenders, landlords, regulators, and employees may also require proof that the new signer has authority.

The Internal Revenue Service describes the administrator’s basic duties as collecting the decedent’s assets, paying valid creditors, and distributing what remains to heirs or beneficiaries. The business interest is one of those assets, even when it is difficult to value or cannot be sold immediately.

If the estate operates the business after the owner’s death, IRS guidance says it must obtain a new employer identification number (EIN). Wages or business income must be reported under that EIN, and taxes that come due must be paid. The estate representative and tax professional should determine which final individual returns, estate returns, employment filings, and entity returns apply. Existing payroll and sales-tax registrations may also need updates, depending on the business and state.
Operating temporarily does not authorize an informal transfer. The representative should document who is acting, under what appointment or agreement, and which decisions require consent from the probate court, trustee, members, partners, directors, lenders, or insurers.
How estate tax and valuation enter the picture
Business interests are generally included in the gross estate
IRS guidance generally includes the fair market value of a decedent’s business interest in the gross estate as of the date of death. The interest may be shares, an LLC or partnership interest, or the assets of a sole proprietorship. Valuation is not necessarily the company’s book value or the amount the family hopes to receive. It can require analysis of control, marketability, business debt, real estate, intellectual property, goodwill, cash flow, and restrictions in governing documents.

The federal filing threshold for a 2026 death
For a U.S. citizen or resident who dies in 2026, the IRS lists $15 million as the Form 706 filing threshold when the gross estate is considered together with adjusted taxable gifts and the specific exemption. This is a federal filing threshold, not a statement that every estate below it owes no tax or has no filing obligation. The IRS also requires a Form 706 to elect portability of a deceased spouse’s unused exclusion, regardless of estate size. The threshold and filing rules should be rechecked for the applicable year before a return is prepared.

Federal figures do not settle state taxes
State estate or inheritance taxes may use different thresholds, definitions, deadlines, and filing rules. The Small Business Administration advises owners to consider state death taxes when planning a transfer. A family should identify the founder’s domicile, the business’s states of operation, real property locations, and any state filing requirements rather than relying on the federal threshold alone.
Tax outcomes depend on the date of death, citizenship or residency, total estate, prior gifts, ownership structure, valuation, beneficiary designations, and state law. A tax professional should model the transfer before the family distributes assets or sells the company.
Common scenarios
| Situation | Likely decision point |
|---|---|
| Founder owned a sole proprietorship and left a will naming a child | The child may inherit business assets, but the estate still must settle debts, contracts, taxes, licenses, and creditor claims before a transfer is complete. |
| Founder was the only LLC member | The operating agreement and state LLC statute determine whether the LLC continues, whether the estate receives the interest, and whether anyone can exercise management rights. |
| Founder owned a controlling block of corporate shares | The shares may pass to beneficiaries while the board and officers continue operating the corporation. A shareholder transfer can still affect voting control and board composition. |
| Founder had co-owners and a buy-sell agreement | The agreement may trigger a purchase, valuation process, notice deadline, and funding mechanism. The estate may receive cash rather than an ongoing ownership interest. |
| Founder had no will and no transfer agreement | Intestacy law determines beneficiaries, while entity documents and state law determine management and transfer restrictions. Multiple heirs can create disagreement or a forced sale. |
A practical document and authority checklist
The family, estate representative, and advisers should assemble these records before deciding whether to continue, sell, or close the company:

- Formation certificate, amendments, annual reports, licenses, permits, and the state of organization.
- Operating agreement, shareholder agreement, partnership agreement, bylaws, member or board resolutions, and buy-sell provisions.
- Current ownership ledger, stock certificates, capital accounts, voting records, trust documents, beneficiary designations, and the founder’s will.
- Business loans, personal guarantees, leases, lines of credit, insurance policies, and pending litigation.
- Bank, merchant, payroll, accounting, tax, domain, software, and payment-account access, with a record of who is authorized to use each account.
- Employee, customer, supplier, and intellectual-property contracts, including clauses triggered by death or a change of control.
- Recent financial statements, tax returns, inventory records, receivables, appraisals, and a list of assets titled personally rather than in the entity.
That review should answer four separate questions: who owns the interest, who can manage today, what must be paid or filed, and what transfer the documents and law permit. Keeping those questions separate prevents a beneficiary from being mistaken for an authorized manager.

What a succession plan should have addressed
The SBA recommends deciding what should happen at death, preparing a younger-generation successor when the goal is family continuity, considering state death taxes, and working with an estate-planning attorney. A workable plan usually names interim managers, sets competency and training expectations, explains voting and transfer rights, establishes a valuation method, and identifies funding for a buyout or taxes.
It should also coordinate the business documents with the will or trust. A will that leaves shares to one person cannot override an enforceable buy-sell restriction, and an operating agreement that requires a buyout is difficult to execute if no one can fund it. Regular reviews are needed after marriages, divorces, births, deaths, major loans, new owners, or changes in state law.
Bottom line for a family facing the death now
Do not assume the company is closed, and do not assume the family can simply take over. Preserve operations, identify the entity and governing state, locate the ownership and estate documents, establish who has current authority, obtain professional advice, and keep estate and company finances separate. The business may survive under a successor, co-owner, trustee, or buyer—or it may need to be sold or wound down—but that outcome follows the documents, state law, estate administration, and available resources rather than family expectation alone.
