Losing a wallet’s private key does not automatically erase tokenized fund shares in every structure. In the September 2026 prospectus for the Grayscale Ethereum Covered Call ETF, the Digital Transfer Agent’s official book-entry records—not control of a wallet or possession of a token alone—determine who owns the shares. A record holder who loses wallet access may request that the inaccessible tokens be burned and equivalent tokenized shares issued to a replacement wallet. That process requires identity and compliance checks, allowlisting and approval, and it can be delayed or denied. The transfer agent cannot recover the private key or undo a completed burn.
What happens if I lose access to my wallet?
The outcome depends on the fund’s legal and operational rules. A blockchain address may show tokens, but the fund’s governing documents can make an integrated transfer-agent ledger the authoritative ownership record. If that is the arrangement, losing access to the wallet is a serious access problem rather than an automatic loss of the underlying shares.
The cited Grayscale prospectus is specific to that fund. It does not create a universal recovery right for all tokenized funds, networks or wallets. Some products may have no lost-key procedure, may permit only registered custodial wallets, or may treat a different record as controlling. Before assuming that shares can be recovered, identify the exact fund, share class, transfer agent and current procedures.
Why the official record matters more than the token
Book-entry ownership in the Grayscale example
The Grayscale prospectus describes tokenized shares recorded in an official book-entry system integrated with the Digital Transfer Agent. For that fund, a transfer between allowlisted wallets is reflected in the holder-level record after the transaction reaches finality on Ethereum. The record—not a wallet’s apparent balance by itself—determines record ownership of the underlying shares.

This distinction protects against a common misunderstanding: an on-chain token is not necessarily a complete share certificate. The wallet address, token contract and transaction history can help establish what happened, but the prospectus says that control of a wallet or token alone does not determine shareholder status.
What the prospectus says about a lost key
“Because the Digital Transfer Agent’s official book-entry records, and not control of a wallet or token alone, determine record ownership of Tokenized Shares, the loss or compromise of a private key does not extinguish a holder’s ownership of the underlying Shares.”
That statement applies to the cited fund’s disclosed structure. It should not be read as a legal conclusion about every tokenized security.
Can I recover tokenized fund shares if I lose my private key?
For the cited Grayscale fund, a record holder can request a lost-key reissuance. The process changes the wallet in which the same shares are recorded; it is not a new purchase, a redemption or a promise that the old private key can be restored.

Requirements described in the Lost Key Policy
- You must be the record holder shown in the Digital Transfer Agent’s records.
- You must remain in good standing under the agent’s know-your-customer and anti-money-laundering program.
- You must identify a replacement wallet address through the investor portal and satisfy address and identity screening.
- You must attest to ownership and authorize the burn of tokens associated with the inaccessible address.
- The Chief Compliance Officer must approve the request, with fund-services staff coordinating the records.
While the request is pending, the agent may remove the old address from the allowlist. That control can prevent further transfers from an address believed to be compromised, but it also means the position may be unusable until the review ends.

What can stop or delay recovery?
Fraud or account-compromise concerns
The agent may delay or deny reissuance if it sees signs of fraud or account compromise. A person who merely knows an investor’s account details is not automatically entitled to move the position. Identity checks, ownership attestations and address screening are intended to distinguish a genuine lost-key event from an attempted takeover.
Contested ownership
If two people claim the same shares, the prospectus expects the position to be frozen while the dispute is resolved. The freeze may remain until the parties reach an agreement, a court issues an order or another legally sufficient process determines the rightful record holder. The agent does not treat a completed blockchain transfer as something it can simply roll back.

Irreversible burn
Burn-and-reissue is not a key reset. Once the burn is executed, the old token representation cannot be restored by the transfer agent. A holder should therefore verify the replacement address and every required approval before authorizing the burn. Sending a replacement address that is mistyped, incompatible or not approved can create a new problem rather than solve the old one.

On-chain evidence may not be enough
Transaction hashes, wallet addresses and purchase confirmations are useful evidence, but the cited filings do not promise that those items alone satisfy verification. The controlling question is whether the transfer agent’s records and compliance process establish that you are the record holder.
How to request a replacement wallet
Use this sequence for a lost or compromised wallet. It is written for the kind of process disclosed by the Grayscale prospectus; another fund may require different forms or may not offer reissuance.
- Identify the product. Write down the exact fund name, share class, account or investor number, transfer agent and the network used for the tokenized shares. Obtain the current prospectus and any digital-share or lost-key procedure.
- Use a verified channel. Sign in through the official investor portal or use a contact method printed in the current fund documents. Do not respond to unsolicited “recovery” messages and never disclose a seed phrase or private key to anyone.
- Ask whether you are the record holder. If the shares were acquired through a broker or another intermediary, the intermediary may be the registered holder and may have to make the request or provide instructions.
- Request the exact requirements. Ask which identity documents, address evidence, ownership attestations and account-security checks are needed; how to nominate and allowlist a replacement address; and whether the old address will be frozen or removed from the allowlist.
- Prepare a replacement wallet carefully. Confirm that the address is controlled by you, is on the permitted network, and can be registered under the fund’s rules. Do not send funds or tokens to an address until the agent confirms the required procedure.
- Preserve records. Keep account statements, purchase confirmations, wallet addresses, transaction hashes, dates, screenshots and prior communications. These records can help the investigation even though the filings do not guarantee that any single item will prove ownership.
- Review the burn authorization. Before signing, confirm the number of shares, old address, replacement address and the consequences of an irreversible burn. Ask for written confirmation of what will be recorded after approval.
- Monitor the official case. Keep the request number and communicate only through verified channels. If the agent identifies a fraud concern or an ownership dispute, ask what additional legal or documentary step is required.
What if the shares were held through a broker?
A beneficial owner who bought tokenized shares through a broker may not appear as the direct record holder in the digital transfer-agent system. In that situation, the broker or other intermediary may hold the record position and exercise rights on the investor’s behalf. Contact the intermediary first and ask whether it controls the wallet, maintains a separate beneficial-owner record, or must coordinate with the fund’s transfer agent.

Are tokenized shares protected like ordinary brokerage holdings?
The Grayscale prospectus states that tokenized shares held directly on the Digital Transfer Agent’s records, or in a self-hosted or third-party non-broker wallet, are not covered by SIPC or similar protection. That disclosure is limited to the cited fund and holding arrangements. Protection can differ when shares are held through a broker, and the governing documents for another fund may use different language.
Loss of private-key access and loss caused by an unauthorized transfer are also different events from a market loss. A recovery policy may address the first event, while neither the policy nor investor-protection rules guarantee compensation for a price decline, an invalid transfer or a failure to meet compliance requirements.

The WisdomTree Digital Trust prospectus, dated November 2025, illustrates another model. It describes integrated transfer-agent records, registered wallets and smart-contract controls that restrict transfers. It also describes potential clawback mechanics when a digital representation does not match the official book-entry records.

This comparison shows why a headline such as “the blockchain proves ownership” is too broad. The legal record, wallet registration, smart-contract controls and remediation process must be read in the exact fund documents.

Questions to ask before choosing a tokenized fund
- Which record is legally authoritative if the wallet display and transfer-agent ledger disagree?
- Are self-hosted wallets permitted, and which addresses must be registered or allowlisted?
- Is there a written lost-key or compromised-wallet procedure?
- Who verifies identity and who has authority to approve reissuance?
- Can the position be frozen when fraud or ownership is disputed?
- Is remediation performed by burn and reissue, immobilization, clawback or another method?
- Can a completed on-chain transfer be reversed, or only corrected prospectively?
- What protections apply to direct holdings, broker-held positions and non-broker wallets?
- What evidence must a claimant preserve, and how are replacement addresses validated?
How to reduce the chance of permanent lockout
Prevention cannot make a lost key recoverable, but it can reduce the chance that one mistake blocks access. Keep carefully controlled backups of recovery information, use account security that prevents unauthorized portal changes, and document which wallet addresses are registered with the transfer agent. A hardware wallet may be used as a private-key protection device, but it is not a recovery service and does not restore a lost key or guarantee compatibility with a particular fund token or network. Verify compatibility and the fund’s wallet rules before relying on any device.
Separate operational records from secret credentials: retain statements, addresses and transaction hashes where they can be retrieved, while protecting seed phrases and private keys from cloud exposure, screenshots and unsolicited support requests. If a wallet is suspected of compromise rather than merely inaccessible, notify the transfer agent immediately and ask whether the address can be frozen before any recovery request is processed.
Does losing my wallet mean I lose my shares?
Not necessarily. Under the September 2026 Grayscale prospectus, ownership remains tied to the Digital Transfer Agent’s official book-entry records, and an eligible record holder may seek burn-and-reissue to a replacement wallet. The transfer agent cannot recover the key, cannot reverse an executed burn, and may delay or deny the request. For any other tokenized fund, the answer comes from that fund’s current prospectus, transfer-agent procedures and custody arrangement—not from the existence of a token on a blockchain.
