Short answer: A Tier-II city can be the right base when it puts your customers, required talent, suppliers, infrastructure and support within practical reach. The label itself does not prove lower costs, easier hiring or better incentives. Treat it as a starting description, then compare cities against your business model and verify every central, state and local requirement before signing a lease or hiring.
This article uses “Tier-II city” in the Indian startup-policy sense. India has no single universally decisive tier definition for every policy or commercial purpose, so confirm how a particular state, regulator, lender or program classifies the city you are considering.
Why the tier label is not a business plan
Tier labels are shorthand for conversations about urban markets, but they hide the variables that determine whether a company works. A product serving national customers may benefit from a lower-cost operating base, while a business that depends on frequent enterprise meetings, specialist engineers, a deep supplier cluster or same-day logistics may lose more from distance than it saves on premises.

Start with a city-selection scorecard
Shortlist two to four cities only after defining what the business must have on day one and what can be remote, outsourced or added later. Score each city using the same evidence standard. A useful scorecard covers the following axes.
| Axis | Questions to answer | Evidence to collect |
|---|---|---|
| Customer access | Where are target buyers, distribution partners and required in-person sales meetings? | Customer addresses, travel time, channel coverage and delivery requirements |
| Talent | Which roles are essential, how many hires are needed, and can the city supply and retain them? | Recent vacancy data, salary offers you can actually fund, notice periods and remote-work feasibility |
| Supply chain and logistics | Are critical suppliers, industrial clusters, freight links and service vendors reachable? | Supplier locations, lead times, shipping costs and backup sources |
| Infrastructure | Can the location provide reliable power, internet, transport and workspace for the operation? | Site-level connectivity, outage history, access roads, transport and facility specifications |
| Total operating cost | What will rent, wages, utilities, travel, freight, compliance and setup cost together? | A dated, like-for-like budget for each city |
| Ecosystem and networks | Where are relevant incubators, mentors, industry groups, investors and public programs? | Program eligibility, application windows, sector fit and the people who administer them |
| Compliance and eligibility | Which state and local permissions apply to this entity, activity, premises and workforce? | Current official portals, municipal rules and written confirmation from the responsible authority |
Weight the axes rather than averaging them blindly. A light-manufacturing company may give supply reliability and freight more weight than an online service; a regulated healthcare company may rank licensing and specialist talent first. Record assumptions, dates and the person who supplied each figure so that the decision can be revisited when the business grows.
A practical sequence for choosing the base
- Define the operating model. Write down customer geography, sales frequency, required roles, production or storage needs, expected headcount, working hours, data or sector restrictions and the portion of work that can be remote.
- Create a non-negotiables list. Examples include a particular industrial cluster, a maximum travel time to customers, redundant internet, three-phase power, a nearby airport or a minimum pool of qualified hires.
- Build a comparable budget. Include deposits, fit-out, equipment, rent, salaries, recruitment, utilities, connectivity, freight, travel, professional fees, taxes and local compliance work. Separate one-time cash needs from recurring monthly costs.
- Test the talent market. Run real vacancies or speak with recruiters and candidates in each city. Measure qualified applicants, time to hire, compensation expectations, attrition signals and relocation support instead of counting universities or population alone.
- Validate customers and suppliers. Interview buyers, channel partners and vendors about delivery windows, service expectations and meeting frequency. A city that looks inexpensive on paper may create expensive travel or delayed fulfillment.
- Check premises and infrastructure in person. Verify the exact building, internet provider, power backup, access, fire and safety arrangements, zoning and landlord documentation. City-level averages cannot answer site-level questions.
- Map public support, then discount it until approved. Identify the state’s notified startup policy, administering agency and application process. Do not include a grant, reimbursement or tax saving in the base case unless the rules and your written eligibility are confirmed.
- Run a downside scenario. Model a slower hiring cycle, a lost customer, higher freight, a utility outage and a delayed incentive. Choose the city your cash runway can survive, not merely the one with the most optimistic spreadsheet.
- Use a staged commitment. Consider a small team, serviced workspace or pilot operation before a long lease or major fit-out, provided the arrangement satisfies your legal, safety and data requirements.
Separate incorporation, registrations and permissions
Setting up in a city involves several different questions. The appropriate entity form and incorporation route depend on ownership, funding plans, liability, tax position and the nature of the activity. After incorporation, you may have separate obligations for tax registration, sector licensing, shops-and-establishments or other local establishment rules, labour compliance, premises permissions, environmental requirements and professional registrations.
There is no single checklist that fits an unspecified business. The applicable obligations depend on entity form, turnover, activity, employees, premises and state or city. Use current government portals for each registration and obtain advice from a qualified local chartered accountant, company secretary or other appropriately licensed professional when the consequences of an error are material. Ask any adviser to state the legal basis, filing deadline, renewal requirement, government fee and evidence you must retain.
State startup policies: useful, but conditional
Startup India’s state-policy directory is a sensible first stop. The directory says, “All the policies mentioned here are notified policies by the respective State Governments.” That makes it a directory of notified policies, not a guarantee that a listed benefit is open to your company today. Open the underlying state notification and contact the administering authority to confirm the current policy period, application route, eligible entity and sector, location requirement, documentation, reimbursement cap and payment timing.
State programs can differ sharply. Maharashtra policy material, for example, includes provisions that may cover qualifying asset-light startups and possible reimbursements. A Uttar Pradesh policy search result describes recruitment assistance with specific location, sector and employment conditions. Neither example means that every founder in those states qualifies. Treat search results and summaries as leads; rely on the current notification and written confirmation before spending against a benefit.
Ask five questions before you count state support in your plan:

- Does your entity, incorporation date, sector, turnover and ownership meet the definition?
- Must the registered office, employees, investment or activity be in a particular district or premises?
- Is approval required before you incur the expense?
- What audit, employment, reporting and clawback conditions continue after payment?
DPIIT recognition is not the same as the Section 80-IAC deduction
Founders often combine these two ideas, but they are separate. DPIIT startup recognition is an administrative recognition route with its own eligibility and application requirements. The Income Tax Department describes Section 80-IAC as a distinct deduction with separate incorporation, turnover and certification conditions.
For an eligible company that satisfies those statutory conditions, Section 80-IAC provides a deduction of 100% of eligible profits for three consecutive assessment years out of ten. Recognition by DPIIT alone does not grant the deduction. Confirm the current rules, obtain the required certification and have your tax adviser test the company’s facts before treating the deduction as available. Keep incorporation records, accounts, approvals and certification documents in a form that can withstand a tax review.
Udyam registration and the 2025 MSME thresholds
Udyam is a separate MSME registration, not a substitute for incorporation, tax registration, a sector licence or a state startup application. The official Udyam Registration Portal describes the process as free, online, paperless and based on self-declaration, with no renewal requirement. Use the official portal rather than an intermediary charging for access, and verify the classification details when you register.
The revised classification thresholds effective 1 April 2025 are:
| Enterprise category | Maximum investment in plant and machinery or equipment | Maximum annual turnover |
|---|---|---|
| Micro | ₹2.5 crore | ₹10 crore |
| Small | ₹25 crore | ₹100 crore |
| Medium | ₹125 crore | ₹500 crore |
Check the portal’s current definitions and calculation rules for your business, especially where ownership structures, multiple units or changing investment and turnover could affect classification. Registration can support access to MSME-related processes, but it does not automatically create a state subsidy, tax deduction or loan approval.

Public finance: investigate PMEGP without budgeting as though it is approved
The Prime Minister’s Employment Generation Programme (PMEGP) is one scheme a qualifying entrepreneur may investigate for a new non-farm enterprise. A 2024 Press Information Bureau description reported margin-money subsidy rates that vary by applicant category and by rural or urban location. The same release described project-cost limits of ₹50 lakh for manufacturing and ₹20 lakh for services.
Those figures come from a dated government release, and individual eligibility, bank appraisal, own-contribution requirements, sector rules and current limits matter. Read the current scheme guidance and application instructions before relying on PMEGP. Put the business case together so it remains viable if approval is delayed, the sanctioned amount differs, or the subsidy is released only after specified conditions are met.

Hiring is neither automatically easier nor automatically harder in a Tier-II city. The relevant question is whether the city has enough people with the exact skills, at compensation and working conditions your company can sustain. Specialist roles may require relocation, distributed teams, a training program or a hub-and-spoke arrangement.

Infrastructure and resilience checks
Inspect the specific premises rather than relying on a city reputation. Confirm internet providers and a failover connection, power capacity and backup, water and sanitation, access for staff and freight, security, fire compliance, insurance requirements and the ability to expand. For a data-sensitive operation, verify physical access controls, network segregation and where systems and backups are hosted.
Document operational dependencies and a fallback for each: an alternate internet route, backup power, a second supplier, a temporary workspace and a travel plan for customer support. These controls may matter more than a modest difference in quoted rent.
When a Tier-II base is a strong fit—and when it is not
A strong fit
- Your customers can be served digitally or through efficient distribution.
- The city has a dependable pool for the roles that drive the business.
- Suppliers, logistics and infrastructure meet your required service levels.
- Your founders or early operators have a durable local network.
- The total budget remains sound without assuming an unapproved incentive.
A weak fit
- Revenue depends on daily access to metro-based buyers or investors.
- The operation needs a rare specialist skill or a tightly concentrated supplier cluster.
- Travel, freight, outages or compliance work erase the apparent cost advantage.
- The chosen premises cannot meet safety, licensing, data or expansion requirements.
- The plan relies on a state benefit whose eligibility or timing is unresolved.
A founder’s verification file before signing
Keep one decision file containing the city scorecard, dated cost assumptions, customer and supplier notes, hiring evidence, premises inspection, entity and licence map, state-policy correspondence, tax advice and funding applications. Mark every item as confirmed, conditional or still open. Recheck volatile tax rules, state benefits and scheme limits immediately before filing or committing capital. A Tier-II location becomes an advantage only when the underlying operating facts—not the label—remain true.
