There is no universal “foreign IPO fee” or tax rate. Your all-in cost depends on your tax residence, the issuer’s country, the listing and settlement venue, the security’s legal form, and whether you subscribe for newly issued shares or buy after listing. Before sending money, obtain a written schedule covering brokerage, foreign-exchange, custody, settlement, depositary and account charges, then map every possible tax to the transaction route and your residence.

Start with the all-in cost, not the headline IPO price

An IPO price is only the amount paid for the shares. The amount that leaves your account can also include an application or dealing commission, a foreign-exchange (FX) spread, an explicit currency-conversion fee, local-market or settlement charges, custody fees, account fees and, for depositary receipts, depositary or handling charges. Costs can arise when you apply, when an allocation settles, while you hold the shares and when you sell or bring the proceeds home.

Ask the broker to quote the complete path in the currency you will fund and the currency in which the shares settle. A broker that advertises zero commission may still earn from an FX spread, a mandatory local-custodian charge or a minimum account fee. Investor.gov cautions that international investing can be more expensive than investing in domestic companies and markets, and identifies exchange-rate movements and possible foreign-exchange controls as risks.

Do not use a single percentage as a “typical” cross-border IPO cost. The official guidance available for this topic does not establish a worldwide average, and the exact amount depends on the provider, account, jurisdictions and instrument.

Identify exactly what you are buying and when

The legal and economic route determines which charges and taxes can apply. Read the prospectus and the broker’s application terms for the security identifier, issuer, listing venue, settlement system and currency.

Primary subscription for newly issued shares

A primary subscription gives money to the issuer in exchange for newly created shares. It may have a separate application or underwriting charge, an allocation process and a refund timetable for cash that is not allocated. Some jurisdictions treat a new issue differently from a purchase of existing shares for transfer-tax purposes.

Offer for sale by existing holders

An IPO can include shares sold by existing shareholders rather than newly issued stock. Although it occurs at the IPO, the transaction may be legally a transfer of existing securities. Do not assume that an exemption for a new issue applies to an offer for sale.

Secondary-market purchase after listing

Buying after the first trading day is a normal market purchase. The market price may differ from the offer price, and a transaction, stamp or securities-transfer tax may apply even when no such charge applied to a primary subscription. Brokerage, exchange and settlement costs are also determined by the market in which your order executes.

Direct foreign shares versus a depositary receipt

A depositary receipt represents an interest in shares held through a depositary and custodian chain. It can introduce depositary, conversion, cancellation, corporate-action and handling fees. Its tax treatment may differ from that of the underlying shares, and the receipt may trade in a different currency or venue. Confirm who holds the underlying stock, how conversion works and whether transfer or cancellation is possible.

Fees to obtain in writing before applying

Cost category When it can arise Questions for the broker
Application or subscription charge When an IPO order is submitted or allocated Is there a flat fee, percentage, minimum or charge only when an allocation is received? Is it refundable if the order is rejected?
Trading commission For a later purchase or sale Is the commission per order, per share or a percentage of value? Are exchange, regulatory or minimum-ticket fees added?
FX conversion spread and fee When funding, settling or repatriating proceeds Which exchange rate is used, what spread is added, and is there a separate conversion fee? Can you fund and withdraw in the settlement currency?
Local-market and settlement charges When the trade settles in a foreign clearing system Are exchange, clearing, transfer, stamp-collection or settlement charges passed through? Are they recurring?
Custody and account charges While shares are held Is there a safekeeping fee, minimum balance, inactivity fee or charge for statements and tax documents?
Depositary and corporate-action fees For depositary receipts or optional events What are the issuance, cancellation, conversion and corporate-action fees, and who pays them?
Sale and cash-transfer fees When exiting and moving money home What are the selling, withdrawal, intermediary-bank and receiving-bank charges? Are there minimums or currency restrictions?

Request an illustration showing the cash debit for an application, the amount returned if you receive no allocation, the value of an allocated position after settlement, and the net amount received after a sale and currency conversion. Have the broker identify which amounts are estimates and which are fixed under its current tariff.

Taxes that can affect the investment

Transaction, stamp and securities-transfer taxes

These taxes are usually tied to a particular legal transfer and place of execution, not simply to the fact that an IPO is foreign. Ask which country’s rules apply, whether the security is newly issued or transferred, who collects the tax and whether it is withheld automatically.

As a United Kingdom example, HM Revenue & Customs (HMRC) says share purchases are generally subject to Stamp Duty or Stamp Duty Reserve Tax (SDRT) at 0.5%, subject to detailed rules and exceptions. Its overview says subscribing for a new issue is exempt, and that UK stamp duty or SDRT normally does not apply when foreign shares are bought outside the UK, although other taxes can still apply. These are UK rules for the specified transaction route, not a global rule for foreign IPOs.

HMRC’s stamp-tax manual, updated 2 September 2026, describes a higher 1.5% SDRT charge for certain transfers of chargeable securities to depositary-receipt issuers or clearance services. The manual also describes exclusions for transfers connected with exempt capital-raising or listing arrangements and for issues of chargeable securities. Whether the charge applies depends on the detailed arrangement; a foreign IPO or depositary receipt does not automatically trigger 1.5%.

Dividend withholding in the issuer’s country

When the company later pays a dividend, the issuer’s country may withhold tax before the payment reaches your account. Ask for the statutory rate, the rate available under an income-tax treaty, the form or residence certificate needed to claim it at source, and the process and deadline for reclaiming excess tax. Also ask whether the broker or depositary deducts an additional handling amount.

A treaty rate is not automatic. The payer may require a valid residence declaration before the dividend date, and a refund claim may require evidence of the withholding, beneficial ownership and tax residence. Keep copies of every form and payment statement.

Tax on a later sale

Your home jurisdiction may tax a gain when you dispose of the shares, even if the broker is abroad and no tax is withheld at sale. The issuer’s or listing country may also tax gains for particular investors, assets or periods. Determine which country has taxing rights, whether a treaty changes them, how the gain is converted into your reporting currency and whether losses can offset other gains.

Home-country tax and foreign-tax credits

Many residence countries tax worldwide dividends or gains and may allow a credit for foreign tax, subject to limits and documentation. A credit can be restricted to the domestic tax attributable to the same income, and unused amounts may expire or require a carry-forward. Confirm whether your filing requires the gross dividend, the tax withheld, exchange-rate records and the broker’s year-end statement.

Two jurisdiction examples that show why status matters

United States: nonresident income and gains

Internal Revenue Service (IRS) guidance says U.S.-source fixed, determinable, annual or periodical (FDAP) income paid to a nonresident alien is generally subject to 30% withholding unless a lower treaty rate or exemption applies. The correct rate depends on the income, the taxpayer’s status, source rules, forms and treaty position. A U.S. listing alone does not establish the dividend rate for a foreign IPO.

The same IRS guidance says a nonresident alien who is present in the United States for fewer than 183 days during the tax year is generally not taxed by the United States on capital gains, subject to exceptions such as effectively connected income and specified gains; a treaty can change the result. The 183-day rule is a specific U.S. rule, not a worldwide residence test and not a rule for U.S. citizens or residents.

United Kingdom: purchase route and location

The HMRC examples above demonstrate two variables that must be checked together: whether the transaction is a new issue or a transfer, and where and how foreign shares are bought. Verify the current HMRC guidance for the exact security, settlement location, intermediary and depositary arrangement before relying on an exemption.

Read the prospectus and broker terms for operational risks

Tax and fees are only part of the decision. International offerings can have different disclosure, settlement and investor-protection arrangements from those in your home market. Confirm all of the following before submitting an order:

  • Eligibility by country of residence, investor category and account type.
  • Allocation method, maximum application, scaling-back rules and treatment of duplicate orders.
  • Date and currency of the cash debit, expected settlement date and timing of refunds for unallocated cash.
  • Lock-up periods, transfer restrictions, minimum trading lots and any requirement to use a particular custodian.
  • How dividends, rights issues and other corporate actions are processed and charged.
  • How to sell, convert, withdraw and repatriate proceeds, including any currency-control or documentation requirements.
  • Which entity is your contractual broker and what regulation, compensation scheme or client-asset protection applies.

U.S. investors should check registration and understand that an unregistered foreign broker may not provide the same protections as a U.S.-registered broker. Investors elsewhere should perform the equivalent check with their own regulator.

A practical pre-order procedure

  1. Classify the instrument. Record the issuer’s incorporation country, listing venue, security type, ISIN or other identifier, settlement currency and whether the offer is a new issue, an offer for sale or a depositary receipt.
  2. Confirm eligibility. Read the prospectus restrictions and ask the broker whether your residence, account and investor classification qualify.
  3. Get the fee schedule. Obtain written figures for application, allocation, commission, FX, settlement, custody, depositary, sale and withdrawal charges, including minimums and recurring amounts.
  4. Map transaction taxes. Ask which transfer or financial-transaction taxes apply to this route, who collects them and when. Do not substitute the tax treatment of a later market purchase for that of the IPO subscription.
  5. Map dividend withholding. Identify the statutory rate, treaty rate, forms, residence evidence, beneficial-owner requirements and refund procedure.
  6. Map disposal and residence-country taxes. Ask a qualified adviser or tax authority how dividends and gains are reported, how currency conversion is calculated and whether foreign-tax credits are available and limited.
  7. Model the cash flows. Calculate the maximum debit, the amount returned if unallocated, the cash needed for FX and fees, and the net proceeds under a later sale. Label assumptions and distinguish one-time from recurring costs.
  8. Save evidence. Keep the prospectus, broker tariff, confirmations, allocation notice, FX rate, withholding certificate, dividend statement and sale statement for the applicable record-retention period.

How to compare the main routes

Choice Questions to compare What can differ
IPO subscription versus buying after listing Is access guaranteed? What is the allocation and refund process? Which transaction taxes apply? Offer price, allocation uncertainty, timing, transfer-tax treatment and market price after listing.
Direct foreign shares versus depositary receipt Who holds the underlying stock? What are conversion, cancellation and corporate-action charges? Custody chain, currency, transferability, depositary fees and tax characterization.
Broker A versus Broker B What market access, eligibility, FX pricing, custody, settlement and protections are provided? Visible commission, embedded FX cost, recurring custody charges, regulation and repatriation process.
Treaty relief at source versus refund claim What forms and deadlines apply, and who submits them? Cash received on the payment date, administrative effort and risk that excess tax remains unrecovered.

These are comparison dimensions, not guarantees that one route is cheaper or more tax-efficient. The best choice depends on your residence, status, time horizon and ability to complete the required documentation.

Common mistakes and how to correct them

  • Using the IPO price as the budget. Add every fee, the FX spread and possible taxes before deciding how much cash to reserve.
  • Assuming “new issue” covers every IPO component. Check whether the offer includes existing-holder sales or a separate depositary transfer.
  • Applying a home-country treaty rate without paperwork. Ask for the exact form and submission deadline before the dividend is declared.
  • Confusing listing country with tax source. Dividend and gain rules can depend on the issuer, payer, investor status and underlying asset, not merely the exchange’s location.
  • Ignoring the exit. Verify sale, custody, currency-conversion and repatriation costs before buying; restrictions can make an apparently liquid investment difficult to exit.
  • Failing to preserve records. Without allocation, FX and withholding evidence, claiming a foreign-tax credit or calculating a gain can become difficult.

When individual advice is worth the cost

Seek advice from a qualified cross-border tax professional when you have dual tax residence, nonstandard residency or citizenship, a company or trust account, substantial holdings, a depositary structure, employee or director status, or a prospectus involving several jurisdictions. A professional can determine treaty residence, source rules, credit limitations and filing obligations that a generic broker tariff cannot answer. Ask the adviser to review the actual prospectus, account terms and proposed transaction route rather than giving a general foreign-investment opinion.

Bottom line: Before investing, obtain a written all-in fee schedule, classify the exact security and transaction route, verify source-country withholding and residence-country taxation, and confirm the documents and protections that apply to your account. Treat the 0.5%, 1.5%, 30% and 183-day figures described in the jurisdiction examples as narrowly defined rules—not as a universal cross-border IPO calculator.
