Before you invest in Indian real estate, independently verify five things: the exact asset and seller, the title and recorded interests, land records and boundaries, project approvals and RERA disclosures where applicable, and the transaction’s tax and total economics. A broker’s assurance, brochure, online listing, registration number or registry entry is not, by itself, proof that a property is safe or a good investment. Use a property lawyer in the relevant state or Union territory, and add a licensed surveyor when boundaries or maps do not match.
What “due diligence” means for an Indian property investment
Due diligence is a documented investigation performed before you commit a token, substantial advance or balance payment. It has two separate outcomes:
- Legal and project clearance: whether the seller can transfer the identified property, whether recorded rights and encumbrances have been examined, and whether the land, building and transaction comply with applicable rules.
- Investment suitability: whether the all-in price, recurring costs, realistic income, liquidity and holding period fit your objectives.
A property can pass a project’s regulatory filings and still be overpriced or difficult to resell. Conversely, attractive projected returns do not cure a title defect. Treat these as parallel decisions rather than one combined “safe investment” test.
1. Identify the exact asset and the person or entity selling it
Make the property description consistent
Create a one-page identity sheet before ordering searches. Record the state, district, local authority, survey, plot or parcel number, project and phase, unit or apartment number, floor, carpet area or land extent, boundaries, postal address and any parking or ancillary rights. For a resale, note every co-owner. For a company, trust or partnership, record the legal entity and the person who will sign.

Compare that identity sheet with the offer, prior deeds, revenue or municipal records, sanctioned plans, the draft agreement and the physical site. Differences in spelling, survey numbers, area, phase or boundaries should be resolved in writing, not explained away as a marketing shorthand.
Verify the seller’s authority
Ask for identity and ownership documents, the available chain of prior transfers, powers of attorney, board or partner approvals, succession documents and lender information where relevant. A seller must have both ownership and legal capacity to transfer. Have local counsel check whether any co-owner, legal heir, beneficiary, entity approval or power-of-attorney formalities are missing.
2. Have a local lawyer examine title and encumbrances
Title review is a legal opinion based on the documents and searches appropriate to the property’s jurisdiction and history. A registration entry only records a transaction; it is not a guarantee that the underlying title is clear.

Documents and interests to investigate
- The seller’s ownership deed and the chain of prior transfers for the period counsel considers necessary.
- Current revenue and municipal records, tax receipts and mutation entries.
- Mortgages, charges, liens, attachments, leases, easements, rights of way and other recorded interests.
- Pending or threatened litigation, acquisition or reservation notices, insolvency issues and claims by heirs or co-owners.
- For a developer, the landowner-development agreement, development authority and releases required from lenders or other charge-holders.
Ask the lawyer which certified searches and records the local office accepts. The correct document set varies by state or Union territory, property type, age of the title and whether the seller is an individual or an entity.

Use RERA disclosures as evidence, not as a substitute for title review
For a covered project, the Real Estate (Regulation and Development) Act, 2016 requires a promoter’s registration filing to include a title declaration and details of encumbrances. That disclosure is useful for cross-checking, but your lawyer should reconcile it with the title chain and current searches. An entry in a state RERA portal does not resolve an inconsistency or prove that every interest has been released.
3. Check land records and boundaries in the correct jurisdiction
Land administration is a state and Union territory responsibility. The Department of Land Resources describes two complementary forms of evidence:
- Records of Rights (RoR): textual records showing recorded rights and how those rights were derived.
- Spatial records: maps used to establish the parcel’s actual boundaries.
Use the relevant state or Union territory land-record portal, then obtain certified or current extracts where local practice requires them. Reconcile the RoR, maps, deeds, approved plans and the ground situation. A site visit is not a survey: if fences, access or measurements conflict, engage a locally licensed surveyor before paying the balance.
Do not assume a national portal contains the complete record
NGDRS or e-registration is a configurable platform used by participating jurisdictions. State Inspector General of Registration offices remain custodians of registration data, and implementation and data-sharing arrangements differ. An online encumbrance-certificate feature or searchable entry does not establish that a particular property’s records are complete or current. Confirm the responsible state or Union territory authority and the date and certification status of each record.

4. For a developer project, verify RERA registration and disclosures
Locate the exact project and phase in the relevant state or Union territory RERA portal. Compare what is being sold with the filed material rather than relying on a brochure.
Items to reconcile
- Project name, promoter identity, land details, location and boundaries.
- Whether the project and the particular phase are registered, and whether an exemption or scope rule applies.
- Title declaration and disclosed encumbrances.
- Sanctioned plans, development works, facilities and the apartment carpet area.
- Proposed allotment letter, sale agreement and conveyance deed.
- Promised completion or possession period and any disclosed revisions.
If a filing is missing, inconsistent or stale, ask the authority or your counsel to resolve the issue before signing. The Act requires 70% of amounts realised from allottees for a project to be deposited in a separate scheduled-bank account for construction and land cost, subject to the statutory text and its application. This is a project-fund rule, not a guarantee of completion and not money held for an individual buyer.
5. Verify approvals, use, access and the physical condition
The central framework cannot identify every approval for an unspecified property. Your lawyer should prepare a state- and city-specific list with the relevant planning, revenue, municipal and utility authorities.

Checks commonly needed
- Permitted land use, zoning and eligibility to buy or hold the land, including restrictions that may apply to agricultural property or particular buyer categories.
- Sanctioned building and layout plans, development permissions and deviations.
- Completion or occupancy status where the building is represented as complete.
- Legal access, road width, easements, water, power, drainage and other promised services.
- Outstanding property tax, utility, association, maintenance or development charges.
- Acquisition, reservation, environmental, heritage, coastal or other local restrictions that apply to the site.
Inspect the property and common areas. Match the visible unit, floor, parking and boundaries to the approved plans and agreement. Record photographs and unresolved defects, but do not treat a visual inspection as proof of legal compliance.

6. Make the token, agreement and conveyance match the evidence
Before paying a token or substantial advance
- Write the complete property and seller identity into the token document.
- State that the payment is refundable if title, approvals, financing, project representations or other specified due-diligence conditions fail.
- Set a deadline for supplying documents and identify who bears cancellation, refund and registration costs.
- Make the seller’s representations about area, boundaries, encumbrances, approvals, possession and included facilities measurable and document-based.
Do not let a short reservation form waive your right to inspect title or make the payment non-refundable before those checks are complete.
Before signing and transferring the balance
Have counsel compare every description and measurement across the title papers, RoR, spatial map, sanctioned plan, allotment or sale agreement and proposed conveyance deed. Check the payment schedule, interest or delay provisions, possession commitment, defect remedies, cancellation terms, common-area and parking rights, taxes, maintenance and association obligations. Confirm execution formalities, co-owner or entity approvals and any lender release required at closing.
7. Calculate stamp duty, registration and tax obligations
Stamp duty and registration charges are state- and transaction-specific. Obtain a written cost sheet rather than applying a national percentage. Include the consideration, stamp duty, registration, legal and survey fees, lender costs, taxes, association or maintenance obligations, property tax, utilities, immediate repairs and expected vacancy or operating costs.
Section 194-IA withholding
For a qualifying purchase of non-agricultural immovable property from a resident seller, current Income Tax Department guidance describes buyer withholding under Section 194-IA at 1%. No deduction under this provision applies when both the consideration and the stamp duty value are below ₹50 lakh. The rule also addresses aggregation where there are multiple transferors or transferees and includes certain incidental transfer charges in consideration. Confirm seller residency, property classification, the applicable threshold calculation, current forms and electronic deposit and reporting deadlines with a tax professional before payment. Do not treat the threshold as a single-price test when the transaction has multiple buyers or sellers.

8. Test the investment economics independently
Build a property-specific model using documented costs and conservative assumptions. At minimum, calculate:
- Total acquisition cost, including statutory charges, professional fees, financing and immediate works.
- Recurring property tax, maintenance, insurance, utilities, management and loan costs.
- Realistic rent after vacancy, collection losses, repairs and operating expenses.
- Expected holding period, liquidity and likely selling costs.
- Concentration risk if the property or city would represent too much of your assets.
No reliable national rent, yield, appreciation or resale figure applies to every Indian property. Do not replace local evidence with a developer projection or a broad national average. Compare actual nearby transactions, achievable rents and time-to-sell evidence for the same micro-market and property type, and label estimates as estimates.
9. Compare candidate properties on the same axes
Use one worksheet for every property so that a lower price does not hide a weaker legal or operational position.

10. Follow a controlled closing sequence
Checkpoint A: before the token
- Complete the asset and seller identity sheet.
- Collect ownership, authority, prior-transfer, revenue, municipal and encumbrance information.
- For a developer, review the exact RERA project and phase filings.
- Put refund and due-diligence conditions in writing.
Checkpoint B: before the agreement and balance
- Reconcile all descriptions, areas and boundaries; commission a survey if necessary.
- Confirm land use, building permissions, completion status, access, utilities and dues.
- Obtain written co-owner, entity and lender approvals or releases.
- Approve the final cost sheet and tax treatment with counsel and a tax professional.
Checkpoint C: registration and after closing
- Execute the final conveyance with the required parties and formalities.
- Register it with the competent local office, retain official receipts and obtain certified copies.
- Pay and report any applicable withholding on time.
- Complete the local mutation or record-update process and keep proof. Registration alone does not guarantee that revenue or municipal records have been updated.
Red flags that should pause the transaction
- Pressure to pay before documents are released or reviewed.
- Different survey numbers, unit areas, boundaries or seller names in different papers.
- A missing RERA phase, undisclosed mortgage, unexplained litigation or a promised approval that cannot be verified.
- Refusal to state refund conditions, provide certified records or permit an independent lawyer and surveyor.
- Returns based only on brochure projections, with no vacancy, expense, tax or resale assumptions.
When a red flag appears, pause payment, preserve the written representations and ask counsel for a specific cure: corrected deed, lender release, certified record, approval, survey or contractual protection. If it cannot be cured and independently verified, walk away rather than pricing the risk as if it were resolved.
What this national checklist cannot decide
State and Union territory rules determine the applicable land records, stamp duty, registration process, agricultural-land eligibility, local approvals and portal availability. Buyer status, property type, city, transaction documents and seller residency can change the answer. This framework is not legal, tax, valuation or investment advice for a particular purchase. Obtain a jurisdiction-specific document list and independent professional review before committing funds.
