Prepare the company’s available audited financial statements, relevant operating data, public disclosures and regulatory filings, plus any pro forma statements or asset-level evidence that applies to the business. Also prepare a clear company presentation and the management and treasury participants who can explain the records. There is no universal agency checklist: the final request changes with the issuer, sector, rating type, engagement scope and current conditions, so confirm the live list with the assigned analytical team.

Start with the right expectation: the checklist is company-specific

A credit rating assessment is an analytical process, not a standard form submission. Agencies combine information supplied by the issuer with information already available publicly. Fitch Ratings says the exact composition of data needed to assign and maintain ratings varies over time. A request that is appropriate for a regulated utility, an early-stage project, a financial institution or a manufacturer may be inappropriate for another company.

Use the list below as a preparation framework. It helps you build a complete information room and identify gaps before the first analyst meeting, but it does not replace the agency’s current request list. Ask the analytical team which documents are needed for this issuer, this sector and this particular rating engagement.

Core document groups to assemble

Document group What to gather How analysts use it Important qualification
Financial history Available audited financial statements and supporting schedules; explanations of material changes, financing events and differences between reported figures and management views. To understand earnings, cash flow, leverage, liquidity, capital structure and financial trends. Fitch’s corporate criteria say its analysis may consider three or more years of audited statements; this is not a universal submission rule.
Operating history Historical operating statistics relevant to the business, such as production, customers, volumes, utilization or reserves where applicable. To test the durability of the business model and connect operating performance with financial results. Fitch may consider three or more years of operational data; the period and metrics depend on the issuer.
Pro forma and asset evidence Pro forma financial statements, independent or expert assessments and asset-level information for early-stage or asset-heavy operations, when relevant. To evaluate businesses whose historical accounts do not yet represent their expected operating profile. These are possible inputs described by Fitch, not mandatory documents for every company.
Public and regulatory information Published financial and operating statistics, regulatory filings and the current versions of other public disclosures. To cross-check issuer-provided data and establish the public record used in the analysis. Make sure the agency can locate the latest filing and clearly identify corrected or superseded versions.
Company overview A concise presentation covering the business, strategy, ownership, operations, financial profile and the requested rating scope. To give the analytical team a common factual starting point for questions and follow-up requests. Moody’s describes an issuer preparing company information and a presentation before the first meeting.
Management discussion materials Names, roles and availability of executives, finance leaders, treasury staff and relevant business or sponsor representatives. To explain assumptions, unusual transactions, risks, controls and forward-looking plans that documents alone cannot clarify. Fitch describes management or sponsor meetings and other communications as common in many solicited cases, but formats vary.

Financial statements and supporting explanations

Build a multi-year history

Collect the company’s available audited financial statements in a consistent, searchable set. Fitch Ratings’ Corporate Rating Criteria, dated 9 January 2026, says corporate analysis may consider three or more years of audited financial statements. Present that figure as Fitch’s analytical consideration, not as a rule that every agency or issuer must satisfy exactly three years.

  • 12-Month Warranty: Backed by a 12-month manufacturer warranty for peace of mind. Designed to meet strict quality control standards for reliable everyday performance.

Include the primary statements and the notes that explain accounting policies, debt, leases, commitments, contingencies, related-party transactions, segment information and significant estimates. If a year was audited under a different accounting framework, label the framework and explain material presentation changes rather than silently restating history.

Prepare a bridge from reported numbers to management views

Analysts will need to understand why management’s preferred measures differ from audited figures. Prepare reconciliations for adjusted EBITDA, free cash flow, net debt or other non-GAAP measures used in the presentation. For each adjustment, identify the amount, period, rationale and whether it is recurring. This prevents a meeting from becoming a search for basic definitions and lets the team focus on credit implications.

Explain inflection points before they are questioned

Write short explanations for major year-over-year movements: acquisitions or disposals, refinancing, covenant amendments, impairments, restructurings, changes in working capital, litigation, one-time gains or losses and changes in ownership. Tie each explanation to the relevant statement, note or filing. If a financing event occurred after the latest audit, provide the executed terms and show its effect on the capital structure as of the assessment date.

Operating data and asset-level evidence

Choose metrics that describe the business model

Operating data should let an analyst connect the company’s physical or commercial activity to revenue, margins and cash generation. Depending on the sector, that may include production and capacity, subscriber or customer counts, churn, utilization, backlog, order intake, occupancy, claims, reserve data or regulated performance measures. Use consistent definitions and provide monthly, quarterly or annual history where that is how the business is managed.

Fitch’s criteria state that three or more years of operational data may be considered. The relevant period can be shorter for a young company and longer for a mature one; do not manufacture historical series that do not exist. Mark estimates, unaudited statistics and data collected under a changed methodology.

Address early-stage and asset-heavy situations

Where historical financials do not capture an asset’s expected economics, identify available pro forma financial statements and expert assessments of key assets. Examples include a newly built facility, a project approaching commercial operation or a portfolio whose value depends on technical performance. Fitch lists pro forma statements and expert assessments as possible analytical inputs. Explain who prepared each assessment, the date, the assumptions and the scope; do not present an expert report as a guarantee of the rating outcome.

Public disclosures and regulatory filings

Assemble a controlled index of the information already in the public domain. Fitch’s Ratings Process describes published financial and operational statistics and regulatory filings among the inputs its analysts may use. Include annual and interim reports, offering documents, current reports, material-event notices, regulator correspondence that is public, and sector-specific filings relevant to the issuer.

Record the filing date, reporting period and status for each item. If a filing was amended, retain the original and amended versions with a note explaining the change. Check that names, subsidiaries, debt amounts and reporting dates match the private information you provide. Contradictions do not automatically disqualify an issuer, but unexplained differences consume time and can undermine confidence in the data set.

Company presentation and management preparation

Structure the first presentation around credit questions

Use a presentation that is factual and easy to reconcile to the document room. Cover the corporate structure and ownership; products, markets and competitive position; strategy and investment plans; historical and projected operating performance; liquidity and funding sources; debt maturity profile; material risks; and the specific rating or debt issue being considered. Put definitions beside charts and identify the period, currency and accounting basis for every key figure.

Moody’s “What Is a Credit Rating?” process description says the issuer prepares company information and a presentation before meeting the analytical team. The presentation is an input to discussion, not a substitute for financial records or a mechanism to determine the rating.

Select people who can answer, not just present

Include the chief financial or finance lead, treasury personnel, the operating executive responsible for the main business and subject-matter specialists for material assets or regulation. Assign one coordinator to log questions, owners and due dates. Fitch describes management or sponsor meetings and other communications as common in many solicited ratings, although the meeting format and participants vary by assignment.

Confirm the scope before finalizing the data room

The documents required depend partly on what is being rated. Confirm four scope questions with the agency:

  1. Issuer rating or issue rating? An issuer rating evaluates the company’s general creditworthiness. An issue rating evaluates a particular debt instrument, so features such as security, guarantees, priority, covenants, collateral and recovery prospects may require additional documents. S&P Global Ratings distinguishes issuer and issue ratings and notes that issue-specific features can affect the analysis.
  2. Public or confidential treatment? Ask whether the result will be published or kept private, how confidential information will be handled and which documents may be cited publicly. Moody’s process materials describe both public and private outcomes.
  3. Which sector criteria apply? Sector criteria can change the operating data, regulatory information, asset evidence and ratios that matter. Confirm the applicable methodology and any supplements before collecting documents.
  4. Full rating or another assessment product? A full rating engagement may require a broader record than a limited or alternative assessment. Obtain the written scope and the current information request for that product.

A practical preparation workflow

  1. Appoint an internal owner. Give one person authority to coordinate finance, operations, legal, treasury, investor relations and external advisers.
  2. Request the agency’s current list. State the legal issuer, sector, proposed rating type, debt instrument if applicable, desired publication status and target date. Ask which period, format and level of detail the team expects.
  3. Inventory existing records. Mark each requested item as complete, available in public filings, in preparation, unavailable or not applicable. Record the reason for every exception.
  4. Build a dated data room. Use clear folders for audited accounts, operating data, filings, debt, projections, assets, legal matters and presentations. Apply file names that show the period and version.
  5. Run consistency checks. Reconcile debt balances, cash, subsidiaries, currencies, reporting dates and non-GAAP measures across statements, filings and slides.
  6. Prepare the management session. Circulate a one-page agenda, assign speakers and practice responses to adverse scenarios and assumptions.
  7. Track follow-ups. Keep a question log with the analyst’s request, responsible owner, promised date, delivered file and any explanation attached.
  8. Control updates during the process. Notify the team promptly about a material transaction, covenant event, filing amendment or operating change rather than allowing the agency to discover it elsewhere.

Timing, review and rating committee

Moody’s states that a typical new issuer rating process takes four to six weeks. The same process description ties timing to information availability, opportunities for management discussion and the complexity of the assignment. Treat four to six weeks as a Moody’s typical estimate, not a guaranteed deadline for every agency, sector or issuer. Missing records, changing transaction terms or a complex capital structure can extend the schedule.

After analysis and management discussions, a rating committee reviews the case and assigns the rating. Fitch’s corporate criteria explain that the committee determines whether the information is sufficient for the decision. Supplying a complete record can reduce avoidable delays, but it cannot guarantee a rating level, outlook or committee conclusion. Moody’s describes ratings as forward-looking opinions about relative credit risk, so the result reflects expected performance and risk, not only historical statements.

Common preparation mistakes and fixes

  • Treating three years as a universal rule: Label the three-plus-year figures as Fitch criteria guidance and ask the assigned team what history is relevant to your case.
  • Sending documents without context: Add a contents index, reporting dates, definitions and a short explanation for every unusual transaction or restatement.
  • Using only public filings: Public information is important, but management discussion and issuer-provided records may be needed to explain forecasts, liquidity, assets and confidential terms.
  • Mixing issuer and debt-issue information: Separate corporate-wide data from documents that describe a particular bond, loan, guarantee or collateral package.
  • Allowing multiple versions to circulate: Keep one controlled data room and identify superseded files so analysts do not rely on an obsolete number.
  • Overpromising forecasts: Show assumptions, downside cases and the difference between committed actions and plans that still require approval.
  • Assuming the meeting determines the result: The presentation supports analysis; the rating committee makes the decision after reviewing the available evidence.
  • Waiting to disclose material changes: Update the analytical team when a filing, refinancing, acquisition, covenant breach or major operating event changes the information set.

What a complete package should look like on submission day

A reviewer should be able to open the package and answer five questions without searching across disconnected email threads: What entity is being assessed? What exactly is the rating scope? Which financial and operating periods are covered? Where is the evidence for each major claim in the presentation? What has changed since the latest public filing?

Include an index that maps presentation pages to source files, a chronology of material events, a debt and liquidity summary, a list of assumptions in projections, and contact details for each subject-matter owner. Mark confidential material and confirm the permitted distribution. This organization does not replace missing evidence, but it makes the evidence that exists usable and helps the analytical team identify the remaining requests quickly.

Final decision checklist

  • The agency has confirmed the issuer, sector criteria, rating product and public or private treatment.
  • Available audited financial statements and relevant notes are complete, dated and reconciled.
  • Historical operating data uses consistent definitions and identifies estimates or methodology changes.
  • Pro forma statements or expert asset assessments are included only where they are relevant and available.
  • Public statistics and regulatory filings are indexed with current and amended versions.
  • The company presentation matches the underlying records and explains material changes.
  • Management and treasury participants are available for questions and follow-up.
  • A coordinator owns the request log and controls document versions.
  • Material developments will be reported during the assessment rather than held for a later meeting.
