Do not sign on the strength of a gas reservation alone. A dependable data-center power project needs a coordinated set of enforceable rights covering gas supply, transportation and storage, on-site generation, power operations, grid service, permits and remedies. Verify that fuel can reach the generators at the required pressure, volume and hour; that the plant can produce the promised net megawatts at site conditions; and that every delay, outage, cost and regulatory risk has an identified owner.
First, define what “gas-field power agreement” includes
The phrase can describe several contracts rather than one instrument. A developer may be negotiating a gas purchase or reservation, pipeline transportation and storage, a lateral and meter connection, an engineering or generation-services agreement, a power offtake, and a utility or regional-grid arrangement. Read them as one operating chain. A gap between documents can leave fuel available at the field but undeliverable at the generator, or leave a generator installed without permission to import, export or island from the grid.
| Layer | Documents to review | Question the documents must answer |
|---|---|---|
| Gas supply | Sale, reservation or supply agreement; gas-quality exhibit | Who supplies what quantity, pressure and quality, at which delivery point and during which hours? |
| Transport and facilities | Pipeline transportation, storage, lateral, compression, metering and interconnection agreements | Is capacity firm, and who funds, operates and repairs each facility between the seller and the plant? |
| Generation | EPC, equipment supply, operations and maintenance, fuel-conversion and balance-of-plant documents | What net dependable output, ramping, availability and outage response is guaranteed? |
| Power service | Power services, dispatch, backup, replacement-power and offtake terms | Who controls dispatch, bears fuel or generator shortfalls and supplies power during an outage? |
| Grid interface | Interconnection study and agreement, tariff, transmission and standby-service arrangements | Can the project legally connect, import, export, synchronize or operate as an island, and at what cost? |
| Land and permits | Site leases, easements, air, water, land-use, construction and grid permits | Are all approvals achievable on the data center’s schedule, with a defined party responsible for each condition? |
Make the contracts cross-reference one another’s definitions, milestones, testing procedures and termination rights. A promise in an exhibit is not enough if the operating agreement has a conflicting priority or no remedy.

Verify that gas is actually deliverable
Identify the delivery point and physical specification
State the seller, buyer, delivery point, gas composition and quality limits, pressure range, measurement method and ownership transfer point. Specify quantity by day and, where the load requires it, by hour or shorter interval. Include a ramp-up profile for commissioning and later expansion. The contract should say who is responsible if pressure falls below the generator’s required inlet pressure or if gas quality damages equipment or emissions performance.

Test firmness, curtailment and replacement supply
Distinguish firm service from interruptible service in operative language, not marketing descriptions. Define the seller’s rights during planned maintenance, pipeline emergencies, weather events and system constraints; the order in which customers are curtailed; notice periods; and whether the data center has priority over non-firm loads. If dual-fuel capability or replacement gas is promised, identify the fuel, storage volume, switching time, emissions consequences and the party paying for it. A “firm” label without a curtailment hierarchy, transport rights and a remedy is not proof of firm delivery.
Match capacity to the real load and heat rate
Calculate required gas from the generator fleet’s tested heat rate, net output, auxiliary load, ambient conditions and expected data-center profile. Check ordinary daily demand, peak-hour demand, minimum stable operation, black-start needs, commissioning, phased expansion and seasonal conditions. Compare the calculation with contracted daily and peak transportation capacity, storage deliverability and pressure. Do not assume a reservation sized for nameplate megawatts will cover net dependable output at the site.
As a scale example, Energy Transfer announced in 2025 up to 450,000 MMBtu per day of firm natural gas that could support approximately 1.2 GW of direct power for at least 10 years from Phase 1. The announcement made supply conditional on CloudBurst reaching final investment decision; it is an announced project term, not an industry benchmark or proof of completed delivery.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minuteAssign every pipeline and meter obligation
List who provides, finances, owns, operates and maintains the lateral, compression, storage, meter, pressure-regulation equipment and interconnection facilities. Set construction milestones, testing standards, access rights, spare capacity and outage response. Allocate the consequences of a late easement, underestimated capacity, pressure failure, meter error or pipeline shutdown. Require data access for nominations, hourly flow, quality and imbalance settlement so the operator can reconcile gas use with generator output.
Expose the full delivered-gas price
Write the price formula and index, basis differential, transport and storage charges, imbalance fees, fuel-retention percentage, compression, taxes and every other pass-through. State whether minimum-take, reservation or demand charges recur during construction, commissioning and customer ramp periods. Provide a process for an index outage, market dislocation or negative-price event; otherwise an apparently fixed supply price can become unfinanceable. Give the buyer audit rights over index application, meter data and pass-through invoices.

Define what the generation and power-service provider must deliver
Specify net performance at site conditions
Use net dependable megawatts at the site, not only nameplate capacity. Include ramp rate, start time, minimum stable output, synchronization time, black-start capability, auxiliary consumption, expected availability, planned-maintenance windows and outage assumptions. Tie availability and heat-rate guarantees to a defined test protocol, operating envelope and measurement period. Require regular reports showing fuel input, net output, starts, forced outages, maintenance, emissions and power quality.
Allocate equipment and balance-of-plant scope
The responsibility matrix should cover engines or turbines, emissions controls, generators, switchgear, transformers, protection, controls, fuel handling, water treatment, cooling systems, buildings, roads, communications and critical spares. State interface points between the equipment supplier, EPC contractor, operator, gas provider and data-center owner. Unassigned balance-of-plant work is a common source of schedule and warranty disputes.
Set ownership, operating authority and remedies
Identify title to each asset and who may dispatch, start, stop, test or enter the plant. Set maintenance standards, staffing, training, insurance and environmental-liability responsibilities. Performance guarantees should cover availability, heat rate, emissions and power quality where those metrics affect the data center’s operation or permits. Define testing, cure periods, service credits, liquidated damages where negotiated, replacement power or fuel, and termination or step-in rights. Explain whether equipment transfers, remains with the provider or must be removed at term end, and who restores the site.
Plan for gas, generator and site outages
Document backup gas or fuel, grid support, islanding, synchronization, load shedding, restart sequence and critical-load priorities. Specify how the operator responds when gas is unavailable but the grid is available, when the grid fails but generation remains available, and when both are unavailable. Coordinate controls with the data center’s uninterruptible-power and emergency systems. A power-services promise should state the maximum response time, minimum supported load and communications path during each scenario.
Kodiak Gas Services reported in 2026 a signed six-year agreement for 76 MW of behind-the-meter baseload capacity, including balance of plant and approximately 40 reciprocating natural-gas generation units. The release described deployment timing as expected, so the figure should be treated as an announced contract scope rather than completed capacity. Use such announcements to identify questions about unit count, ownership, maintenance and delivery milestones, not as evidence that a particular project will perform.

Map the grid, market and behind-the-meter obligations
Choose and document the operating configuration
Draw a one-line diagram and contract map showing whether the facility is islanded, grid-connected or co-located with grid service. Identify the utility, transmission owner and, where applicable, regional transmission organization or independent system operator. Define the point of common coupling, import and export limits, protection settings, telemetry, metering, operating instructions and authority to disconnect.

Read the interconnection and tariff documents together
Review completed and pending interconnection studies, service limits, network or distribution upgrades, transmission service, standby charges, security postings, construction milestones and cost responsibility. Allocate the cost of grid imports, exports, backup, curtailment, upgrades and changing large-load requirements. Confirm whether the project may sell excess generation, participate in markets or operate only for its own load.
Account for evolving regional rules
On June 18, 2026, the Federal Energy Regulatory Commission said its orders direct the six jurisdictional regional grid operators to justify or reform rules affecting large users. The five areas it listed were efficient study processes, transmission-cost transparency, co-location and behind-the-meter generation, flexible large loads, and studies for generation serving nearby or co-located loads. FERC also emphasized regional differences, and the action initiated proceedings rather than making every future tariff change final. Preserve flexibility for a rule change, but do not assume a nationwide tariff outcome.
“We are setting the stage for a resilient, reliable, and forward-thinking grid that empowers communities and safeguards consumers by transforming the way large energy users access the grid. It also is critical that FERC provide certainty for investors by directing the markets to protect existing deals and unlock opportunities for technological advancement and economic expansion. We can facilitate both, which is exactly what we did today,” said FERC Chairman Laura V. Swett on June 18, 2026.
“Behind-the-meter” describes a physical or commercial arrangement; it does not automatically eliminate transmission, standby, reliability, telemetry, study or market obligations. Confirm the rules that apply to the project’s actual wiring and operating mode.

Make permits and community impacts a schedule-critical workstream
Build a permit matrix before signing
Create a matrix for the generation plant, pipeline and lateral, air emissions, water withdrawals and discharges, land use, construction, roads and grid connection. For every permit, record the agency, applicant, prerequisites, public-notice process, expected decision date, appeal exposure, operating limits and responsible party. State what happens if approval is delayed, modified, conditioned or denied: suspension, redesign, substitute equipment, extension, termination or cost sharing.
Align emissions and operating assumptions
Define fuel characteristics, emissions-control equipment, monitoring methods, reporting, permit limits, startup and shutdown treatment, emergency-generator hours and responsibility for violations. A generator’s contractual heat-rate or availability promise must be consistent with the hours and fuel assumptions in its air permit. Allocate the cost and schedule risk of a new emissions rule or a regulator-required control upgrade.
Check land, environmental and construction constraints
Confirm title, easements, pipeline routes, access, setbacks, subsurface conditions, environmental review, archaeological or habitat constraints and restoration duties. Evaluate cumulative air-quality, noise, water, cooling, light and traffic impacts with the surrounding community, not just the fenced plant boundary.
The Alberta Utilities Commission denied a proposed data-center power plant on August 17, 2026, after finding the site too close to the surrounding community and the location inadequately justified. The application summarized by the commission proposed approximately 1,400 MW of combined-cycle gas generation and 1,800 MW of emergency or backup diesel generation. Those were proposal figures, and the decision is a jurisdiction-specific example rather than a universal permitting rule; it demonstrates why site justification and community impacts belong in the contract schedule.
Track region-specific information requests
For Texas projects, ERCOT’s 2026 request for information sought details on public financial assistance and tax benefits, grid dependence and on-site generation, water, cooling, noise, light, traffic and ownership or control. It applied to covered developers pursuing ERCOT interconnection at a stated threshold of at least 25 MW. ERCOT listed October 12, 2026 as the submission deadline, which had passed by the date of this article. The threshold was a reporting scope for that request, not a general definition of a data center or a permanent interconnection rule.

Protect the commercial deal across all linked agreements
Make conditions precedent and milestones match
Coordinate conditions precedent for gas supply, transport, generation, land, permits, financing and the data-center lease or offtake. Tie term commencement, minimum-take and reservation charges to realistic notice-to-proceed, substantial-completion, commissioning and customer-ramp milestones. Avoid a fuel commitment that survives failure of the power project unless the parties have negotiated an explicit exit or alternate use.
Allocate delay, shortfall and force-majeure risk
Assign construction delay, cost overrun, fuel shortfall, imbalance, generator outage, grid interruption, change in law and force-majeure consequences across the contracts. Define whether a party must procure replacement fuel or power, who pays the difference, how long relief lasts and what evidence is required. Make sure force majeure does not excuse ordinary maintenance, inadequate credit or a failure to obtain a permit that the responsible party promised to secure.
Specify security, termination and end-of-term duties
Set credit support, parent guarantees, letters of credit, collateral replenishment and downgrade triggers. Include cure periods, service credits, liquidated damages where appropriate, termination rights, step-in rights and transition assistance. Review change-of-control and assignment limits, confidentiality, data ownership, audit rights, dispute forum and governing law. At expiration or termination, identify who removes equipment, abandons or transfers the lateral, closes permits, remediates contamination and restores land.

A practical diligence sequence before commitment
- Model the load. Use hourly and seasonal demand, commissioning stages, expansion, generator heat rate, auxiliary load and required reliability modes to calculate gas and power needs.
- Trace the physical chain. Follow gas from source through transport, storage, lateral, meter and pressure control to each generator, then trace electricity through switchgear, the data-center bus and the grid connection.
- Reconcile every exhibit. Compare quantities, pressure, dates, outage definitions, testing, force majeure, indemnities and termination rights across gas, generation, interconnection, land and permit documents.
- Stress the failure cases. Price and schedule a curtailment, pipeline delay, generator derate, grid outage, permit appeal, index disruption, extreme weather event and customer-ramp delay.
- Verify approvals and counterparties. Obtain current permit records, study results, easements, insurance, credit support and evidence of authority from each seller, operator and owner.
- Obtain an integrated closing certificate. Before financial close or an uncancellable minimum-take, require confirmation that all conditions precedent, interconnections, permits, tests and security postings are satisfied or expressly waived.
Use a weighted comparison when evaluating proposals
Score each proposal against the project’s location, load profile and reliability standard rather than choosing on headline gas price or megawatts.
| Comparison axis | Evidence to request |
|---|---|
| Firmness and curtailment | Service class, priority, notice, maintenance rights, emergency rules and replacement obligation |
| Capacity and delivery | Daily and peak quantity, pressure, quality, delivery point, redundancy, storage and meter data |
| Economics | Index, basis, transport, storage, imbalance, fuel retention, taxes, minimum take and escalation |
| Generator performance | Net MW, ramp, start, minimum output, availability, heat rate, emissions and test remedies |
| Backup and grid | Island operation, black start, standby, import/export limits, telemetry, upgrades and security |
| Permits and site | Status, schedule, appeals, emissions, water, cooling, noise, traffic, land rights and restoration |
| Commercial protection | Credit support, delay allocation, force majeure, cure, termination, step-in and change-of-control terms |
Decision gate
Proceed only when the agreement package demonstrates physical deliverability, tested net generation, lawful grid operation, an achievable permit schedule and a remedy for each material failure. If any link—fuel, transport, meter, plant, switchgear, grid or permit—remains conditional without a funded owner, milestone and exit right, the project is not yet ready for an irrevocable gas commitment.
