For a company borrowing overseas, a credit rating is a forward-looking opinion about its relative ability to meet debt obligations—not a repayment guarantee. Investors use the opinion as one input alongside the loan or bond terms, financial statements, market conditions and country risk. The rating can differ by currency, by debt instrument and by rating scale, so a single letter grade never tells the whole cross-border story.

The key question is not only whether the company can generate enough value to pay. It is also whether it can obtain the currency named in the contract, move that currency across a border and continue paying if authorities impose controls or other restrictions. Those issues explain why the same borrower may receive different local-currency and foreign-currency ratings.

What a credit rating actually says

S&P Global Ratings defines credit ratings as “forward-looking opinions about an issuer’s relative creditworthiness.” In practical terms, an agency assesses how likely an issuer is to meet its financial commitments compared with other issuers on the agency’s scale. The opinion is not a guarantee that a bond, loan or other obligation will be repaid, and it is not a recommendation to buy or sell securities. Investors treat it as a starting point for further analysis.

A rating is also not a promise of cheaper funding or automatic access to an overseas market. Demand, pricing and market access depend on the instrument, timing, investor mandates, liquidity, legal terms, disclosure and broader market conditions. The rating is evidence about credit risk, not a contractual protection against loss.

Issuer rating and issue rating are different

An issuer rating describes the company’s general creditworthiness. An issue rating addresses a particular bond, loan or other obligation. S&P says an issue assessment can reflect the obligation’s seniority, collateral, guarantees, structural subordination and repayment terms. Consequently, two securities from the same company can carry different ratings: a secured senior bond may have stronger recovery prospects than a deeply subordinated, unsecured note.

When comparing an overseas offering, identify the exact obligation being rated. Check its currency, maturity, ranking, security package, guarantees, covenants, governing law and any options that could change repayment timing. A strong issuer rating does not erase weaker terms on a specific instrument.

Why local- and foreign-currency ratings can diverge

A local-currency rating evaluates the borrower’s capacity to pay obligations denominated in its own currency. A foreign-currency rating evaluates capacity to meet a debt contract that requires another currency, such as U.S. dollars or euros. The second assessment adds a risk that is outside the company’s operating performance: access to the required foreign exchange and permission to transfer it.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

S&P explains that its foreign-currency ratings can include transfer and other direct sovereign risks, including “the likelihood of foreign exchange controls and the imposition of other restrictions on the repayment of foreign debt.” A company may have enough local-currency cash to pay employees, suppliers and domestic lenders yet be unable to convert that cash into dollars or move the dollars to an offshore bond trustee.

The payment chain for an external debt

  1. Generate cash. The business earns revenue, usually in one or more local currencies.
  2. Convert or source the debt currency. It may buy foreign exchange, earn export receipts, draw a committed facility or hold reserves in the required currency.
  3. Transfer the funds. Banks and authorities must permit the payment to leave the country and reach the creditor, paying agent or clearing system.
  4. Make the contractual payment. The borrower must deliver principal and interest on the date and under the conditions specified in the instrument.

Exchange-rate movements can make the first two steps more expensive, while capital controls, licensing requirements, sanctions or restrictions on foreign-debt repayment can disrupt the third. A foreign-currency rating therefore separates underlying business strength from the country’s ability and willingness to allow conversion and transfer.

Currency exposure is a treasury issue as well as a rating issue

Before issuing debt abroad, a finance team should map foreign-currency inflows against scheduled interest and principal. Natural hedges, forward contracts, options, offshore cash and committed liquidity can reduce—but not eliminate—mismatch risk. The rating agency will still consider the legal and sovereign environment in which conversion and transfer occur.

How sovereign and country risk affects a company

The government’s credit standing matters because it controls, or strongly influences, monetary, foreign-exchange and capital-flow policy. A sovereign downgrade can raise country risk for local borrowers, and a transfer restriction can affect every company that needs to send foreign currency to external creditors.

It is too broad to say that a company can never be rated above its government. S&P’s published criteria describe circumstances in which some non-sovereign entities may receive ratings above the sovereign. The analysis considers whether the issuer could withstand a sovereign stress scenario, how sensitive its sector is to country conditions and whether transfer-and-convertibility constraints would still bind. This is a methodology-specific possibility, not a universal rule across agencies, countries or issuers.

Country context can be especially important in emerging and frontier markets. S&P notes that frontier markets can have shallow or less-liquid domestic markets and gaps in data availability. Those are examples of conditions that may affect analysis; they do not describe every company or country in those categories. A borrower’s export base, reserve access, regulatory framework and ownership structure must be assessed individually.

For the applicable criteria, see S&P Global Ratings’ methodology for ratings above the sovereign and its explanation of how it rates emerging and frontier markets.

Rating scales: check what the symbols mean

Letter grades are meaningful only within the scale that produced them. On S&P Global Ratings’ global scale, BBB− and above is investment grade, while BB+ and below is speculative grade. These thresholds belong to S&P’s scale and should not be presented as a universal definition for every agency or national market.

National scales are designed to rank credit risk within a particular country. They may exclude foreign-currency issues, and a national-scale symbol is not automatically comparable with a global-scale symbol. Before comparing two ratings, confirm:

  • the agency that assigned each rating;
  • whether the scale is global or national;
  • the currency and jurisdiction covered;
  • whether the rating is for the issuer or a specific issue; and
  • the date and current status of the rating.

S&P’s overview of its rating products and definitions is available at Credit Ratings.

What agencies analyze and how ratings change

S&P describes its corporate analysis as a combination of quantitative and qualitative work. Its examples include leverage, interest coverage, free cash flow, capital structure, competitive position, industry dynamics, geographic diversification, regulation and management effectiveness. The exact weight given to each factor varies by sector, instrument and methodology, and other agencies may use different frameworks.

Quantitative questions

  • How much debt exists relative to earnings and cash flow?
  • Can operating cash flow cover interest through a downturn?
  • How much free cash remains after capital expenditure, taxes and working-capital needs?
  • When do principal repayments, revolvers and refinancing needs fall due?
  • How would currency depreciation affect debt-service coverage?

Qualitative and structural questions

  • Does the company hold a durable competitive position?
  • How cyclical, regulated or disrupted is its industry?
  • Are revenues and production diversified across countries and currencies?
  • How predictable are management’s financial policies and access to liquidity?
  • What protections do creditors receive through collateral, guarantees and covenants?

S&P says rating committees make determinations and that ratings are monitored. An agency can revise a rating, outlook or watch status when its view of credit risk changes—for example, after a material acquisition, deterioration in cash flow, regulatory intervention or a change in sovereign conditions. A rating is therefore a current assessment, not a permanent attribute of the company.

Historical default statistics: useful context, not a forecast

The S&P page cited above displays historical three-year cumulative default rates by rating category. The publication year for the figures is not stated on that page, so they should not be treated as a current forecast or universal probability for a new borrower.

S&P Global Ratings category Historical three-year cumulative default rate shown How to interpret it
BBB 0.91% Historical aggregate statistic; not a prediction for an individual BBB issuer
BB 4.17% Historical aggregate statistic; outcomes vary by period and issuer
B 12.41% Historical aggregate statistic; not a guaranteed loss estimate
CCC/CC 45.67% Historical aggregate statistic for highly speculative categories

These numbers describe groups over a stated three-year period. They do not incorporate the particular company’s currency, transfer restrictions, collateral or maturity, and they should not be converted into a promised repayment rate.

Public, confidential and solicited ratings

S&P describes both public ratings and confidential or non-public opinions. A public rating is available to market participants; a confidential opinion is shared with the issuer or authorized recipients according to the engagement terms. The choice affects who can use the assessment and how much information is disclosed.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

S&P also describes a solicited rating as one requested by the entity being rated and potentially informed by non-public information supplied by that issuer. It says its business model charges issuers for ratings while public ratings are made available to the market. That description applies to S&P’s model; do not assume every agency uses identical commercial arrangements or disclosure practices.

A practical workflow for a company planning an overseas issue

  1. Define the obligation. Choose the currency, tenor, amortization, ranking, security, guarantees and governing law. Decide whether investors need an issuer rating, an issue rating or both.
  2. Map currency sources and uses. List operating receipts, existing reserves, hedges, committed facilities and each debt-service date in the issue currency. Stress-test devaluation, lower exports and delayed conversion.
  3. Assess transfer and sovereign constraints. Identify exchange controls, approval requirements, repatriation rules, sanctions exposure and the legal route from local cash to the foreign creditor.
  4. Choose the relevant scale and agencies. Confirm whether investors expect a global-scale or national-scale opinion and whether the proposed issue is eligible for that scale.
  5. Prepare evidence. Organize audited accounts, projections, debt schedules, liquidity sources, ownership information, regulatory permissions, hedging documentation and material contracts. Explain assumptions consistently across currencies.
  6. Engage and answer diligence questions. A solicited process may include non-public information. Make sure management, treasury, legal and investor-relations teams use the same definitions for debt, cash, guarantees and restricted funds.
  7. Read the final instrument analysis. Check whether the issue rating differs from the issuer rating because of seniority, collateral, structural subordination or recovery assumptions.
  8. Monitor after issuance. Track rating actions, outlook changes, covenant tests, reserve levels, hedge effectiveness, refinancing dates and changes in foreign-exchange regulation. A rating can change after the debt is sold.

How investors should read a cross-border rating

Use the rating as a structured risk signal, then test the assumptions that matter to the specific bond or loan.

  • Start with identity: verify agency, scale, currency, issuer or issue scope, date and rating status.
  • Separate credit from transfer risk: ask whether the company has cash in the payment currency and whether it can legally move that cash.
  • Read the capital structure: determine where the obligation ranks and what collateral or guarantees actually cover it.
  • Check refinancing dependence: a company that must repeatedly access foreign markets may be more vulnerable when liquidity dries up.
  • Examine country concentration: operations, banks, suppliers and regulators in one jurisdiction can create correlated risks.
  • Use the rating with independent work: review financial statements, offering documents, covenants, market liquidity, legal opinions and scenario analysis.

Common mistakes and how to avoid them

Treating a rating as a guarantee

A rating is an opinion about relative creditworthiness. Even an investment-grade rating can be downgraded, and default risk is not zero. Avoid language that promises repayment or a particular return.

Assuming one company has one universal rating

The issuer, each debt issue, each currency and each scale can produce a different assessment. Always name the object being rated.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Ignoring the currency named in the contract

Local-currency earnings do not automatically pay a dollar or euro bond. Model conversion, transfer and sovereign-action risks separately from operating performance.

Comparing symbols without checking the scale

A national-scale grade may rank borrowers only within one country and may exclude foreign-currency obligations. Confirm definitions before placing it beside a global-scale grade.

Assuming a rating guarantees cheaper funding or market access

Ratings inform investor decisions, but pricing and distribution also depend on timing, terms, liquidity, demand and macroeconomic conditions. No universal financing benefit follows from obtaining a rating.

Bottom line for cross-border borrowing

A credit rating helps investors compare a company’s assessed credit risk, but an overseas borrower must answer a second question: can it obtain and transfer the currency required by the debt contract under stressed country conditions? Read the issuer and issue ratings separately, identify the scale and currency, examine seniority and collateral, and treat sovereign and transfer risks as part of the payment analysis rather than as footnotes.
