Before signing a commercial shipbuilding contract, verify five things in the documents you will actually execute: the vessel is defined in measurable terms, each instalment is protected by an effective refund guarantee, delay and change rights are workable, trials create an objective acceptance decision, and post-delivery remedies remain enforceable under the chosen law. A standard form is only a starting point. The signed contract, technical specification, guarantee wording and governing law determine your real exposure.
Start with the contract form, edition and amendments
Identify the contract form and edition on the first page, then prepare a schedule listing every amendment, rider, side letter and incorporated annex. Confirm which language controls if translations differ. Do not assume a familiar form answers the commercial questions for your project.
BIMCO describes NEWBUILDCON as an international standard shipbuilding contract intended for any jurisdiction and type of ship; the latest edition identified on its page is from 2007. A 2026 BIMCO seminar also identifies SAJ, AWES, SHIP2000 and SHIP25 as forms used or considered in the market. Their existence does not prove that one form is universally best. Your review should test the negotiated text against the vessel, financing and operating plan.

Have counsel create a clause map showing where each commercial promise appears. A promise in a term sheet or email is not protection unless the executed documents incorporate it clearly.

Define the vessel as a measurable technical bargain
Join the main agreement to the technical annexes
Read the contract, specification, general arrangement, equipment list, building schedule, class requirements and regulatory annexes together. The description should state the intended service and, where relevant, capacity, speed, fuel consumption, emissions performance, endurance, cargo systems, automation, accommodation and navigation equipment. Replace adjectives such as “efficient” or “high performance” with testable values, tolerances and test conditions.
State the applicable classification society rules, flag-state requirements and other mandatory standards, including the version or date that applies. Allocate responsibility for obtaining approvals and for paying the cost of changes required by a rule that enters into force during construction. The exact technical limits must be tailored to the vessel; there is no universal numeric standard that can be safely copied into every project.
Set a document hierarchy and drawing-approval process
List the order of precedence among the contract, technical specification, approved drawings, maker documentation and class rules. Establish a drawing register with submission dates, review periods, named decision-makers and a method for recording comments. Specify whether approval is approval for construction only or an acceptance of design responsibility. Buyer review should not silently transfer the builder’s design risk unless that is intentional and priced.
Allocate design risk and buyer supplies
Identify performance-critical design packages and say who warrants their integration. For buyer-supplied equipment, define delivery dates, interface data, installation responsibility, storage, preservation, commissioning, warranty pass-through and the consequences of late or defective supply. State whether a buyer supply delay gives the builder an extension, additional cost, both, or neither, and require contemporaneous notice and evidence.

Require a written change order before work proceeds, except for narrowly defined emergency safety work. Each change order should state:

- the technical change and revised drawings;
- the fixed price or pricing formula;
- the effect on the critical path and delivery date;
- class, flag and regulatory implications;
- the effect on performance tests, warranty and refund-guarantee coverage; and
- the person authorised to approve it for each party.
Set deadlines for the builder’s quotation and the buyer’s response. If the parties disagree, specify whether the builder must proceed with undisputed work, whether an independent expert can decide technical issues, and how the disputed cost is held or allocated. A clause allowing unilateral “deemed approval” after a short silence can create expensive design risk; make any deemed approval conditional on complete, compliant submissions and a realistic review period.
Require regular progress reports, a current construction schedule, procurement status, long-lead-item register, class comments and a forecast of tests. Define the information needed to verify an instalment and the consequences of late or inaccurate reporting.

Build a milestone payment schedule
Map each payment to an objectively identifiable milestone, such as steel cutting, keel laying, launching or a specified completion event. State the documents that must accompany an invoice, the inspection or certification required, the currency, bank details, tax treatment and the period for disputing an invoice. Avoid paying for a milestone that can be declared complete without evidence of the underlying work.
Review the refund guarantee as a separate instrument
BIMCO calls the refund guarantee “often regarded as the ‘financial cornerstone’ of a shipbuilding project.” Review the guarantee alongside the instalment schedule, not after it. Confirm:
- the exact principal, interest and other sums covered;
- the issuing bank or guarantor, credit support and governing law;
- whether it is on-demand or requires proof of breach, termination or an award;
- the documents and wording required for a demand;
- the expiry date, automatic extensions and presentation location;
- whether amendments, extensions, waivers or contract changes preserve coverage;
- how a dispute, insolvency or builder default affects payment; and
- which party pays fees and taxes connected with issuance and extension.
Ask the bank to confirm operationally that a demand can be delivered in the required form and place before the deadline. A guarantee that looks strong but expires before a termination process is complete may not protect the instalments. Conversely, a guarantee may cover only defined pre-delivery payments, not every loss claimed by the buyer.

A 2015 Scottish Government document illustrates that staged payments and guarantee coverage can be debated differently in an individual vessel project. Treat that document as a transaction example, not as a market-standard schedule.

Make delay, force majeure and cancellation work together
Identify the contractual delivery date
Define the delivery date, any permitted range, the notice required to claim an extension and the evidence needed to show critical-path impact. Separate events caused by the builder, the buyer, suppliers, authorities and genuinely external force-majeure events. Require mitigation, updated schedules and prompt notice rather than allowing an extension to appear for the first time at delivery.
Price delay through liquidated damages
State the daily or periodic liquidated-damages amount, the start date, any grace period, cap and whether the remedy is exclusive. Confirm whether liquidated damages continue during a disputed extension and whether accepting them waives termination rights. A negotiated amount may be reduced or treated differently under the governing law if it operates as a penalty, so obtain jurisdiction-specific advice.
Set the termination or rescission trigger
Specify the point at which the buyer may cancel or rescind, the notice and cure procedure, the refund timing and the relationship with the refund guarantee. Address separate triggers for prolonged delay, insolvency, failure of performance tests and material breach. A filed contract provides an example of cancellation provisions linked to delay or vessel performance, but its wording is not a universal remedy. Ensure that termination does not leave uncertainty over title to partially completed work, materials, drawings, insurance or subcontractor claims.
Design sea trials and acceptance as a decision procedure
Write the trial protocol into the contract
Specify the sequence of harbour, machinery, manoeuvring, speed, endurance, cargo, fuel-consumption and emissions trials that apply to the vessel. Name the responsible participants and independent observers. Define instruments, calibration, data format, weather and sea-state limits, draft, displacement, loading, fuel quality and other conditions that affect results. State who pays for repeat trials and how an invalid test is distinguished from a failed test.

Use thresholds, tolerances and cure periods
For each performance item, give the target, permitted tolerance and calculation method. Explain whether a shortfall permits repair and retest, a price adjustment, acceptance with a punch-list item, rejection or termination. Set a reasonable cure period and limit repeated attempts if delay is accumulating. Do not rely on a general statement that the vessel must be “to the buyer’s satisfaction.”
Define delivery and punch-list handover
List the certificates, class documents, flag documents, manuals, as-built drawings, software licences, spares, training records, inventory and statutory approvals required at delivery. State when title, risk, insurance responsibility and possession pass. Distinguish minor punch-list work that does not prevent delivery from defects that make the vessel unsafe, non-compliant or commercially unusable. Provide access, labour and deadlines for completing punch-list items after handover, with security or retention if appropriate.

Read the warranty clause with the equipment makers’ warranties and the acceptance provisions. Define the warranty start date: delivery, acceptance, commissioning or another event. State the duration and whether different periods apply to structure, coatings, machinery, software and replaced parts.
Specify the notice channel, information required to substantiate a claim, response time, location of repairs, travel and dry-docking costs, spare-parts logistics and the builder’s obligation to investigate. Address defects discovered during a repair and whether the repaired or replaced item receives a fresh warranty period.

List exclusions precisely, including ordinary wear, misuse, unauthorised modification, maintenance failures and buyer-supplied equipment. Check liability caps, deductibles, consequential-loss exclusions and any exclusive-remedy language against the vessel’s operational needs. Confirm that insolvency, assignment or a change in ownership does not remove the builder’s obligations before the relevant warranty period ends.

Check governing law, dispute resolution and regulatory fit
State the governing law for the contract and each guarantee, and choose a forum capable of handling technical and urgent disputes. For arbitration, identify the seat, rules, number and appointment of arbitrators, language, confidentiality and consolidation rights. For court proceedings, check jurisdiction, service and enforcement in the builder’s and guarantor’s countries. Include a mechanism for independent technical determination where a rapid engineering decision is more useful than a full merits hearing, while preserving access to interim relief.
Review sanctions, export controls, customs, tax, currency and foreign-exchange requirements affecting payments and refunds. A public 2025 shipbuilding contract contains PRC-specific commitments to register and document a refund guarantee for foreign-exchange purposes. That illustrates why regulatory steps must be checked for the actual buyer, builder, bank and payment route; it is not a general rule for every project.
Have local counsel confirm that the guarantee can be enforced, that a foreign award or judgment is recognisable, and that insolvency or ship-registration rules will not defeat the agreed remedy.
Use a disciplined pre-signing review
- Create a document index. Number the contract, annexes, drawings, maker lists, schedules, guarantees and side letters. Remove obsolete drafts from the signing set.
- Build an obligation matrix. For every buyer and builder obligation, record the deadline, evidence, responsible person, cost and consequence of failure.
- Trace money and security. Link each instalment to a milestone and to the guarantee’s covered amount, validity and demand procedure.
- Run a delay scenario. Model late drawings, a buyer-supplied equipment delay, a force-majeure event, a failed trial and builder insolvency. Confirm the notices, extensions, damages, termination and refund steps in each scenario.
- Run an acceptance scenario. Ask what happens if speed passes but fuel consumption fails, or if the vessel is safe to operate with unresolved minor defects. The answer should be visible in the test and delivery clauses.
- Obtain final confirmations. Get written confirmation from the guarantor, class and relevant authorities on issuance, approvals and documentary requirements before signing.
- Record negotiated deviations. Attach a clean schedule of amendments and ensure every agreed commercial point appears in the execution version.
Red flags that deserve a pause
- The technical specification uses broad marketing language but no test method or tolerance.
- The document hierarchy lets a later drawing override the signed specification without a controlled change order.
- Payment milestones are based on builder declarations with no inspection evidence.
- The refund guarantee expires on a fixed date that may precede termination, refund or arbitration.
- Force-majeure wording covers ordinary supplier or design problems without a critical-path test.
- Liquidated damages are capped so low that they do not address the commercial impact of delay, while termination is unavailable until an impractical date.
- Acceptance is deemed by silence or by physical delivery even when mandatory certificates or tests are incomplete.
- Warranty exclusions, caps or exclusive-remedy wording remove the remedy needed for a safety-critical defect.
- The dispute clause names a forum but omits the seat, rules, language or authority to grant interim relief.
- Guarantee, contract and regulatory documents use different parties, currencies, dates or notice addresses.
Bottom line for the signing meeting
Sign only when the vessel’s measurable specification, document hierarchy, change process, milestone payments, refund guarantee, delay remedies, trial protocol, delivery package, warranty and dispute framework tell one consistent story. Standard forms such as NEWBUILDCON can organize negotiations, but they do not decide the allocation of design risk, financial security or acceptance rights for your vessel. The executed wording and the law governing it do.
