Tokenized securities are stocks, bonds, fund interests, or other legally defined securities represented by crypto assets, with ownership recorded in whole or in part on a blockchain or another crypto network. Tokenization changes how ownership is recorded and transferred; it does not automatically change the underlying investment into an unregulated cryptocurrency. A token may represent direct ownership, an entitlement to an asset held by a custodian, or only synthetic exposure to its price. Those structures determine whether you receive voting rights, dividends, interest, redemption proceeds, information, or a claim against the original issuer.
What is a tokenized security?
The U.S. Securities and Exchange Commission (SEC) defined a tokenized security in 2026 as “a financial instrument enumerated in the definition of ‘security’ under the federal securities laws that is formatted as or represented by a crypto asset, where the record of ownership is maintained in whole or in part on or through one or more crypto networks.” Investor.gov describes the same broad category as stocks, bonds, or fund interests represented by crypto assets recorded on a blockchain or similar distributed ledger.
In practical terms, a token is a digital representation connected to a legal security. The connection can be direct or indirect. An issuer might make the token itself the official record of the security, or a custodian might hold conventional shares and issue tokens representing customers’ entitlements. A separate company could also issue a token whose return follows a stock or bond without giving the buyer ownership of that referenced instrument.

SEC Commissioner Hester M. Peirce summarized the legal point in 2025: “As powerful as this technology is, it does not have magical abilities to transform the nature of the underlying asset. Tokenized securities are still securities.” The label “tokenized” therefore tells you about the recordkeeping or delivery technology, not the rights you necessarily receive.

How the three main tokenization models work
1. Issuer-sponsored, rights-bearing token
The issuer creates the security in tokenized form or connects the token to its master securityholder file. A transfer recorded on the network can transfer the underlying security, subject to securities law, the issuer’s procedures, and any transfer restrictions. In this model, the principal difference from a conventional security may be that the master ownership file is maintained on-chain rather than in a broker, transfer-agent, or other off-chain database.
If the legal documents make the token holder the shareholder or bondholder, the holder can receive the same economic and governance rights as a non-tokenized holder. The documents still control: a blockchain entry by itself does not establish that the issuer recognizes you as the legal owner.
2. Custodial tokenized entitlement
A third party holds the actual shares or bonds and issues tokens representing customers’ interests in that pool or account. Your token may entitle you to receive distributions or sale proceeds, but your rights come from the custody agreement, terms of issue, and applicable law rather than directly from the referenced issuer’s shareholder or bondholder register.
This structure adds a dependency on the custodian. If it becomes insolvent, records are inaccurate, withdrawals are suspended, or the custody arrangement is challenged, recovery may depend on the custodian’s legal obligations and bankruptcy treatment. You may not have the same direct voting, information, inspection, or creditor rights as an owner registered with the issuer.

3. Synthetic or linked token
A third party can issue its own security whose value or return tracks a referenced stock or bond. The token may provide price exposure while conferring no ownership in the referenced company or no claim against the bond issuer. Depending on its terms, it may omit voting, dividend, interest, redemption, information, and creditor rights.
The issuer of the linked token, not the company whose price is being followed, is your counterparty. The token’s value can therefore depend on that issuer’s ability to perform, its hedging arrangements, and the rules governing its product.
Are tokenized stocks real stocks?
Sometimes, but the name alone is not enough. A tokenized stock can be a legally recognized share represented on a crypto network, an indirect entitlement to shares held by someone else, or a synthetic security that merely tracks the share price.

| Who is the legal issuer? | The company issuing the stock, or an issuer that legally creates the tokenized share | The underlying company issues the stock; a custodian or platform issues the tokenized entitlement | The third party issuing the tracking security |
| What does the holder own? | Potentially the share itself, if the governing documents say the token is the official security record | An entitlement under custody and token terms, not necessarily a share registered directly to the holder | The tracking security; not necessarily any share in the referenced company |
| Voting rights | Can match ordinary shareholder rights when legally provided | May be passed through, limited, or exercised by the custodian | May be absent |
| Dividends | Can be paid as they would be on the conventional share | Depend on the custodian’s distribution obligations and timing | Depend on the linked product’s terms; the referenced company may owe you nothing |

To establish that a tokenized stock is “real stock,” verify the legal issuer, the authoritative shareholder record, and the documents describing voting, dividends, corporate actions, transfers, and insolvency. A price feed or a familiar ticker symbol is not proof of direct ownership.

Are tokenized bonds the same as bonds?
A tokenized bond can preserve the same debt claim as a conventional bond when the token holder is the legally recognized creditor. That can include contractual interest, repayment of principal at maturity, priority in a default, notice and information rights, and participation in redemptions or restructurings.
In a custodial model, you may instead hold an entitlement to a bond held by a custodian. Your ability to receive coupons or principal then depends on the custody and token agreements. In a synthetic model, the token may only track the bond’s market value or total return. The referenced bond issuer may not owe you interest or principal, and you may have no claim in a default.
Read the terms for coupon calculation, payment dates, maturity, early redemption, collateral, ranking, governing law, and what happens if the token platform or custodian fails. “Tokenized bond” describes the format; it does not by itself establish a creditor relationship.
Tokenized securities versus conventional stocks and bonds
| Dimension | Conventional stock or bond | Tokenized security |
|---|---|---|
| Economic instrument | Equity (stock) or debt (bond) | Can be the same equity or debt instrument represented on a crypto network, or a separate entitlement or tracking security |
| Ownership record | Broker, transfer-agent, or central-depository records | On-chain records, an off-chain record linked to the token, or a third-party entitlement record |
| Investor rights | Defined by the instrument and governing law | May be identical, indirect, limited, or absent depending on the structure |
| Settlement | U.S.-listed equities generally settle on T+1 | Delivery of the token and payment could occur atomically in one transaction, but actual implementation varies |
| Regulation | Securities laws and market rules apply | Tokenization does not remove securities-law obligations; the structure can create additional custody, platform, and disclosure requirements |
| Main risks | Market, credit, liquidity, and operational risks | All conventional risks plus wallet or key loss, smart-contract or network failure, custody and counterparty exposure, and uncertainty about the authoritative ownership record |
What changes when a security is tokenized?
Ownership and recordkeeping
The central change is where and how the ownership record is maintained. A blockchain can provide a shared transaction history, but the legally controlling record may still be an issuer’s database, a transfer agent’s file, or a custodian’s books. If those records conflict, the governing documents and applicable law determine which record controls.

Settlement and payment
Ordinary equity trades in the United States generally settle one business day after the trade, known as T+1. The SEC Investor Advisory Committee reported in 2026 that tokenized delivery-versus-payment could place the security and payment in the same transaction, often called atomic settlement. This could reduce settlement exposure and reconciliation work, but it is a potential capability, not a guarantee. The result depends on the network, payment asset, compliance checks, and whether both sides use compatible infrastructure.
Transfers and access
Token transfers can be restricted by investor eligibility, jurisdiction, lockups, sanctions controls, issuer approval, or smart-contract rules. A token that can technically move between wallets may still be legally non-transferable to an unapproved buyer. Conversely, a platform may limit withdrawals even when the underlying security is transferable through conventional channels.
Potential benefits—and what they do not guarantee
- Faster settlement: Atomic delivery-versus-payment could reduce the period during which one party has delivered value but has not received the asset or payment.
- More unified records: A shared ledger can reduce reconciliation between brokers, custodians, transfer agents, and other intermediaries when they adopt compatible systems.
- Potentially simpler corporate actions: Some distributions, redemptions, or voting processes could involve fewer intermediaries, although the legal and operational work remains.
- Potentially longer trading windows: Network-based infrastructure may support activity outside traditional exchange hours, subject to market, liquidity, compliance, and issuer constraints.
- Technology-neutral capital treatment in qualifying cases: The Federal Reserve said in 2026 that eligible tokenized securities with legal ownership rights identical to their non-tokenized form should generally receive the same banking capital treatment. That guidance does not cover tokens whose legal rights differ.
None of these possibilities guarantees lower costs, deeper liquidity, continuous trading, better prices, or easier access. Network congestion, fragmented venues, operational controls, and legal restrictions can offset or eliminate the technical advantages.
Risks that are specific to tokenized structures
- Wallet and key loss: Losing a private key or violating a wallet’s security procedures can prevent access to a token even when the underlying security still exists.
- Smart-contract and network failure: Software defects, outages, upgrades, attacks, or a loss of network support can interrupt transfers or create disputes about balances.
- Custody and bankruptcy risk: A custodial token holder may rely on a platform or custodian and could face delays or losses if that entity fails.
- Counterparty risk: A synthetic token depends on the issuer’s promise and financial ability to deliver its stated return.
- Record uncertainty: It may be unclear whether the blockchain, an off-chain register, or a custodian’s books are legally authoritative.
- Liquidity and price differences: A token can trade at a premium or discount to the conventional security if markets, hours, or redemption channels differ.
- Rights mismatch: A token may omit voting, dividends, interest, redemption, information, or creditor rights that investors assume come with the referenced asset.
How to evaluate a tokenized security before buying
- Identify the legal issuer. Find the name of the entity that issues the token and determine whether it is the company issuing the referenced stock or bond, a custodian, or a separate product issuer.
- Classify the structure. Decide whether the token is an issuer-sponsored security, a custodial entitlement, or a synthetic or linked instrument. Do not rely on marketing labels.
- Locate the authoritative ownership record. Ask whether ownership is determined by the blockchain, an issuer or transfer-agent file, or a custodian’s records, and how conflicts are resolved.
- Map every economic and governance right. Confirm entitlement to dividends, interest, voting, information, redemptions, maturity payments, corporate actions, and proceeds after a sale.
- Review transfer rules. Check investor eligibility, geographic limits, lockups, wallet whitelisting, approval requirements, trading hours, and whether tokens can be moved to another qualified custodian.
- Examine custody and insolvency protections. Determine who holds the underlying asset, whether assets are segregated, what claim you have if the platform or custodian fails, and which law governs that claim.
- Understand the technology dependency. Record the network used, the process for outages or upgrades, recovery procedures for lost keys, and whether transactions can be reversed or frozen.
- Compare the economics. Account for issuance, trading, custody, network, conversion, withdrawal, and redemption fees, as well as spreads and possible differences from the conventional security’s price.
Are tokenized securities regulated and safe?
Tokenization does not remove a security from U.S. securities laws. Registration, exemptions, broker-dealer and trading-platform rules, custody requirements, disclosures, and investor-protection obligations can apply according to the product and how it is offered. Regulation also cannot eliminate market, credit, liquidity, technology, or operational risk.

Safety therefore has two separate questions: whether the offering and intermediary comply with applicable rules, and whether the token gives you the rights you think it gives. A regulated offering can still expose you to wallet, network, custody, or counterparty failures. Conversely, a technically robust token can still be a poor substitute for a stock or bond if it provides only synthetic price exposure.
The practical distinction to remember
A conventional stock or bond tells you the economic instrument and the legal rights attached to it. A tokenized security adds a technological representation whose legal effect must be checked. When the token is legally equivalent to the conventional instrument, the core equity or debt rights can remain unchanged while recordkeeping and settlement evolve. When a custodian or third-party issuer stands between you and the asset, your rights, risks, and remedies can be materially different.
Before treating any token as a share or bond, verify the issuer, authoritative record, ownership type, distribution and voting arrangements, transfer restrictions, custody chain, and failure procedures. Those details—not the token format or ticker—determine what you actually own.
