First establish exactly what is late, why it is late, and when each affected style and quantity can realistically ship. Then document a recovery plan covering priorities, partial shipments, production milestones, transport, inspections and customer dates. Before charging damages, cancelling, buying replacement goods or invoking force majeure, check the accepted purchase order, incorporated terms, notice and cure rules, governing law and your own contribution to the delay.
1. Confirm the real exposure before negotiating a solution
A missed “ship date” can conceal several different problems: fabric not received, cutting complete but sewing behind plan, finished goods waiting for inspection, cartons packed but missing a vessel cutoff, or goods already shipped with an unreliable estimated arrival. Treat each affected order as a separate case rather than applying one blanket response.
- List every affected purchase order, style, colour, size run and unit quantity.
- Record the original ex-factory, inspection, vessel and delivery dates, plus the launch, promotion or retail appointment that depends on them.
- Identify the current production stage: raw-material booking, cutting, sewing, finishing, packing, inspection or handover to the carrier.
- Separate quantities that are complete from quantities still in work-in-progress.
- Map downstream commitments, including retailer allocations, marketplace launches, campaign photography, events and customer orders.
Ask the supplier for a written status report, not only a revised promise in a call. The report should identify the bottleneck, when management first knew about it, the production location and any subcontractor involved, current work-in-progress, material availability and the earliest credible completion and ship dates. Fair Wear’s shipment guidance also stresses visibility into where and when production is taking place so a brand can judge capacity and the reliability of the proposed schedule.
2. Obtain an explanation you can test
A useful explanation connects cause to dates and quantities. “Factory is busy” is not enough to approve expensive freight or reset a launch. Ask the supplier to show the assumptions behind its recovery forecast.

Questions for the supplier
- What event or constraint caused the slippage, and on what date did it become known?
- Which lines, subcontractors, materials, machines or labour groups are affected?
- How many units are cut, sewn, finished, packed and ready for inspection today?
- Which trims, fabrics, labels or packaging components are still missing, and what are their confirmed arrival dates?
- What additional shifts, line reallocation, approved subcontracting or overtime are possible without reducing quality or worker protections?
- What evidence supports the proposed completion date—production records, material confirmations, inspection bookings or carrier cutoffs?
Require a named supplier owner and dated updates. Keep minutes of calls, written notices, revised schedules, approvals and cost decisions. A contemporaneous record helps operations coordinate and gives legal and procurement teams the facts needed if the dispute escalates.
3. Turn the conversation into a recovery schedule
A recovery plan is credible only when it contains intermediate checkpoints. Agree the following in writing:
- Scope: the styles, colours, sizes and quantities covered by the plan.
- Production milestones: material arrival, cutting completion, sewing completion, finishing, packing and final inspection.
- Quality gates: who will inspect, what sampling or testing applies and what happens if a lot fails.
- Shipping milestones: cargo-ready date, booking date, port or airport cutoff, departure and estimated arrival.
- Communication cadence: the supplier owner, brand owner, update frequency and escalation trigger.
- Decision points: the date on which the brand will approve partial shipment, change transport, reallocate production or revise customer commitments.
Do not accept a single “new delivery date” that leaves no time for inspection, booking or customs. Build in the actual vessel or flight cutoff and a contingency for quality corrections. If a milestone is missed, the plan should specify who can authorize the next action and what information is required.

4. Compare recovery options order by order
Choose the option that protects the most commercially important units without creating a larger quality, compliance or worker-risk problem. Quantify schedule gain and incremental cost before approving any change.

| Option | When it helps | Schedule effect | Cost, feasibility and risk questions |
|---|---|---|---|
| Prioritize key styles or quantities | A launch depends on a small group of products, colours or sizes and the factory can change the sequence. | Days gained: not stated; calculate from the line plan and material readiness. | Will deprioritized units become later, and can the factory maintain quality while changing sequence? |
| Partial shipment | A saleable portion can pass inspection before the balance is complete. | Protects the earliest available units; exact gain is order-specific. | Compare split freight, customs and warehouse fees with the value of keeping a launch or allocation alive. |
| Reallocate production | Another approved line, facility or subcontractor has compatible capability and compliant materials. | Potentially shortens the bottleneck; no universal time saving. | Confirm capacity, technical approval, traceability, social-compliance review and who pays transfer costs. |
| Sea-air, air or courier transport | Goods are finished, inspected and ready to move, but the planned service misses the required arrival. | Can reduce transit time; it cannot manufacture unfinished goods. | Obtain a dated carrier quotation, compare dimensional weight and customs implications, and assess emissions and budget impact. |
| Revised customer or retail date | Production cannot recover without unsafe overtime, unacceptable quality risk or unrealistic assumptions. | Moves the downstream commitment instead of the cargo. | Coordinate every channel, update marketing and customer service, and document the commercial effect. |
Fair Wear identifies priorities, partial shipments, sea-air, air and courier services as planning tools, while emphasizing awareness of vessel schedules and cutoffs. CBI’s apparel-export guidance, written for a European-buyer context, notes that buyers may request a discount or alternative transport at the supplier’s cost. That is not an automatic entitlement: the purchase order, negotiated terms and applicable law determine who bears the expense.
5. Check the purchase order before imposing a remedy
Do not assume that a late-delivery charge, cancellation, cover purchase or claim for lost customer sales is available. Have counsel or a contract specialist review the accepted purchase order and every incorporated document before sending a demand or withholding payment.
Terms to verify
- Whether the delivery date is expressly essential or a target subject to tolerance.
- Definitions of delivery, shipment, receipt, inspection and acceptance.
- Notice, escalation and cure-period requirements, including the permitted method and recipient.
- Liquidated damages or delay charges, their calculation and any cap.
- Rights to suspend, cancel all or part of the order, or terminate for repeated delay.
- Cover-purchase, price-difference, consequential-loss and customer-claim provisions.
- Force majeure wording, notice deadlines, mitigation duties and exclusions.
- Governing law, dispute forum, Incoterms and responsibility for freight, customs and insurance.
The PMI purchasing terms illustrate how a negotiated contract can require written notice and mitigation, permit urgent freight or overtime, and set liquidated damages and termination rights. Their example of 2% per complete week with a 10% cap belongs only to those terms; it is not an apparel-industry standard and must not be applied unless your actual agreement contains equivalent language.

1Scan for outdated or missing drivers - takes under a minute2Clear out junk files and repair common Windows errors3Fix the driver behind crashes, sound loss and screen glitches6. Treat force majeure as a legal test, not a label
Supplier lateness alone does not establish force majeure. Under the UNIDROIT Principles framework, a party seeking excuse must show an impediment beyond its control that could not reasonably have been anticipated when the contract was made and could not reasonably have been avoided or overcome. A temporary impediment excuses performance only for a reasonable period in light of its effect. The contract and governing law may use different wording or allocate the risk differently.

“The party who fails to perform must give notice to the other party of the impediment and its effect on its ability to perform.” — UNIDROIT Principles of International Commercial Contracts 2010, Article 7.1.7(3)
Ask for the factual basis of any force-majeure notice: the event, dates, affected facilities, causal link to the missed units, mitigation attempted and expected duration. Preserve the notice and your response. A valid excuse for one period does not necessarily excuse every later delay, and it may not remove duties to communicate, mitigate or deliver unaffected quantities.
7. Include responsible purchasing in the decision
Schedule pressure can be partly self-created. Review whether your forecast, order timing, late specification or grading changes, approval delays, payment practices or sudden quantity shifts left the supplier no workable production window. Fair Wear warns that unrealistic delivery demands and late-delivery penalties can push pressure down to suppliers and workers. Its guidance recommends working with retail partners on realistic schedules rather than transferring every delay cost to the factory.

It does mean the recovery plan should distinguish supplier-controlled failures from brand-controlled changes and shared constraints. Where extra shifts or expedited freight are proposed, check that the plan remains consistent with local working-hour rules, wage requirements, safety controls and the brand’s code of conduct. A schedule that arrives on paper but creates injury, unauthorised subcontracting or defective goods is not a successful recovery.

8. Manage retail and customer commitments with facts
Once the revised production milestones are credible, give internal teams one controlled version of the dates. Marketing, merchandising, finance, customer service and logistics should know which units are protected, which are at risk and when the next decision will be made.
- Tell retail partners the affected styles and quantities, the best and worst credible dates, and whether partial allocation is possible.
- Offer operational choices—reduced initial allocation, revised launch, substitute colour or later replenishment—rather than an unexplained promise.
- Update product pages, campaign calendars and customer-service scripts only after the new date is supported by production and transport milestones.
- Record any retailer waiver, revised appointment or agreed allocation in writing.
When a force-majeure event genuinely affects supply, communicate its practical effect and mitigation rather than simply forwarding a legal notice. If your own planning contributed, acknowledge the relevant change and negotiate a realistic path with the supplier and retail partner.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.9. Decide when recovery is no longer credible
Set a decision deadline in the recovery plan. Escalate when the supplier misses an agreed milestone, cannot substantiate quantities, loses material or inspection bookings, or repeatedly changes dates without a causal explanation. At that point, compare three paths:
Continue with controls
Use this when work-in-progress and materials are verifiable, milestones are being met and the remaining delay is manageable. Keep enhanced reporting, inspection and transport decisions tied to evidence.

Reduce or cancel part of the order
Use this when only some styles remain commercially useful. Confirm the contract’s partial-cancellation mechanics, ownership of completed goods and materials, payment obligations and disposition of work-in-progress before acting.
Source elsewhere or terminate
Use this only after checking notice, cure, termination, cover and dispute provisions and obtaining advice on governing law. Qualify replacement goods, capacity, materials, lead times and compliance before treating an alternate source as a solution. Document the business reason, the supplier’s opportunity to recover and the effects on workers and other commitments.
10. A practical delay-response checklist
- Open a dated incident record for every affected purchase order.
- Reconcile supplier quantities and production stages against your own order and inspection records.
- Request the written cause, evidence, revised milestones and named owner.
- Confirm material, subcontractor, inspection and carrier availability.
- Model priority, partial-shipment, reallocation, transport and customer-date scenarios.
- Price each scenario, including freight, handling, customs, quality and emissions implications.
- Review notice, cure, damages, force majeure, mitigation and termination clauses.
- Agree the selected plan in writing and set the next escalation date.
- Communicate one realistic schedule to retail, marketing, logistics and customers.
- Reassess at each milestone and move to cancellation, alternate sourcing or termination only under the contract and applicable law.
The OECD’s garment and footwear due-diligence guidance has been adopted by 50 governments, according to its current topic page (accessed 2026). That figure describes government adoption of the guidance, not the frequency or cost of supplier deadline misses. Its relevance here is the broader expectation that brands manage human-rights, environmental and supply-chain risks alongside delivery performance.
