A stock split increases or decreases the number of shares by applying the same ratio to holders of the affected class. In an ordinary proportionate split, shareholders own more (or fewer) certificates or book-entry shares, but their percentage ownership and total economic interest generally stay the same. The company’s value does not increase merely because the share count changes. The legal approvals, filings and tax records depend on the company’s jurisdiction, charter, classes and transaction details.
What happens to your shares in a private-company stock split?
A forward split divides each existing share into multiple shares. In a 2-for-1 split, each old share becomes two new shares. A holder of 100 shares receives 200 shares. The same ratio must be applied consistently to the relevant holders and class for the ownership percentage to remain unchanged.
The numerical effect
Assume a private corporation has 1,000 issued common shares and you own 100. You hold 10 percent before a 2-for-1 split. After the split, the corporation has 2,000 issued common shares and you have 200; your ownership is still 10 percent. Your voting and economic rights follow the new shares if the rights of the class have not been changed.

A split does not, by itself, add cash, increase the company’s assets, or establish a new valuation. Private shares often have no observable market quotation, so a lower stated price per share after a split is not proof that the company became cheaper or more valuable. An investment round, option-pool increase, recapitalization or rights change occurring at the same time is a separate transaction that must be analyzed on its own terms.

Forward and reverse splits compared
| Issue | Forward split | Reverse split |
|---|---|---|
| Share count | Increases shares by a stated ratio, such as 2-for-1. | Combines shares into fewer shares, such as 1-for-10; the SEC’s Investor.gov example describes ten old shares becoming one. |
| Percentage ownership | Generally unchanged when every relevant holder and class receives the same ratio. | Generally unchanged when every relevant holder and class is treated consistently, subject to the transaction documents. |
| Total tax basis | Generally unchanged in an ordinary split; basis is allocated over more shares. | Generally unchanged in an ordinary recapitalization, while basis is concentrated in fewer shares; confirm the exact tax treatment. |
| Fractional shares | Usually avoided by choosing a ratio that produces whole shares, but the documents control. | Fractions can arise. Some transactions pay cash instead of issuing a fractional share, so read the plan and notice. |
| Approvals and filings | Depend on the state of incorporation, charter, bylaws, share classes and series, shareholder agreements, and whether authorized shares, par value or rights also change. | |
| Public-company consequences | A private company does not automatically acquire public-company reporting or “going-private” consequences. SEC guidance on those matters is context-specific. | |
Does a split change ownership percentage or company value?
Relative ownership
In a proportionate split, the numerator and denominator of each holder’s ownership percentage change by the same factor. That is why a shareholder who owns 5 percent before a 3-for-1 split ordinarily owns 5 percent afterward. This conclusion requires more than looking at one certificate: confirm that all holders in the affected class receive the same treatment and that no class is being excluded or altered.
Voting and economic rights
If each new share carries the same voting, dividend and liquidation rights as the old share, the holder’s relative rights remain proportional. A transaction that creates a new class, changes preferences, or treats classes differently is not merely a mechanical split. The charter and transaction resolutions should state whether rights are unchanged.
Valuation and liquidity
Multiplying the number of private shares does not create a trading market. A private company may still have transfer restrictions, a right of first refusal, securities-law limits and no ready buyer. A split can make a per-share number easier to use for option grants or internal administration, but it does not guarantee liquidity or support a particular fair-market value.
U.S. federal tax treatment and basis records
Receiving split shares
For an ordinary U.S. stock split, the Internal Revenue Service says that receiving additional shares generally is not a taxable event. Its FAQ states: “Stock splits don’t create a taxable event; you merely receive more stock reflecting the same ownership interest in the corporation that issued the stock. You don’t report income until you sell the stock.” This statement is from the IRS FAQ Stocks (options, splits, traders) 7, accessed October 13, 2026: irs.gov/faqs/capital-gains-losses-and-sale-of-home/stocks-options-splits-traders/stocks-options-splits-traders-7.

How to recalculate basis per share
Your aggregate basis generally stays the same, but it must be spread over the new share count. The IRS example is precise: 100 shares with a $15 basis per share have a $1,500 total basis. In a 2-for-1 split, the holder receives one additional share for each old share and owns 200 shares. The total basis remains $1,500, so the basis is $7.50 per share. The IRS summarizes the rule as: “Your overall basis doesn’t change as a result of a stock split, but your per share basis changes.”
For a reverse split, apply the same recordkeeping principle to the actual ratio and any cash paid for a fractional share. Keep the pre-split lot information, the effective date, the ratio, and the post-split share count so a later sale can be reported correctly.
Form 8937 and unusual transactions
The IRS Instructions for Form 8937 list a stock split as an example of a nontaxable stock distribution that can be a reportable organizational action affecting basis. That does not mean Form 8937 is universally required for every private-company split. The corporation should determine whether the actual action falls within the form’s reporting rules and retain the filed form or supporting analysis when applicable.
When the simple rule may not fit
Do not assume the ordinary-split result for a bundled recapitalization, a cash payment, a change in rights, a merger, a non-U.S. tax resident, or a different tax jurisdiction. Those facts can produce separate income, withholding or basis questions. Obtain transaction-specific tax advice when the documents do more than change the number of identical shares.

How a private company approves and documents a split
There is no single nationwide procedure. Begin with the company’s state of incorporation and its own governing documents, then map the required approvals before issuing any new certificates or updating the cap table.
1. Review the governing documents
- Read the certificate of incorporation or charter for authorized shares, par value, classes, series and any supermajority or split-specific language.
- Check the bylaws for board-meeting, written-consent and notice rules.
- Review shareholder agreements, investor rights agreements, voting agreements and equity-plan documents for consent or adjustment provisions.
- Identify every affected class and series, including shares reserved for options or other rights.
2. Determine the approvals
The board normally approves the proposed ratio and directs the corporate action, but a shareholder or class vote may also be required. The answer changes if the amendment increases authorized shares, changes par value, creates or alters a class, or adversely affects class rights. Do not reduce the analysis to “the board always can” or “shareholders always must vote”; the statute and documents control.
3. Adopt resolutions and an effective date
The resolutions should identify the old and new share counts, the ratio, affected classes, treatment of fractional shares, the effective time, authority to file amendments, and instructions for the transfer agent or cap-table administrator. They should also authorize updated certificates or electronic book-entry statements and notices to holders.

If the charter must be amended, file the required certificate or amendment with the state and wait for its effective time unless the filing provides otherwise. Then update the stock ledger, capitalization table, option and warrant records, subscription agreements, equity-plan documents and future issuance forms. Send each holder a written statement showing the old shares, ratio, new shares and revised per-share basis information.

What Delaware law illustrates—and what it does not
Delaware is a useful example, not a rule for companies incorporated elsewhere. Section 242 of Title 8 permits charter amendments involving subdivision of issued shares. It contains a narrow exception from a stockholder vote when the amendment subdivides issued shares into a greater number of shares of the same class, the corporation has only one outstanding class that is not divided into series, and the charter does not require a vote. The Delaware source notes an amendment effective August 1, 2026: Delaware Code, Title 8, § 242.
The same statute separately addresses class votes when an amendment changes authorized shares, par value or rights in a way that adversely affects a class. Therefore, a Delaware company with multiple classes, series, preferred rights or a charter-level voting requirement cannot rely on the single-class exception without checking those details. A company incorporated in another state must use that state’s statute and filing rules.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Authorized shares, issued shares and rights are different decisions
A forward split of issued shares does not automatically increase the number of shares the corporation is authorized to issue. For example, a company may subdivide 1 million issued common shares into 2 million issued shares while leaving its authorized ceiling unchanged if the charter permits that result. If the company also needs room for a financing or option pool, increasing authorized shares is a separate amendment with its own approval and class-vote analysis.

Likewise, changing par value or preferred-stock preferences is not an incidental bookkeeping step. It can affect voting rights, liquidation preferences, conversion ratios and protective provisions. State filings and holder consents should describe each change separately so that a split is not used to obscure a substantive recapitalization.

Private-company split checklist
- Define the transaction. State whether it is a forward or reverse split, the exact ratio, the effective date and the classes covered.
- Separate bundled actions. List any financing, option-pool expansion, conversion, dividend, cash payment or rights amendment as a distinct item.
- Test the cap table. Model issued, outstanding, reserved and fully diluted shares before and after the ratio. Check every holder, class and series.
- Confirm approvals. Obtain the board, shareholder and class approvals required by the incorporation statute and governing documents.
- Prepare filings. Draft and file any charter amendment, and confirm the state’s effective date and fee requirements.
- Handle fractions. Specify whether fractions are issued, rounded, aggregated and sold, or paid in cash, particularly in a reverse split.
- Recalculate basis. Preserve each tax lot’s total basis and allocate it across the post-split shares; document any cash paid for fractions.
- Update equity records. Revise the stock ledger, cap table, certificates or book entries, option grants, warrants and equity-plan schedules.
- Notify holders. Deliver the ratio, effective date, new share count, rights description and recordkeeping information in a written notice.
- Retain the file. Keep resolutions, consents, filings, notices, cap-table exports and the basis calculation with the company’s permanent records.
Common complications and how to avoid them
Unequal treatment among classes
If common, preferred and special classes receive different ratios or one class is excluded, the result may alter voting power or economic preferences. Obtain a class-by-class analysis and the required consents before implementation.
Options, warrants and convertible instruments
Equity awards and convertibles often contain adjustment clauses. Review whether the exercise price, conversion ratio, share reserve and other terms must be adjusted so holders are neither improperly enriched nor diluted by the split.
Fractional shares in a reverse split
A 1-for-10 reverse split can leave a holder with a fraction when the pre-split position is not divisible by ten. The plan may pay cash instead, but the tax and governance treatment of that payment should be documented rather than assumed.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Fix the driver behind crashes, sound loss and screen glitches3Clear out junk files and repair common Windows errorsConfusing a split with going private
SEC Investor.gov explains that, in some public-company situations, a reverse split can reduce the number of record holders as part of going-private activity: Investor.gov, “Going Private”. That public-company reporting context is not an automatic consequence of a routine private-company split.
Assuming a lower price means a bargain
A post-split per-share figure is a unit conversion. It does not by itself prove a discount, create a market or change the company’s total value. Any valuation used for a financing, option grant or tax purpose needs its own support.
Bottom line for shareholders and founders
An ordinary proportionate split changes the unit count, not the underlying slice of the company: total basis generally stays intact, per-share basis is recalculated, and receiving the shares generally is not taxable under the IRS’s U.S. federal guidance. The difficult part is governance, not arithmetic. Verify the charter, classes, rights, approval thresholds, state filing requirements, fractional-share treatment and any bundled transaction before changing the ledger. Where those facts are unusual, corporate counsel and a tax adviser should review the actual documents.
