A smaller SOL treasury is not automatically destructive to shareholders. The decisive question is whether the company sold SOL at a defensible price and used the proceeds to retire shares cheaply enough that each remaining share represents more SOL and net asset value. SkyAI’s reported 70% reduction in holdings, together with an unexplained 400,000-SOL discrepancy, makes reconciliation and governance more important than the headline buyback size.
SkyAI’s reported treasury reduction and the unanswered discrepancy
SkyAI’s disclosures describe a rapid change in its SOL position. The Block reported on October 14, 2026, that the company had disclosed more than 2 million SOL on September 14. On October 11, SkyAI said it had sold approximately 1 million SOL and held roughly 1 million. A Tuesday 8-K then put the remaining balance at approximately 600,000 SOL—a reduction of about 70% in less than a month (The Block, October 14, 2026, source c001).
| Date or disclosure | Reported SOL position | What shareholders need to verify |
|---|---|---|
| September 14, 2026 | More than 2 million SOL disclosed | Exact unrestricted, staked and locked balances, plus the measurement time |
| October 11, 2026 | About 1 million SOL held after selling around 1 million | Sale dates, quantities, execution prices, counterparties, fees and proceeds |
| Tuesday 8-K | Approximately 600,000 SOL remaining | Explanation for the additional roughly 400,000-SOL difference |
| Proposed capital action | Up to 95% of outstanding shares and warrants targeted for repurchase, using about $200 million of proceeds | Actual tender participation, final price, funding, completion rate and shares retired |
The filing did not explain the roughly 400,000-SOL difference between the October 11 statement and the 8-K balance. That gap could reflect additional sales, transfers, staking or custody classification, timing differences, or another adjustment, but the available disclosure does not establish which explanation applies. Bastion Trading, which holds nearly 10% of SkyAI, requested the dates, quantities, prices, proceeds and approval details for the sales. It also said it would not participate in the proposed $3-per-share tender until those concerns were addressed.
For a shareholder, this is more than a paperwork issue. Without a transaction-by-transaction reconciliation, it is impossible to calculate the cash received, the price paid for the SOL, the remaining asset backing, or whether the proposed repurchase can be accretive. A large announced buyback is not the same as a completed buyback.

What a treasury sale changes on the balance sheet
The asset base becomes smaller
SOL held by a treasury company is an asset supporting its equity value. Selling SOL converts that exposure into cash, receivables or another use of proceeds. If the cash is spent on operations, debt repayment or fees, the company may simply have less asset backing. If the cash is used to retire shares below their net asset value, the remaining shareholders can own a larger percentage of the remaining assets.
SOL per share is the key denominator
Raw SOL holdings do not show what one share represents. The more useful measure is:
Fully diluted SOL per share = SOL and SOL equivalents ÷ fully diluted shares outstanding.
“Fully diluted” includes securities that could become common stock, such as warrants, convertibles and preferred securities. A treasury can shrink while this ratio rises if the company retires shares faster than it sells SOL. Conversely, the ratio can fall even with stable SOL holdings if the company issues stock, converts securities or exercises warrants.

| Transaction outcome | Effect on total SOL | Likely effect on SOL per fully diluted share | Shareholder interpretation |
|---|---|---|---|
| SOL sold and proceeds retained as cash | Falls | Usually falls, unless cash has comparable value and liabilities are unchanged | Less direct SOL exposure; assess the quality and duration of the cash |
| SOL sold, then shares retired below NAV | Falls | Can rise | Potentially accretive, provided execution costs and liabilities do not erase the benefit |
| SOL sold below fair value | Falls | Falls or rises less than expected | Value may have been transferred from continuing holders to buyers of the SOL |
| Shares issued at a premium to NAV | Usually unchanged initially | Can rise | New capital may increase assets per existing share |
| Shares issued below NAV | Usually unchanged initially | Falls | Existing holders are diluted |
A simple way to test the math
Suppose, purely as an illustration, a company has 1,000,000 SOL and 10,000,000 fully diluted shares: each share represents 0.10 SOL. If it sells 400,000 SOL and uses the proceeds to retire 6,000,000 shares, 600,000 SOL would support 4,000,000 shares, or 0.15 SOL per share. The improvement occurs because the denominator contracts more than the treasury. If the same sale retires only 2,000,000 shares, 600,000 SOL would support 8,000,000 shares, or 0.075 SOL per share. The sale would have reduced each continuing share’s SOL exposure.
The calculation must also account for cash, debt, preferred claims, taxes, transaction fees and any warrants that remain exercisable. A company cannot create value merely by moving SOL from one line of the balance sheet to another.
The metrics shareholders should compare
SOL and equivalents, by liquidity
Separate unrestricted SOL from staked SOL, locked or pledged SOL, and balances subject to withdrawal or custody restrictions. Unlock schedules matter because a nominal balance may not be immediately saleable. The same schedule should identify whether “SOL equivalents” include cash, liquid staking positions or other instruments whose value and liquidity differ from spot SOL.

Fully diluted SOL per share
Track the ratio at each reporting date and after every issuance, conversion, warrant exercise, sale or repurchase. A year-over-year increase can coexist with a lower token balance if the share count fell faster. Conversely, a headline treasury increase may conceal dilution.

NAV and mNAV
Net asset value (NAV) is the fair value of SOL, cash and other assets minus liabilities and senior claims. Market NAV, often called mNAV, compares the company’s equity value with that NAV. A stock trading below NAV may allow repurchases to buy one dollar of net assets for less than one dollar. A stock trading above NAV can make issuing shares accretive if the new capital is raised at a premium and deployed without excessive costs.
Cash, debt and forced-sale risk
Review operating cash burn, debt principal, interest, maturities, collateral requirements and any minimum-liquidity covenants. A company that must fund expenses or repay debt may be forced to sell SOL during a weak market, turning a strategic choice into a distressed transaction.
Staking income versus token-price gains
Staking rewards increase token balances or cash income, but they are not the same as gains caused by a higher SOL price. Identify the reward rate, validator or liquid-staking exposure, lockup terms, slashing risk, custody arrangements and counterparty concentration. Reported rewards should reconcile to the change in SOL balances after deposits, withdrawals and sales.
Disclosure and governance quality
Investors should be able to reconcile opening and closing SOL, identify each material sale, and see the board or committee approval process. Related-party trades, non-arm’s-length financing, unexplained transfers and delayed filings deserve a higher risk discount than a fully documented transaction executed through independent counterparties.

When a buyback can create value
A buyback is accretive only when the company retires shares for less than the value of the assets and future claims attached to those shares, after fees and taxes. If a share represents $10 of NAV and the company buys it for $8, continuing holders gain approximately $2 of NAV before costs. If the company pays $12 for that same share, value moves in the opposite direction.
| Condition | Potential result | What to confirm |
|---|---|---|
| Shares bought below NAV; proceeds from a fairly priced SOL sale | Higher NAV and SOL exposure per surviving share | Independent pricing, execution costs and actual retirement of shares |
| Shares bought near NAV | Little gross accretion | Whether fees, taxes and lost staking income make the transaction dilutive |
| Shares bought above NAV | Lower NAV per surviving share | Why management paid a premium and who approved it |
| Buyback announced but not completed | No change in share count or per-share exposure | Tender results, settlement records and updated outstanding shares |
SkyAI said sale proceeds would fund a buyback of up to 95% of outstanding shares and warrants for about $200 million. “Up to” is a ceiling, not a commitment. Shareholders need the final number accepted, the securities actually retired, the price paid, and the cash left for operations. Warrants are especially important: cancelling them can reduce future dilution, while leaving them outstanding can make a headline share reduction look better than the fully diluted reality.
Why a treasury company can trade below NAV
A discount does not necessarily mean the market has overlooked free value. Investors may apply a discount for:

- Debt, preferred claims or other liabilities that rank ahead of common stock;
- Expected operating losses and future cash needs;
- Risk that management will issue shares below NAV or sell assets at unfavorable prices;
- Taxes, trading costs and the time required to realize asset value;
- Weak governance, related-party transactions or incomplete disclosure;
- Market-wide declines in SOL that reduce both NAV and investor risk tolerance.
The Block separately reported that Solmate traded at about a 50% discount to NAV while SOL was down about 50% and the stock was down about 78% year to date. The same report described allegations that an insider issuance diluted existing shareholders by about 20%. Those transaction claims are allegations, not adjudicated findings; they illustrate why investors must distinguish a measured NAV discount from an unverified explanation for it (The Block, 2026, source c005).

What comparable disclosures show
| Company and reporting date | Reported treasury metric | Per-share or reward detail | How to use the figure |
|---|---|---|---|
| DeFi Development Corp., August 12, 2026 | 2,311,523 SOL and equivalents | 0.066 fully diluted SOL per share; approximately 24% year-over-year increase in SOL per share | Shows why per-share exposure can improve even when token prices and balances move differently (source c003) |
| Forward Industries, June 30, 2026 | 7,552,698 SOL and equivalents, versus 7,044,079 on March 31, 2026 | 0.0730 fully diluted SOL per share; approximately 300,000 SOL cumulative staking rewards since September 2025 | Requires checking whether the balance increase came from purchases, financing, rewards or other transfers (source c004) |
| Solmate, 2026 report | Not stated in the cited report | About a 50% discount to NAV; separate dilution allegations described above | Demonstrates that a discount can reflect governance and execution concerns, not only token-price exposure (source c005) |
These figures are not directly comparable without matching dates, definitions, share classes, warrants, debt and custody restrictions. A serious comparison should place each company on the same axes: SOL per fully diluted share, NAV or mNAV, leverage and maturity schedule, liquidity and custody, staking yield, operating cash burn, disclosure timeliness, related-party governance, and whether each capital action remains accretive after fees and dilution.
How to investigate a shrinking treasury
- Start with the latest balance sheet and 8-K or equivalent filing. Record SOL, cash, debt, preferred securities, warrants and shares outstanding at the same date.
- Build a SOL roll-forward. Begin with the prior disclosed balance, then add purchases and staking rewards and subtract sales, transfers, withdrawals and unlock-related movements.
- Reconcile every sale. Look for execution date, quantity, average price, gross proceeds, fees, counterparty, custody venue and board or committee approval.
- Recalculate fully diluted SOL per share. Include in-the-money warrants, convertibles and preferred claims rather than relying on basic shares.
- Calculate NAV and mNAV. Use a consistent SOL price and deduct liabilities and senior claims. Compare the result with the company’s market capitalization.
- Test the buyback. Confirm the tender price, eligibility, acceptance rate, settlement date, securities retired and cash remaining after completion.
- Stress operating liquidity. Compare cash burn and debt maturities with unrestricted cash so that a new forced sale is not overlooked.
- Read subsequent filings. Treasury companies can change balances quickly; an old presentation may no longer describe current exposure.
Disclosure standards that matter most
Solana Company states its objective as “increasing the amount of SOL underlying each share, generating yield on treasury assets where appropriate, and using public-market financing and treasury tools in a disciplined manner to compound net asset value (NAV) over time.” That objective supplies a useful test: each capital action should be judged by its effect on per-share SOL, NAV and risk—not by the gross number of tokens acquired or sold (source c007).
Issuance discipline matters just as much as treasury management. DeFi Development Corp. summarized the point plainly: “Every share we issue dilutes us as much as it dilutes you” (source c006). The same principle applies to warrants, convertibles and insider transactions. If a company cannot show how a transaction changes fully diluted ownership, shareholders cannot judge whether the strategy is compounding or eroding value.
The Tool Desk
Outbyte Driver Updater FREEScan for outdated or missing drivers - takes under a minuteDriver Scan →Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →Risks that can make the headline numbers misleading
- Price risk: SOL can fall after a sale, making the cash proceeds look favorable in hindsight even if the sale was poorly timed, or rise and expose the opportunity cost of selling.
- Execution risk: Large blocks may incur slippage, fees or counterparty exposure that is absent from a headline average price.
- Custody risk: A stated balance may include assets held with third parties, subject to withdrawal limits, liens or operational outages.
- Staking risk: Rewards can be offset by lockups, slashing, validator failures or liquid-staking depegs.
- Capital-structure risk: Debt, preferred stock and warrants can claim value before common shareholders or expand the future share count.
- Governance risk: Unexplained discrepancies and related-party dealings can justify a persistent discount even when reported NAV appears high.
Bottom line for shareholders
A shrinking Solana treasury is beneficial only when the conversion from SOL to cash and the subsequent capital allocation leave each remaining share with greater risk-adjusted value. SkyAI’s reported move from more than 2 million SOL to approximately 600,000 in less than a month, coupled with the unexplained 400,000-SOL discrepancy, prevents that conclusion from being drawn from the buyback announcement alone. Until the company reconciles the balances, discloses sale terms and approvals, and reports the shares and warrants actually retired, the prudent measure is verified fully diluted SOL per share and NAV—not the promised dollar size of the tender.
