A private-company funding round can reduce an existing shareholder’s percentage ownership when the company issues new shares or converts instruments into shares. That percentage change is only one part of the outcome: your voting power, economic rights, future investment opportunities, and eventual payout depend on the capitalization table, share class, financing documents, and the company’s exit or liquidation terms. A funding round also does not make private shares automatically sellable.
The immediate effect: more securities can mean a smaller percentage
When a company sells newly issued stock, the total number of shares increases. If you keep the same number of shares and do not buy in the round, your ownership percentage generally falls because your shares represent a smaller portion of the enlarged total. This is percentage dilution.
For example, suppose you own 100,000 common shares and the company has 1,000,000 relevant shares before the financing. Your stake is 10 percent. If the company issues another 250,000 shares and you do not participate, you still own 100,000 shares, but your percentage becomes 8 percent when measured against 1,250,000 shares.
A smaller percentage does not automatically mean your stake became worth less. If the financing brings in capital that increases the company’s overall value, the value represented by your shares can rise even while your percentage declines. The opposite can happen in a down round, where new shares are sold at a lower price and negotiated protections may change the result. To understand the economic effect, you need the price per share, the relevant share count, the class of each security, and the rights attached to it.

How to read the valuation headline
Pre-money and post-money are different numbers
Pre-money valuation is the company’s stated value immediately before the current investment. Post-money valuation includes the new capital. The same dollar figure can therefore describe different ownership outcomes depending on which convention the parties mean.
A simplified priced-round illustration: if the pre-money valuation is $8 million and the company raises $2 million, the post-money valuation is $10 million before considering option-pool resizing, convertible instruments, warrants, or other adjustments. On simple post-money arithmetic, the new investor would own 20 percent ($2 million divided by $10 million). That is an illustration, not an appraisal of common shares or a guaranteed final percentage. The company’s documents and cap table control.
The denominator may be fully diluted
Financing documents commonly distinguish between issued-and-outstanding shares and a fully diluted count. A fully diluted calculation can include outstanding options, warrants, and shares reserved for an employee option pool, as well as shares issuable when SAFEs or convertible notes convert. A percentage calculated on one denominator can differ materially from a percentage calculated on the other.

What the capitalization table should show
A capitalization table, or cap table, records the company’s securities, holders, classes, share counts, prices, and changes across financings. The SEC’s PitchBook guide describes cap tables as tracking who invested in each round and at what share price, while also outlining liquidation preferences and dilution.
Ask for both the current cap table and a pro forma version showing the financing after it closes. A useful pro forma table should make clear:
- Each holder’s shares before and after the round.
- The class and series of every security.
- Whether percentages are issued-and-outstanding or fully diluted.
- The number and price of newly issued shares.
- Outstanding SAFEs, convertible notes, warrants, and options and how they convert or exercise.
- Any increase or “refresh” of the employee option pool.
- Voting power and board-designation rights by class.
- Liquidation preferences, conversion rights, and participation features.
Do not infer your final ownership from a press release that gives only a total raise and a valuation. The announcement may not disclose the share count, pool treatment, conversion mechanics, or the distinction between primary and secondary transactions.

Primary financing versus a secondary sale
Primary issuance
In a primary financing, the company issues new securities and receives the investment proceeds. The new securities increase the capitalization and can dilute holders who do not participate. The money may fund hiring, product development, debt repayment, or other corporate purposes, but the use of proceeds does not by itself change the share-count math.

Secondary sale
In a secondary sale, an existing shareholder sells already-issued shares to another investor. The company may receive none of that purchase price. Because the number of outstanding shares generally does not increase, a secondary transfer usually does not create the same percentage dilution as a primary issuance. It can still change the ownership of voting power and may be subject to company consent, transfer restrictions, a right of first refusal, or other contractual limits.
A round can contain both components. Confirm whether any of your shares are eligible to sell in a secondary transaction; a financing announcement is not itself an offer to buy your stock.
Why share class and deal terms can outweigh the percentage
Common and preferred stock
Common and preferred stock can carry different voting and economic rights. The U.S. Securities and Exchange Commission states on its Common Startup Securities page, published June 12, 2024: “Different classes of stock, such as common stock (more commonly issued to founders) and preferred stock (more commonly issued to outside investors), have different voting and economic rights.” Those are common patterns, not universal rules.
Preferred shares may have a liquidation preference, special conversion terms, protective voting provisions, or board rights that common shares do not have. Your percentage of the company therefore does not tell you how much of an acquisition payment you would receive or how many votes you control. Read the charter, investors’ rights agreement, voting agreement, and other financing documents that define the rights of each class.

A liquidation preference gives specified securities priority in a defined liquidation or exit event. Before common holders receive residual proceeds, the preference may require payment to a preferred class according to the negotiated formula. Preferences can differ by round and may be participating or nonparticipating, with conversion choices and caps set by the documents. Do not assume that a company’s headline valuation translates directly into common-share proceeds.

Conversion rights and voting provisions
Preferred holders may be able to convert into common stock, sometimes automatically when specified conditions are met. Separate provisions can grant class votes, consent rights, or the right to designate directors. A new round can alter board composition or protective provisions even if your number of shares stays constant.
SAFEs, convertible notes, options, and warrants
A SAFE is a contractual right that can convert into equity under its terms; it should not be treated as already-issued shares without checking the instrument and the conversion event. A convertible note is generally a debt instrument that may convert into equity at a later financing, subject to its maturity, interest, discount, valuation cap, and other terms. The conversion of these instruments can add shares to the financing denominator and change everyone’s final percentages.
Options and warrants create another layer of potential dilution. An option-pool increase negotiated before the financing may be counted in the pre-money capitalization, shifting more of the dilution to existing holders than a pool created afterward. The exact treatment depends on the term sheet and definitive documents. Request a schedule showing how every outstanding instrument converts, including any accrued interest on notes and any discount or cap applied to the conversion price.

Up rounds, down rounds, and anti-dilution
Up round
An up round prices new shares above the prior financing’s price. Your percentage can still decline if you do not purchase additional shares, but the company’s higher valuation may increase the implied value of your stake. That conclusion is not guaranteed for every class because preferences and other rights affect the proceeds waterfall.
Down round
A down round prices new securities below an earlier round. It can reduce the implied value of earlier shares and may trigger negotiated anti-dilution adjustments. A down round can also signal financial pressure, although the price alone does not establish the company’s prospects.
Anti-dilution protection
Anti-dilution provisions can adjust an investor’s conversion price or the number of shares received in specified later issuances. Common formulas include broad-based or narrow-based weighted-average adjustments; some agreements contain stronger full-ratchet mechanics. The trigger, exclusions, calculation base, and affected class are contractual. A holder cannot determine the adjustment from the new valuation alone.

Anti-dilution protection is not a default entitlement for every shareholder. It is negotiated and may apply only to particular preferred series or investors. Review the exact provision and ask the company to provide the calculation showing the old conversion price, the new issuance price, the applicable formula, and the resulting shares.
Can you maintain your percentage?
Some investors receive a pro rata or preemptive right: a contractual opportunity to buy a portion of a future issuance so their percentage can be maintained. The right may be limited to certain holders, minimum ownership levels, particular security types, or specific financing sizes. It can contain exceptions for employee grants, strategic investors, or other issuances.
Check the governing agreement for:
- Who qualifies and whether your class is included.
- How your pro rata allocation is calculated.
- Which securities and transactions are covered.
- Notice requirements and the exercise deadline.
- Payment procedures and whether oversubscription is allowed.
- Events that terminate, waive, or subordinate the right.
Missing a notice deadline can waive the opportunity. If you are considering participation, obtain the written notice and financing documents rather than relying on an informal estimate of the amount needed.

Private-company shares generally cannot be resold as freely as exchange-traded stock. A resale typically requires registration or an available exemption and may also require company approval. Transfer restrictions, a right of first refusal, securities-law limits, and the company’s governing documents can prevent or delay a sale.
A funding round does not create a public market. Unless the transaction includes a separate secondary component, you usually cannot sell simply because new investors have purchased shares. Even when a company permits a secondary sale, the buyer, price, eligible holders, and permitted share classes may be limited.
At a wind-down, company liabilities are paid before any residual goes to shareholders. In an acquisition or other exit, the charter and financing agreements define whether the event is treated as a liquidation, how preferences apply, whether preferred holders convert, and how the remaining proceeds are divided. Your final payout therefore depends on the exit waterfall, not just your ownership percentage.

A practical review process for an existing shareholder
- Identify your security. Confirm whether you hold common stock, a preferred series, an option, a warrant, a SAFE, or a note. Record the class, number, exercise or conversion terms, and vesting status where applicable.
- Request the cap-table snapshots. Obtain the pre-round and pro forma post-round tables, including both issued-and-outstanding and fully diluted views if the company uses both.
- Verify the valuation convention. Ask whether the quoted figure is pre-money or post-money and how the price per share was calculated.
- Trace every new share. Check the primary shares sold, any option-pool increase, and shares created by converting SAFEs, notes, warrants, or other instruments.
- Read class rights. Review voting, board, conversion, liquidation-preference, and protective-provision language for your class and the new class.
- Check participation rights. Look for pro rata or preemptive rights, eligibility thresholds, notice dates, funding deadlines, and exceptions.
- Test down-round protections. If the price is lower than an earlier round, determine whether an anti-dilution provision applies and request the contractual calculation.
- Separate primary and secondary components. Determine whether any existing holder is selling shares and whether you are eligible to participate in that sale.
- Confirm transfer and liquidity limits. Review resale restrictions, company-consent requirements, rights of first refusal, and any lock-up or market-standstill terms.
- Get transaction-specific advice when needed. For a material holding, cross-border ownership, tax-sensitive event, or disputed calculation, have a qualified lawyer or financial adviser review the actual documents and applicable law.
Worked outcomes to keep straight
Percentage dilution without an obvious loss in value
You own 10 percent before a financing. New investors receive 20 percent of the post-money capitalization, and you do not participate. Your percentage may fall to 8 percent, but if the company’s post-money value rises enough, the implied value of your 8 percent can exceed the implied value of your original 10 percent. This is why percentage and value must be analyzed separately.
Down round with contractual adjustment
An earlier preferred investor bought at a higher price and has an anti-dilution clause. The company later sells a lower-priced round. The investor’s conversion price may be adjusted under the agreed formula, increasing the shares obtainable on conversion. Common holders may experience additional dilution, but the size and timing of that effect cannot be calculated without the clause and the cap table.
Secondary sale with no new shares
An early shareholder sells existing shares to a new investor while the company issues no stock. The seller receives the purchase price, the buyer becomes a shareholder, and the total number of shares may remain unchanged. Voting control can shift even though the overall percentage owned by all shareholders collectively has not been diluted.
Important limits on any general explanation
The U.S. SEC’s investor guidance is U.S.-oriented. The legal effect of a financing depends on the company’s entity type, state or national law, charter, bylaws, shareholder agreements, financing documents, and the precise transaction structure. Securities offerings generally must be registered or qualify for an exemption, and private-transfer restrictions can vary by jurisdiction.
No announcement can establish your final ownership percentage or expected payout without the company’s actual capitalization records and governing documents. Treat this article as a framework for asking the right questions, not as a substitute for advice about a specific holding or transaction.
Bottom line for existing shareholders
A funding round can dilute your percentage, but the real outcome is determined by more than share count. Compare the pre-money and post-money definitions, inspect the fully diluted cap table, identify conversions and option-pool changes, and read the rights attached to each class. Then check participation deadlines, anti-dilution provisions, transfer restrictions, and the liquidation or exit waterfall. Only that document-level review can show what the round means for your voting power, economic position, and ability to realize proceeds.
