A commercial real estate mortgage is the building owner’s loan, secured by the office property. It does not normally make an office tenant a borrower, and a mortgage default does not automatically cancel the tenant’s lease. The tenant’s right to occupy comes from the lease, while the lender’s rights come from the mortgage and related loan documents. Trouble can arise if the lender enforces its security, redirects rent, forecloses, or installs a new owner. The practical result depends on the lease, any subordination, non-disturbance and attornment agreement (SNDA), notices actually delivered, and the law governing the property.
The safest approach is document-based: identify what the lease says about mortgage priority, lender notices, rent instructions, deposits, successor owners and cure periods before responding to a lender or paying rent somewhere new.
The mortgage and the lease are different interests
The landlord’s interest
A commercial real estate mortgage is a loan secured by commercial real estate. The owner holds what the Office of the Comptroller of the Currency (OCC) describes as a leased-fee interest: ownership of the property subject to the rights already conveyed by leases. The mortgage gives the lender remedies against that ownership interest if the borrower fails to meet the loan terms.
The tenant’s leasehold interest
Your lease creates a leasehold interest—the contractual right to use and occupy defined space for the agreed term, subject to the lease’s conditions. The OCC describes it as “the right held by a tenant (the lessee) for use and occupancy as conveyed by the landlord.” You are ordinarily not liable for the owner’s mortgage payments merely because you rent space in the mortgaged building.

That separation matters. A lender may have rights affecting the building without having the same duties as your landlord. Conversely, your lease may contain protections that survive a change in ownership, but those protections are not automatic and may be limited by the lease’s priority language and applicable state law.
How a mortgage can affect an office tenant
1. The lender may have a security interest in leases and rents
Commercial real estate underwriting rules described by the Federal Reserve identify assignments of leases and rents as possible loan security. In practice, the owner may have promised the lender that rents will be paid to the lender, a receiver, or another authorized party if a defined default or enforcement event occurs.
An assignment of rents does not mean every unexpected payment request is valid. Continue following the lease until you receive a legally effective, authenticated written direction that changes the payee. Check the notice against the lease’s requirements, confirm who signed it and in what capacity, and ask for evidence that the sender has authority. Keep copies of the notice, delivery records and cancelled payments.

2. A default may trigger a workout rather than immediate foreclosure
A missed loan payment or covenant breach can lead to negotiations between the owner and lender. The OCC lists several possible workout paths, including renewal or extension of the loan, additional credit, restructuring and foreclosure. Those are lender-and-borrower options, not a prediction of what will happen at a particular office property.

During a workout, the owner may continue operating the building and performing the lease. A lender might also appoint a receiver, negotiate a transfer, or exercise rights over rents. Until a legally effective change occurs, the existing lease and its payment instructions remain the tenant’s reference point.
3. Foreclosure or a sale can change the landlord
If enforcement results in a foreclosure or deed-in-lieu transfer, the person or entity collecting rent may change. Whether your lease continues depends on its priority relative to the mortgage, any non-disturbance promise, foreclosure law and the successor’s obligations. A successor may recognize the lease, seek a new agreement, or assert rights that require a legal response. The mortgage itself does not answer those questions.
4. Building operations can be disrupted even when the lease survives
A distressed owner may defer repairs, reduce staffing or have difficulty paying utilities and contractors. Those operational problems can become lease breaches, but the tenant’s remedies are controlled by the lease’s notice, cure and termination provisions. A lender that takes control may not automatically assume every obligation the original landlord undertook unless the documents or law require it.

What an SNDA does—and what it does not do
SNDA stands for subordination, non-disturbance and attornment agreement. Pennsylvania’s Department of General Services describes a non-disturbance and attornment agreement as a commercial leasing document addressing these relationships.

Subordination
Subordination determines priority between the lease and the mortgage. If the lease is subordinate, a prior mortgage may have enforcement priority unless another provision protects the tenant. Some leases make subordination conditional on the lender signing an SNDA or agreeing to non-disturbance.
Non-disturbance
A non-disturbance promise generally says that, if the lender forecloses or takes title, the tenant may remain in possession so long as the tenant is not in default under the lease. Read the conditions carefully: the promise may require timely rent, compliance with every material lease term, and delivery of notices to the lender.
Attornment
Attornment is the tenant’s agreement to recognize a lender, foreclosure purchaser or other successor as the new landlord after a defined event. It can prevent a dispute over whom the tenant must recognize, but it does not necessarily recreate every remedy or obligation in the original lease. The operative language controls; the initials SNDA alone guarantee no specific outcome.
Common SNDA details
An SNDA may address:
- whether the lease remains effective after foreclosure or another transfer;
- the notices a lender must receive and the method of delivery;
- the lender’s additional period to cure the landlord’s lease default;
- where rent must be paid after a valid change in instructions;
- whether prepaid rent and security deposits are credited to a successor;
- which landlord obligations a successor must perform; and
- the tenant’s remedies if the successor does not perform.
These provisions are negotiated terms, not universal commercial leasing rules. A government lease form can illustrate possible language without determining the rule for a privately negotiated lease in another state.

What to read in your lease and related documents
Collect the fully signed lease, every amendment, exhibits, guaranties, any SNDA, estoppel certificate, lender notice and property-management instructions. Then review the following provisions in order:
- Mortgage priority. Find subordination, nondisturbance, attornment, mortgagee or lender clauses. Note whether subordination is automatic or conditional on a signed agreement.
- Notice and cure. Identify where notices must be sent, permitted delivery methods, the landlord’s cure period and any separate period granted to a lender. A lender’s cure right may be longer than the landlord’s.
- Rent-payment authority. Look for an assignment-of-rents clause, lockbox language, a requirement for written notice, or a condition such as a foreclosure filing before payment instructions may change.
- Deposits and advance rent. Determine whether a successor must credit your security deposit and prepaid rent, and whether the lease requires evidence of transfer.
- Successor obligations. Check whether a foreclosure purchaser or lender must honor renewal options, tenant-improvement obligations, operating-cost reconciliations, repair duties and indemnities.
- Tenant remedies. Record rights to repair and offset, terminate, obtain damages or seek injunctive relief. Each remedy may require notice and an opportunity to cure.
- Default definitions. Distinguish a landlord lease default from the owner’s separate mortgage default. The two are not interchangeable unless the lease says they are.
The South Carolina government office lease form expressly addresses lender recognition, notices, cure opportunities, rent, deposits and successor obligations. It demonstrates the subjects parties can spell out; it is not a rule that every commercial lease contains.
What to do if a lender or new owner contacts you
- Preserve the communication. Save the letter, email, envelope, attachments and delivery metadata. Do not rely on a phone call alone.
- Match it to the lease. Check whether the sender used the notice address and method required by your lease or SNDA and whether the stated event triggers a change in payment or possession.
- Verify authority. Ask for the recorded assignment, appointment of receiver, foreclosure order, deed, property-management authorization or other document identified in the notice. Have counsel verify authenticity when the request is disputed or urgent.
- Keep paying undisputed rent on time. Do not stop payment merely because the building is in distress. If two parties demand the same rent, promptly obtain legal advice about escrow, interpleader or another lawful method; do not choose a payee solely on convenience.
- Do not sign a replacement lease or estoppel casually. A new document may waive rights, change renewal terms, release claims or acknowledge a successor. Compare it with the existing lease before signing.
- Document building conditions. Record service failures, access problems, unpaid utilities or safety issues with dated photographs and written notices. Follow the lease’s cure procedure before using a remedy.
- Get jurisdiction-specific advice. Foreclosure procedure, notice rules, receivership and the effect of a foreclosure on a lease vary by state and by the lease’s language.
Comparing two leases or SNDAs
If you are choosing between office locations or negotiating a renewal, compare the documents on the four issues most likely to determine continuity:
| Decision axis | Stronger tenant position | Why it matters |
|---|---|---|
| Mortgage enforcement | Express non-disturbance protection tied to tenant compliance | It can preserve possession after a lender enforcement event. |
| Lender notice and cure | Clear notice address, delivery method and lender cure period | It gives the lender a defined chance to fix a landlord default before termination. |
| Rent and deposits after transfer | Written payment-change procedure and explicit credit for deposits and advance rent | It reduces duplicate-payment risk and disputes over funds already paid. |
| Successor performance | Language requiring the successor to perform specified landlord duties | It clarifies who must honor services, options, repairs and other continuing obligations. |
A clause that sounds protective may contain conditions, exclusions or definitions that narrow it. Compare the operative wording, not just headings or an SNDA’s title.

Possible lender workout paths and tenant implications
| Workout path identified by the OCC | What it means at the loan level | What a tenant should watch |
|---|---|---|
| Renewal or extension | The lender and borrower continue the loan for a new or longer period. | Whether management, rent instructions and building services remain unchanged. |
| Additional credit | The lender provides further funds under revised conditions. | Whether new security arrangements produce a notice changing who collects rent. |
| Restructuring | Payment, covenant or other loan terms are modified. | Whether a receiver, manager or successor becomes involved in operations. |
| Foreclosure | The lender enforces its security and may obtain title or control. | Lease priority, non-disturbance, attornment, successor duties and valid rent directions. |
The table describes possibilities, not a sequence that every distressed property follows. A tenant cannot infer the building’s status from rumors or a single missed maintenance item.
Why the governing law and documents control
Federal lending guidance explains mortgage and rent-security concepts, while state law governs many lease-enforcement and foreclosure questions. The cited materials include federal OCC and Federal Reserve guidance, a Pennsylvania Department of General Services explanation and a South Carolina government lease form. They do not create one uniform rule for every office lease or jurisdiction.
No particular property’s mortgage, title record, foreclosure filing, lease or SNDA is established here. If you face an actual default, foreclosure notice, competing rent demands, threatened lockout or proposed replacement agreement, have the signed documents reviewed under the law governing the property. Timing matters because notice and cure periods can expire while the parties are negotiating.

For an office tenant, the mortgage is usually an indirect risk rather than a new debt. Your exposure increases when the lease is subordinate without non-disturbance protection, when rent-redirection procedures are vague, or when a successor’s duties are not defined. Your position is clearer when the documents identify lender notice and cure rights, protect continued possession, credit deposits and advance rent, and require a successor to perform specified landlord obligations.
Read the lease and SNDA before a crisis, verify every payment instruction, keep a complete paper trail and treat any foreclosure or ownership-change notice as a document-and-jurisdiction question—not as proof that the lease has ended.
