A bonus issue gives existing shareholders additional shares at no charge, usually in proportion to the shares they already own. Your share count rises, but your percentage ownership normally stays the same when every holder of the relevant class receives the same entitlement. Because the company now has more shares outstanding, the theoretical per-share price is adjusted lower; your investment is not automatically worth more simply because the number of share certificates or account units increased.
The actual result depends on the issuer’s terms, market dates, settlement process and local tax rules. Read the company’s current corporate-action notice rather than relying on a universal timetable or tax assumption.
What a bonus issue is
A bonus issue (also called a scrip issue or bonus share issue in some markets) is an allotment of new shares to existing shareholders without requiring them to pay additional cash. The entitlement is normally set as a ratio linked to the holding on a specified date. HM Revenue & Customs (HMRC) describes a scrip issue as new shares issued in proportion to existing holdings without additional payment, while the Australian Securities and Investments Commission (ASIC) describes bonus shares as extra shares supplied at no extra cost.

How to read the ratio
Always translate the notation into words. “One-for-four” means one new share for every four shares already held. “Two-for-one” means two new shares for every one share held; it does not mean two shares in total. The issuer’s notice should identify the relevant share class and explain whether fractions are rounded, sold, or paid in cash.
What changes for your holding
Your number of shares increases
If you own eligible shares on the relevant record date, the additional shares are allotted according to the announced ratio. In HMRC’s example, a one-for-four issue gives a holder of 100 shares 25 new shares, resulting in 125 shares. No subscription payment is required for those 25 shares.
| Announced ratio (in words) | Existing shares | New shares | Total after issue |
|---|---|---|---|
| One new for every four held | 100 | 25 | 125 |
| Two new for every one held | 100 | 200 | 300 |
| One new for every ten held | 250 | 25 | 275 |
The arithmetic is: eligible shares multiplied by the number of new shares per existing share. For a one-for-four issue, 100 ÷ 4 = 25 new shares. For a two-for-one issue, 100 × 2 = 200 new shares.
Your percentage ownership generally does not increase
Suppose you own 1,000 of a company’s 100,000 shares, or 1%. In a proportional bonus issue, both your holding and the company’s total shares increase by the same factor. If the issue is one-for-four, your holding becomes 1,250 and the company’s total becomes 125,000; your stake is still 1%.

This assumes all holders of the relevant class receive the same proportional entitlement and that no other capital change, conversion, cancellation or dilution occurs. Different share classes, ineligible holders, fractional-share treatment or other transactions can change the outcome, so use the issuer’s terms rather than assuming proportionality.
Your voting and economic claim are not automatically larger
You have more share units, but each unit represents a smaller fraction of the company after the issue. Subject to the class rights, your aggregate voting and economic percentage generally remains unchanged. Receiving shares free does not by itself give you a proportionately larger claim on dividends, assets or votes.
Why the theoretical share price falls
When the number of shares increases while the company’s underlying value is initially unchanged, the value is spread across more shares. Theoretical ex-bonus price is therefore lower than the pre-issue price. This is a mathematical adjustment, not a promise about the next traded price: earnings news, investor demand, market conditions and the company’s performance can move the market price immediately.
A two-for-one illustration
Zerodha’s investor education example uses a two-for-one bonus. A holder with 100 shares priced at ₹10 has an example aggregate value of ₹1,000. After receiving 200 additional shares, the holder has 300 shares. Dividing ₹1,000 by 300 gives an arithmetic theoretical price of about ₹3.33 per share. The example demonstrates the share-count adjustment; ₹3.33 is not a guaranteed trading price or forecast.

| Stage | Shares | Illustrative price | Illustrative aggregate value |
|---|---|---|---|
| Before the two-for-one issue | 100 | ₹10 | ₹1,000 |
| After the arithmetic adjustment | 300 | About ₹3.33 | About ₹1,000 |
The aggregate value can be higher or lower in the real market because the price is continuously determined by trading. A bonus issue alone does not make an investor richer.
Bonus issue versus other share distributions and fundraising
| Feature | Bonus issue | Rights issue | Stock dividend |
|---|---|---|---|
| Cash required from the holder | No payment for the allotted shares | Holder generally pays a subscription price to take up shares | Depends on the legal form and applicable rules |
| Primary purpose | Capitalize reserves and increase the number of shares | Raise new money for the company | Distribute value in shares under a specific legal or tax framework |
| Entitlement | Usually proportional to an existing holding | Set by the offer terms, often with rights to subscribe and sometimes trade or sell those rights | Defined by the issuer’s terms and local law |
| Price effect | Theoretical per-share price adjusts for the larger share count | Price depends on the offer price, dilution and market trading | Depends on the structure and market response |
| Tax treatment | Jurisdiction-specific | Jurisdiction-specific | May differ from an ordinary bonus issue |
HMRC and investor-education material from the Securities and Exchange Board of India (SEBI) make the central distinction clear: bonus shares are issued free, whereas a rights issue asks shareholders to pay to subscribe. A rights issue is a fundraising transaction; a bonus issue as described here does not require a cash subscription.
Do not assume that every distribution of shares is a bonus issue. HMRC’s UK guidance treats stock dividends as a distinct category with potentially different tax consequences. The label used in a company announcement and the governing law matter.
Dates, eligibility and when shares appear
There is no globally applicable record-date, ex-date or credit timetable. The issuer’s announcement should state the ratio, eligible share class, record date and the date on which the new shares are allotted, admitted to trading or credited. It may also explain how fractional entitlements are handled and whether trading restrictions apply.

What to verify in the company notice
- Ratio: Read it in words and confirm whether it is expressed per share or per block of shares.
- Eligible class: Check that your ordinary or other class of shares is included.
- Record date: Confirm the date used to determine entitlement and the market’s settlement requirement for being registered then.
- Ex-date or equivalent: Find out when the security trades without the entitlement under that market’s rules.
- Allotment and credit: Note when the issuer, exchange, depository and broker expect the new shares to be credited and tradable.
- Fractions and rounding: Check whether fractions are rounded down, aggregated and sold, or settled in cash.
- Restrictions: Look for country, account-type or trading restrictions.
A broker application may show the original position while the corporate action is still processing. That display lag does not by itself mean the entitlement is missing. If the announced credit window has passed, compare the issuer’s notice with the exchange or depository record and then ask the broker’s corporate-actions team for a reconciliation.
Market-specific rules cannot be generalized
SEBI’s 16 September 2024 circular is an example of a local operational rule: it addressed enabling T+2 trading of bonus shares where T is the record date. That rule applies to the specified Indian market context and should not be presented as a universal timetable or assumed to be the latest rule everywhere. Follow the current notice and the rules of the exchange where the shares trade.

There is no safe global statement that bonus shares are tax-free. Tax can depend on your residence, account type, the transaction’s legal form and what you later do with the shares.

United Kingdom
HMRC’s 2026 share-reorganisation guidance explains the UK capital-gains treatment of bonus shares and separately addresses stock dividends. The treatment of an ordinary bonus issue should therefore not be inferred from the rules for a stock dividend. Keep the issuer’s corporate-action statement and acquisition records for any later disposal calculation.

India
India’s Income Tax Department states that, for shares allotted without payment on the basis of an existing holding, the holding period of the bonus shares is reckoned from their allotment date. This is an Indian rule and does not establish the holding-period treatment in another country.
How to get a personal answer
Before selling, ask the relevant tax authority or a qualified adviser how the issue is treated in your tax residence and account. Provide the account type, original holding, allotment date, any fractional-share cash payment and the proposed sale details. Do not infer a tax liability merely because no cash was paid when the shares were allotted.
Calculating your entitlement step by step
- Read the ratio in words. Identify the number of new shares and the number of existing shares in the block.
- Confirm the eligible balance. Use the number of shares covered by the issuer’s record-date rules, not necessarily the balance currently displayed in your app.
- Apply the formula. Multiply eligible shares by new shares per existing share. For one-for-four, divide by four; for two-for-one, multiply by two.
- Check fractions. Apply the issuer’s stated rounding or cash-in-lieu procedure.
- Add the entitlement. Existing shares plus credited new shares equals the post-issue holding.
- Recalculate the theoretical price only as an illustration. Divide an unchanged example aggregate value by the new share count; do not treat the result as a market prediction.
Common mistakes and how to avoid them
- Assuming “free” means a guaranteed profit: The share price usually adjusts for the larger share count, and market movements can dominate the adjustment.
- Reading a ratio backwards: Translate “one-for-four” or “two-for-one” into a sentence before calculating.
- Expecting a larger ownership percentage: In a proportional issue, the company’s total share count rises alongside yours.
- Confusing a bonus issue with a rights issue: Check whether the notice asks you to pay a subscription price.
- Treating every share distribution as tax-identical: Stock dividends and bonus shares can have different legal and tax treatment.
- Using another market’s dates: Record, ex and credit dates are governed by the issuer and local infrastructure.
- Panicking over a temporary broker display: Corporate actions can take time to pass through the issuer, depository and broker systems.
